Re: Use of CRC's Box at the Palladium
Pursuant to the Programming and Facility Management, Operations and Maintenance Agreement
(The Palladium)between The City of Carmel Redevelopment Commission ("CRC")and the Center
for the Performing Arts, Inc. ("CFPA"), CRC has been given the rights to one seating box at the
Palladium (the"Box"). The purpose of this Memorandum is to provide an outline of CRC's internal
policies for use of the Box. All policies will need to be approved formally by CRC.
Use for CRC Business Purpose:
• The Mayor(the "Mayor")of the City of Carmel (the"City")and CRC members, staff,
and consultants may use the Box themselves and with any third parties for CRC
Business Purposes (as hereinafter defined), free of any charge.
• "CRC Business Purpose" means any legitimate CRC purpose, including, without
limitation, attracting or encouraging new development or redevelopment, pursuing
the sale, purchase, or lease of real property, securing financing or refinancing, and
promoting comity with other governmental agencies within and outside of the City.
• The decision of whether a particular use qualifies as a CRC Business Purpose will
be within the sole discretion of the President of CRC (the "President"), or in his or
her absence, the Executive Director of CRC (the "Director").
• The decision of the President or the Director, as the case may be, need not be in
writing.
Use With Payment:
• The Mayor and CRC members, staff, and consultants may use the Box themselves
and with any third parties for non-CRC Business Purposes upon payment to CFPA
of the face value of the tickets used for non-CRC Business Purposes.
• In the event that there are insufficient tickets to fulfill all concurrent requests, uses
of the Box for CRC Business Purposes will receive priority over uses for non-CRC
Business Purposes.
