This Grant Agreement (herein referred to as "Agreement") entered into by and between the City
of Cannel (the "City") and rt 4)1 f}Nq-p d►-I S CM Ita/ -&,C'S Cti712 (the
"Grantee"), is executed pursuant to the terms and conditions set forth herein. In consideration of
those mutual undertakings and covenants, the parties agree as follows:
1. That on behalf of Grantee, a not-for-profit corporation, I, OQ 5r P-1
an authorized representative of Grantee, have applied for a City of Carmel
("Grantor") Arts Grant, said application attached hereto and made a part hereof as
Exhibit"A."
2. Grant Agreement. The City, after review and recommendation by the Mayor and by
the City Council, agrees to grant $ 3 , 710 . 00 to the Grantee for
the eligible costs of the project (the "Project") or services as described in Exhibits
"A" and "B" of this Agreement. The funds shall be used exclusively in accordance
with the provisions contained in this Agreement.
3. Design and Implementation of Project. The Grantee agrees to use any and all grant
funds in accordance with the proposal contained within this agreement and any
documents attached to this Agreement, which are incorporated by reference.
4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a
not-for-profit entity with a determination letter from the Internal Revenue Service
declaring that it is exempt from Federal income tax.
5. Payment,of Grant Funds by the City. The payment of this Grant by the City to the
Grantee shall be made in accordance with the following conditions:
A. This Agreement must be fully executed and signed by both Grantee and Grantor.
B. Grantee has attached all the following information, which it represents and warrants
to be true and accurate, all which have been incorporated fully by reference:
1. An application and description of the proposed,use of the grant funds (EXHIBIT
A);
2. A budget for the calendar or fiscal year for which the grant is requested
(EXHIBIT B);
3. Certified copies of incorporation as :a not-for-profit corporation under state law
(EXHIBIT C);
4. A not-for-profit application or determination letter from the U.S. Internal Revenue
Service identifying that it is a not-for-profit corporation that is exempt from
Federal income tax (EXHIBIT D);
5. Any audits, reviews or compilations available describing the financial condition
of the Grantee, including IRS Form 990 for the previous calendar year or the
attached Affidavit (EXHIBIT E);
6. A list of the Grantee's board of directors and officers listed (EXHIBIT F);
7. A Year End Report from the previous year IF Grantee received an Arts Grant
from the City of Carmel in the previous calendar year, pursuant to paragraph 7
herein (EXHIBIT G).
C. Any other grant conditions that City requires to be met by Grantee, specifically:
6. Grantor's right to request audit or review. Grantee shall submit to an audit or
review by an independent Certified Public.Accountant of funds at the City's request,
and shall make all books, accounting records and other documents available at all
reasonable limes during the term of this Grant Agreement, and fora period of three
(3) years after final payment of funds under this Agreement, for the purpose of an
audit by the City of Carmel, the State of Indiana, or their designees.
7. Year end review. Grantee agrees to provide the City of Carmel a year-end report
("Year End Report')for each year, describing how the grant was used and the impact
of the dollars received. This Grant award may not exceed one third (1/3) of Grantee's
combined contributed income, revenue of sales, and/or ticket revenue from the

previous year. If the Grant amount is in excess of sixty thousand dollars
($60,000.00), the Grantee agrees to provide, at Grantee's cost, a review or audit of the
grantee. Said review or audit shall be performed by a Certified Public Accountant
("CPA") who is neither an employee of Grantee nor a member of the Grantee's Board
of Directors, to be provided to the City of Carmel by March 31 of the following year.
8. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials
associated with a funded program or project. The City of Carmel will supply, upon
request, Grantee with the graphics/logos necessary for compliance.
9. Statutory Authority of Grantee. The Grantee expressly represents and warrants to
the State that it is statutorily eligible to receive these monies and it expressly agrees to
repay all monies paid to it under this Grant, should a legal determination of its
ineligibility be made by any Court of competent jurisdiction.
10. Use of Grant Funds by Grantee. The funds received by the.Grantee pursuant to this
Agreement shall be used only to implement the Project or provide the services in
conformance with the Budget and for no other purpose. If it is determined by the
City that misappropriation of funds have occurred, the Grantee must return all funds
received by Grantor and individuals who misuse Grant funds may also be subject to
civil and/or criminal liability under Indiana or Federal law.
11. Employment Eligibility Verification. The Grantee affirms, under the penalties of
perjury that he/she/it•does not knowingly employ an unauthorized,alien.
The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is
participating in the E-Verify program as defined in IC 22-5-1.7. The Grantee agrees
to provide documentation to the City that he/she/it has enrolled and is participating in
the E-Verify program.
The City may terminate for default if the Grantee fails to cure a breach of this
provision no later than thirty (30) days after being notified by the State.
12. Governing Law; Lawsuits. This Agreement is to be construed in accordance with,
and governed by the laws of the State of Indiana, except for its conflict of laws
provisions. The parties agree that, in the event a lawsuit is filed hereunder, they
waive their right to a jury trial, agree to file any such'lawsuit in an appropriate court
in Hamilton County, Indiana only, and agree that such court is the appropriate venue
for and has jurisdiction over same.
13. Relationship of Parties: The relationship of the parties hereto shall be as provided.
for in this .Agreement, and neither Grantee nor any of its compensated officers,
employees, contractors, subcontractors and/or agents are employees of City. The

Grant amount set forth herein shall be the full and maximum compensation and
monies required of City to be paid to Grantee under or pursuant to his Agreement.
14. Severability. If any term of this Agreement is invalid or unenforceable under any
statute, regulation, ordinance, executive order or other rule of law, such term shall be
deemed reformed or deleted, but only to the extent necessary to comply with same,
and the remaining provision of this Agreement shall remain in full force and effect.
15. Entire Agreement. This Agreement, together with any exhibits attached hereto or
referenced herein, constitutes the entire agreement between Grantee and City with
respect to the subject matter hereof, and supersedes all prior oral or written
representations and agreements regarding same. Notwithstanding any other term or
condition set forth herein, but subject to paragraph 15 hereof, to the extent any term
or condition contained in any exhibit attached to this Agreement or in any document
referenced herein conflicts with any term or condition contained in this Agreement,
the term or condition contained in this Agreement shall govern and prevail. This
Agreement may only be modified by written amendment executed by both parties
hereto, or their successors in interest.

The Indianapolis Children's Choir works to serve youth in the counties surrounding Indianapolis
through on-site programs in regional locations such as Hamilton County as well as through its
choirs located on the campus of Butler University. The ICC offers three different levels of
children's music programs directly in the city of Carmel. From 18 months to age 5, First Steps in
Music offers children a chance to sing, move, and learn with a parent or guardian while
developing cognitive,-language, social, and motor skills. Children learn rhythm, colors, shapes,
improvisation, and music concepts through educational songs, one-pitched or non-pitched
instruments, and musical games. From first through third grade, Carmel's non-auditioned
Preparatory Choir builds upon the First Steps in Music foundation. Children participate
independently in the class and delve further into concepts such as learning and reading music
notation, singing more complex melodies, and proper breathing and posture. The Hamilton
County Regional Choir offers choral music and performance opportunities for children in grades
3-8. Similarly, children residing in Carmel can participate in choirs housed at Butler University,
with opportunities through 12th grade. Children in these choirs further develop sight-singing
skills, learn to sing in harmonies and voice parts, and learn professional performance techniques.
Performance choirs offer the opportunity for children to receive high-caliber choral arts training
while participating in a regular concert season and special performances throughout the year.
At ICC's Carmel location, the ICC offers unique music programming for children before
formalized education would be available. Laverne Warner reports in Childhood Education:
"Music helps children gain musical intelligence, vocabulary, an understanding of symbols and
sequence, and an increase in memory and auditory function." A recent York University study
mirrored the "rhythm, pitch, melody, voice, and basic musical concepts" of ICC's Early
Childhood Division, and demonstrated rapid improvement in "language, attention, and overall
cognitive function" for children ages 4-6 in just 20 days of music programming (Psychological
Science, October 2011). Because the ICC's First Steps in Music program begins as early as 18
months of age, children in Carmel gain the positive effects of music education and arts
appreciation in early childhood.
As one of the largest and most accomplished programs of its kind in the nation serving more than
3,000 children, the ICC has a 28-year history of providing exceptional music and choral
performance experiences to children in Central Indiana. The ICC's founder and artistic director,
Henry Leck, has authored textbooks, produced videos, and edited multiple works in the field of
children's choral music, and is widely known for his expertise in choral conducting techniques.
The ICC staff regularly travels to share ICC expertise and methods with choral music educators
on a state-wide and national level.
Children in the ICC receive music education instruction from a carefully designed age-
appropriate curriculum based on best practices in the music field. Early Childhood Division
music programs include well-known and respected Orff techniques—which posit that children
must learn by doing—and established First Steps in Music curriculum by John Feierabend. The
ICC staff has also developed a unique music education curriculum for grades four and above that
has been published and is utilized worldwide. Integrated curriculum at all age levels promotes
the national and state academic standards for music. In fact, the ICC's preschool-aged program
participants as young as three years old generally meet kindergarten-level Indiana State
Department of Education standards in music after participating in the ICC's First Steps in Music
program. Experienced and vetted instructors ensure the quality of ICC programming, all holding
music education degrees from accredited undergraduate institutions, and most full-time artistic •
staff also holding advanced degrees.
The ICC involves many children from Hamilton County, both in programs located within Carmel
and through Butler campus-based choirs. Because of this outreach, high quality music education
from 18 months of age through high school is offered directly in Carmel. IN to enable more
children to participate. Performing choirs serving grades 4 and above, including the Hamilton
County Regional Choir, offer opportunities for children to travel outside the county in combined
regional county choir performances, working with youth from a diversity of backgrounds, and
experiencing a variety of venues.
Along with the opportunity for students to participate in ICC programs in Carmel, the ICC works
with music teachers in schools to bring best practices, expertise, and new ideas throughout the
ICC Innovations Program, providing workshops and resources directly to benefit teachers. This
program serves an average of 30 schools and 3,600 non-ICC children all of whom received
special in-school music convocations, guest conducting, teacher resourcing, and day to week-
long residencies from ICC music educators and is offered free of charge.
The ICC's Hamilton County children's music programs advance cultural understanding and
appreciation, increase music accessibility, promote top-tier artistic excellence, and improve
educational outcomes. The ICC monitors the success of these desired outcomes through
geographic, financial, and demographic data as well as through formal and informal evaluative
feedback tools. ICC program repertoire continually monitors song selection and venues to ensure
cultural appreciation and development opportunities. Performance choirs typically sing songs in
over 10 languages throughout the year and have the opportunity to tour the nation and globe
annually, The ICC's commitment to music accessibility has led to specific music education
programming for children with special needs, on-site programs in Hamilton County, and an
annual allocation of$35,000 in tuition assistance to children who could not otherwise participate.
The ICC invests in hundreds of Carmel youth through its area music education programs.
Children experience a climate of inclusiveness, artistic expression, and cultural understanding,
and are taught to excel in and out of school. These programs also have a broad community
impact, as participation in music programs like the ICC decreases the use of illicit substances
(alcohol, tobacco, drugs) through offering positive alternatives, outlets for creative expression,
and increased cultural awareness (National Association of Music Education). ICC's Carmel
children's music programs invest in both the present and the future quality of life of Carmel and
Hamilton County. Long term, Carmel can experience additional cultural and economic benefits,
as children involved in music and arts programs are more likely to contribute to the arts and
culture of their communities later in life (National Endowment for the Arts, Report 36). Overall,
as the Indianapolis Children's Choir provides music activities for Hamilton County youth, the
entire community benefits as these programs develop cultured, conscientious, and well-rounded
young community members.
The City of Carmel and the ICC have a shared vision for the arts. The Indianapolis
Children's Choir respectfully requests $10,000 in general operating support to assist with its
performance and educational programming in Carmel. We are proud to partner with the
important goals of the City of Carmel. As a beneficiary of the depth, breadth and reach of the
ICC's great work with families and youth, central Indiana is indeed a better place.
