REMARKS: Subsequent to the review of the offer packet, Ms. Lisa Meiners telephoned. She inquired if the taxes
were to be prorated. I explained that Ms. Schmith would be responsible for all of 2007's payable 2008 and prorated
throuqh the date of the closing. Ms. Meiners inquired if there would be a formal closing, which I explained would
take place at Chicago Title. She also inquired of the process should Ms. Schmith decide to retain some items. I
explain that I would determine a salvage value and that it would be deducted off the offered amount.
1/23/08 (12:45 pm) Ms. Meiners telephoned and inquired if the offer extended was under the threat of eminent
domain, which I explained is not. She stated that Ms. Schmith is currently in Florida and would be back this
weekend and would let me know the status. Without further correspondence the fully executed forms /documents
were received. Mr. Meiners telephoned and confirmed that the documents had been received. The closing was
later scheduled for Tuesday, March 18

REMARKS: Mr. Robert Meiners telephoned in response to a message I had left. I explained that the appraisal
phase had been completed and subsequent to the City's approval I will be able to extend an offer. Mr. Meiners
requested that the offer packet be mailed to him and provided his mailing address. I contacted Ms. Schmith and
she verified such.
Upon the City's approval, the offer and related information were mailed via "Certified mail, Return Receipt
Requested on January 18, 2008, with a date of delivery on January 23, 2008. Included within the packet were
the following forms /documents: an introductory letter, (2) Appraisal Reports, the Acquisition Offer letter, the
Warranty Deed with Exhibits "A" and "B the Sales Disclosure Form, the Accounts Payable Voucher, the Request
for Taxpayer Identification Number and Certification (Form W -9), the Retention of Ownership (Fixtures and Parts),

REMARKS (Cont'd): the Lead -Based Paint Disclosure Form, the "Owner's Private Appraisal Letter The
introductory letter mailed in conjunction with the offer explained that the project is to improve N. Keystone Parkway
and E. 106 Street. More specifically, the entire subject property is being purchased as permanent right -of -way,
which contains 6,674 square feet. As explained in the form, "Owner's Private Appraisal Letter the owner may
submit an independent appraisal for review at their own expense. The forms /documents requiring signatures and
notarization were indicated. The owner or a representative was encouraged to call with any questions.

It is understood between the parties hereto, and their successors in title, and made a covenant herein
which shall run with the land, that all real estate herein described (excepting any parcels or portions thereof that
are specifically and expressly designated as easements or temporary rights of way) are conveyed in fee simple
and not merely for right of way purposes, and that no reversionary rights whatsoever are intended to remain in
the Grantor.
The undersigned person(s) executing this deed represent and certify that they are Trustees of The
Schmith Living Trust, Dated July 13, 2006 (Title of Trust); and that pursuant to the Trust Agreement, have
full authority to manage the affairs of said Trust and sign and execute documents on its behalf, that this
authority has not been revoked; and therefore, are fully authorized and empowered to convey to the City of
Carmel real estate of the Trust; and on the date of execution of said conveyance instruments, it had full
authority to so act.
