CORPORATE WARRANTY DEED
THIS INDENTURE WITNESSETH THAT Danbury Estates Homeowners Association,
Inc., an Indiana non - profit corporation (the "Grantor ") bargains, sells and conveys to the City of
Carmel, Indiana (the "Grantee "), for the sum of Ten and NO /00 Dollars ($10.00) and other
valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the
following described real estate in Hamilton County, State of Indiana (the "Property "):
See attached Exhibit A and Exhibit B, which are attached hereto and incorporated herein
Subject to those items set forth on Exhibit C.
The Property is currently tax exempt. Buyer shall be responsible for any real estate taxes which
may be assessed against the Property as after date of this Deed. Seller shall be responsible for
the payment of any real estate taxes assessed against the Property for any period of time prior to
the date of this Deed.
It is understood between the parties hereto, and their successors in title, and made a covenant
herein which shall run with the land, that all real estate herein described are conveyed in fee
simple and that no reversionary rights whatsoever are intended to remain in the Grantor.
Grantor warrants to Grantee and Grantee's successors and assigns, that the foregoing real estate
is free of any encumbrance made or suffered by Grantor, except as stated herein, and that
Grantor will forever defend title to the foregoing real estate against the lawful claims of all
persons claiming title to the real estate by, through or under Grantor, but not otherwise.
The undersigned person executing this deed represents and certifies on behalf of the Grantor that
he/she has been fully empowered and authorized to execute and deliver this deed and that all
necessary action for the making of this conveyance has been duly taken.
IN WITNESS WHEREOF, Grantor has caused this Corporate Warranty Deed to be

VENDOR'S AFFIDAVIT 1
The undersigned, ltIQf� !J�.ku being the -c5 it L of Danbury Estates
Homeowners Association, Inc., an Indiana non -profit corporation ( "Vendor "), being duly sworn, states that
Vendor is conveying by General Warranty Deed (the "Deed ") to the City of Carmel, Indiana (hereinafter
referred to as "Purchaser "), certain real estate located in Hamilton County, Indiana, more specifically described
on Exhibit A and B attached hereto and incorporated herein:
The Real Estate is not "property" as defined in Indiana Code 13 -11 -2 -174, is not, and has not been
used as, a landfill or dump, contains no underground storage tanks or toxic or hazardous waste or materials,
and no disclosure statement under Indiana Code 13- 25 -3 -1, et seq. (Indiana Responsible Property Transfer
Law) is required for this transaction.
In connection with the sale of the Real Estate, Purchaser has obtained a commitment for an owner's
policy of title insurance for the Real Estate with an Effective Date of 3/ t Z , 2010 (as updated through
the date hereof), issued by Preferred Title Corp. under Commitment No. 710.0b 3 €11; (the "Commitment ").
Vendor has an estate in fee simple in the Real Estate; and the Real Estate is free and clear of every
kind of description of lien, lease or encumbrance other than those matters disclosed in the Deed, the
Commitment or otherwise herein.
Vendor has not executed, or permitted anyone on Vendor's behalf to execute, any conveyance,
mortgage, lien, lease, security agreement, financing statement or encumbrance of or upon the Real Estate or
any fixtures attached thereto, except as stated above, which is now outstanding or enforceable against the Real
Estate. Vendor has made no contract to sell all or a part of the Real Estate to any person other than the
Purchaser, and Vendor has not given to any person an option to purchase all or any part of the Real Estate,
which is enforceable or exercisable now or at any time in the future. There are no unpaid claims for labor done
upon or materials furnished for the Real Estate in respect of which liens have been or may be filed. The
improvements upon the Real Estate are all located entirely within the bounds of the Real Estate, and there are
no encroachments thereon.
There is no judgment of any court of the State of Indiana or of any court of the United States that is
or may become a lien on the Real Estate. No petition for bankruptcy has been filed by or against Vendor
within the last six months, nor is any petition now pending with respect to Vendor for bankruptcy, insolvency
or incompetency. Vendor is neither principal nor surety on any bond payable to the State of Indiana.
The Real Estate is now in the possession of Vendor and no other person has a right to possession or
claims possession of all or any part of the Real Estate. Vendor has not entered into any leases involving the
Real Estate with any other person or entity. Vendor will deliver possession of the Real Estate to Purchaser
free and clear of any right or claim of any person, to the possession of the Real Estate.
Vendor is not acting, directly or indirectly, in any capacity whatsoever for any foreign country or
national thereof.
Vendor intends that each of the statements made herein shall be construed as a representation and
each of the representations is true.
