The City of Carmel, Indiana (the "City ") is a municipality duly organized and existing pursuant to the laws of the State of Indiana. 2. CSX Transportation, Inc. ( "CSX) is corporation duly organized and existing pursuant to the laws of the State of Virginia. 3. CSX used to operate a railroad on a route commonly known as the Monon Railway in Hamilton County. Indiana. CSX, however. abandoned the Monon Railway in approximately 1986. 4. Since approximately 1993, the ownership of the Monon Railway has been disputed and. therefore, has been the subject of a lawsuit titled George W. Clark, Hamilton County Farm Bureau Cooperative Association, Inc., I3ritton Farms, Inc. and all others similarly situated v. CSX Transportation, Inc., Cause No. 29D03- 9308- CP-404 (the "Ownership Lawsuit "). 5. On October 6, 2003, the Court in the Ownership Lawsuit entered a Declaratory Judgment for the County of Hamilton (the "Declaratory Judgment"). On October 13, 2003, the Court in the Ownership Lawsuit entered an Order on Plaintiffs' Motion to Withdraw the Declaratory Judgment for the County of Hamilton Entered on October 6, 2003 and Substitute with Corrected Declaratory Judgment (the "Amended Declaratory Judgment "). The Declaratory Judgment and Amended Declaratory Judgment. among other things. declared that CSX owns a portion of the Monon Railway in Hamilton County, Indiana. 6. Since approximately 1998, Carmel has been working to convert the Monon Railway from an abandoned railroad corridor into a linear park (the "Monon Trail ") from 96th Street to 146th Street in Hamilton County, Indiana. Between 96th Street to 146th Street in Hamilton County. Indiana, the Monon Railway runs from north to south for a distance of approximately five (5) miles with a width of approximately sixty -six feet. In places, however. the width varies. 7. In 1998 and 1999, Carmel filed several condemnation lawsuits against CSX in an effort to acquire a property interest in the Monon Railway sufficient to construct a linear park (the "Condemnation Lawsuits "). 8. CSX now has been determined to own portions of the Monon Railway pursuant to the Declaratory Judgment. 9. As part of the settlement of the Condemnation Lawsuits and in light of the ownership rights awarded to CSX in the Declaratory Judgment, CSX has agreed to convey to the City all of CSX's rights, title and interest in and to the Monon Railway as set forth herein. 63421.3 NOW, THERFORE, THIS INDENTURE WITNESSETH that CSX TRANSPORTATION, INC. (AGrantor @) quitclaims to the CITY OF CARMEL (AGrantee @), for valuable consideration, the receipt and sufficiency of which is hereby acknowledged. all of its right, title and interest in and to that certain real estate located in Hamilton County, Indiana, being that real estate which is eighty (80) feet on each side of the center line of the Monon Trail, as the Monon Trail is shown on Exhibit A attached hereto and incorporated herein, specifically including, but not limited to. that property described on Exhibit B attached hereto and incorporated herein, subject to all validly existing easements and encumbrances of record. The intent of the parties hereto is for CSX to convey to the City all of CSX's right, title and interest in and to that property described on Exhibits A and B. Neither CSX nor the City is asserting any rights to any property in which CSX, through the Declaratory Judgment or otherwise, does not. as of the below date, have an interest.
