RESOLUTION OF THE CITY OF CARMEL REDEVELOPMENT COMMISSION
CONFIRMING RESOLUTION APPROVING AMENDMENT TO THE DECLARATORY
RESOLUTION AND DEVELOPMENT PLAN FOR THE
OLD MERIDIAN ECONOMIC DEVELOPMENT AREA
WHEREAS, the City of Carmel Redevelopment Commission (the “Commission”), governing
body of the City of Carmel Department of Redevelopment, previously adopted and amended resolutions
(collectively, the “Declaratory Resolution”) establishing and expanding an economic development area
known as the Old Meridian Economic Development Area (the “Development Area”), approving an
Economic Development Plan (the “Development Plan”) for the Development Area, pursuant to Indiana
Code 36-7-14, as amended (the “Act”), and designating the Development Area as an “allocation area”
pursuant to Section 39 of the Act (the “Old Meridian Street Allocation Area”); and
WHEREAS, on July 14, 2014, the Commission approved and adopted Resolution No. 2014-8
(the “Amending Resolution”) that amended the Declaratory Resolution and the Development Plan (i) to
remove the area described on Exhibit A attached thereto from the Old Meridian Street Allocation Area,
(ii) to designate the area described on Exhibit A attached thereto as a separate allocation area pursuant to
Section 39 of the Act to be known as the Grand & Main Allocation Area (the “Grand & Main Allocation
Area”), and (iii) to adopt a supplement to the Plan attached thereto as Exhibit B (the “Plan Supplement”);
and
WHEREAS, on July 15, 2014, the City of Carmel Plan Commission approved and adopted its
Resolution No. PC-07-15-14 (the "Plan Commission Order") approving the Amending Resolution and the
Plan Supplement and determining that the Amending Resolution and the Plan Supplement conform to the
plan of development for the City of Carmel (the “City”); and
WHEREAS, pursuant to Section 16 of the Act, the Common Council of the City on July 21,
2014, adopted its Resolution CC-07-21-14-01 approving the Amending Resolution, the Plan Commission
Order and the Plan Supplement; and
WHEREAS, pursuant to Section 17 of the Act, the Commission caused to be published a Notice
of Public Hearing with respect to the Amending Resolution and filed a copy of said Notice in the offices
of all departments, bodies or officers of the City having to do with City planning, variances from zoning
ordinances, land use or the issuance of building permits; and
WHEREAS, pursuant to Section 17 of the Act, the Commission also filed with each taxing unit
located wholly or partially within the Grand & Main Allocation Area a copy of the Notice of Public
Hearing and a statement disclosing the impact of the area; and
WHEREAS, at the hearing held by the Commission on the 20th day of August, 2014, the
Commission heard all persons interested in the proceedings and considered written remonstrances and
objections, if any; and
WHEREAS, the Commission now desires to take final action determining the public utility and
benefit of the proposed development projects in the Plan Supplement and confirming the Amending
Resolution, in accordance with Section 17 of the Act.
NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Redevelopment Commission,
governing body of the City of Carmel Department of Redevelopment, as follows:

1. After considering the evidence presented at the hearing on the 20th day of August, 2014,
the Commission hereby confirms the findings and determinations, designations and approving and
adopting actions contained in the Amending Resolution.
2. The Commission hereby finds and determines that it will be of public utility and benefit
to proceed with its Development Plan, as modified by the Amending Resolution and the Plan Supplement.
3. The Amending Resolution is hereby confirmed.
4. This Resolution constitutes final action, pursuant to Section 17(d) of the Act, by the
Commission determining the public utility and benefit of the proposed projects and confirming the
Amending Resolution.
5. The Secretary of the Commission is directed to record the final action taken by the
Commission pursuant to the requirements of Section 17(d) of the Act.

RESOLUTION NO. 2014-11
A RESOLUTION OF THE CITY OF CARMEL REDEVELOPMENT COMMISSION
PLEDGING CERTAIN TAX INCREMENT REVENUES TO THE PAYMENT OF
ECONOMIC DEVELOPMENT REVENUE BONDS OF THE CITY OF CARMEL
WHEREAS, the City of Carmel Redevelopment Commission (the “Commission”),
governing body of the City of Carmel Department of Redevelopment (the “Department”), has
created the Old Meridian Economic Development Area, has designated a portion of such area as
the Grand & Main Allocation Area (the “Allocation Area”) for purposes of the allocation and
distribution of property taxes under IC 36-7-14-39, and has created the Grand & Main Allocation
Fund (the “Allocation Fund”) pursuant to IC 36-7-14-39; and
WHEREAS, Edward Rose Development Company, L.L.C. (the “Company”) intends to
finance all or a portion of the costs of the design and construction of the projects listed in Exhibit
A hereto (collectively, the “Projects”), which will be located in or physically connected to the
Allocation Area; and
WHEREAS, the City of Carmel Economic Development Commission has approved the
issuance of the City of Carmel, Indiana, Economic Development Revenue Bonds, Series 2014
(Edward Rose Development Company, L.L.C. Project), in one or more series (the “Bonds”), the
proceeds of which will be provided to the Company and applied to costs of the Projects; and
WHEREAS, as an inducement to the Company to locate the Projects and related mixed
use development in the City of Carmel, the Commission has agreed to pledge a portion of the tax
increment revenues generated from the Allocation Area to the payment of the Bonds;
NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Redevelopment
Commission, as follows:
1. All real property tax increment revenues generated from the Allocation Area and
deposited in the Allocation Fund pursuant to IC 36-7-14-39 shall be set aside and used only as
set forth in this Resolution.
2. Seventy-five percent (75%) of the real property tax increment revenues generated
from the Allocation Area and deposited in the Allocation Fund pursuant to IC 36-7-14-39 (the
“TIF Revenues”) shall be set aside and used only as set forth in this Resolution. The remaining
twenty-five percent (25%) of the real property tax increment revenues generated from the
Allocation Area (or the assessed value attributable thereto) may be used by the Commission for
any purpose permitted by law, including the release of assessed value to the taxing units as
provided under the Act.
3. On each January 15 and July 15, beginning July 15, 2016, all TIF Revenues shall
be immediately transferred to the trustee for the Bonds (the “Trustee”) for deposit into the funds
and accounts and application in accordance with the trust indenture for any series of Bonds (the
“Indenture”).
3. Pursuant to IC 36-7-14-39(b)(3)(D) and IC 5-1-14-4, the Commission hereby
pledges the TIF Revenues deposited into the Allocation Fund to the Trustee for disposition in
accordance with the Indenture.
4. Upon the defeasance of the Bonds, any TIF Revenues remaining in the funds and
accounts under the Indenture shall be returned to the Commission for deposit into the Allocation
Fund and may be used by the Commission for any purpose permitted by law.
5. The officers of the Commission and the Department are hereby authorized and
directed to take such further actions and execute such further documents as they deem necessary
or appropriate to effectuate the issuance of the Bonds and the construction of the Projects,
including without limitation one or more project agreements, consistent with the terms of this
Resolution.
6. This resolution shall take effect immediately upon adoption by the Commission.

EXHIBIT A
DESCRIPTION OF THE PROJECTS
The design and construction of public streets, including the extension of Grand
Boulevard and the potential contribution to Main Street improvements as well as on-site Urban
Collector Streets as required by the Carmel Clay Comprehensive Plan, and the design and
construction of a parking structure, all to support a proposed mixed use development generally to
be located in the southeast quadrant of the intersection of Main Street and Grand Boulevard, in
the City of Carmel, Indiana.

RESOLUTION OF THE CITY OF CARMEL REDEVELOPMENT COMMISSION
AMENDING THE DECLARATORY RESOLUTION FOR THE OLD MERIDIAN
ECONOMIC DEVELOPMENT AREA
WHEREAS, the City of Carmel Redevelopment Commission (the “Commission”) pursuant
to IC 36-7-14 (the “Act”) serves as the governing body of the City of Carmel Redevelopment District
(the “District”); and
WHEREAS, the Commission has previously adopted and confirmed resolutions (collectively,
the “Declaratory Resolution”) which established and expanded an economic development area
known as the “Old Meridian Economic Development Area” (the “Economic Development Area”),
designated the Economic Development Area and expansion thereto as an allocation area pursuant to
Section 39 of the Act (as expanded, the “Old Meridian Street Allocation Area”) and approved a
development plan for the Economic Development Area (the “Plan”) pursuant to the Act; and
WHEREAS, the Commission now desires to amend the Declaratory Resolution and Plan (i)
to remove the area described on Exhibit A attached hereto from the Old Meridian Street Allocation
Area, (ii) to designate the area described on Exhibit A attached hereto as a separate allocation area
pursuant to Section 39 of the Act to be known as The Olivia on Main Allocation Area (“The Olivia
on Main Allocation Area”), and (iii) to adopt a supplement to the Plan attached hereto as Exhibit B
(the “2014 Plan Supplement”) (clauses (i), (ii) and (iii), collectively, the “2014 Amendments”); and
WHEREAS, the 2014 Amendments and supporting data were reviewed and considered at this
meeting; and
WHEREAS, Sections 41 and 43 of the Act permit the creation of “economic development
areas” and provide that all of the rights, powers, privileges and immunities that may be exercised by
this Commission in a redevelopment area or urban renewal area may be exercised in an economic
development area, subject to the conditions set forth in the Act; and
WHEREAS, this Commission deems it advisable to apply the provisions of said Sections 41
and 43 of the Act to the 2014 Amendments; and
WHEREAS, the Commission now desires to approve the 2014 Amendments.
NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Redevelopment
Commission, governing body of the City of Carmel Redevelopment District, as follows:
1. It will be of public utility and benefit to amend the Declaratory Resolution and the
Plan for the Economic Development Area as provided in the 2014 Amendments and to continue to
develop the Economic Development Area, including The Olivia on Main Allocation Area, under the
Act.
2. The Declaratory Resolution and the Plan, as amended by this Resolution and the 2014
Plan Supplement, conform to the comprehensive plan of development for the City.
3. The 2014 Amendments are reasonable and appropriate when considered in relation to
the Declaratory Resolution and Plan and the purposes of the Act.
4. The findings and determinations set forth in the Declaratory Resolution and the Plan
are hereby reaffirmed.
5. In support of the findings and determinations set forth in Sections 1 through 4 above,
the Commission hereby adopts the specific findings set forth in the 2014 Plan Supplement.
6. The Commission does not at this time propose to acquire any specific parcel of land
or interests in land within the boundaries of The Olivia on Main Allocation Area. If at any time the
Commission proposes to acquire specific parcels of land, the required procedures for amending the
Plan, as amended by the 2014 Plan Supplement, under the Act will be followed, including notice by
publication to affected property owners and a public hearing.
7. The Commission finds that no residents of the Economic Development Area will be
displaced by any project resulting from the 2014 Plan Supplement, and therefore finds that it does
not need to give consideration to transitional and permanent provision for adequate housing for the
residents.
8. The 2014 Amendment is hereby in all respects approved.
9. The area described in Exhibit A is hereby removed from the Old Meridian Street
Allocation Area, and is hereby designated as a separate “allocation area” pursuant to Section 39 of
the Act to be known as “The Olivia on Main Allocation Area,” for purposes of the allocation and
distribution of property taxes for the purposes and in the manner provided by said Section. Any
taxes imposed under I.C. 6-1.1 on real property subsequently levied by or for the benefit of any
public body entitled to a distribution of property taxes on taxable property in said allocation area
shall be allocated and distributed as follows:
Except as otherwise provided in said Section 39, the proceeds of taxes
attributable to the lesser of the assessed value of the property for the assessment date
with respect to which the allocation and distribution is made, or the base assessed
value, shall be allocated to and when collected paid into the funds of the respective
taxing units. Except as otherwise provided in said Section 39, property tax proceeds
in excess of those described in the previous sentence shall be allocated to the
redevelopment district and when collected paid into an allocation fund for the
Allocation Area hereby designated as “The Olivia on Main Allocation Fund” and
may be used by the redevelopment district to do one or more of the things specified
in Section 39(b)(3) of the Act, as the same may be amended from time to time. Said
allocation fund may not be used for operating expenses of the Commission. Except
as otherwise provided in the Act, before July 15 of each year, the Commission shall
take the actions set forth in Section 39(b)(4) of the Act.
10. The foregoing allocation provision shall apply to all of The Olivia on Main Allocation
Area. The Commission hereby finds that the adoption of this allocation provision will result in new
property taxes in The Olivia on Main Allocation Area that would not have been generated but for the
adoption of the allocation provision, as specifically evidenced by the findings set forth in Exhibit B
hereto. The base assessment date for The Olivia on Main Allocation area is March 1, 2014.
11. The provisions of this Resolution shall be subject in all respects to the Act and any
amendments thereto, and the allocation provisions herein relating to the Allocation Area shall expire
on the date that is twenty-five (25) years after the date on which the first obligation is incurred to pay
principal and interest on bonds or lease rentals on leases payable from tax increment revenues
derived from The Olivia on Main Allocation Area.
12. This Resolution, together with any supporting data, shall be submitted to the City of
Carmel Plan Commission (the “Plan Commission”) and the Common Council of the City (the
“Council”) as provided in the Act, and if approved by the Plan Commission and the Council, shall be
submitted to a public hearing and remonstrance as provided by the Act, after public notice as
required by the Act.

2014 Plan Supplement
The Plan is hereby supplemented by adding the following projects to the Plan:
Demolition of existing structures, utility relocation and connection, soft soil remediation, on-
site storm water detention, on-site utilities, grading, landscaping, parking, and general site work and
site preparation, all to support a proposed mixed use development generally to be located in the
southwest quadrant of the intersection of Main Street and Old Meridian Street, in the City of Carmel,
Indiana.
Based on representations of the developer of the mixed use project, the Commission has
determined that the development will not proceed as planned without the contribution of tax
increment revenues to be derived from The Olivia on Main Allocation Area to the projects described
above.

RESOLUTION OF THE CITY OF CARMEL REDEVELOPMENT COMMISSION
AMENDING THE DECLARATORY RESOLUTION FOR THE
LEGACY ECONOMIC DEVELOPMENT AREA
WHEREAS, the City of Carmel Redevelopment Commission (the “Commission”) pursuant
to IC 36-7-14 (the “Act”) serves as the governing body of the City of Carmel Redevelopment District
(the “District”); and
WHEREAS, the Commission has previously adopted and confirmed resolutions (collectively,
the “Declaratory Resolution”) which established an economic development area known as the
“Legacy Economic Development Area” (the “Economic Development Area”), designated the
Economic Development Area as an allocation area pursuant to Section 39 of the Act (the “Allocation
Area”) and approved a development plan for the Economic Development Area (the “Plan”) pursuant
to the Act; and
WHEREAS, the Commission now desires to amend the Declaratory Resolution and Plan (i)
to remove certain parcels of residential property as described on Exhibit A attached hereto from the
Economic Development Area and Allocation Area, and (ii) to provide that during any period of time
that any parcels of property are assessed as residential property under the rules of the Indiana
Department of Local Government Finance, such parcels shall not be part of the Economic
Development Area and Allocation Area (the “2014 Amendments”); and
WHEREAS, the 2014 Amendments and supporting data were reviewed and considered at this
meeting; and
WHEREAS, the Commission now desires to approve the 2014 Amendments.
NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Redevelopment
Commission, governing body of the City of Carmel Redevelopment District, as follows:
1. It will be of public utility and benefit to amend the Declaratory Resolution and the
Plan for the Economic Development Area as provided in the 2014 Amendments and to continue to
develop the Economic Development Area under the Act.
2. The Declaratory Resolution and the Plan, as amended by this Resolution, conform to
the comprehensive plan of development for the City.
3. The 2014 Amendments are reasonable and appropriate when considered in relation to
the Declaratory Resolution and Plan and the purposes of the Act.
4. The findings and determinations set forth in the Declaratory Resolution and the Plan
are hereby reaffirmed.
5. The parcels described in Exhibit A are hereby removed from the Economic
Development Area and Allocation Area, and it is the Commission’s desire to ensure that all parcels
of property assessed as residential property under the rules of the Indiana Department of Local
Government Finance (“Residential Parcels”), not be considered as part of the Economic
Development Area or Allocation Area, and therefore finds that during any period of time that any
parcels of property are assessed as residential property under the rules of the Indiana Department of
Local Government Finance, such parcels shall not be part of the Economic Development Area and
Allocation Area.
6. The 2014 Amendments are hereby in all respects approved.
7. This Resolution, together with any supporting data, shall be submitted to the City of
Carmel Plan Commission (the “Plan Commission”) and the Common Council of the City (the
“Council”) as provided in the Act, and if approved by the Plan Commission and the Council, shall be
submitted to a public hearing and remonstrance as provided by the Act, after public notice as
required by the Act.
