HomeMy WebLinkAboutCenter for Performing Art/50,000/ADMIN/Reimburse for Mechanical Engineer at the Palladium1 SERVICES REIMBURSEMENT AGREEMENT -(d THIS AGREEMENT, made and entered into this day of 2014, by and between the City of Carmel, Indiana,.by and through its Board of Public Works and Safety, ( "City ") and The Center For the Performing Arts, Inc., an Indiana non - profit corporation, (the "Centex "). WITNESSETH: WHEREAS, the City is responsible for the costs related to the day -to -day operation and maintenance of the Palladium fine arts performance venue ( "Palladium "), located in the City at or about 1 Center Green; and, WHEREAS, the Center is desirous of employing a full -time person as an Maintenance Engineer at the Palladium to provide those services described in Exhibit A, attached hereto and incorporated herein by this reference; and, WHEREAS, it is more cost - effective for the Center to hire an Maintenance Engineer for the Palladium than to continue with its current Palladium contractual operations and maintenance contract; and, . WHEREAS; the cosi- savings realized by the Center's hiring of a full -time Maintenance Engineer for the Palladium will also result in cost- savings to the City since the City reimburses the Center for the operation and maintenance services it provides to the Palladium on the City's behalf. NOW, THEREFORE, in consideration of the mutual agreements of the parties as set forth herein, and other good and valuable considerations, the receipt and sufficiency of which are hereby acknowledged, the City and the Center hereby agree as follows: 1. The foregoing Recitals are incorporated herein by this reference. 2. The City will reimburse the Center up to but not exceeding Fifty Thousand Dollars ($50,000.00) annually for personal services, salary, overtime, and benefits, through available funds in the Building Operations Budget, for the Center's hiring of an Maintenance Engineer for the Palladium. 3. The Center will provide the City with a monthly itemized invoice for reimbursement in a form substantially similar to that attached hereto as Exhibit B and incorporated herein by this reference. The Center shall be responsible for hiring the Maintenance Engineer referenced herein, who will be directly supervised by the Center's Palladium Facilities Manager and will be an employee of the Center. 5. This Agreement shall be in effect from the date of approval by the last party to execute the same through December 31, 2014, and shall thereafter annually roll -over for one (I) successive calendar year term until such time as it is terminated pursuant to the terms contained herein. 6. Either party may terminate this Agreement, with or without cause, upon ninety (90) days advance written notice to the other party. Notwithstanding any other term or condition set forth herein, this Agreement may also be immediately terminated by the City if appropriated funds within the City's Department of Administration Building and Operations Budget (Acct. #1208) become insufficient for the reimbursement of the Center for the Maintenance Engineer services contemplated herein. PERSONAL SERVICES AGREEMENT.docxSt26I20 I4 JOB TITLE: Maintenance Engineer CATEGORY: Full Time REPORTS TO: Facility Manager POSITION DESCRIPTION: Perform daily maintenance of the Center's facilities. JOB FUNCTIONS: General Duties 1. Assists in the maintenance of mechanical equipment including: energy management system software, scheduled oil changes, and greasing, belt and filter changes, air conditioners, compressors, boilers, pumps and motors and chemical feed equipment. 2. Perform carpentry, electrical, and plumbing work throughout the facility. 3. Maintain all building fire extinguishers. 4. Maintain lights throughout the buildings and grounds, keeping all lighting systems functional. 5. Neatly maintains storage areas. 6. Maintain building components including windows, doors, door locks, baseboards, shelves, bathroom fixtures. 7. Report to the Facility Manager any equipment in need of further maintenance or professional service work. 8. Perform other work - related duties as assigned. 9. Removes snow and ice from sidewalks and stairs. Administrative Duties 1. Works closely with the Facility Manager to maintain the Budget. 2. Assists in determining what work will be contracted with outside 3. Coordinates all in -house daily needs with the Center's Staff. 4. Works closely with the Production Dept. to make sure all systems operate efficiently. 5. Meet, as required, with the Facility Manager to provide update on significant items /issues. EXHIBIT Pr KNOWLEDGE, SKILLS AND ABILITIES: 1. Understand and comprehend building design documents (blueprints, specifications, as -built documents and O &M Manuals). 2. Understand all building operating systems (lighting, heating /cooling, fire alarm, etc). 3. Experience in managing personnel (Owner and Vendor). EDUCATION AND EXPERIENCE: Five to seven years experience in this field, or similar background - preferred. Degree or Certificate in Construction Management, or Facilities Management and 1 -3 years experience in a related field- acceptable. WORKING CONDITIONS: Work takes place in a generally clean facility. Weekend and evening hours will be required. 1 B IT zoPZ
