ACCEPTANCE OF DEDICATION & DEED OF PUBLIC RIGHTS -OF -WAY
WHEREAS, the foregoing Grantor having filed with the City of Carmel, Indiana ( "City "), its
Dedication and Deed of certain real property ( "Property ") to the City for the purpose of establishing
City "rights -of- way ", which Dedication and Deed is attached hereto and incorporated herein as
Exhibits "A" and `B" hereinabove set forth;
AND WHEREAS, the City, by and through its Board of Public Works and Safety, hereby accepts
said Dedication and Deed, and orders that the Instrument of Dedication and Deed described herein
be recorded in the Recorder's Office of the County of Hamilton, State of Indiana, and that said
described real property be, and the same hereby is, declared open and dedicated to the City.

Right -of -Way Dedication Description
A part of the West Half of the Northeast Quarter of Section 35, Township 18 North, Range 3
East, being more particularly described as follows: Commencing at the southwest corner of said
Northeast Quarter Section; thence North 00 degrees 07 minutes 31 seconds West (basis of
bearing - parent parcel) along the West line of said Quarter a distance of 1,048.26 feet; thence
North 89 degrees 52 minutes 29 seconds East perpendicular to said West line a distance of 29.00
feet to the easterly right- of-way line of Pennsylvania Street per a Warranty Deed to the City of
Cannel, recorded as Instrument Number 200300029019 in the Office of the Recorder of
Hamilton County, Indiana and the Point of Beginning; thence North 00 degrees 07 minutes 31
seconds West along said easterly right -of -way line a distance of 413.25 feet; thence North 88
degrees 40 minutes 34 seconds East 36.01 feet; thence South 00 degrees 07 minutes 31 seconds
East parallel with said easterly right -of -way line a distance of 414.00 feet; thence South 89
degrees 52 minutes 29 seconds West 36.00 feet to the Point of Beginning, containing 0.342 acres

RE: RIGHT OF WAY DEDICATION — HEALTH & WELLNESS SUITES — PENNSYLVANIA STREET
Dear Board Members:
Mr. Adlai Chester, CFO for Mainstreet Asset Management, Inc., has requested the Board sign the
Dedication of Public Right of Way documents as presented to the Board for approval.
These documents dedicate the right of way for Pennsylvania Street along the west side of the Health
and Wellness Suites project, located in part of the West'/, Northeast 'A, Section 35, Township 18 North,
Range 3 East, Clay Township, Hamilton County, Indiana. The Department of Engineering has received
and approved construction plans for this project. Total acreage dedicated consists of 0.342 acres.
On behalf of the City of Carmel, I would like to thank Mr. Chester and Mainstreet Asset Management for
this dedication of Right Of Way. I recommend the Board accept and sign these documents for this
dedication.

THIS INDENTURE WITNESSETH:
That MS Carmel, LLC, an Indiana limited liability company (the "Grantor "), the fee simple owner
of the following described real property ("Property") described in attached Exhibit A and depicted
on attached Exhibit B, incorporated herein by this reference, which Property is located in the City of
Cannel, Hamilton County, State of Indiana, hereby grants, conveys and warrants in fee simple and
with no reversionary rights whatsoever retained, all of Grantor's rights, title, and interest in the
Property, to the City of Carmel, Indiana ("Grantee"), subject to all existing easements and rights -of-
way of record, for the sum of One Dollar ($1.00) and other good and valuable consideration, the
receipt and sufficiency of which are hereby acknowledged.
This conveyance of real estate is not subject to Indiana gross income tax.
