(g) The record of the bidder with respect to the completion of Similar Projects on schedule,
within budget, and in compliance with plans, permits, and laws.
(h) The current ability of the bidder to complete the Redevelopment Projects on schedule,
within budget, and in compliance with plans, permits, and laws.
(i) The financial resources of the bidder and its principals, including, without limitation, the
financial resources available to complete the Redevelopment Projects.
(j) The financial resources of the bidder's equity investors and construction lender, including,
without limitation, the financial resources committed and available to fund completion of the
Redevelopment Projects.
(k) The overall square footage of the Redevelopment Projects, the square footages of the
residential, retail, office, and Conference Center space in the Redevelopment Projects, and the
proposed number of on-street parking spaces.
(I) The proposed rental rate per square foot of the office, retail, and residential space in the
Redevelopment Projects, and the amenities to be provided as part of the Redevelopment
Projects.
•
(m) The development and site plans for the Redevelopment Projects and other
improvements, and the compatibility of such plans with the Carmel City Center Master Plan, the
Mixed-Use Project, the Performing Arts Center, the neighboring buildings, and the nearby
neighborhoods.
(n) Satisfaction by the bidder of the Proposal Requirements; compliance of the bidder with
the Conditions for Redevelopment, including, without limitation: (i) the Development Guidelines
and the Zoning Ordinance; and (ii) the provisions for CRC giving preference to a Redevelopment
Proposal having Preferential Features; and satisfaction by the bidder of any additional
requirements of the Bid Package.
(o) Any other factors that CRC determines to be important in carrying out and serving: (i) the
Conditions for Redevelopment, including, without limitation, implementing the Development
Guidelines; (ii) the legal purposes of CRC; and (iii) the interests of the City of Carmel, Indiana,
and its residents, from the standpoint of both human and economic welfare.

Proposal
Requirements: Each Redevelopment Proposal must comply with the requirements of this Notice.
CRC will make all of the exhibits listed below (the "Exhibits") available at the CRC Offices for examination and use
by all interested persons. This Notice, together with the Exhibits, constitutes the "Bid Package".

Each Redevelopment Proposal must: (a) be submitted on the prescribed form included in the Bid Package; (b)
include all of the information requested in the Bid Package; (c) if submitted by a trust (as defined in IND. CODE
§30-4-1-1(a)), identify: (i) each beneficiary of the trust; and (ii) each settlor empowered to revoke or modify the
trust; (d) be received in its entirety in the CRC Offices by the Receipt Deadline; and (e) include a cashier's check
or certified check payable to the order of CRC in an amount equal to 5% of the purchase price for the
Redevelopment Parcels set forth in the Redevelopment Proposal (the "Proposal Requirements").
CRC reserves the right to: (a) consider or reject without consideration any Redevelopment Proposals that do not
satisfy the Proposal Requirements; (b) reject any or all Redevelopment Proposals, including, specifically, any
Redevelopment Proposals that do not contemplate acquisition of the entirety of the Redevelopment Parcels; and
(c) make an award to the highest and best bidder, as described more particularly in the Bid Package, even if the
Redevelopment Proposal submitted by the highest and best bidder does not satisfy all of the Conditions for
Redevelopment or the Proposal Requirements.
In determining the highest and best bidder, CRC shall take into consideration the following:
(a) The purchase price for the Redevelopment Parcels, as proposed in each Redevelopment
Proposal.
(b) The cost to CRC of satisfying its obligations with respect to the redevelopment of the
Redevelopment Parcels, as described in each Redevelopment Proposal.
(c) The cost, size, character, and quality of the improvements to be constructed by a bidder
as part of the redevelopment of the Redevelopment Parcels, including, without limitation, the
degree of compliance with the Development Guidelines, the Zoning Ordinance, and the other
Conditions for Redevelopment.
(d) The schedule for completion of the Redevelopment Projects.
(e) The general business reputation of the bidder.
(f) The experience of the bidder with respect to the development and construction of
projects similar to the Redevelopment Projects (the "Similar Projects").

FOR PRIVATE REDEVELOPMENT
OF PARCELS NO. 5B-WEST AND SC-WEST
IN THE CARMEL CITY CENTER
Notice is given hereby that The City of Carmel Redevelopment Commission ("CRC") will open and consider
written offers of purchase and proposals for redevelopment (the "Redevelopment Proposals") of those certain
parcels of real estate that are depicted as Parcels 5B-West and 5C-West on the Location Map that comprises
Exhibit D to the Bid Package (collectively, the "Redevelopment Parcels").
CRC will open the Redevelopment Proposals at 7:00 p.m. local time on July 19, 2005, as part of a public meeting
to be held at the Carmel City Hall, One Civic Square, Carmel, Indiana 46032 (the "Public Opening").
Redevelopment Proposals shall be submitted to the Department of Community Services at the Carmel City
Hall, One Civic Square, Carmel, Indiana 46032 (the "CRC Offices"). The deadline for submission of
Redevelopment Proposals is 5:00 p.m. local time on July 19, 2005 (the "Receipt Deadline"). At least five
days before the Public Opening, interested parties will be able to obtain from the CRC Offices information
concerning the room in which the Public Opening will occur.
The offer by CRC of the Redevelopment Parcels for sale and redevelopment is made on the conditions set forth
below (the "Conditions for Redevelopment").
Required Use-
58-West: The required use of Parcel 5B-West is for redevelopment as, and
construction of, a project (the "58-West Redevelopment Project") that includes: (a) a
ramping system that provides access to the underground parking facility that serves the
residential, retail, office, and hotel project to be constructed on City Center Parcel Nos.
5A, 5B-East, 5C-East, and 5D (all as depicted on the Location Map) (the "Mixed-Use
Project"); (b) a conference center, and catering facility (the "Conference Center"); (c) a
motorcourt plaza that serves the Conference Center and the performing arts center to be
constructed on City Center Parcel No. 7A (as depicted on the Location Map) (the
"Performing Arts Center"); and (d) a forecourt that serves the Mixed-Use Project, the
Conference Center, and the Performing Arts Center.
5C-West: The required use of Parcel SC-West is for redevelopment as, and
construction of, a project (the "5C-West Redevelopment Project") that includes buildings
of at least three stories that contain retail and/or offices, together with a parking facility;
provided that, the 5C-West Project may include residences, which residences may
comprise no more than 20%of the 5C-West Project.
The 5B-West Redevelopment Project and the 5C-West Redevelopment Project,
collectively, are the "Redevelopment Projects". The Redevelopment Projects must be
compatible in use and design with: (a) Mixed-Use Project; and (b) the Performing Arts
Center; including that such project must meet the same high design standards as those
used for the Mixed-Use Project and the Performing Arts Center.
Development
Guidelines: The redevelopment of the Redevelopment Parcels shall be completed in
compliance with the Development Guidelines and the Zoning Ordinance that comprise
Exhibit C to the Bid Package.
Parcels Condition: The Redevelopment Parcels are being offered on an "as-is" basis, without any
representation or warranty by CRC concerning the condition of the Redevelopment
Parcels or their suitability for the applicable Required Use.
Financing
Contingency: None permitted.
Minimum Offering
Price: $1,500,000.00
