Drawings and general provisions of the Contract, including General and Supplementary Conditions and other Division 01 Specification Sections, apply to this Section. 1.2 DEFINITIONS A. General: Basic contract definitions are also included in the Terms and Conditions of the Contract or the Subcontract. B. “AETOS”: Construction Representative. C. “AETOS Project Manager”: Person designated by AETOS or Owner as the internal Project Manager for the Project D. "Approved": The term "approved," when used in conjunction with the Construction Representative's action on the Subcontractor's submittals, applications, and requests, is limited to the Construction Representative’s duties and responsibilities as stated in the Terms and Conditions of the Subcontract. E. “Architect”: Person lawfully licensed to practice architecture or entity lawfully practicing architecture designated by Owner as the Architect for the Project. F. “Bid Summary Form”: Form used to submit bid details to Giant Eagle following a competitive bidding event. G. “Contract Documents”: Consist of the Contract or Subcontract Agreement and all addenda and exhibits attached , including the Wavier of Liens (Exhibit A), the Terms and Conditions (Applicable Exhibit B-2 or B-3), Insurance Requirements (Exhibit C), Scope of Work (Exhibit D), Drawings (Exhibit E), Specifications (Exhibit F), Schedule of Values (Exhibit G), Final Release of Liens (Exhibit H), and properly executed Change Orders and Field Directives issued during construction. H. “Contractor”: A person or entity who has a direct Contract with the Owner and a Subcontract with the Subcontractors to perform a portion of the Work. I. “Construction Representative”: AETOS Project Manager, AETOS Project Superintendent, Architect, Engineer or, person(s) or parties assigned by Owner to observe and review various portions of the Work on its behalf. The various entities will be identified at the preconstruction conference. AETOS will have final authority on the Work. J. "Directed": Terms such as "directed," "requested," "authorized," "selected," "approved," "required," and "permitted" mean directed by the Construction Representative, requested by the Construction Representative, and similar phrases. K. “Emergency Service” Designations 1. Level 1 Emergency Service 1) Walk In Cooler or Freezer not holding Giant Eagle specified Medium or Low temperatures. 2) HVAC not maintaining Giant Eagle specified Space temperatures 3) Make Line Food Storage Equipment (Prep tables, Under Counter Coolers, etc.) not holding Giant Eagle specified food product safety temperatures. 2. GIANT EAGLE SUPERMARKET: a. Level 1 Emergency Service 1) Critical Alarms as established by Giant Eagle Inc. in their Emerson Retail Services/Danfoss Alarm monitoring procedures. 2) Any Low or Meat Temperature refrigeration condition that would cause product loss greater than the product loaded into 1 single 12’ case that the product could be transferred into a Walk In Cooler/Freezer. 3) Any condition that would be considered by Giant Eagle Inc.’s Loss Prevention department to place any customer, employee, vendor or contractor in jeopardy of an established life, health or safety issue. b. Level 2 Emergency Service 1) Any Medium Temperature refrigeration condition that would cause product loss greater than the product loaded into 1 single 12’ case that the product could be transferred into a Walk In Cooler/Freezer L. “Field Samples”: Full-sized physical examples erected on-site to illustrate finishes, coatings, or finish materials. Field samples are used to establish the standard by which the Work will be judged. M. "Furnish": Supply and deliver to Project site, ready for unloading, unpacking, assembly, installation, and similar operations unless indicated otherwise in the Scope of Work. N. “Contractor”: A person or entity who has a direct Contract with the Owner and a Subcontract with the Subcontractors to perform a portion of the Work. O. “Giant Eagle Safety Program”: Giant Eagle written Safety Program, including revisions, amendments, and supplements added from time to time, and maintained in the AETOS Pittsburgh office. A copy of the written Safety Program is available from AETOS upon request. P. "Indicated": Requirements expressed by graphic representations or in written form on Drawings, in Specifications, and in other Contract Documents. Other terms including "shown," "noted," "scheduled," and "specified" have the same meaning as "indicated." Location is not limited. Q. "Install": The actual unloading, temporary storing, unpacking, assembly, erecting, placing, anchoring, applying, working to dimension, finishing, curing, protecting, cleaning, and similar operations at Project Site. R. "Installer": An installer is the Subcontractor or another entity engaged by the Subcontractor, either as an employee, sub-subcontractor, or contractor of lower tier, to perform a particular construction activity, including installation, erection, application, or similar operations. Installers are required to be experienced in the operations they are engaged to perform. 1. The term "experienced," when used with the term "installer," means having a minimum of 5 previous projects similar in size and scope to this Project, being familiar with the special requirements indicated, and having complied with requirements of authorities having jurisdiction. 2. Trades: Using terms such as "carpentry" does not imply that certain construction activities must be performed by accredited or unionized individuals of a corresponding generic name, such as Giant Eagle Market #6550 The Bridges, Carmel, Indiana Building Shell Bid & Permit DLA Project 2014040.00 August 12, 2014 REFERENCES 014200 - 3 "carpenter." It also does not imply that requirements specified apply exclusively to tradespersons of the corresponding generic name. 3. Assigning Specialists: Certain Sections of the Specifications require that specific construction activities shall be performed by specialists who are recognized experts in those operations. The specialists must be engaged for those activities, and their assignments are requirements over which the Subcontractor has no option. However, the ultimate responsibility for fulfilling Contract Documents requirements remains with the Subcontractor. a. This requirement shall not be interpreted to conflict with enforcing building codes and similar regulations governing the Work. It is also not intended to interfere with local trade- union jurisdictional settlements and similar conventions. S. “Material”: All materials, tools and equipment, including without limitation scaffolding, ladders and hoisting. T. “Mockups”: Full-size assemblies for review of construction, coordination, testing, or operation; they are not Samples U. “Owner”: A person or entity who has a direct Contract with the Contractor to perform the Work. Aetos may be designated as the agent of the Owner. V. “Programming Manual”: Giant Eagle prepared standard set point, programming and performance manual for HVAC and Refrigeration equipment. W. “Project Manager”: Person designated by Contractor as the external Project Manager for the Project. X. "Project Site": Is the space available to the Contractor or Subcontractor for performing construction activities, either exclusively or in conjunction, with others performing other Work as part of the Project. The extent of the Project Site is shown on the Drawings and may or may not be identical with the description of the land on which the Project is to be built. Y. “Project Turnover Date”: The “Project Turnover Date” (Date of Substantial Completion), shall be the date when all of the following events have occurred: 1. Contractor and all Subcontractors (including contractors separately hired by Owner) have completed their Work, including all punchlist items and including, without limitation, the following specific tasks: a. All refrigeration equipment and controls are operational b. HVAC Systems are complete, balanced and operational c. The sales areas and mezzanine/employee areas are complete and ready for occupancy; and d. The back room area has been cleaned out for operations and merchandising departments to begin receiving food product. 2. Contractor and all Subcontractors have substantially demobilized from the Project Site, removed all equipment and have completed the cleaning of the Project Site such that Owner may begin to receive food products. 3. Lien waivers have been submitted by the Contractor to the Owner for all persons, firms or entities under direct contract with it for every major part of the Work and for furnishing of material for construction of all Work performed and paid to date. 4. Contractor and each Subcontractor shall have submitted AIA Document 6706 "Contractor's Affidavit of Payment of Debts and Claims" or its equivalent. 5. All major inspections have been completed or scheduled to occur in the immediate future (such as, occupancy permit, health inspection, electrical inspection, plumbing, building and HVAC inspection, fire alarm/system inspection) and all applicable permits or certificates have been issued so that Owner may lawfully begin to receive food product and stock its shelves with inventory. In addition, Contractor and each Subcontractor shall have substantially completed all necessary tasks Giant Eagle Market #6550 The Bridges, Carmel, Indiana Building Shell Bid & Permit DLA Project 2014040.00 August 12, 2014 REFERENCES 014200 - 4 for the issuance of all applicable final permits/certificates, so that the only impediment to General Contractor securing said final permits/certificates in time for Owner’s Soft Opening Date (as set forth on the Construction Schedule) is the complete stocking of the facility with inventory. Z. "Provide": Furnish and install, complete and ready for the intended use. AA. "Regulations": Laws, ordinances, statutes, and lawful orders issued by authorities having jurisdiction, and rules, conventions, and agreements within the construction industry that control performance of the Work. BB. “Response Time”: Duration of time from receipt of service call until Service Technician logs in at the store in the Verisae system. CC. “Restore Objective”: Duration of time from receipt of service call until equipment is restored to operation within Giant Eagle Programming Manual standards. DD. “Specifications”: Specifications are that portion of the Contract Documents consisting of the written requirements for materials, equipment, systems, standards and workmanship for the Work, and performance of related services contained in the Divisions issued for the Project. EE. “Subcontract Sum”: Amount indicated on the face sheet of the Subcontract. FF. “Subcontract Time”: The length of the Project indicated on the face sheet of the Subcontract commencing with the anticipated Project start date and ending with the anticipated Project finish date. GG. “Subcontractor”: A person or entity who has a direct Subcontract with Contractor to perform a portion of the Work. HH. “Subcontractor’s Representative”: A person whom Subcontractor employs and designates as its representative who shall be fully competent and experienced in all aspects of the Work and who shall be present at the Project Site during performance of Subcontractor’s Work. This person shall be identified at the preconstruction conference. II. This person shall be identified at the preconstruction conference. JJ. "Testing Agencies": A testing agency is an independent entity engaged to perform specific inspections or tests, either at the Project Site or elsewhere, and to report on and, if required, to interpret results of those inspections or tests. KK. “Turnover Date”: See “Project Turnover Date.” LL. “Verisae”: The internet based Enterprise Asset Management (EAM) software system used by Giant Eagle & Echo to track assets, create work orders for service and invoice work orders. MM. “Work”: All materials, tools and equipment, including but not be limited to scaffolding, ladders and hoisting (the “Materials”), torches, vacuum pumps, labor, supervision and lay-out necessary for completion of all work in accordance with the complete set of Contract Documents for the Project and as generally outlined in the Specifications. Applicability of Standards: Unless the Contract Documents include more stringent requirements, applicable construction industry standards have the same force and effect as if bound or copied directly into the Contract Documents to the extent referenced. Such standards are made a part of the Contract Documents by reference. B. Publication Dates: Comply with standards in effect as of date of the Contract Documents unless otherwise indicated. C. Copies of Standards: Each entity engaged in construction on Project should be familiar with industry standards applicable to its construction activity. Copies of applicable standards are not bound with the Contract Documents. 1. Where copies of standards are needed to perform a required construction activity, obtain copies directly from publication source. D. Conflicting Requirements: Where compliance with 2 or more standards is specified and the standards establish different or conflicting requirements for minimum quantities or quality levels, comply with the most stringent requirement. Refer to the Construction Representative before proceeding for a decision on a requirement that are different but apparently equal, and where it is uncertain which requirement is the most stringent. 1. Minimum Quantity or Quality Levels: The quantity or quality level shown or specified shall be the minimum acceptable. The actual installation may comply exactly with the minimum quantity or quality specified, or it may exceed the minimum within reasonable limits. To comply with these requirements, indicated numeric values are minimum or maximum, as appropriate, for the context of the requirements. Refer uncertainties to the Construction Representative for a decision before proceeding. E. Federal, State AND Local Regulations: Contractor represents and warrants that it is and shall continue during the Term to comply with all applicable federal, state and local laws and regulations pertaining to the Services and the products provided or utilized hereunder, including but not limited to EPA and OSHA rules and regulations pertaining to the usage and handling of refrigerants, oils, and other chemicals (paints, lubricants, degreasers and coil cleaners) and FM Global Hot Works Permit Program and Hot Works Permit procedures established by Giant Eagle’s Loss Prevention Department. 1.4 ABBREVIATIONS AND ACRONYMS A. Industry Organizations: Where abbreviations and acronyms are used in Specifications or other Contract Documents, they shall mean the recognized names. This information is subject to change and is believed to be accurate as of the date of the Contract Documents. B. Code Agencies: Where abbreviations and acronyms are used in Specifications or other Contract Documents, they shall mean the recognized name of the entities in the following list. This information is believed to be accurate as of the date of the Contract Documents. 1. DIN - Deutsches Institut fur Normung e.V.; www.din.de. 2. IAPMO - International Association of Plumbing and Mechanical Officials; www.iapmo.org. 3. ICC - International Code Council; www.iccsafe.org. 4. ICC-ES - ICC Evaluation Service, LLC; www.icc-es.org. Federal Government Agencies: Where abbreviations and acronyms are used in Specifications or other Contract Documents, they shall mean the recognized name of the entities. Acronyms or abbreviations referenced in the Contract Documents indicate names of Standard or Specification-producing agencies of the federal government. 1.5 GOVERNING REGULATIONS AND AUTHORITIES A. Copies of Regulations: Obtain copies of the regulations and retain to be available for reference by parties who have a reasonable need. B. Submittals: 1. Permits, Licenses, and Certificates: Submit copies of permits, licenses, certifications, inspection reports, releases, jurisdictional settlements, notices, receipts for fee payments, judgments, correspondence, records, and similar documents, established in conjunction with compliance with standards and regulations bearing upon performance of the Work.
