HomeMy WebLinkAbout101414 - Bill of SaleBILL OF SALE The City of Carmel Redevelopment Commission (the "Seller "), hereby does bargain, sell, convey, and grant to CCC Market, LLC (the "Purchaser"), for the sum of 51.00 and other good and valuable consideration, the receipt and sufficiency of which are acknowledged hereby, all of its right, title, and interest in and to all equipment, machinery, fixtures, supplies, tools, and other tangible personal property that is: (a) located on that certain real estate located in Hamilton County, Indiana, as more particularly described in Exhibit A, attached hereto and incorporated herein by reference (the "Real Estate "); (b) attached to the Real Estate; or (c) used in connection with the Real Estate or any improvements located thereon or attached thereto (the "Property"); to have and to hold in fee simple forever. Seller warrants to Purchaser, and the successors and assigns of Purchaser, that: (a) Seller has the right to convey the Property to Purchaser; (b) the Property is being conveyed to Purchaser free and clear of all liens, security interests, and encumbrances arising under, by, or through, or based upon the acts of, Seller; (c) Seller shall deliver possession of the Property to Purchaser on the date hereof, free and clear of all liens, security interests, and encumbrances arising under, by, or through, or based upon the acts of, Seller; and (d) Seller forever shall defend title to the Property against those claims, and only those claims, of all persons who claim title to, or assert claims affecting the title to, the Property, or any part thereof, under, by, or through, or based upon the acts of, Seller, but not otherwise. The undersigned person executing this Bill of Sale on behalf of Seller certifies that: (a) he or she is authorized to execute and deliver this Bill of Sale for and on behalf of Seller; (b) Seller has full capacity, power, and authority to enter into and carry out its obligations under this Bill of Sale; and (c) this Bill of Sale has been authorized by all necessary action of Seller.
