ACCEPTANCE OF DEDICATION & DEED OF PUBLIC RIGHTS -OF -WAY
WHEREAS, the foregoing Grantor having filed with the City of Carmel, Indiana ( "City "), its
Dedication and Deed of certain real property ( "Property") to the City for the purpose of establishing
City rights -of -way, which Dedication and Deed is attached hereto and incorporated herein as Exhibits
"A" and `B" hereinabove set forth;
AND WHEREAS, the City believes that said fee simple conveyance of property is desirable and
necessary and in the City's best interests;
NOW THEREFORE, the City, by and through its Board of Public Works and Safety, hereby accepts
said Dedication and Deed, and orders that the Instrument of Dedication and Deed described herein be
recorded in the Recorder's Office of the County of Hamilton, State of Indiana, and that said described

Real Estate Mortgage. Security Agreement, Assignment of Leases and Rents and Fixture Filing
dated December 31, 2012, which was recorded February 21, 2013 in the Hamilton County,

is hereby released and satisfied solely as to the real estate described on EXHIBIT A attached hereto
("Released Real Estate").

RE: DEDICATION OF RIGHT OF WAY — MERIDIAN HEIGHTS ASSOCIATES, LLC
Dear Board Members:
Mr. David Gabovitch, CFO Meridian Heights Association, LLC, has requested the Board sign the
Dedication of Public Right of Way documents presented for approval.
These documents represent agreement to dedicate Right of Way along the north side of Main Street
(1315t Street) in association with the Meridian At Main Phase 2 development. (Part of the Northeast
Quarter of Section 26, Township 18 North, Range 3 East). Total dedication consists of 1.272 acres, more
or less.
On behalf of the City of Carmel, I would like to thank Mr. Gabovitch and the Meridian Heights
Association for this Dedication of Right of Way.
I recommend the Board accept and sign this document.
