A RESOLUTION OF THE BOARD OF PUBLIC WORKS AND SAFETY
OF THE CITY OF CARMEL, INDIANA, APPROVING THE TRANSFER OF PROPERTY
BETWEEN THE CITY OF CARMEL AND THE CARMEL CLAY SCHOOL CORPORATION
WHEREAS, it is the desire of the City of Carmel, Indiana, an Indiana municipal corporation, by
and through its Board of Public Works and Safety (the "City "), to dispose of two (2) 2009 Chevrolet
Impala automobiles, VIN #s 2G1WS57M191308315 and 2G1WS57M591305790 ( "Vehicles "), which
were previously used by the Carmel Police Department but have now been replaced by newer equipment
and are no longer needed by the City; and
WHEREAS, it is the desire of the City to dispose of the Vehicles in a manner that will benefit the
Carmel community; and
WHEREAS, the Carmel -Clay School Corporation, an Indiana community school corporation
( "Carmel -Clay Schools "), has requested the donation of the Vehicles for its use; and
WHEREAS, it is in the public interest to now donate the Vehicles to Carmel -Clay Schools.
NOW, THEREFORE, BE IT RESOLVED by the Board of Public Works and Safety, as
follows:
The City will donate the Vehicles to the Carmel -Clay School Corporation, in the state and
condition that they presently exist, without any express or implied warranty as to such
Vehicles' condition or fitness for any intended use or purpose whatsoever.
2. The Carmel -Clay School Corporation shall accept the Vehicles in the state and condition in
which they presently exist and without any express or implied warranty as to such
Vehicles' condition or fitness for any intended use whatsoever.
3. The Carmel -Clay School Corporation shall hold harmless the City of Carmel, Indiana, the
Carmel Police Department, and their respective officers, officials, employees, attorneys,
agents, successors and assigns, and shall indemnify the same, for and against any and all
liability that may arise from or as a result of the Vehicles or any use thereof on and after
the date on which the Vehicles are delivered to Carmel -Clay Schools.
4. The Carmel Police Department shall take whatever lawful actions are necessary to transfer
the vehicles as resolved herein.
