RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY
ACKNOWLEDGING RECEIPT OF CONTRACT
WHEREAS, pursuant to Indiana Code 36- 1 -4 -7. the City of Carmel, Indiana ("City"), is authorized to
enter into contracts; and
WHEREAS, pursuant to Indiana Code 36- 4 -5 -3, the City's mayor may enter into contracts on behalf of the
City; and
WHEREAS, pursuant to his authority under Indiana law, the City's mayor, the Honorable James C.
Brainard. has caused to be signed the City contract attached hereto as Exhibit A (the "Contract "); and
WHEREAS, Mayor Brainard now wishes to present the contract to the City's Board of Public Works and
Safety for it to be publicly acknowledged, filed in the Clerk - Treasurer's Office, and made available to the public for
review.

ARTS GRANT PROGRAM
AGREEMENT
This Grant Agreement (herein referred to as "A reement" entered into by and b tween the City
of Carmel (the "City ") and Tvt,.} ii'vvCt.. i U i'-6' TC.4- e-t.0 - -A co C( e41't', (the
"Grantee "), is executed pursuant to the terms and conditions set forth herein. In consideration of
those mutual undertakings and covenants, the parties agree as follows:

an authorized representative of Grantee, have applied for rya City of Carmel
( "Grantor ") Arts Grant, said application attached hereto and made a part hereof as
Exhibit "A."
2. Grant Agreement. The City, after review and recommendation by the Mayor and by
the City Council, agrees to grant $ 14 , 0 0 0.0 0 to the Grantee for
the eligible costs of the project (the "Project ") or services as described in Exhibits
"A" and `B" of this Agreement. The funds shall be used exclusively in accordance
with the provisions contained in this Agreement.
3. Design and Implementation of Project. The Grantee agrees to use any and all grant
funds in accordance with the proposal contained within this agreement and any
documents attached to this Agreement, which are incorporated by reference.
4. Warranty of non - profit status. Grantee hereby represents and warrants that it is a
not - for - profit entity with a determination letter from the Internal Revenue Service
declaring that it is exempt from Federal income tax.
5. Payment of Grant Funds by the City. The payment of this Grant by the City to the
Grantee shall be made in accordance with the following conditions:
A. This Agreement must be fully executed and signed by both Grantee and Grantor.
B. Grantee has attached all the following information, which it represents and warrants
to be true and accurate, all which have been incorporated fully by reference:
1. An application and description of the proposed use of the grant funds (EXHIBIT
A);
2. A budget for the calendar or fiscal year for which the grant is requested
(EXHIBIT B);
3. Certified copies of incorporation as a not - for - profit corporation under state law
(EXHIBIT C);
4. A not - for - profit application or determination letter from the U.S. Internal Revenue
Service identifying that it is a not - for - profit corporation that is exempt from
Federal income tax (EXHIBIT D);
5. Any audits, reviews or compilations available describing the financial condition
of the Grantee, including most recent available IRS Form 990, and the attached
Affidavit (EXHIBIT E);
6. A list of the Grantee's board of directors and officers listed (EXHIBIT F);
7. A Year End Report from the previous year IF Grantee received an Arts Grant
from the City of Carmel in the previous calendar year, pursuant to paragraph 7
herein (EXHIBIT G).
C. Any other grant conditions that City requires to be met by Grantee, specifically:
6. Grantor's right to request audit or review. Grantee shall submit to an audit or
review by an independent Certified Public Accountant of funds at the City's request,
and shall make all books, accounting records and other documents available at all
reasonable times during the term of this Grant Agreement, and for a period of three
(3) years after final payment of funds under this Agreement, for the purpose of an
audit by the City of Carmel, the State of Indiana, or their designees.
7. Year end review. Grantee agrees to provide the City of Carmel a year -end report
( "Year End Report") for each year, describing how the grant was used and the impact
of the dollars received. This Grant award may not exceed one third (1/3) of Grantee's
combined contributed income, revenue of sales, and/or ticket revenue from the

previous year. If the Grant amount is in excess of sixty thousand dollars
($60,000.00), the Grantee agrees to provide, at Grantee's cost, a review or audit of the
grantee. Said review or audit shall be performed by a Certified Public Accountant
( "CPA ") who is neither an employee of Grantee nor a member of the Grantee's Board
of Directors, to be provided to the City of Carmel by March 31 of the following year.
8. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials
associated with a funded program or project. The City of Cannel will supply, upon
request, Grantee with the graphics /logos necessary for compliance.
9. Statutory Authority of Grantee. The Grantee expressly represents and warrants to
the State that it is statutorily eligible to receive these monies and it expressly agrees to
repay all monies paid to it under this Grant, should a legal determination of its
ineligibility be made by any Court of competent jurisdiction.
10. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this
Agreement shall be used only to implement the Project or provide the services in
conformance with the Budget and for no other purpose. If it is determined by the
City that misappropriation of funds have occurred, the Grantee must return all funds
received by Grantor and individuals who misuse Grant funds may also be subject to
civil and/or criminal liability under Indiana or Federal law.
11. Employment Eligibility Verification. The Grantee affirms under the penalties of
perjury that he /she /it does not knowingly employ an unauthorized alien.
The Grantee affirms under the penalties of perjury that he /she /it has enrolled and is
participating in the E- Verify program as defined in IC 22- 5 -1.7. The Grantee agrees
to provide documentation to the City that he /she /it has enrolled and is participating in
the E- Verify program.
The City may terminate for default if the Grantee fails to cure a breach of this
provision no later than thirty (30) days after being notified by the State.
12. Governing Law; Lawsuits. This Agreement is to be construed in accordance with
and governed by the laws of the State of Indiana, except for its conflict of laws
provisions. The parties agree that, in the event a lawsuit is filed hereunder, they
waive their right to a jury trial, agree to file any such lawsuit in an appropriate court
in Hamilton County, Indiana only, and agree that such court is the appropriate venue
for and has jurisdiction over same.
13. Relationship of Parties. The relationship of the parties hereto shall be as provided
for in this Agreement, and neither Grantee nor any of its compensated officers,
employees, contractors, subcontractors and/or agents are employees of City. The

Grant amount set forth herein shall be the full and maximum compensation and
monies required of City to be paid to Grantee under or pursuant to his Agreement.
14. Severability. If any term of this Agreement is invalid or unenforceable under any
statute, regulation, ordinance, executive order or other rule of law, such term shall be
deemed reformed or deleted, but only to the extent necessary to comply with same,
and the remaining provision of this Agreement shall remain in full force and effect.
15. Entire Agreement. This Agreement, together with any exhibits attached hereto or
referenced herein, constitutes the entire agreement between Grantee and City with
respect to the subject matter hereof, and supersedes all prior oral or written
representations and agreements regarding same. Notwithstanding any other term or
condition set forth herein, but subject to paragraph 15 hereof, to the extent any term
or condition contained in any exhibit attached to this Agreement or in any document
referenced herein conflicts with any term or condition contained in this Agreement,
the term or condition contained in this Agreement shall govern and prevail. This
Agreement may only be modified by written amendment executed by both parties
hereto, or their successors in interest.

Dear Mayor Brainard and Carmel Arts Advisory Committee:
I am writing on behalf of the International Talent Academy (ITA), a 501 (c) (3) non -profit organization.
We are dedicated to performing arts education of young children and their parents through uniquely
designed international programs with emphasis on early brain development.
Enclosed, please find our mission statement and a description of the organization, a 2014 annual report, a
copy of the IRS letter confirming our non -profit status, 2015 budget, financial statements, articles of
incorporation, and a letter requesting funds specifically for our organizational and teaching development.
ITA respectfully requests $27,500.00 in support of the organization's growth, and development of the new
exciting projects that would help promote the City of Carmel Nationally and Internationally.
The funds will be allocated as follows:
1. ITA Current programs:
$10,000.00 — Current Program Operations /Continued Marketing/Hiring and training new teachers
$3,000.00 — New Program Development & purchase of necessary materials
$2,000.00 — Facility rent, lease of 3 pianos, and other necessary technology equipment
2. International Performing Arts Festival & Assembly, Russia
$2,500 — International Travel expenses for the ITA representative to chaperon the group of children
3. Carmel Debut International Piano Competition
$10,000.00 — Rent fee for the Palladium

Indiana Nonprofit Corporation Act of 1991 (hereinafter referred to as the "Act "),

ARTICLE I
The name
The name of the Corporation is International Talent Academy, Inc.
(hereinafter referred to as the "Corporation ").
ARTICLE II
Purposes
The Corporation is a public benefit corporation organized exclusively for the
charitable and educational purposes within the meaning of Se

arithmetic, computers, and science.
ARTICLE III
Period of Existence
The period during which the Corporation shall continue is perpetual.
ARTICLE IV
Registered Agent and Registered Office.
The name of the Registered Agent is Tatyana Komarova, and the dds is of
the Registered Office at which the Registered Agent may be reached

Membership
The Corporation shall have no members.

Section 6.1. Number of Directors. The initial number of Directors is six (6).

Section 6.3. Terms of Directors. Directors of the Corporation shall be elected
for such tennis as may be fixed by the Code of By -Laws of the Corporation and shall,
if the By -Laws shall so provide, be divided into as many groups whose terms of
office expire at different times as the By -Laws shall provide; provided, however, that
no term of office shall continue longer than five (5) years.
Section 6.4. Removal of Directors. Any or all members of the Board of
Directors of the Corporation may be removed at any time with or without cause by a

vote of the majority of all the members of the Board of Directors held during any
meeting of the Board of Directors called expressly for that purpose.

The name and post office - address of the incorporator of the Corporation is

ARTICLE VIII
Provisions for the Regulation and
Conduct of the Affairs of the Corporation
Section 8.1. Powers. To carry out the purposes set forth above, the
Corporation shall have the powers enumerated in the Indiana Nonprofit Corporation
Act of 1991, as the same may be amended from time to time; provided, however,
that notwithstanding any other provision of these Articles or any provision of said
Act or any other law, the Corporation shall not in any manner or to any extent
participate in, or intervene in (including the publishing or distribution of statements),
any political campaign on behalf of any candidate for public office; nor shall a
substantial part of its activities consist of carrying on propaganda or otherwise
attempting to influence legislation; nor shall it carry on any other activities not
permitted to be carried on by a corporation exempt from federal income tax under
Section 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding
provision of any future United States revenue law) or by a corporation, contributions
to which are deductible under Section 170(c)(2) of the Internal Revenue Code of
1986 (or the corresponding provision of any future United Stated revenue law).
Section 8.2. Restriction Upon Inurement of Net Earnings. No part of the net
earnings of the Corporation shall inure to the benefit of, or be distributed to, its
members, directors, officers, or other private individuals, except that the Corporation
shall be authorized and empowered to pay reasonable compensation for services
rendered and to make payments and distributions in furtherance of the purposes set
forth in Article II hereof
Section 8.3. Restriction Upon Acceptance of Gifts. No gifts or other
contributions to the Corporation shall be accepted by the Corporation if the use or
expenditure of such gift or other contribution is subject to any condition which is
inconsistent with the purposes of the Corporation as stated herein,

Section 8.4. Dissolution. Upon dissolution, the net assets of the

shall be transferred to such nonprofit corporation or corporations
existence at such time, and which are organized at such time for purposes
substantially the same as those of the Corporation, and which qualify Code time e as
exempt organizations under Section 501(c)(3) of the Internal
(or the corresponding provisions of any h e United States revenue law), as the Board
of Directors of the Corporation may determine.
Section 8.5. Distribution of Income. The Corporation shall distribute its
income for each taxable year at such time and in such manner as not to become
subject to the tax on .undistributed income imposed by Section 4942 of the Internal
Revenue Code of 1986 (or the corresponding provision of any future United States
revenue law).
Section 8.6. Prohibited Transactions. If at any time it is determined by the
Internal Revenue Service that the Corporation is determined to be a private
foundation within the meaning of Section 509(a) of the Internal Revenue Code of
1986 (or the corresponding provision of any future United States revenue law), it
shall not, for so long as it continues to be a private foundation within such meaning,
engage in any of the following transactions or do any of the following acts:
1) Engage in any act of self- dealing as defined in Section 4941 (d) of the Internal
Revenue Code of 1986 (or the corresponding provision of any future United
States revenue law);
2) Retain any excess business holdings as defined in Section 4943(c) of the
Internal Revenue Code of 1986 (or the corresponding provision of any future
United States revenue law);
3) Make any investments in such manner as to subject it to tax under Section
4944 of the Internal Revenue Code of 1986 (or the corresponding provision of
any future United States revenue law);
4) Make any taxable expenditures as defined in Section- 4945(d) of the Internal
Revenue Code of 1986 (or the corresponding provision of any future United
States revenue law).
Section 8.7. Interest of Directors in Contracts. Any contract or other
transaction between the Corporation and one or more of its Directors, or between the
Corporation and any firm of which one or more of its Directors are members or
employees, or in which they are interested, or between the Corporation and any
corporation or association of which one or more of its Directors are shareholders,

members, directors or employees, or in which they are interested, shall be alad the
all purposes, notwithstanding the presence of such Director or Directors
meeting of the Board of Directors of the Corporation which acts upon or creference a en in
to such contract or transaction, and notwithstanding shall be dislosed or known to the Board of
such action, if the fact of such interest sha rove and
Directors and the Board of Directors shall, nevertheless, authorize, app
ratify such contract or transaction by a vote of a majority of the Directors present,
such interested Director or Directors to be counted in determining whether a quorum
is present, but not to be counted in calculating the majority o ity of
contract such quo tion

shall be at arm's length and not violative of the proscriptions of these Articles
against the Corporation's use or application of its funds for private benefit.
Section 8.8. Indemnification of Directors, Officers and Employees. The

Corporation shall indemnify any individual made a party to any
director, ti or suitcer,
proceeding by reason of the fact that such individual
employee or agent of the Corporation against all liability and reasonable expense
incurred or suffered by such individual in connection therewith, if:
(a) the individual's conduct was in good faith; and
(b) the individual reasonably believed:
(i) in the case of conduct in the individual's official capacity with the
Corporation, that the individual's conduct was in its best interests; and
(ii) in all other cases, that the individual's conduct was at least not opposed
to the Corporation's best interests; and
(c) in the case of any criminal proceeding, the individual either:
(i) had reasonable cause to believe the individual's conduct was lawful; or
(ii) had no reasonable cause to believe the individual's conduct was
unlawful.
The terms used in this Article VIII shall have the same meaning as set forth in IC 23-

that a number of Directors equal to a majority of the Board of Directors votes
affirmatively for such action.
Section 8.10. Amendment. These Articles may be amended by the affirmative
vote of a majority of the Directors, provided that a number of Directors equal to a

ITA 2014 Report:

International Talent Academy (ITA) is a non - profit educational organization that was established in Carmel,
Indiana in 2006 by its Executive Director and founder, Tatyana Komarova. ITA is dedicated to elevating
performing arts and early childhood education to world -class standards, and helping children to discover their
talents and reach their fullest potential.
ITA Mission: To provide internationally inspired performing and liberal arts programs to children and adults
and promote awareness of early brain development through our curriculum.
It has been ITA's initial goal to establish international connections and organize international events &
performing arts competitions. The year of 2014 was the successful beginning of our 2 international
projects that we are very proud of!
1. NEW PROJECTS:
1. Carmel Debut International Piano Competition (CDIPC)
One of the biggest projects in 2014 was the inaugural event of the Carmel Debut International Piano
Competition. Our first competition brought 90 students (ages 4 -19) from 15 States and 5 different countries to the
stage of The Tarkington. We offered a distinguished panel of judges with global teaching expertise to critique and
evaluate their work. At our Winners Concert 55 awards were presented with up to S10,000 in scholarship prizes!
And — our first year brought S17,000 in sponsorships, along with S16,000 in general funding! The inaugural year
was a tremendous success, encouraging us to add new and sophisticated additions to the next competition.
2. International Performing Arts Festival & Assembly, Russia
In 2013 ITA was invited to partner with the Russian International Youth Camp Center "Orlyonok" to
participate in the international grant process. In 2014 ITA was awarded the grant that covered a 3 -week
camp tuition for 10 children to participate at the International Performing Arts festival in July, 2015. 400
participants from all around the world are invited to be a part of this unique cultural event.
The festival events include: numerous different art workshops, presentations, consultations from the
world's best professionals, roundtable discussions, dance, music & theater training for teachers and
students, networking opportunities & experience exchange with educators from different countries,
meetings with celebrities, concerts, celebrations, and more. In 2014 ITA started the planning & organizing
process for the festival. 10 best students ages 10 -15 were selected to represent ITA, Carmel and the USA
at the festival in July- August 2015!
II. ON -GOING PROGRAMS:
• 100% program offerings were maintained in 2014
o 24 different performing and liberal art programs for children and adults have been running at the
Monon Community Center, Brookshire Golf club, Primrose schools, and private piano studios
during the year of 2014.
o New piano program was opened at the Little Lamb preschool.
o ITA continued to offer program services of private piano lessons at students' homes.
o 320 students successfully completed ITA programs in 2014.
o Many families chose ITA as their main afterschool program for brain and talent development by
taking a variety of different programs offered through our Academy.

• We continue offering semester -long theater production classes at the Brookshire golf club location.
During the year our students produced 4 unique shows that involved 3 -7 and 8 -13 year old children.
o Lengthening of our program duration allowed students to write, produce and perform their own
live musical theatre productions.
o In 2014, ITA students held their second public Christmas performances as well as the after -party
event with special guests for children and the audience.
• We designed new curriculums for Early Reading/Writing and Language Enrichment classes which lead
to enormous improvement on children's reading and speaking skills. These curriculums also worked
great for children with mild speech disabilities.
• Improved new curriculums for Musical Theater, Show Choir and Stage Adventures classes for ages 3 -14.
o These new curriculums include new knowledge for students' advancement of performance and
liberal arts skills such as acting techniques, voice development, and creative writing.
o Curriculum for the preschool students also includes brain development components with focus on
memory, attention, creative thinking, and coordination.
o New materials and equipment were purchased to support these programs.
• As a part of our giving back to the community project, ITA participated in a number of ways:
o Christmas Piano Recital at the Stratford Living Community
o Ballroom dance, theater and piano students held performances at a variety of community events,
including CarmelFest Kid Zone, Young Performers Showcase, Ballroom dance galas, and piano
recitals.
o ITA has supported similarly missioned, local organization fundraising efforts by providing in -kind
support of lessons, performances, and providing workshops. Some of the organizations supported
are Girl Scouts, Orchard Park School, International Montessori School, Carmel Arts Council, Primrose
charity fundraisers.
o Several program scholarships were awarded to students from low- income families.
Our Goals for 2015:
I. New projects
• CD1PC: Plan, organize, improve, and execute a 2 "d annual CDIP Competition in the summer of 2015
using the Tarkington and The Palladium facilities. Expand the competition by offering new categories in
duets and concertos as well as offer workshops for teachers and students. Invite more judges and
participants from different countries. Expand the competition to 100+ participants and 600 -700 guests.
• International Performing Arts Festival & Assembly in Russia: Continue planning the international
travel for the group of 10 kids who will be representing Carmel at the arts festival. While at the festival,
participate at all workshops and other events, collect ideas, experiences and best teaching practices, bring
them back and implement in the ITA programs.
II. Program and Staff Development
• Continue developing new liberal arts programs at the Monon Center and other locations.
• Offer year -round performing art programs to private schools in Carmel and Indianapolis area.
• Offer more summer programs and camps
• Expand course offerings by purchasing additional program equipment.
• Continue providing performance opportunities to advanced students and provide scholarships.
• Set up a program for higher training for teachers and administration.
• Offer free early brain development workshops for parents.

III. Organizational and Board Development
• Increase public awareness of the ITA's mission.
• Continue developing new marketing and financial strategies for ITA.
• Explore additional sponsors and grant opportunities.
• Recruit additional board members and volunteers and develop new board strategy and training.
IV. Community contribution
• Collaborate with local youth organizations to provide learning opportunities to underprivileged
children.
• Offer workshops for Girls, Cub Scouts, and other groups.
• Participate in the Carmel community and Arts and Design District events.

"After living in New York City for almost ten years, I was envious of the young people who at the tender age of
four and five could use chopsticks, eat at elegant restaurants with poise and interact with adults as easily as their own
peers. `How did these little human beings do it ?' They were walking, talking, tiny adults and to be quite frank, not only
was I envious, 1 was determined to give my kids that upper edge too.
When our family moved to Westfield, Indiana, a few years ago, I wanted the best of both worlds, a great place
for my kids to grow, as well as the educational tools to not only give them an edge in Indiana and New York City but
the World. I knew instilling concepts in a child was important at an early age, and similar to good schools, good music, I
knew the earlier you introduced them, the more likely they would adapt. Therefore, the International Talent Academy
caught my eye at first glance.
My three -year old son Benjamin is an extremely jubilant little boy. He enjoys meeting new people and trying
new things. My challenge as a parent was to find a place that would be amendable to his needs at such a young age,
while having fun. He started with the Language Enrichment program, which let him be with kids age three to five.
These young minds put words together, created a story and presented a play for their parents. I was quite proud to attend
his first play at only age 3! Benjamin asked to do more, so, 1 enrolled him in Logic class. When 1 arrived to pick him up
one evening after class, he extended his hand to shake my hand, looked me in the eye, and said "Good Evening,
Mommy. How are you ?" Such a pleasant evening gesture, prompted me to take him to dinner right then and there!
Benjamin continues to take classes with The International Talent Academy. He's having a fabulous experience,
writing his letters, and putting letters together to make words, while at the same time learning life skills.
Feeling comfortable among peers, among adults in a variety of situations is a learned behavior for some children and I
realize this takes time but I am glad that Benjamin has a jump start with these programs. It's never too early to equip
him with tools for success as he grows. I look forward to him continuing a variety of classes at The International Talent
Academy, because regardless of if we live a small town or a big city, one constant that is guaranteed, is proper etiquette

"Presley was two and a half when Ms. Tatyana accepted her early into the piano program. Presley loved the
performing arts at an early age and so I thought we would give the trial lesson a tiy. I was thrilled when she enjoyed the
lesson. Now that she is five we have continued piano and branched out to show choir and theater. These are her
favorite things to do and 1 believe she has improved her math and writing skills because of the early lessons. Ms.
Tatyana had her holding a pencil, clapping rhythms and learning keys, notes and sounds early on. 1 learned that my
child could do much more than I had ever expected and the sense of accomplishment she felt was heartwarming.
When Ms. Tatyana brought an expert on early childhood learning to town I was TI -IERE. It was fascinating what
