Subject: Valuation of statue for insurance purposes

The following is a breakdown of the costs to complete the two-figure bronze statue that we
produced for the Carmel Clay Veterans Memorial Corporation in 2006.
Clay model, bronze casting, and installation S277,769.50
Bronze cost adjustment, surcharge $ 18,402.00
Bronze plaques, 13 S 5,057.00
Destruction of molds S 845,00
Total cost: $302,073.50

CONVEYANCE AGREEMENT
This Agreement is entered this At, day of MN u4 P" , 2007, by and
between Carmel Clay Veterans Memorial Corporation, an Indiana not for profit corporation
(hereinafter"Corporation")and the City o[Cannel, Indiana,a municipality governed under the laws
of the State of Indiana(hereinafter"City").
WITNESSETH:
WHEREAS, the Corporation has caused to be erected a memorial to veterans on a site
owned by the Ciiy located in the Carmel City Center District on 3rd Avenue, SW; and
WHEREAS, the Corporation desires to convey ownership of the memorial to the City;and
WHEREAS, the City desires to accept ownership of the memorial and assume the
responsibility for its care and maintenance.
NOW,THEREFORE, the parties agree as follows:
I. Ownership of the memorial consisting of two human figures supporting an angled
United States flag and positioned on a concrete base made of bronze is hereby conveyed to the City
by the Corporation.
2_ The City agrees to assume all responsibility for the care, maintenance and repair of
the memorial including the costs thereof so as to keep the memorial in good condition,ordinary wear
and tear excepted.
3. The consideration for the conveyance of ownership shall be the City's assumption of
its obligations hereunder.
