Re: Request for Administrative Settlement Project: Illinois Street Extension Parcel: 1, 1A, 1B, and 1C Landowner: Virtu Meridian Associates, LLC The City of Carmel, Indiana (the "City") made the Uniform Property and Easement Acquisition Offer (the "Uniform Offer") to Virtu Meridian Associates, LLC by certified mail on January 15, 2013. The Uniform Offer was made under the threat of eminent domain. The amount of the Uniform Offer was $663,200.00 for the fee simple acquisition of 1.475 acres and a temporary easement of 0.075 acres. The negotiations on behalf of the landowner were conducted by Mr. Will Fleming. During the negotiations, Mr. Fleming stated that he believed the Uniform Offer was low and that it did not reflect the actual value of the property being acquired. As a result, Mr. Fleming submitted a counter proposal in the amount of $716,850.00. After consideration, the City declined to accept the counter proposal and stood by the Uniform Offer. The landowner indicated that they would accept the Uniform Offer and the landowner has executed a Right of Entry to allow the project to proceed while the releases are being obtained. The property being acquired is encumbered by a mortgage and by an assignment of leases and rents. A partial release of both encumbrances are required. Usually, the expense of acquiring these releases are borne by the City with the City paying any processing, review or legal fees. To the mortgage company. Because of the complexity of the financing arrangement, the landowner is obtaining these releases and requires to be reimbursed for the payment of any processing, review, or legal fees. The landowner has presented an estimate of the total fees they will pay to obtain these releases. These include a consent fee to the special servicer, LNR, of $10,000.00 and an estimated $14,000.00 is other processing, review, and legal fees. An additional amount not to exceed of $24,000.00 would be paid to the landowner as reimbursement for these expenses as part of an administrative settlement. The total cost not to exceed of the administrative settlement would be $687,200.00. In support of the administrative settlement we list the following: 6919 East IO'" Street, Suite E-2 * Indianapolis. Indiana 46219 * (317) 322-0489 * FAX: (317) 322-0589 First, the cost of obtaining the partial releases is normally an expense paid by the City directly to the mortgage company. In this instance, that amount is being paid to the landowner in order to reimburse them for incurring those expenses. There is no net increase in payments by the City. Secondly, in the event this parcel proceeded to condemnation, the landowner could introduce land values to support its initial position that the Uniform Offer was low. This carries the possibility that the eventual award would be higher than the amount of the Uniform Offer and the City would have the additional costs of that litigation. Assuming all other legal review and approvals are obtained, it is our recommendation that the City approve the above described administrative settlement. This recommendation is approved. Stephen C. The Acceptance is in the amount of a cost not to exceed of$687.200.00, which is the offer amount plus a cost not to exceed of $24K for re -imbursement. In the Warranty deed, the recited amount of consideration is $654,300.00. That is the amount of the fee simple taking. The balance between this amount and the amount of the Uniform Offer is attributable to the temporary easement. The sales disclosure recites the $654,300.00 figure as the sale price for the fee simple acquisition There are two claim vouchers. One is for the re -imbursement to Virtu for the funds expended for obtaining the partial releases and UCC releases. I'm assuming you'll hit the $24K figure. We'll need documentation of those expenses. The second claim voucher is for the Uniform Offer price. I'm assuming that the mortgage company will ask for all of the proceeds. It's made out to Virtu and to whomever the mortgage company is. There will be a joint check. You already have a copy of a suggested partial mortgage release and partial release of assignment of rents and leases. If you all use those forms, you'll need to have your attorney fill in the "prepared by" portion. RECITALS A. Grantor owns certain real property (the "Grantor's Parcel") located in Hamilton County, Indiana, more particularly described as follows: See Exhibit 1 attached hereto and incorporated herein. B. Grantee, in connection with Grantee's public improvement project entitled Illinois Street Extension Project No. 10-10 (the "Project"), requires a :temporary easement for the duration of the Project for purposes of constructing that portion of the Project located upon and/or adjacent to the Grantor's Parcel. Such temporary easement area (herein referred to as the "Temporary Easement Parcel") is more particularly described as follows: See Exhibit A (18) and Exhibit A (1C), which are attached hereto and incorporated herein. NOW, THEREFORE, in consideration of the foregoing recitals, all of which are incorporated herein by this reference, and of the grant of easement and the mutual promises and covenants set forth herein, the parties hereto agree as follows: 1. Temporary Rights Acquired by Grantee. During the term of the Project, Grantor hereby grants and conveys to Grantee the exclusive right to utilize the Temporary Easement Parcel for all purposes related to the construction of the Project, including, but not limited to, the storing of equipment and the staging of the construction of the Project. Upon the earlier of the date of final completion of the Project or three (3) years from the date hereof, such temporary easement shall terminate and Grantee shall return the Temporary Easement Parcel to Grantor in substantially the same condition as existed prior to the commencement of the Project. 2. Rights Retained by Grantor. Grantor shall retain unto himself, and his grantees, heirs, successors and assigns, and all others to whom Grantor may grant rights or easements, the right to use the Temporary Easement Parcel for any and all purposes and uses not inconsistent with the foregoing easement acquisition by Grantee, including without limitation the right to install, use, maintain, repair and replace existing driveways and curbing not removed by Grantee as part of the Project, as well as the right of access over and across the Temporary Easement Parcel to and from public streets adjacent to the Temporary Easement Parcel via Grantor's existine driveway or any future driveway.
