THIS INDENTURE WITNESSETH, That National City Bank of Indiana ("Grantor"), f/k/a
Union State Bank, hereby quitclaims to the City of Camel, Indiana, for the sum of One and No/100
Dollars ($1.00) and other valuable consideration, the receipt of which is hereby acknowledged, all
right, title and interest in the following described real estate, located in Hamilton County, Indiana:
A part of Lot Four of the Original Plat of Cannel, recorded in Plat Book E page
512 in the Office of the Hamilton County Recorder, Hamilton County, Indiana and
more particularly described as follows:
Commencing at the Southwest Corner of Lot Four of the Original Plat of Carmel;
thence East along the South line of said Lot Four 20 feet to the East edge of an
existing landscaped area and the Point of Beginning; thence North along the East
edge of said landscaped area 24 feet; thence East 19.33 feet; thence South 24 feet to
the South line of said Lot Four; thence West along said Lot line 19.33 feet to the
Point of Beginning and containing 463.92 square feet more or less.
IN WITNESS WHEREOF, the Grantor, by its duly authorized representative, has caused this

1. That my name is Stephen L. Smith, and I am the Assistant Secretary of National City
Bank of Indiana.

2. That in my capacity as Assistant Secretary of National City Bank of Indiana, I keep and
maintain records of documents pertinent to National City Bank of Indiana. including documentation
relating to mergers of other financial institutions with and into National City Bank of Indiana.
3. That, effective February 27, 1993, Union State Bank merged with and into National
City Bank, Indiana, pursuant to the approval and with the consent of the Office of the Comptroller
of the Currency. A copy of the letter from the Office of the Comptroller of the Currency
acknowledging consummation of the foregoing merger is attached hereto and incorporated herein as
Exhibit "A".
4. That, on April 15, 1996, the name of National City Bank, Indiana, a national banking
association organized and existing under the laws of the United States, was changed to National City
Bank of Indiana. A true and accurate photostatic copy of the April 29, 1996 letter whereby the
Office of the Comptroller of the Currency acknowledged the foregoing name change is attached
hereto and incorporated herein as Exhibit "B".

Dear Mr. Smith:
This letter is the official certification of the Comptroller of the
Currency (OCC) for the merger of (1) Hancock Bank & Trust,
Greenfield, Indiana (FDIC Certificate No. 13117); (2) Union State
Bank, Carmel, Indiana (FDIC Certificate No. 5788); (3) Mid State
Bank of Hendricks County, Danville, Indiana (FDIC Certificate No.
5781); and (4) Mid State Bank, Zionsville, Indiana (FDIC
Certificate No. 14665) with and into Merchants National Bank &
Trust Company of Indianapolis, Indianapolis, Indiana (Charter No.
869), under the charter of the latter and with the title of
"National City Bank, Indiana." It is understood that the effective
date of the merger will be February 27, 1993.
This letter is also the official authorization of the Comptroller
of the Currency allowing the receiving institution to operate the
main offices and branches of the target banks as branches of the
receiving institution. The locations and branch certificate
numbers are detailed on the attached page.
The shareholders' meetings of the respective banks may be finally
adjourned.

Dear Mr. Plant:
The Office of the Comptroller of the Currency has received your letter concerning the title
change and the appropriate amendment to the bank's articles of association. The Office has
recorded that as of April 15, 1996, the title of National City Bank, Indiana, Charter No. 869,
will be changed to National City Bank of Indiana.
As a result of the Gam -St Germain Depository Institutions Act of 1982, the OCC is no longer
responsible for the approval of national bank name changes nor does it maintain official
records on the use of alternate titles. The use of other titles or the retention of the rights to
any previously used title is the responsibility of the bank's board of directors. Legal counsel
should be consulted to determine whether or not the new title, or any previously used title,
could be challenged by competing institutions under the provisions of federal or state law.
