PAIRTNERSHIP LIMITED WARRANTY DEED
THIS INDENTURE WITNESSETH, that GPI at Carmel, L.P. ("Grantor"), an
Indiana limited partnership, CONVEY(S) AND WARRANT(S) to The Carmel -Clay
Park and Recreation Board ("Grantee"), of Hamilton County, in the State of Indiana, for
the sum of Ten and No/100-Dollars ($10.00) and other valuable consideration, the receipt
of which is hereby acknowledged, the real estate in Hamilton County, in the State of
Indiana, more particularly described on Exhibit "A", attached hereto and incorporated
herein by this reference (the "Real Estate").
SUBJECT to (i) all easements, highways, rights-of-way, covenants, conditions,
restrictions and other matters of record; (ii) all current, non -delinquent real estate taxes
and assessments; and (iii) all matters that would be disclosed by an accurate survey or
physical inspection of said real estate.
TO HAVE AND TO HOLD the Real Estate to Grantee and Grantee's successors
and assigns forever for public purposes and conveys to Grantee all easements benefiting
the Real Estate. Grantor covenants and warrants that said Real estate is free of any
encumbrance made or suffered by said Grantor and that Grantor and Grantor's successors
shall warrant and defend the same to said Grantee and said Grantee's successors and
assigns forever, against the lawful claims and demands of all persons claiming by,
through, or under the said Grantor, but against none other.
Grantor certifies that no Indiana Gross Income Tax is due and payable as a result
of the transfer affected hereby. Grantee is tax exempt for State and Federal tax
purposes.
Grantor is a limited partnership duly organized under the laws of the State of
Indiana, and the person(s) executing this Deed on behalf of Grantor are all of the general
partners of Grantor OR are fully empowered by proper action of the partnership to
execute and deliver this Deed. Grantor has full capacity to convey the Real Estate and all
necessary partnership action for the making of such conveyance has been taken and done,
