HomeMy WebLinkAboutWest Park - Riley, CharlesCLOSING AGREEMENT - RESIDENTIAL (IN PROVED PROPERTY) Date: April 18, 2003 I. BUYER: Carmel -Clay Board of Parks and Recreation of Hamilton County, Indiana ("Buyer"), agrees to buy the following property from Charles C. Riley and Tina 1 Riley ("Seller") pursuant to the Right of First Refusal to Purchase Real Estate dated January 16, 1998, attached hereto as Exhibit "A" (the "First Right"), for the consideration provided below and subject to the terms, provisions, and conditions set forth herein. 2. PROPERTY: The property ("Property") is known as 2648 W. 116`s Street in Hamilton County, Carmel, Indiana, more particularly described as set forth in Exhibit "B" attached hereto, together with any existing permanent improvements and fixtures attached (unless leased), such as, but not limited to, electrical and/or gas fixtures, furnace and heating equipment, all built-in cabinetry, r ace mantel, doors, mirrors and lighting fixtures, built-in kitchen equipment, sump pump, water softener, window shades, curtain rods, drapery poles and fixtures, ceiling fans, towel racks and bars, storm doors, windows, • awnings, TV antennas, all landscaping, mailbox, decking, garage doors and garage door opener with control(s), water heaters, sink and toilet fixtures, kitchen stove and dishwasher and all similar equipment and fixtdres, but specifically excluding the following: window air conditioners and fans, two refrigerators, washer and dryer, lift=top freezer and the window sheers located in the living room of the residence. All items sold shall be fully paid by Seller at the time of closing the transaction. 3. PRICE: Buyer will pay the total purchase price of 5173,020.00 (the "Purchase Price") for the Property. 4. EARNEST MONEY: The Buyer is purchasing the Real Estate pursuant to the terms of the First Right, which is specifically incorporated herein as if set out in full, and no Earnest Money is tendered herewith. 5. PAYMENT OF PURCHASE PRICE: The entire Purchase Price shall be paid at closing in cash_or other readily available funds, and no financing is required. 6. CLOSING: The closing of the sale (the "Closing") shall be on or before May 30, 2003 unless otherwise agreed by the parties hereto. 7. 3 POSSESSION: Possession of the Property shall be delivered to Buyer no later than November 30, 2003. Seller may continue to occupy and utilize the Property as its principal place of residence during the period following the Closing until November 30, 2003 (the "Transition Period"), and shall deliver possession of the Property to Buyer at the end of the Transition Period, or at the time Seller receives possession of an altemate Revised: May.6, 2003 11 Oh y a_ n THIS INDENTURE WITNESSETH, that Charles C. Riley and Tina J. Riley, husband and wife (collectively the "Grantors"), CONVEY AND WARRANT to THE CARMEL-CLAY BOARD OF PARKS AND RECREATION (the "Grantee"), for the sum of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the real estate described in Exhibit A, which is attached hereto and made a part hereof by reference, commonly known as 2648 W. 116th Street, Carmel, Indiana, together with all improvements located thereon (the "Real Estate") subject to easements, agreements and restrictions of record.
