THIS INDENTURE WITNESSETH THAT the Claybourne Property Owners Association, Inc.
(individually and collectively the "Grantor"), convey and warrant to the City of Carmel, Indiana (the
"Grantee"), for the sum of Twenty-five Thousand and Two Hundred Sixty-four and 20/100 Dollars
($25,264.20) and other valuable consideration, the receipt and sufficiency of which is hereby acknowledged,
the following described real estate in Hamilton County, State of Indiana:
See attached Exhibits A and Exhibit B, which are attached hereto and incorporated herein
subject to any and all easements, agreements, restrictions and other natters of record.
It is understood between the parties hereto, and their successors in title, and made a covenant herein
which shall run with the land, that all real estate herein described (excepting any parcels or portions thereof that
are specifically and expressly designated as easements or temporary rights of way) are conveyed in fee simple
and not merely for right of way purposes, and that no reversionary rights whatsoever are intended to remain in
the Grantor.
The undersigned person executing this deed represents and certifies on behalf of the Grantor that he/she is a
duly elected officer of the Grantor and has been fully empowered and authorized by proper resolution, or by the
by-laws of the Grantor, to execute and deliver this deed; that the Grantor is a corporation in good standing in
the State of Indiana; that the Grantor has full corporate capacity to convey the real estate described; and that all
necessary corporate action for the making of this conveyance has been duly taken.

Carmel, Indiana, the plat of which is recorded in Plat Cabinet 3, Slide 321, in the Office
of the Recorder of Hamilton County, Indiana, and being that part of the grantor's land
lying within the Right -of -Way lines depicted on the attached Right of Way Parcel Plat,
marked Exhibit "B", described as follows:
BEGINNING at the southern most southeast corner of said block; thence South 89
degrees 43 minutes 01 seconds West a distance of 208.90 feet, along the South line of
said block, to the point designated "152" on said Parcel Plat; thence North 82 degrees 58
minutes 51 seconds East a distance of 127.88 feet to the point designated "151" on said
Parcel Plat; thence North 60 degrees 05 minutes 37 seconds East a distance of 152.22 feet
to the east line of said block and the point designated "150" on said Parcel Plat; thence
