Dear Mr. Britton:
As you are aware, the City of Carmel is undertaking a road improvement project, which purpose is to
improve N. Keystone Parkway and E. 136th Street. I have been contracted as a subconsultant by
American Structurepoint, Inc., to provide buying services for this parcel. American Structurepoint,
Inc., is under direct contract with the City of Carmel.
Gibault Care, Inc., a corporation duly organized and existing under the laws of the State of
Indiana, is reported to be the owner of record of certain property, which is affected by the
improvement project. More specifically, a portion of the subject property is being acquired in fee
simple with partial limitation of access. The permanent acquisition, known as Parcel 91, contains
0.529 acres, of which 0.126 acres is existing right-of-way. Pursuant to the owner's request, the
City agreed to acquire to remainder of the residue west of Keystone Parkway, which is an
additional 0.159 acres.
The offer of $31,356.00 was arrived at by using standard appraisal methods in accordance with the
Uniform Standards of Professional Appraisal Practice (USPAP). An administrative settlement in
the amount of $2,550.00 was approved forthe purchase of the remainder of the residue (0.159
acres). As you read through the enclosures, please note that the Uniform Land or Easement
Acquisition Offer letter, in accordance with I.C. 32-24-1-5, provides only 30 days from its receipt to
accept or reject the City's offer. The offer may be accepted or rejected now or at any time during this
30 day period. Please note that the owner's legally protected rights and options under Indiana's
eminent domain law are described within the Uniform Land or Easement Acquisition Offer, as well as
within the Booklet.
Please review the enclosed forms and documents, which are relative to the acquisition and consist
of:
1. The booklet, "ACQUISITION, Acquiring Real Property For Federal And Federal -Aid
Programs and Projects";
2. The Confirmation of Receipt of the Acquisition Booklet;
3. The Cbnfirmation of Opportunity to Accompany Appraiser on Inspection;

Should the City's offer be acceptable, several documents will require signatures. These are as

3. Page 4 of the Uniform Land or Easement Acquisition Offer letter (must be notarized);
4. The Warranty Deed with Partial Limitation of Access with Exhibits "A" and."B" (must
be notarized);
5. The Sales Disclosure form;
6. The Accounts Payable Voucher;
7. The Request for Taxpayer Identification Number and Certification (W-9 form).
I will need the originals returned and for your convenience, I have enclosed a self-addressed,
stamped envelope. After receiving the executed documents, I will promptly mail to you the "Receipt of
Conveyance Instrument", which will serve as legal notice of the City's intent to pay you for the
needed right-of-way. Typically, the City will make payment within 90 days after receiving the parcel
file from the consultant. Indiana Law dictates that possession of the property will transfer to the City
thirty (30) days after you have received payment.
However, should the offer be unacceptable, you may submit your own appraisal for consideration by
the City. If you decide to obtain your own appraisal, you do so at your own expense and submitting
an appraisal does not guarantee that any change will be made in the offer. I am available should you

determining fair market value. Any costs incurred from obtaining such evidence, however, is the
responsibility of the owner. Acceptable forms of evidence of value include, but are not limited
appraisals, comparable sales, and cost estimates.
Evidence of value must be supported by factual data and items of damage must be fully

REMARKS: I forwarded an email message to Mr. Louis F. Britton. The City requested a reason as to why a
Quit Claim Deed should be utilized rather than the Warranty Deed as it appears there was not a problem with their
closing and the title work does not indicate any problems. I reiterated that they are to submit a counter offer for
the 0.159 acres being obtained at their request. A revised plat was provided that incorporated the owner's
requests. With regard to the encroachments, I explained that I have been advised that there may have been some
trees trimmed or cut down by Duke however they may have the right to do so. Additionally, there were some utility
contractors on site. The owner or a representative should have givenpermission for them to be there. If there are
ruts or the area was disturbed, the contractor should be informed. Jeremy Kashman offered his assistance if
needed as well. With regard to zoning_requirements for the maintenance of green space between the road and
the property - I was advised that if the green space required by code was reduced due to the acquisition, it would
not have to be replaced. With regard to the staking request - I explained that I have not been on-site recently,
however it is believed that the maiority of the proposed right-of-way line has been fenced.

REMARKS: Mr. Louis F. Britton forwarded an email and attached to it a copy of a Quit Claim Deed for the City's
review and consideration. He still requested that the legal description be revised as included on the deed. There
was some concern that construction activities went beyond the proposed right-of-way and encroached on their
property and a concem regarding green space requirements. These concerns and a copy of the Quit Claim Deed
was promptly forwarded to the City for their review and consideration.

REMARKS: In response to the issues/concerns Mr. Louis F. Britton discussed in his February 25th email I
forwarded an email message with the following responses.
Quit Claim Deed instead of Warranty Deed - I requested he provide a draft of a Quit Claim Deed for the City's
review and consideration,
Parcel 15 Limited Access Right of Way - the engineer described the entire area (Parcel 15 on the previous
project as well as the two areas required for this project) as one legal description and then excepted out the area
obtained for a previous project and known as Parcel 15. After the exception, the two acquisition areas required
for this project are left and total 0.529 acres.

REMARKS (Cont'd):
Compensation for the additional 0.159 acres - Tract C, as the appraiser references it, is the area located west
of Keystone Parkway. It is reported to be in the flood zone and has no access to Keystone Parkway. It contains
an area of 0.254 acres. The appraiser determined that Tract C's highest and best use as vacant is as an
uneconomic remnant and has a value of $16,000.00 per acre. Therefore, the additional 0.159 acres x $16 000.00
equates to a rounded $2,550.00.
His request for staking was forwarded to the City. I also explained that the legal description totaling 0.529 acres
was attached to the email and includes the entire area west of Keystone Parkway. I am to inquire if the
engineering company can input the requested calls on the land plat and let him know.

REMARKS: Mr. Louis F. Britton forwarded me an email message subsequent to receipt and review of the offer
packet. Following are the issues/concerns Mr. Britton addressed:
1 - Gibault prefers to convey the real estate via a Quit Claim Deed rather than a Warranty Deed. Additionally, it
was requested that several calls within the legal description also be included on the land plat.
2 - The old legal description (not including the entire west tract) was inadvertently included in the offer packet.
3 - Mr. Britton disagreed with the value determined for the additional 0.159 acres the City agreed to purchase.
It was suggested that a value of $13,475.00 is more appropriate.

REMARKS: Mr. Louis F. Britton with Cox Zwerner Gambill & Sullivan telephoned and left a message. I returned
his call later that same day at 3:45 pm but was only able to leave him a message. A letter was then received via
facsimile explaining that he believes Gibault is ready to execute the necessary documents.
Upon receipt of the recorded Warranty Deed transferring ownership from Steve L. Dehne to Gibault Care, Inc.

REMARKS (Cont'd): Identification Number and Certification (Form W-9), and the "Owner's Private Appraisal
Letter". The Uniform Land or Easement Acquisition Offer letter, in accordance with I.C. 32-24-1, provides only
30 days from its receipt to accept or reject the City's offer. The 30 days may be waived and the offer accepted or
refected now or at anytime during this period. It was also indicated that the legally protected rights and options
under Indiana's eminent domain law are set forth on page two of the Uniform Land or Easement Offer Letter, as
well as within the booklet, "ACQUISITION Acquiring Real Property for Federal and Federal -Aid Programs and
Projects". It was explained that typically. the City makes payment within 90 days after receiving the secured parcel
file from the consultant and Indiana law dictates that possession of the property will transfer to the City thirty (30)
days after payment is received. The introductory letter mailed in coniunction with the offer explained that the
project is to improve N. Keystone Parkway and 136th Street. More specifically a portion of the subject property
is required as permanent right-of-way with partial limitation of access. The permanent acquisition, known as Parcel
91, contains 0.529 acres of which 0.126 acres is existing right-of-way. The 0.529 acres is inclusive of the
additional 0.159 acres the owner requested the City purchase and located on the west side of Keystone Parkway.
An administrative settlement in the amount of $2,550.00 was included based on the appraised value of the 0.159
acres. As explained in the form, "Owner's Private Appraisal Letter", the owner or a representative may submit an
independent appraisal for review at their own expense. The forms/documents requiring signatures and
notarization were indicated. Mr. Britton was encouraged to call with any questions.

REMARKS: I contacted Fran Jenkins with Gibault Care, Inc., to inquire of the status of the purchase. She
explained that they are going before the zoning review board on October 271h. She requested that I contact her

12/11/08 (4:30 pm) - I contacted Fran Jenkins to again discuss the status. She explained that the subject property
has transferred ownership, however, she does not have a cony of the recorded deed. Fran stated that she will
try to get copies of the pertinent information along with a copy of the•independent appraisal completed and

REMARKS: At a prearranged time, a meeting was held at the City Hall offices. Those present included: Jeremy
Kashman Mike McBride and myself for the City, Steve Dehne, and Fran Jenkins, James Sinclair and their attorney
for Gibault Care, Inc. The proposed plans were reviewed and discussed. There was some concern about the
legal description in the area west of Keystone Parkway and south of 136th Street. Some additional research will
need to be completed in that area. We discussed that the City is willing to purchase the entire triangular site west
of Keystone Parkway. The plat and legal description were revised to include this area. Steve Dehne and Gibault
Care prefer that the acquisition be completed subsequent to ownership being transferred to Gibault Care. The
City was agreeable to this and requested that a Right of Entry be signed to allow construction to commence
without delay. Both Steve Dehne and Gibault Care, Inc. signed the Right of Entry document and I provided notary
assistance.

REMARKS: I spoke with Steve Dehne and he explained that he is in the process of selling the property for
approximately $1,800,000.00. Reportedly, the land value is approximately $1 300,000.00. Mr. Dehne explained
that he is meeting with the purchasers this Thursday. They are requesting the west tract (Tract C) be purchased
in total, which I explained equates to an additional $2,550.00 based on information provided within the appraisal
report. We discussed that typically limited access right-of-way is fenced but I would confirm this to be true in this
area.
8/7/09 (4:00 pm) - I contacted Mr. Dehne by phone and explained that the City is willing to purchase the entire
west tract for the discussed $2,550.00.

REMARKS: Mr. Steve Dehne telephoned in response to a message left subsequent to receiving the offer
packet. The proposed project was briefly discussed, specifically as it will affect the subject property. He explained
that he needs to speak with a few other people to assure that the land value is fair as it seems a little low to him.
Aspects of the offer packet were discussed including:
1 - The compensation includes a cost -to -cure amount totaling $5.635.00 for the relocation of fencing and a
watering trough. It was explained that the relocation of these items out of the proposed right-of-way would be his
responsibility.
2 - Any contributory value of trees located within the acquisition area is included in the land value.
3 - There is a small triangular area owned by Mr. Dehne on the west side of the existing Keystone Parkway. A
portion of the proposed right-of-way is from this area. Mr. Dehne requests that the City purchase the entire area.
4 - I requested that Mr. Dehne consider granting a Right of Entry to allow the City to commence with construction
while these issues are being discussed.

REMARKS: I telephoned the number provided within the appraisal report and left a phone message for Mr. Steve
Dehne. Prior to receiving a response, I called Mr. Dehne and reached his associate, who confirmed Mr. Dehne's
mailing address. A message was also left explaining that a packet of information was being forwarded to his

REMARKS (Cont'd): accordance with I.C. 32-24-1, provides only 30 days from its receipt to accept or reject the
City's offer. The 30 days may be waived and the offer accepted or rejected now or at anytime during this period.
It was also indicated that the legally protected rights and options under Indiana's eminent domain law are set forth
on page two of the Uniform Land or Easement Offer Letter. as well as within the booklet, "ACQUISITION
Acquiring Real Property for Federal and Federal -Aid Programs and Projects". It was explained that typically, the
City makes payment within 90 days after receiving the secured parcel file from the consultant and Indiana law
dictates that possession of the property will transfer to the City thirty (30) days after payment is received. The
introductory letter mailed in conjunction with the offer explained that the project is to improve N. Keystone Parkway
and 136th Street. More specifically, a portion of the subject property is required as permanent right-of-way with
partial limitation of access. The permanent acquisition, known as Parcel 91, contains 0.370 acres. As explained
in the form "Owner's Private Appraisal Letter", Mr. Dehne may submit an independent appraisal for review at his
own expense. The forms/documents requiring signatures and notarization were indicated. Mr. Define was
