RESOLUTION NO. CC -04-11-16-01
RESOLUTION OF THE CITY OF CARMEL, INDIANA,
APPROVING EXECUTION OF A MASTER GOVERNMENTAL LEASE AGREEMENT
WHEREAS, the City of Carmel, Indiana (the "City") is a political subdivision of the
State of Indiana (the "State") and is duly organized and existing under the Constitution and laws
of the State; and
WHEREAS, pursuant to applicable law, the Common Council of the City (the
"Council") is authorized to acquire, dispose of and encumber real and personal property,
including, without limitation, rights and interest in property, leases and easements necessary to
the functions or operations of the City; and
WHEREAS, the Council hereby finds and determines that the execution of the Master
Governmental Lease Agreement (the "Master Lease Agreement") with Regions Capital
Advantage, Inc. ("RCA") in substantially the form presented to this meeting, for the purpose of
acquiring equipment to be described in future schedules to the Master Lease Agreement, to be
executed in the future, is appropriate and necessary to the functions and operations of the City;
and
WHEREAS, RCA (the "Lessor") shall act as Lessor under the Master Lease Agreement;
NOW, THEREFORE, BE IT RESOLVED by the Common Council of the City of
Carmel, Indiana, as follows:

Section 1. The• Mayor (the "Authorized Representative"), acting on behalf of the
City, is hereby authorized to negotiate, enter into, execute, and deliver the Master Lease
Agreement in substantially the form set forth in the document presently before the Council,
which document is available for public inspection at the office of the Clerk -Treasurer of the City.
The Authorized Representative acting on behalf of the City is hereby authorized to negotiate,
enter into, execute, and deliver such other documents relating to the Master Lease Agreement as
the Authorized Representative deems necessary and appropriate. All other related contracts and
agreements necessary and incidental to the Master Lease Agreement are hereby authorized.
Section 2. By a written instrument signed by the Authorized Representative, the
Authorized Representative may designate specifically identified officers or employees of the
City to execute and deliver agreements any documents related to Master Lease Agreement on
behalf of the City.
Section 3. The City's obligations under the Master Lease Agreement shall be subject
to annual appropriation or renewal by the Council as set forth in each schedule entered into under
the Master Lease Agreement and the City's obligations thereunder shall not constitute general
obligations of the City or an indebtedness of the City under the Constitution or laws of the State.
This Resolution was prepared by Douglas C. Haney, Corporation Counsel, on 4/6/16 at 11:40 a.m. No subsequent revision to this
Ordinance has been reviewed by Mr. Haney for legal sufficiency or otherwise.
Section 4. This Resolution shall be effective as of the date of its adoption.
