BPW 01-17-18-03 RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY ACKNOWLEDGING ARTS GRANT WHEREAS, pursuant to Indiana Code 36-14-7, the City of Carmel, Indiana ("City"), is authorized to enter into contracts; and WHEREAS, pursuant to Indiana Code 36-4-5-3, the City's mayor may enter into contracts on behalf of the City; and WHEREAS, pursuant to his authority under Indiana law, the City's mayor, the Honorable James C. (l e ft r.M c, WAP (the "Grantee"), is executed pursuant to the terms and conditions set forth herein. In consideration of those mutual undertakings and covenants, the parties agree as follows: 1. That on behalf of Grantee, a not-for-profit corporation, I, C IV-V s 0 *'Q -PCL+ , an authorized representative of Grantee, have applied for a City of Carmel ("Grantor") Arts Grant, said application attached hereto and made a part hereof as Exhibit "A." 2. Grant Agreement. The City, after review and recommendation by the Mayor and by the City Council, agrees to grant $ 5 , 0 0 0 . 0 0 to the Grantee for the eligible costs of the project (the "Project") or services as described in Exhibits "A" and "B" of this Agreement. The funds shall be used exclusively in accordance with the provisions contained in this Agreement. 3. Design and Implementation of Project. The Grantee agrees to use any and all grant funds in accordance with the proposal contained within this agreement and any documents attached to this Agreement, which are incorporated by reference. 4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a not-for-profit entity with a determination letter from the Internal Revenue Service declaring that it is exempt from Federal income tax. 5. Payment of Grant Funds by the City. The payment of this Grant by the City to the Grantee shall be ►nade in accordance with the following conditions: A. This Agreement must be fully executed and signed by both Grantee and Grantor. B. Grantee has attached all the following information, which it represents and warrants to be true and accurate, all which have been incorporated fully by reference: 1. An application and description of the proposed use of the grant funds (EXHIBIT A); 2. A budget for the calendar or fiscal year for which the grant is requested (EXHIBIT B); 3. Certified copies of incorporation as a not-for-profit corporation under state law (EXHIBIT C); 4. A not-for-profit application or determination letter from the U.S. Internal Revenue Service identifying that it is a not-for-profit corporation that is exempt from Federal income tax (EXHIBIT D); 5. Any audits, reviews or compilations available describing the financial condition of the Grantee, including most recent available IRS Foran 990, and the attached Affidavit (EXHIBIT E); 6. A list of the Grantee's board of directors and officers listed (EXHIBIT F); 7. A Year End Report from the previous year IF Grantee received an Arts Grant from the City of Carmel in the previous calendar year, pursuant to paragraph 8 herein (EXHIBIT G). C. Any other grant conditions that City requires to be met by Grantee, specifically: 6. Grantor's right to request audit or review. Grantee shall submit to an audit or review by an independent Certified Public Accountant of funds at the City's request, and shall make all books, accounting records and other documents available at all reasonable times during the term of this Grant Agreement, and for a period of three (3) years after final payment of funds under this Agreement, for the purpose of an audit by the City of Carmel, the State of Indiana, or their designees. 7. Quarterly financial statements. Grantee agrees to provide the City of Carmel quarterly financial statements within 45 days after each quarter -end for Grant awards in excess of sixty thousand dollars ($60,000). FA 8. Year-end review. Grantee agrees to provide the City of Carmel a year-end report ("Year End Report'l for each year, describing how the grant was used and the impact of the dollars received. This Grant award may not exceed one third (1/3) of Grantee's combined contributed income, revenue of sales, and/or ticket revenue from the previous year. If the Grant amount is in excess of sixty thousand dollars (360,000.00), the Grantee agrees to provide, at Grantee's cost, a review or audit of the grantee. Said review or audit shall be performed by a Certified Public Accountant ("CPA') who is neither an employee of Grantee nor a member of the Grantee's Board of Directors, to be provided to the City of Carmel by March 31 of the following year. 9. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials associated with a funded program or project. The City of Carmel will supply, upon request, Grantee with the graphics/logos necessary for compliance. 10. Statutory Authority of Grantee. The Grantee expressly represents and warrants to the State that it is statutorily eligible to receive these monies and it expressly agrees to repay all monies paid to it under this Grant, should a legal determination of its ineligibility be made by any Court of competent jurisdiction. 11. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this Agreement shall be used only to implement the Project or provide the services in conformance with the Budget and for no other purpose. If it is determined by the City that misappropriation of funds have occurred, the Grantee must return all funds received by Grantor and individuals who misuse Grant funds may also be subject to civil and/or criminal liability under Indiana or Federal law. 12. Employment Eligibility Verification. The Grantee affirms under the penalties of perjury that he/sheet does not knowingly employ an unauthorized alien. The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is participating in the E -Verify program as defined in IC 22-5-1.7. The Grantee agrees to provide documentation to the City that he/sheet has enrolled and is participating in the E -Verify program. The City may terminate for default if the Grantee fails to cure a breach of this provision no later than thirty (30) days after being notified by the State. 13. Governing Law; Lawsuits. This Agreement is to be construed in accordance with and governed by the laws of the State of Indiana, except for its conflict of laws provisions. The parties agree that, in the event a lawsuit is filed hereunder, they waive their right to a jury trial, agree to file any such lawsuit in an appropriate court in Hamilton County, Indiana only, and agree that such court is the appropriate venue for and has jurisdiction over same. 3 14. Relationship of Parties. The relationship of the parties hereto shall be as provided for in this Agreement, and neither Grantee nor any of its compensated officers, employees, contractors, subcontractors and/or agents are employees of City. The Grant amount set forth herein shall be the full and maximum compensation and monies required of City to be paid to Grantee under or pursuant to his Agreement. 15. Severability. If any term of this Agreement is invalid or unenforceable under any statute, regulation, ordinance, executive order or other rule of law, such term shall be deemed reformed or deleted, but only to the extent necessary to comply with same, and the remaining provision of this Agreement shall remain in full force and effect. 16. Entire Agreement. This Agreement, together with any exhibits attached hereto or referenced herein, constitutes the entire agreement between Grantee and City with respect to the subject matter hereof, and supersedes all prior oral or written representations and agreements regarding same. Notwithstanding any other term or condition set forth herein, but subject to paragraph 15 hereof to the extent any term or condition contained in any exhibit attached to this Agreement or in any document referenced herein conflicts with any term or condition contained in this Agreement, the term or condition contained in this Agreement shall govern and prevail. This Agreement may only be modified by written amendment executed by both parties hereto, or their successors in interest. This workshop would be free to those who register. The project would bring together interested individuals for the purpose of sharing the resources and skills needed to produce independent films. The forum would promote a film production movement that would enrich the education and experiences of filmmakers as well as benefit the Carmel area culturally and economically. Project's History The 2017 Carmel Film Forum's inaugural event was a big success! Thanks to our partnerships with the Carmel Clay Public Library, Indy Film Fest, SoHo Cafe & Gallery and Roberts Camera, we had a great turnout and a lively weekend of discussion about the art and business of filmmaking in Indiana. Inspired by the Carmel Film Forum's success, a spin off 4 week Filmmaking 101 workshop at the library's Digital Media Lab was created. The workshop quickly filled to capacity, drawing participants from the Carmel community and surrounding areas. After each of the events, participant evaluation forms were handed out. The feedback received was that everyone found the events to be informative and enjoyable. Participants especially liked hearing the professional filmmakers' personal filmmaking experiences. They also really enjoyed the hands-on filmmaking aspects of the Forum. What the participants suggested we could do to improve the Forum was to have more filmmaking workshops with more speakers more often. To see the documentation of the 2017 Carmel Film Forum visit www.moriartymedia.com 1 EXHIBIT "A" Major Activities For the 2018 Carmel Film Forum Screenwriting Workshop we propose a two day filmmaking workshop designed to develop screenwriting skills for writers at any skill level. The workshop will take place over the course of two weekends, allowing ample time for writers to learn format, receive and complete a simple assignment, receive feedback, and polish the assignment for performance. The first session will take place on Saturday, August 4, 2018, from Noon to 5PM. The workshop will be led by filmmakers James Moriarty and Marissa Von. Each participant will receive an Academy -approved screenplay format guide to refer to throughout the class. The participants will be guided through proper formatting for screenplays before being introduced to the tried-and-true three act formula for storytelling. They will be shown examples from several films that exemplify a well- written scene and will be given the opportunity to dissect the scene and discuss what made it so memorable. Participants will be given their assignments: a dramatic scene, no longer than 5 pages, with no more than 4 actors. Each participant will email their work and will receive feedback via email during the week. The second session will take place on Saturday, August 11, 2018, from Noon to 5PM. Participants can submit their scripts to be performed by professional actors from the Carmel area. At the beginning of the session, the scripts will be numbered. Four scripts will be drawn at random to be performed by four actors for this table read: a man a woman, a teenage boy and a teenage girl. The 4 selected screenwriters will have the opportunity to direct the talent and gain feedback from the audience. From 6 to 9PM, there will be a discussion with visiting professional writer/director, Paul Shoulberg. Mr. Shoulberg will talk about the writing of his Indiana produced feature film, The Good Catholic. A screening of the film will follow. After the screening, the producer of the film, John Robert Armstrong of Pigasus Pictures, will hold a discussion about funding feature films in Indiana. He will tell about the involvement of Pigasus Pictures in the development of the Indy Film Fund and efforts to create more feature productions in Indiana. Economic and Cultural Impact Through partnerships with arts and civic organizations, we can encourage enthusiasm for filmmaking in Carmel and the surrounding communities. Local directors, producers and screenwriters would be able to remain in Indiana, and those in other states would be attracted to produce projects here. Artists, actors, musicians and crew members would have work. Restaurants and hotels would have increased business, and construction and rental services would profit. The patrons of the Carmel library who love seeing films can learn more about filmmaking. Some might be inspired to make a film of their own. Carmel would be renowned for its contribution to filmmaking, and members of the community could have a broader appreciation of the art. E EXHIBIT "A" Project Management and Promotion A team of volunteers and a small paid staff will manage the project during the event. A website will be created for the forum that will list the project's goals and objectives. A website page will enable participants to register, and those who wish to signup for the screenwriting workshop will be able to do so there. Registration for the event will be available at the Carmel Library's audiovisual desk. A printed program containing the schedule, the project's partners, and the presenters' biographies will be handed out at the event. A media release for the project will be sent to newspapers, radio and television stations and websites that promote cultural events in Indiana. Our partnering organizations will be asked to share the information with their email lists and social media outlets. The event will be documented and posted on the website and social media. The library was pleased to serve as a venue for the forum's screenings and conversations in 2017. The event was a unique opportunity for people with experience in the film industry to offer inspiration and practical advice to others who aspire to make their creative concepts a reality. Many participants were in a demographic that is notoriously difficult for public libraries to reach, namely young men, and the library was pleased to be able to share information with them about resources that the library offers. One result of the success of the 2017 film forum was the development of a film -making workshop at the library's Digital Media Lab in the Arts and Design District. Led by James Moriarty, the month-long series provided hands-on learning opportunities with advanced equipment and software. The 2018 Carmel Film Forum will provide a logical and exciting extension of that process, allowing participants to learn more about the art of screenwriting, further strengthening the community of aspiring filmmakers that has begun to form. I am currently producing my third season of HGTV's "Good Bones" and leading post production on my short film "Little Texas". I had the privilege of being part of the 2017 Carmel Film Forum as a volunteer, youth screenwriting mentor, and panel speaker. Since relocating to Indianapolis two years ago, I have been searching for an event like the Carmel Film Forum. The event is a great opportunity for filmmakers to learn, network, and gain insight into their chosen field. James Moriarty has created a welcoming environment for filmmakers of all ages and skill levels to coalesce and learn from one another. This is an essential element in growing the Indianapolis and Carmel film community and one that should not be overlooked. I fully support a 2018 Carmel Film Forum focusing more on what is arguably the most important part of filmmaking; the script. 2018's workshop will be even more accessible than 2017's and I believe the attendance and involvement will double with the effort James has already put into creating an appealing event.
