RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY
ACKNOWLEDGING ARTS GRANT
WHEREAS, pursuant to Indiana Code 36-1-4-7, the City of Carmel, Indiana ("City"), is authorized to
enter into contracts; and
WHEREAS, pursuant to Indiana Code 36-4-5-3, the City's mayor may enter into contracts on behalf of the
City; and
WHEREAS, pursuant to his authority under Indiana law, the City's mayor, the Honorable James C.
Brainard, has caused to be signed the Arts Grant attached hereto as Exhibit A (the "Contract"); and
WHEREAS, Mayor Brainard now wishes to present the contract to the City's Board of Public Works and
Safety for it to be publicly acknowledged, filed in the Clerk -Treasurer's Office, and made available to the public for
review.

ARTS GRANT PROGRAM
AGREEMENT
This Grant Agreement (herein referred to as "Agreement") entered into by and between the City
of Carmel (the "City") and (the
"Grantee"), is executed pursuant to the lermsand conditions set forth herein. In consideration of
those mutual undertakings and covenants, the parties agree as follows:
1. That on behalf of Grantee, a not-for-profit corporation, I, e_ n i 5 e, So -(cpm ;c-,
an authorized representative of Grantee, have applied for a City of Carmel
("Grantor") Arts Grant, said application attached hereto and made a part hereof as
Exhibit "A."
2. Grant Agreement. The City, after review and recommendation by the Mayor and by
the City Council, agrees to grant $ 50,000.00 to the Grantee for
the eligible costs of the project (the "Project") or services as described in Exhibits
"A" and "B" of this Agreement. The funds shall be used exclusively in accordance
with the provisions contained in this Agreement.
3. Design and Implementation of Project. The Grantee agrees to use any and all grant
funds in accordance with the proposal contained within this agreement and any
documents attached to this Agreement, which are incorporated by reference.
4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a
not-for-profit entity with a determination letter from the Internal Revenue Service
declaring that it is exempt from Federal income tax.
5. Payment of Grant Funds by the City. The payment of this Grant by the City to the
Grantee shall be made in accordance with the following conditions:
A. This Agreement must be fully executed and signed by both Grantee and Grantor.
B. Grantee has attached all the following information, which it represents and warrants
to be true and accurate, all which have been incorporated fully by reference:
1. An application and description of the proposed use of the grant funds (EXHIBIT
A);
2. A budget for the calendar or fiscal year for which the grant is requested
(EXHIBIT B);
3. Certified copies of incorporation as a not-for-profit corporation under state law
(EXHIBIT C);
4. A not-for-profit application or determination letter from the U.S. Internal Revenue
Service identifying that it is a not-for-profit corporation that is exempt from
Federal income tax (EXHIBIT D);
5. Any audits, reviews or compilations available describing the financial condition
of the Grantee, including most recent available IRS Form 990, and the attached
Affidavit (EXHIBIT E);
6. A list of the Grantee's board of directors and officers listed (EXHIBIT F);
7. A Year End Report from the previous year IF Grantee received an Arts Grant
from the City of Carmel in the previous calendar year, pursuant to paragraph 8
herein (EXHIBIT G).
C. Any other grant conditions that City requires to be met by Grantee, specifically:
6. Grantor's right to request audit or review. Grantee shall submit to an audit or
review by an independent Certified Public Accountant of funds at the City's request,
and shall make all books, accounting records and other documents available at all
reasonable times during the term of this Grant Agreement, and for a period of three
(3) years after final payment of funds under this Agreement, for the purpose of an
audit by the City of Carmel, the State of Indiana, or their designees.
7. Quarterly financial statements. Grantee agrees to provide the City of Carmel
quarterly financial statements within 45 days after each quarter -end for Grant awards
in excess of sixty thousand dollars ($60,000).

8. Year-end review. Grantee agrees to provide the City of Carmel a year-end report
("Year End Report") for each year, describing how the grant was used and the impact
of the dollars received. This Grant award may not exceed one third (1/3) of Grantee's
combined contributed income, revenue of sales, and/or ticket revenue from the
previous year. If the Grant amount is in excess of sixty thousand dollars
($60,000.00), the Grantee agrees to provide, at Grantee's cost, a review or audit of the
grantee. Said review or audit shall be performed by a Certified Public Accountant
("CPA") who is neither an employee of Grantee nor a member of the Grantee's Board
of Directors, to be provided to the City of Carmel by March 31 of the following year.
9. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials
associated with a funded program or project. The City of Carmel will supply, upon
request, Grantee with the graphics/logos necessary for compliance.
10. Statutory Authority of Grantee. The Grantee expressly represents and warrants to
the State that it is statutorily eligible to receive these monies and it expressly agrees to
repay all monies paid to it under this Grant, should a legal determination of its
ineligibility be made by any Court of competent jurisdiction.
11. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this
Agreement shall be used only to implement the Project or provide the services in
conformance with the Budget and for no other purpose. If it is determined by the
City that misappropriation of funds have occurred, the Grantee must return all funds
received by Grantor and individuals who misuse Grant funds may also be subject to
civil and/or criminal liability under Indiana or Federal law.
12. Employment Eligibility Verification. The Grantee affirms under the penalties of
perjury that he/she/it does not knowingly employ an unauthorized alien.
The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is
participating in the E -Verify program as defined in IC 22-5-1.7. The Grantee agrees
to provide documentation to the City that he/she/it has enrolled and is participating in
the E -Verify program.
The City may terminate for default if the Grantee fails to cure a breach of this
provision no later than thirty (30) days after being notified by the State.
13. Governing Law; Lawsuits. This Agreement is to be construed in accordance with
and governed by the laws of the State of Indiana, except for its conflict of laws
provisions. The parties agree that, in the event a lawsuit is filed hereunder, they
waive their right to a jury trial, agree to file any such lawsuit in an appropriate court
in Hamilton County, Indiana only, and agree that such court is the appropriate venue
for and has jurisdiction over same.

14. Relationship of Parties. The relationship of the parties hereto shall be as provided
for in this Agreement, and neither Grantee nor any of its compensated officers,
employees, contractors, subcontractors and/or agents are employees of City. The
Grant amount set forth herein shall be the full and maximum compensation and
monies required of City to be paid to Grantee under or pursuant to his Agreement.
15. Severability. If any term of this Agreement is invalid or unenforceable under any
statute, regulation, ordinance, executive order or other rule of law, such term shall be
deemed reformed or deleted, but only to the extent necessary to comply with same,
and the remaining provision of this Agreement shall remain in full force and effect.
16. Entire Agreement. This Agreement, together with any exhibits attached hereto or
referenced herein, constitutes the entire agreement between Grantee and City with
respect to the subject matter hereof, and supersedes all prior oral or written
representations and agreements regarding same. Notwithstanding any other term or
condition set forth herein, but subject to paragraph 15 hereof, to the extent any term
or condition contained in any exhibit attached to this Agreement or in any document
referenced herein conflicts with any term or condition contained in this Agreement,
the term or condition contained in this Agreement shall govern and prevail. This
Agreement may only be modified by written amendment executed by both parties
hereto, or their successors in interest.

DESCRIPTION OF THE PROPOSED USE OF FUNDS
Gregory Hancock Dance Theatre (GHDT) is a professional contemporary dance company that
has employed company dancers in Carmel and Hamilton County since 1998. While GHDT has
had the opportunities to tour and perform overseas, around the country, and throughout Indiana,
Carmel officially became the company's home in the fall of 2009. After discussion with local
city officials, plans developed to become the professional resident dance company at The
Tarkington. GHDT established itself in Carmel with a new rehearsal space and Academy
adjacent to The Center for the Performing Arts. GHDT is excited to be a part of The Center and
is proud to be able to bring an international, as well as local reputation for world class, inspiring
and moving theatrical productions.
Gregory Hancock Dance Theatre (GHDT) is unique in the Indiana arts community in several
distinct ways and is excited to continue to bring its work to Carmel audiences. Unlike many
other performing groups, GHDT does not merely perform the work of other artists, but rather
presents new, original art that is created by Artistic Director, Gregory Hancock. GHDT is
known for the fusion of classical dance forms with traditional, national, and ethnic dance.
GHDT uses the grace and technique of ballet as the foundation. The strength and energy of
modern dance is blended with the heritage of varied cultural movement to give audiences a new
way to experience dance. Through this unique commitment, opportunities to explore the
literature, music, and legends of other cultures are brought to Carmel and Indiana. The cultural
diversity of GHDT not only encompasses artistic work, but can also be found in their
partnerships with a variety of individuals and organization. GHDT participates with Christel
House International/Academy fundraising event in collaboration with International Singing Star
Anita Lerche and other artists. New partnerships were established as the result of the production
of LA CASA AZUL, THE MUSICAL with the Mexican Consulate, AMIGOS, La Plaza, and
Beatriz Vasquez. LA CASA AZUL, THE MUSICAL is currently being translated into Spanish
to reach a broader audience throughout the nation. Mr. Hancock is working to move LA CASA
AZUL, THE MUSICAL to Broadway and has developed new partnerships with directors and
producers in New York City. GHDT also continues to partner with numerous cultural
communities in Central Indiana, including the Indiana, Pakistani, Greek, Russian, and Hispanic
communities. Mr. Hancock continues to travel to India to maintain his working relationships
with several dance companies and schools. GHDT was the only dance company in the United
States that was invited to perform at the 2016 World Dance Congress in India. Each year Mr.
Hancock continues to provide internships for Indian dancers to train with GHDT and participate
in a company performance at the Tarkington.
Through the diligence of the Artistic Director and Board of Directors to manage to a sound
financial position, GHDT continues to operate under a lean model while bringing beautiful
performances to the stage supported by contributions of generous donors, government and
foundations. GHDT is continuously looking for new sources of revenue and funding, while
keeping artistic and creative needs within conservative budget numbers. GHDT continues
working to build relationships with area businesses and Carmel/Indianapolis corporations where
arts development, culture and education are part of their community mission.
GHDT is excited for the opportunities to further relationships with Carmel entrepreneurs and
business owners. GHDT participates in Carmel Fest with a booth to meet area residents and
businesses, and hosts vendor booths at selected performances. Through invitations for
complimentary tickets to attend performances at the Tarkington, GHDT continues to reach out to
the Carmel community to build awareness and to educate the Carmel community about GHDT's
commitment to artistic excellence and programming. The Mayor and Carmel City Council
members are offered complimentary tickets to GHDT performances so they may experience the
passion of the company. It has been an honor for GHDT to have Bruce Kimball, Laura
Campbell, and Ron Carter in our audience at the Tarkington. GHDT is grateful for their support.
Additional work in the Carmel community includes concert ticket announcements mailed to over
3,000 area patrons. Angel Society Members (GHDT's private and corporate support wing) and
patrons receive correspondence for fund solicitation to support general operating income.
GHDT is requesting funds to help underwrite 2018 expenses; including GHDTs seventh season
at the Tarkington at the Center for the Performing Arts. New community funding, expanded
local audience development, and community education of this unique and beautiful arts
organization has been the task of GHDT's Board of Directors and staff for the past seven years.
With the move to Carmel, funding sources from Marion County are less likely to be granted. By
performing at The Center for the Performing Arts, Gregory Hancock Dance Theatre strives to
offer Carmel, Hamilton County and Central Indiana audiences opportunities to experience
locally produced, world class professional dance with through unique and educational theatrical
performances of GHDT. The expense of producing professional dance concerts is high with
competitive artistic and technical salaries being the number one expense. Paid artists are a
priority for the company. GHDT's artists are compensated for 30-40 weeks of work per season.
Additional funding from the community, foundations, grants, and ticket sales are used to cover
production costs for all concerts throughout the season.
GHDT is requesting to be considered for an increase in funding for 2018. Funding from the
Carmel City Arts Grant is used to assist with overall operational expenses. These include:
artistic director's salary, artists' salaries, tech/contract labor, studio rental, marketing,
advertising, costumes, theatre rental, insurance, accounting fees and daily operating expenses.
The need to enhance the salaries of artists and add paid staff members to strengthen and grow the
organization remains a high priority for GHDT. Achieving this goal would attract and retain
qualified professional dancers and technical crew members. GHDT continues to seek additional
funding to recruit and hire staff members. The Board of Directors have included in the
organization's strategic plan the goal of adding a paid staff member/business manager in this
fiscal year, who would oversee the business development and administrative tasks of the
company. Currently, the artistic director, board of directors, company members, and volunteers
are responsible for these numerous operational activities. The Artistic Director devotes a great
deal of time overseeing these administrative duties which detracts from the opportunity to
artistically create new works. Although company members, board members, and volunteers are
utilized to perform a variety of activities related to operation and management of GHDT, their
efforts should not be the sole resource, and may not be sufficient to grow GHDT to an optimal
level. A paid staff member, such as a business manager, will be able to provide the continuity
and consistency that is needed to elevate GHDT to the next level. GHDT will greatly appreciate
being considered for an increase in funding in 2018 to support these needs.
GHDT's 2017-2018 Season continues with SIMCHA on the weekends of February 3-18, 2018.
This is a series of cabaret -style concerts for three weekends at the Academy of GHDT in Carmel,
Indiana. On March 30-31, 2018, the company is back at The Tarkington to present
SUPERHERO, the story of a man called Jesus. GHDT has listened to a multitude of requests
from past audience members asking for SUPERHERO to be an annual event. GHDT is pleased
to have made this connection with the Carmel patrons and plans to provide this final
performance of SUPERHERO, before returning it to the vault for hiatus. Additional plans for
collaboration with area churches for SUPERHERO are being explored. On June 1-3, G2 IN
CONCERT & ACADEMY SHOWCASE will be presented at The Academy of Gregory
Hancock Dance Theatre. The talented young dancers of GHDT's pre -professional company and
the students of The Academy of GHDT will entertain Carmel audiences. The 2017-2018 season
closes on June 29-30 with THE HUNCHBACK OF NOTRE DAME. This popular masterpiece
is a dramatic and powerful full-length story ballet and will be staged once again after a five-year
break. The 2018-2019 season will open with GHDT's FALL CONCERT at the Tarkington. The
final performance of the year will be the ever popular, all -student production of THE
NUTCRACKER, which has become a holiday tradition presented at Pike Performing Arts
Center.
In addition to GHDT's professional theatrical concerts, GHDT's programming for youth and
educational opportunities continues to impact students and student dancers throughout Central
Indiana, starting with the all -student annual performance of THE NUTCRACKER. Through
summer intensive workshops and the year-round training, The Academy offers excellent
education and performance opportunities. Through its pre -professional student company (G2),
young students who are aspiring to become professional dancers have opportunities to train and
perform GHDT repertoire, and to work with the professional dancers of GHDT. Summer dance
interns from area colleges as well as around the world can also train and perform with GHDT.
GHDT is honored and grateful to receive financial support from the City of Carmel. We
greatly appreciate the opportunity to be considered for an increase in funding in 2018, to provide
competitive artistic salaries and hire a paid staff member to oversee company operations. With
more funding we can do more, reach more, and impact more. Ongoing, strong support from the
City of Carmel is vital for GHDT to continue to offer such ground -breaking performances and
world premiere works to Central Indiana audiences. GHDT supports Mayor Brainard's mission
of cultural diversity by creating and performing artistic works from a variety of cultures,
collaborating with local ethnic organizations, and maintaining professional networks with variety
of individuals and groups throughout the world. We are proud to call Carmel our home and we
desire to continue to become more deeply visible as one of Carmel's greatest assets in our ever -
evolving and thriving community.
