In consideration of those mutual undertakings and covenants, the parties agree as follows: 1. That on behalf of Grantee, a not-for-profit corporation, I, .fiaeOl%y an authorized representative of Grantee, have applied for a City of Carmel ("Grantor") Arts Grant, said application attached hereto and made a part hereof as Exhibit "A." 2. Grant Agreement. The City, after review and recommendation by the Mayor and by the City Council, agrees to grant $ 17 , OO.s . 00 to the Grantee for the eligible costs of the project (the "Project") or services as described in Exhibits "A" and "B" of this Agreement. The funds shall be used exclusively in accordance with the provisions contained in this Agreement. 3. Design and Implementation of Project. The Grantee agrees to use any and all grant funds in accordance with the proposal contained within this agreement and any documents attached to this Agreement, which are incorporated by reference. 4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a not-for-profit entity with a determination letter from the Internal Revenue Service declaring that it is exempt from Federal income tax. 5. Payment of Grant Funds by the City. The payment of this Grant by the City to the Grantee shall be made in accordance with the following conditions: A. This Agreement must be fully executed and signed by both Grantee and Grantor. B. Grantee has attached all the following information, which it represents and warrants to be true and accurate, all which have been incorporated fully by reference: 1. An application and description of the proposed use of the grant funds (EXHIBIT A); 2. A budget for the calendar or fiscal year for which the grant is requested (EXHIBIT B); 3. Certified copies of incorporation as a not-for-profit corporation under state law (EXHIBIT C); 4. A not-for-profit application or determination letter from the U.S. Internal Revenue Service identifying that it is a not-for-profit corporation that is exempt from Federal income tax (EXHIBIT D); 5. Any audits, reviews or compilations available describing the financial condition of the Grantee, including most recent available IRS Form 990, and the attached Affidavit (EXHIBIT E); 6. A list of the Grantee's board of directors and officers listed (EXHIBIT F); 7. A Year End Report from the previous year IF Grantee received an Arts Grant from the City of Carmel in the previous calendar year, pursuant to paragraph 8 herein (EXHIBIT G). C. Any other grant conditions that City requires to be met by Grantee, specifically: 6. Grantor's right to request audit or review. Grantee shall submit to an audit or review by an independent Certified Public Accountant of funds at the City's request, and shall make all books, accounting records and other documents available at all reasonable times during the term of this Grant Agreement, and for a period of three (3) years after final payment of funds under this Agreement, for the purpose of an audit by the City of Carmel, the State of Indiana, or their designees. 7. Quarterly financial statements. Grantee agrees to provide the City of Carmel quarterly financial statements within 45 days after each quarter -end for Grant awards in excess of sixty thousand dollars ($60,000). 2 8. Year-end review. Grantee agrees to provide the City of Carmel a year-end report ("Year End Report") for each year, describing how the grant was used and the impact of the dollars received. This Grant award may not exceed one third (1/3) of Grantee's combined contributed income, revenue of sales, and/or ticket revenue from the previous year. If the Grant amount is in excess of sixty thousand dollars ($60,000.00), the Grantee agrees to provide, at Grantee's cost, a review or audit of the grantee. Said review or audit shall be performed by a Certified Public Accountant ("CPA") who is neither an employee of Grantee nor a member of the Grantee's Board of Directors, to be provided to the City of Carmel by March 31 of the following year. 9. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials associated with a funded program or project. The City of Carmel will supply, upon request, Grantee with the graphics/logos necessary for compliance. 10. Statutory Authority of Grantee. The Grantee expressly represents and warrants to the State that it is statutorily eligible to receive these monies and it expressly agrees to repay all monies paid to it under this Grant, should a legal determination of its ineligibility be made by any Court of competent jurisdiction. 11. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this Agreement shall be used only to implement the Project or provide the services in conformance with the Budget and for no other purpose. If it is determined by the City that misappropriation of funds have occurred, the Grantee must return all funds received by Grantor and individuals who misuse Grant funds may also be subject to civil and/or criminal liability under Indiana or Federal law. 12. Employment Eligibility Verification. The Grantee affirms under the penalties of perjury that he/she/it does not knowingly employ an unauthorized alien. The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is participating in the E -Verify program as defined in IC 22-5-1.7. The Grantee agrees to provide documentation to the City that he/she/it has enrolled and is participating in the E -Verify program. The City may terminate for default if the Grantee fails to cure a breach of this provision no later than thirty (30) days after being notified by the State. 13. Governing Law; Lawsuits. This Agreement is to be construed in accordance with and governed by the laws of the State of Indiana, except for its conflict of laws provisions. The parties agree that, in the event a lawsuit is filed hereunder, they waive their right to a jury trial, agree to file any such lawsuit in an appropriate court in Hamilton County, Indiana only, and agree that such court is the appropriate venue for and has jurisdiction over same. 3 14. Relationship of Parties. The relationship of the parties hereto shall be as provided for in this Agreement, and neither Grantee nor any of its compensated officers, employees, contractors, subcontractors and/or agents are employees of City. The Grant amount set forth herein shall be the full and maximum compensation and monies required of City to be paid to Grantee under or pursuant to his Agreement. 15. Severability. If any term of this Agreement is invalid or unenforceable under any statute, regulation, ordinance, executive order or other rule of law, such term shall be deemed reformed or deleted, but only to the extent necessary to comply with same, and the remaining provision of this Agreement shall remain in full force and effect. 16. Entire Agreement. This Agreement, together with any exhibits attached hereto or referenced herein, constitutes the entire agreement between Grantee and City with respect to the subject matter hereof, and supersedes all prior oral or written representations and agreements regarding same. Notwithstanding any other term or condition set forth herein, but subject to paragraph 15 hereof, to the extent any term or condition contained in any exhibit attached to this Agreement or in any document referenced herein conflicts with any term or condition contained in this Agreement, the term or condition contained in this Agreement shall govern and prevail. This Agreement may only be modified by written amendment executed by both parties hereto, or their successors in interest. Executive Summary The Indianapolis Symphonic Choir requests funding in the amount of $17,000 to make possible 6 performances at The Palladium in the 2018-2019 concert season. This includes four (4) performances of its annual Festival of Carols concert in December 2018 plus two (2) performance of Handel's Messiah also in December 2017. Note: This request reflects a modest increase over the previous year. This requested dollar amount is an increase from the previous year based on this justification: • Six performances at The Palladium; four of Festival of Carols, and two of Handel's Messiah; The plans to tape, produce and broadcast the December 2018 Festival of Carols performance nationally; this is an expensive production, and yet it places The Palladium and Festival of Carols on the national stage. A remarkable opportunity; Our desire to hire a nationally -recognized performer to headline the December 2018 Festival of Carols, to further leverage the national television broadcast. City of Carmel Arts Grant Program I Indianapolis Symphonic Choir I Page 2 These funds will cover the costs associated with five days of hall rental and venue needs (box office staff, backstage staff, City of Carmel ticketing fees, security, etc) for this Festiva/ of Caro/s, benefiting the City of Carmel and the entire region. This concert series has attracted multiple sold -out audiences at The Palladium since its move to the venue in December 2012. The Indianapolis Symphonic Choir is committed to providing Central Indiana with this high-quality holiday performance experience. The Choir requests partial support for four performances of Festiva/ of Carols in 2018 to meet the clear audience interest in and demand for this family - friendly concert that has rapidly become a holiday tradition. Festiva/ o£Caro/s 2016, featuring the 200 -voice Indianapolis Symphonic Choir I. Organizational Sustainability The 2018/2019 season marks the Indianapolis Symphonic Choir's 82nd season: Among the largest (top 1%) of symphonic choruses in the nation, out of more than 250,000 choruses in the United States; in terms of budget size, programming and institutional capacity; City of Carmel Arts Grant Program I Indianapolis Symphonic Choir I Page 3 • Will serve more than 25,000 persons via in -persons concert experiences, plus hundreds of thousands further through national television broadcasts, radio broadcasts, and international recording releases. • In the midst of a $3.75 million endowment campaign launched in March 2018; at present, the campaign has secured more than $3.1 million in gifts and pledges, and finds itself in a strong position. The Indianapolis Symphonic Choir was founded in 1937 to perform major choral - orchestral works. Over the years, the breadth of the Choir's programming has expanded to include not just classical, but other forms of music (gospel, jazz, sacred literature; annual commissions), as well as comprehensive outreach/educational programming. From its creation 82 seasons ago to perform Beethoven's Ninth Symphony to its recent concerts, commissioned works, public school partnerships, international tour and professionally produced CDs, the Choir has developed into a stable and visionary leader on the national choral stage. Although the Symphonic Choir frequently performs with the Indianapolis Symphony Orchestra, the two organizations are not related. The Choir's concert programming and its outreach/education offerings, marketing, fundraising, and governance are all developed in house. A professional staff of seven, four full-time (executive director, operations manager, general manager, development director) and three part-time (artistic director, assistant artistic director, keyboard artist/accompanist), manage the administrative and artistic vision and well-being of the Symphonic Choir. A volunteer board of directors oversees the legal and fiduciary management, utilizing an active committee structure. Board members represent a cross-section of the community in terms of gender, age, creed, vocational experience and skill sets. Two board members also serve as singing members of the Choir. Through training over the past eight seasons, the board has become more comfortable with and versed in addressing the development needs of the organization. Additionally, every member of the board contributes annually at a leadership level. City of Carmel Arts Grant Program I Indianapolis Symphonic Choir I Page 4 At the time of this grant application submission, nearly all performances featuring the Symphonic Choir have attracted sold -out audiences over the past six seasons. Indeed, this is not just remarkable for this institution, but for arts organizations across the nation. Attendance at Festiva/ of Carols is particularly strong and has expanded heartily, even in years during which December weather is less -than desirable — these four Festiva/ of Carols performances at The Palladium will attract over 4,800 persons from across Indiana to the City of Carmel for a memorable evening during the holiday season. In fact, these four performances attract some of the largest audiences to the Arts & Design district during the year. We are pleased to serve Hoosiers with a family -friendly, high-quality memorable musical tradition each holiday season. Handel's Messiah — also in December at The Palladium — attracts a capacity audience, typically selling -out 3 weeks prior to the concert itself and it expands in December 2017 to include two performances, which we anticipate continuing in December 2018. II. Arts Programming • A commitment to world-class artistic product, leading the local community to greater artistry and excellence; • Bold visioning leads to local success and national recognition, including through performances at Carnegie Hall, The Kennedy Center, international recording releases, and national television broadcasts The Indianapolis Symphonic Choir creates choral (and choral -orchestral) performances that are recognized nationally by our peers as well as our regional audiences. The Choir's high-quality artistic product has garnered local and national broadcasts, recognition through the American Prize, and invitations to perform at American Choral Directors Association conventions. The quality of every performance consistently is at the highest of levels. The Choir is comprised of just over 200 unpaid (volunteer) singers who audition annually. These performers each dedicate over 210 hours to the organization annually (over 40,000 hours collectively) through City of Carmel Arts Grant Program I Indianapolis Symphonic Choir I Page 5 rehearsal and performance during the 42 -week performance season. The typical concert cycle requires 6 to 8 weeks of preparation. The Symphonic Choir's 82nd season includes a varied and attractive offering of choral music reaching both seasoned arts consumers and comparatively green first -timers to the arts sector. Performances of the 2018/2019 season include Haydn's The Creation, works by Mahler, Elgar, Handel and newly -commissioned works by modern composers. Two performances of Messiah during the month of December 2018 are an evergreen offering of the Choir which unites us with the Indianapolis Symphony Orchestra. It is worth noting that the performance at The Palladium has a track record of selling out multiple weeks prior to the downbeat in fact, and that 2017 marked the first year for presenting two performances at The Palladium of this work. Based on ticket sales at the time of this application for support, we anticipate the trend of two Messiah performances continuing in future seasons. What makes these concerts so memorable, magical and meaningful? The holidays offer the perfect opportunity to families to 'take in' the arts and make new memories — in fact, this concert cycle sees our largest percentage of "first time" attendees. As the arts and culture sector seeks to expand its foothold, concerts like these are integral to reaching new audiences and broadening our impact. The December 2017 performance included the Symphonic Choir, Indianapolis Chamber Orchestra and Tony Award-winning Broadway star Alice Ripley. Charting new territory to place the Symphonic Choir, The Palladium and Indiana further on the map as an attractive place to live, work and call home, we took the bold step to broadcast Festiva/ of Caro/s from coast-to-coast. This is new for us, and it is a strikingly bold development for the local arts community — we are already pleased with the payoff. Local public television stations from New York City, Los Angeles, Portland, San Francisco, Miami, Chicago (plus smaller markets including Columbus, Ohio; Albuquerque, et al) have committed to broadcasting our one-hour television special titled "Festival of Carols with Sylvia McNair." This new development affects our future plans as noted in this application. Specifically, we are seeking increased support from the City of Carmel through this arts granting program to tape, produce and broadcast the December 2018 Festiva/ of Caro/s for a similar national television broadcast. Based on the success of the 2018 broadcast, we anticipate continued interest and commitments across the nation for this upcoming project. III. Marketing and Outreach • Maintain accessible ticket price points, providing realistic in -roads for new audiences; • Leverage marketing potential from cross -promotional events such as television broadcasts, regional news and features, collaboration, and expanded programming; City of Carmel Arts Grant Program I Indianapolis Symphonic Choir I Page 7 • Enable our base of singers and passionate patrons to expand our reach throughout their networks. The Indianapolis Symphonic Choir is fortunate to have a world-class product and an engaging story to tell. To help attract future audiences, donors, and singers, the organization will focus on better equipping its board, staff, and singers to serve as effective advocates by providing them with the knowledge and resources to champion the Choir. Perhaps more than many other organizations, the Symphonic Choir is fortunate to have a built-in PR team who are fully dedicated to the Choir's success: its corps of over 200 singers. As a direct result of engaging an outside public relations firm in late 2011, the Choir is attracting new audiences thanks to increased media exposure and to expanding its performances to venues outside of Indianapolis. In addition, the Choir's Patron Experience initiative addresses the multifaceted needs that create an attractive concert experience for concertgoers, turning the first-time attendee into a return attendee, donor and advocate. These items include strategic communication before the concert as well as post -concert follow-up; concert ambience and multisensory experience; ease of ticketing; and personal connections with the music and performers. The Indianapolis Symphonic Choir targets communication to segments of the population that may hold particular affinity for a given performance based on creed, geographical location, heritage and the like. Also, because Western choral music historically is closely tied with churches, the Choir cross -promotes concerts with area churches and through the Center for Congregations. Surveys at concerts, as well as online surveys, provide measurable data that accompany anecdotal evidence collected by participants and partner organizations to help determine what repertoire and other factors attract and retain audience members. These initiatives, plus the variety of musical styles included in a concert season, help the Choir reach a diverse audience in terms of age, race, geography, education, and income level. City of Carmel Arts Grant Program I Indianapolis Symphonic Choir I Page 8 Festiva/ of Carols was broadcast in Dec 2017 across the nation on public television Ticket prices for Symphonic Choir concerts remain competitive and yet accessible. Adult tickets range from $20 to $65 (depending on seating preference) with student/youth rates always $15. Special group rates are available as well, with group sales being especially attractive for holiday performances. IV. Arts Education and Lifelong Learning • Outreach and educational programs for students; Lifelong learning and cultural experiences for persons of all ages. The Choir's education and outreach programs are among the institution's most cherished offerings. With programs appropriate for persons of all ages, levels of musical experience, and income status, these offerings reach thousands of persons annually. According to a 2010 study by Chorus America, more than 35 million Americans sing in choirs; more persons sing in a choir than participate in any other art form. Adult opportunities (life-long learning) are numerous and open to all through our Timeless in Song programs, with opportunities appropriate for all levels of prior musical experience. For example, a person with significant musical background is a City of Carmel Arts Grant Program I Indianapolis Symphonic Choir I Page 9 good candidate to join as a singing member of the Symphonic Choir or to attend a Choral Colloquium, whereas someone initially exploring singing and without any ability to read music may be interested in the 90 -minute, interactive program "Hallelujah -What's It To Ya!?" which uses Handel's "Hallelujah Chorus" to shed light on the choral art in a humorous and light-hearted environment. Additionally, the Symphonic Choir provides subsidized tickets to lower-income senior communities to attend concerts, provides transportation assistance, and even brings the concerts to senior communities through mobile performances for those unable to travel to the concert venues. Among the Symphonic Choir's most valuable partnerships is our relationship with area schools throughout metropolitan Indianapolis through Voices of Harmony. The Indianapolis Symphonic Choir is the official choral partner for all 65 schools in the Indianapolis Public School system, and also partners with school systems throughout Central Indiana. We provide in-service education for choir and general music teachers. Brownsburg HS choir performed with the Symphonic Choir at the December 2016 Festival of Carols performances. The annual Spotlight Choir program serves as our ongoing side by side series, pairing the Symphonic Choir with area high school or middle school choirs as a component of the Festival of Carols concerts. Symphonic Choir Artistic Director Dr. Eric Stark leads in -class preparation with these partner schools, whose students City of Carmel Arts Grant Program I Indianapolis Symphonic Choir I Page 10 perform their own repertoire and also sing with the Symphonic Choir members. These opportunities encourage multi -generational learning and mentoring as adult and student participants perform together through the Festival of Carols performances — three of which are scheduled to be performed at The Palladium with the financial support of the City of Carmel's arts grant program. The 2017 Spotlight Choirs were Center Gove High School and Avon High School. The 2018 schools will be selected in late -spring 2018. The Indianapolis Symphonic Choir's outreach programs, paired with careful stewardship of our resources and the undeniable quality of each performance, provide a priceless and treasured asset for central Indiana and beyond. We appreciate the opportunity to seek support from the City of Carmel, and we look forward to future success in the arts community. This grant application to the City of Carmel is in the amount of $21,000 for four performances of this popular, family -friendly Festival of Carols favorite at The Palladium in December 2018; and for two performance of the evergreen Baroque favorite, Handel's Messiah. These grant monies will be used to offset the cost of hall rental, stagehands, box office staff, venue security, and other expenses directly related to bringing three performances to the world-class venue. We are exceedingly grateful for the past support from the City of Carmel, and we look forward to continuing our service to Central Indiana through the arts and culture with your generous support.
