RECITALS WHEREAS,Carmel Multifamily owns fee simple title to certain real estate in Hamilton County, Indiana,as described in that certain Limited Warranty Deed dated November 20,2014, and recorded in the Office of the Recorder of Hamilton County,Indiana,on November 26,2014, as Instrument No. 2014053717, a copy of which is attached hereto as Exhibit A(the "Carmel Multifamily Real Estate"). WHEREAS,the City determined that it would benefit the public to construct a roundabout at the intersection of Carmel Drive and Old Meridian(the"Project"); WHEREAS,in connection with the Project,the City determined it necessary to acquire a permanent right of way over an irregular shaped tract which is located in the northeastern comer of the Carmel Multifamily Real Estate,along the Old Meridian Street frontage. The total area acquired is.048 acres, none of which is existing right of way,more particularly described in the attached Exhibit 8 and depicted in the attached Exhibit C(the"Right-of-Way Property'). WHEREAS,the City made an offer to Cannel Multifamily to purchase the Right-of-Way Property required by Ind. Code § 32-24-1-5 pursuant to the Uniform Property or Easement Acquisition Offer("City's Offer"); WHEREAS,Carmel Multifamily rejected the City's Offer, WHEREAS, on August 11, 2017, the City filed (the "Lawsuit") against Cannel Multifamily, Multifamily Leaseco, and Fannie Mae captioned City of Carmel v. Carmel "u/tfamily DST, a Del"are staluto!v trust, Carmel Multifamily Leaseco, L.L.C. a Delaware limited liability compan}; and Fannie Mae,Hamilton County Superior Court,Cause No.29D01- 1708-PL-007542, to condemn the Rigbt-of-Way Property and alleged that it was necessary to acquire the Right-of-Way Property to complete the Project;and WHEREAS, to avoid the expense, risk and uncertainty of litigation, the Parties have agreed to make full and complete settlement of all actual or potential claims between them. NOW,THEREFORE,in consideration of the promises and covenants set forth herein and the acts done or to be done pursuant to this Agreement,the Parties hereto now agree as follows: I. Paymens: Within 30 days of mutual execution and delivery of this Agreement and the Warranty Deed referenced in section 4 of this Agreement, the City shall pay Cannel Multifamily Twenty-Nine Thousand, Four Hundred Dollars and 00/100($29,400.00)in full and final settlement of this matter. 2. Wooden Guardra0. The City agrees to install a wooden guardrail on the backside Of the multi-use path to create a buffer. The guardrail will be installed prior to the opening of the roundabout for public usage and the design and materials will be aesthetically in-line with other barrier fencing found in and around the City of Carmel. 3. Dismissal of the Lawsuit. The Lawsuit shall be dismissed with prejudice in its entirety.The City will file a Notice of Dismissal with prejudice with the Court within ten(I 0)days after the full execution of the Settlement Agreement. 4. Waronty WarrantyDeed. Simultaneously with the Parties' execution of this Agreement, Carmel Multifamily shall execute a Warranty Deed conveying and granting to the City the Right- of-Way Property in the form of Eich, h1bit DD attached hereto. COm�n11Se, It is understood and agreed that this Agreement is a compromise of disputed claims and that the terms of this Agreement are not to be construed as an admission of liability on the part of any Party hereto. 6. Acl nowledeement. Each Party warrants and represents that in executing this Agreement,it has relied upon legal advice from the attorney of its choice(or had the opportunity to consult with counsel relating to the terms of this Agreement); that the terms of this Agreement have been read and its consequences(including risks,complications,contingencies and costs)have been completely explained to it;and that each Party fully understands the terms of this Agreement. Each Party further acknowledges and represents that in executing this Agreement,it has not relied upon any inducements,promises,or representations made by any other Party other than those set forth herein. 7. Assignment. Each of the covenants contained in this Agreement shall be binding upon and shall inure to the benefit of the Parties and their respective agents,officers, directors, employees,shareholders, members,partners,servants, attorneys, affiliates,parents,subsidiaries, assigns,successors,predecessors,representatives,and insurers. 8. Merger. This Agreement represents the entire agreement between the Parties,and there are no additional written or oral agreements between the Parties. The above recitals are incorporated herein and form an integral part of this Agreement. 9• nstructfon. The Parties hereto agree that they and their attorneys have each reviewed this Agreement and that the normal rules"construction to the effect that any ambiguities are to be resolved against the drafting Party or Parties shall not be employed in the interpretation of this Agreement. 10. Waiver Ineffectiv . No waiver,modification or amendment of any term,condition or provision of this Agreement shall be valid or have any force or effect unless made in writing and signed by all Parties. 11. —Choice of Lativ and Venue This Agreement is entered into and shall be construed and interpreted in accordance with the laws of the State of Indiana. The Parties irrevocably consent to the exclusive jurisdiction and venue in the courts of the State of Indiana,Hamilton County,or the United States District for the Southern District of Indiana,and irrevocably waive any and all objections to such consents. 13. Severab lbi The invalidity or unenforceability ofany provision of this Agreement shall not affect norrender invalid or unenforceable any other provision. It is understood and agreed that no mistake of law or mistake of fact shall constitute a basis for rescission or reformation or render any portion of this Agreement void or voidable. 14. Effective Date. This Agreement shall become effective upon the execution of the Agreement by all Parties. 15, Counterparts. This Agreement may be executed in duplicate counterparts, each of which shall be deemed an original and all of which collectively shall constitute one and the same instrument.
