A RESOLUTION OF THE BOARD OF PUBLIC WORKS AND SAFETY
OF THE CITY OF CARMEL, INDIANA, REGARDING THE
PURCHASE OF REAL PROPERTY
WHEREAS, by Resolution No. CC 05-07-18-02 (the "Council Resolution"), the
Common Council of the City of Carmel, Indiana (hereinafter, the "City") has approved the City's
purchase of certain property being a portion of the following tax parcels: 16-09-25-04-04-
001.000, 16-09-25-04-04-002.001, and 16-09-25-16-05-009.001 located at 410 Veterans Way,
340 Veterans Way and 0 Veterans Way, in Carmel, Hamilton County, Indiana more particularly
described on Exhibit A attached hereto, (the "Property"); and
WHEREAS, the City of Carmel Board of Public Works and Safety is the entity charged
with completing the purchase of the Property pursuant to Indiana Code 36-1-10.5-1 et. seq.
NOW, THEREFORE, BE IT RESOLVED, that the City of Carmel Board of Public
Works and Safety (the `BPW") hereby makes the following findings:
1. The foregoing Recitals are incorporated herein by this reference.
2. The BPW shall proceed with the purchase of the Property pursuant to the Council
Resolution and this Resolution.
3. The BPW will obtain two (2) appraisals (the "Appraisals") of the Property as
required by Indiana Code 36-1-10.5-5.
4. The purchase price for the Property shall not be more than the average of the
Appraisals, adjusted by reasonable and customary closing costs and other
expenses incurred by the City as a result of such purchase.
5. The BPW hereby designates James C. Crider, Director of the Department of
Administration for the City of Carmel, Indiana as its agent to negotiate a purchase
agreement for the Property in accordance with this Resolution, the Council
Resolution and otherwise upon reasonable and customary terms, to execute all
documents required in connection with the purchase of the Property and to take
all other lawful actions necessary to complete purchase of the Property as
contemplated herein.
