THIS INDENTURE WITNESSETH, that the CITY OF CARMEL, INDIANA, ("Grantor")
CONVEYS and SPECIALLY WARRANTS to KG MAIN LLC, an Indiana limited liability company,
("Grantee") for the sum of One Dollar ($1.00) and other valuable consideration, the receipt of which is
hereby acknowledged, the real estate located in Hamilton County, in the State of Indiana more
particularly described on Exhibit A attached hereto, (hereinafter called the "Real Estate").
This conveyance is subject to:
1. The lien of non -delinquent real estate taxes, general and special assessments and
all other governmental, municipal and public dues, charges and impositions;
2. All easements, covenants, agreements and restrictions of record;
3. All applicable zoning, building, land use and other governmental restrictions,
laws, ordinances, rules and regulations; and
4. All matters that would be discovered or disclosed by an accurate inspection and
ALTA/ACSM Minimum Standard Detail Survey of the Real Estate.
5. The Real Estate is conveyed AS IS, WHERE IS and WITH ALL FAULTS, and
Grantor makes no, and disclaims all, warranties, either expressed or implied, with
respect thereto.
The warranty of title by Grantor: (i) is limited to a warranty against the acts of Grantor
and those claiming by, through or under Grantor, and not otherwise; and (ii) is subject to the
exceptions to title set forth above.
