BPW 01-23-19-32 RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY ACKNOWLEDGING ARTS GRANT WHEREAS, pursuant to Indiana Code 36-1-4-7, the City of Carmel, Indiana ("City"), is authorized to enter into contracts; and WHEREAS, pursuant to Indiana Code 36-4-5-3, the City's mayor may enter into contracts on behalf of the City; and WHEREAS, pursuant to his authority under Indiana law, the City's mayor, the Honorable James C. In consideration of those mutual undertakings and covenants, the parties agree as follows: 1. That on behalf of Grantee, a not -for -profit corporation, I, d4,qZeAVi'4 an authorized representative of Grantee, have applied for a City of Carmel ("Grantor") Arts Grant, said application attached hereto and made a part hereof as Exhibit "A." 2. Grant Agreement. The City, after review and recommendation by the Mayor, agrees to grant $ 17,000 .00 to the Grantee for the eligible costs of the project (the "Project") or services as described in Exhibits "A" and "I3" of this Agreement. The funds shall be used exclusively in accordance with the provisions contained in this Agreement. Generally, the Grant award may not exceed one third (1/3) of Grantee's combined contributed income, revenue of sales, and/or ticket revenue from the previous year. The City of Carmel may, however, make exceptions for start-up organizations that have been in existence 1'or three (3) years or less. 3. Design and Implementation of Project. The Grantee agrees to use any and all grant funds in accordance with the proposal contained within this agreement and any documents attached to this Agreement, which are incorporated by reference. 4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a not -for -profit entity with a determination letter from the Internal Revenue Service declaring that it is exempt from Federal income tax. 5. Payment of Grant Funds by the City. The payment of this Grant by the City to the Grantee shall be made in accordance with the following conditions: A. This Agreement must be fully executed and signed by both Grantee and Grantor. B. Grantee has attached all the following information, which it represents and warrants to be true and accurate, all which have been incorporated fully by reference: 1. An application and description of the proposed use of the grant funds (EXHIBIT A); 2. A budget for the calendar or fiscal year for which the grant is requested (EXHIBIT B); 3. Certified copies of incorporation as a not -for -profit corporation under state law (EXHIBIT C); 4. A not -for -profit application or determination letter from the U.S. Internal Revenue Service identifying that it is a not -for -profit corporation that is exempt from Federal income tax (EXHIBIT D); 5. Any audits, reviews or compilations available describing the financial condition of the Grantee, most recent available IRS Form 990, and the attached Affidavit (EXHIBIT E); 6. A list of the Grantee's board ol'directors and officers listed (EXHIBIT F); 7. A Year End Report from the previous year if Grantee received an Arts Grant from the City of Carmel in the previous calendar year, pursuant to paragraph 8 herein (EXHIBIT G). C. Any other grant conditions that City requires to be met by Grantee, specifically: 6. Grantor's right to request audit or review. Grantee shall submit to an audit or review by an independent Certified Public Accountant of funds at the City's request, and shall make all books, accounting records and other documents available at all reasonable times during the term of this Grant Agreement, and for a period of three (3) years after final payment of funds under this Agreement, for the purpose of an audit by the City of Carmel, the State of Indiana, or their designees. Said review or audit, if requested, shall be performed by a Certified Public Accountant ("CPA") who 2 is neither an employee of Grantee nor a member of the Grantee's Board of Directors, to be provided to the City of Carmel by March 31 of the following year. 7. Quarterly financial statements. Grantee agrees to provide the City of Carmel quarterly financial statements within 45 days after each quarter -end for Grant awards in excess of sixty thousand dollars ($60,000). 8. Year-end review. Grantee agrees to provide the City of Carmel a year-end report ("Year End Report") for each year, describing how the grant was used and the impact of the dollars received. 9. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials associated with a funded program or project. The City of Carmel will supply, upon request, Grantee with the graphics/logos necessary for compliance. 10. Statutory Authority of Grantee. The Grantee expressly represents and warrants to the City that it is statutorily eligible to receive these monies and it expressly agrees to repay all monies paid to it under this Grant, should a legal determination of its ineligibility be made by any Court of competent jurisdiction. 11. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this Agreement shall be used only to implement the Project or provide the services in conformance with the Budget and for no other purpose. If it is determined by the City that misappropriation of funds have occurred, the Grantee must return all funds received by Grantor and individuals who misuse Grant funds may also be subject to civil and/or criminal liability under Indiana and Federal law. 12. Employment Eligibility Verification. The Grantee affirms under the penalties of perjury that he/she/it does not knowingly employ an unauthorized alien. The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is participating in the E-Verify program as defined in IC 22-5-1.7. The Grantee agrees to provide documentation to the City that he/she/it has enrolled and is participating in the E-Verify program. The City may terminate for default if the Grantee fails to cure a breach of this provision no later than thirty (30) days after being notified by the State. 13. Governing Law; Lawsuits. This Agreement is to be construed in accordance with and governed by the laws of the State of Indiana, except for its conflict of laws provisions. The parties agree that, in the event a lawsuit is tiled hereunder, they waive their right to a jury trial, agree to file any such lawsuit in an appropriate court in Ilamilton County, Indiana only, and agree that such court is the appropriate venue for and has jurisdiction over same. 3 14. Relationship of Parties. The relationship of the parties hereto shall be as provided for in this Agreement, and neither Grantee nor any of its compensated officers, employees, contractors, subcontractors and/or agents are employees of City. The Grant amount set forth herein shall be the full and maximum compensation and monies required of City to be paid to Grantee under or pursuant to his Agreement, 15. Severability. If any term of this Agreement is invalid or unenforceable under any statute, regulation, ordinance, executive order or other rule of law, such term shall be deemed reformed or deleted, but only to the extent necessary to comply with same, and the remaining provision of this Agreement shall remain in full force and effect. 16. Entire Agreement. This Agreement, together with any exhibits attached hereto or referenced herein, constitutes the entire agreement between Grantee and City with respect to the subject matter hereof, and supersedes all prior oral or written representations and agreements regarding same. Notwithstanding any other term or condition set forth herein, but subject to paragraph 15 hereof, to the extent any term or condition contained in any exhibit attached to this Agreement or in any document referenced herein conflicts with any term or condition contained in this Agreement, the term or condition contained in this Agreement shall govern and prevail. This Agreement may only be modified by written amendment executed by both parties hereto, or their successors in interest. Executive Summary The Indianapolis Symphonic Choir requests funding in the amount of $18,000 to make possible six (6) performances at The Palladium in the 2019-2020 concert season. This includes four (4) performances of its annual Festival of Carols concert in December 2019, plus two (2) performances of Handel's Messiah, also in December 2019. Funding from the City of Carmel Arts Grant Program enables us to present all of these performances at the Palladium. Note: This request reflects a modest increase over the previous year. This requested dollar amount is an increase from the previous year based on this justification: • Six (6) well -attended performances at The Palladium; four of Festival of Carols, and two of Handel's Messiah; • Plans to follow on the success of our 2017 national broadcast of Festival of Carols by producing a CD of Festival of Carols concerts featuring Sylvia McNair recorded live at the Palladium, to be released on an internationally renowned label; • Hiring a nationally -recognized performer to headline the December 2019 Festival of Carols, to increase production values and generate interest in both the live concerts at the Palladium and the CD to be released. These funds will cover a portion of the costs associated with four days of hall rental and venue needs (e.g. box office staff, backstage staff, City of Carmel ticketing fees, security) for Festival of Carols, benefiting the City of Carmel and the entire region. This concert series has attracted multiple sold -out audiences at The Palladium since its move to the venue in December 2012. The Choir requests partial support for four performances of Festival of Carols in 2019 to meet the clear audience interest in and City of Carmel Arts Grant Program I Indianapolis Symphonic Choir I Page 2 demand for this high quality, family -friendly concert that has rapidly become a holiday tradition while keeping ticket prices affordable. Festival (.Organizational Sustainability ight Choir The 2019-2020 season marks the Indianapolis Symphonic Choir's 831 season: • Among the largest (top 1%) of symphonic choruses in the nation out of more than 250,000 choruses in the United States, in terms of budget size, programming and institutional capacity; • Will serve more than 25,000 persons via in -person concert experiences, plus hundreds of thousands further through local and national television broadcasts, radio broadcasts, and international recording releases. • In the midst of a highly successful $3.75 million endowment campaign. This campaign, launched in March 2017, is scheduled to be completed in July 2019. With eight months to go, we are at 90% of our goal, with more than $3.4 million secured in gifts and pledges. The Indianapolis Symphonic Choir was founded in 1937 to perform major choral - orchestral works. Over the years, the breadth of the Choir's programming has expanded to include not just classical, but other forms of music (gospel, jazz, sacred literature; annual commissions), as well as comprehensive community outreach/educational programming. From its creation 83 seasons ago to perform Beethoven's Ninth Symphony to its recent concerts, commissioned works, public City of Carmel Arts Grant Program I Indianapolis Symphonic Choir I Page 3 school partnerships, national/international tours, and professionally produced CDs, the Choir has developed into a stable and visionary leader on the national choral stage. Although the Symphonic Choir frequently performs with the Indianapolis Symphony Orchestra and maintains close association, the two organizations are independent entities. The Choir's concert programming and its community engagement/education offerings, marketing, fundraising, and governance are all self -managed. A professional staff comprised of Artistic Director, Executive Director, Assistant Artistic Director, General Manager, and Development Director are supported by roles including Keyboard Artist, Educational Specialist, Patron Relations, Administrative Support, Graduate Conducting Fellow, and Operational Assistants (student interns). A volunteer board of directors oversees the Choir's legal and fiduciary management, utilizing an active committee structure. Board members represent a cross-section of the community in terms of gender, age, creed, vocational experience and skill sets. Two board members also serve as singing members of the Choir. Additionally, every member of the board contributes annually at a leadership level and participates in ongoing board member training through Chorus America, annual retreats, and national conferences. At the time of this grant application submission, nearly all performances featuring the Symphonic Choir have attracted sold -out audiences over the past seven seasons. This is not just remarkable for this institution, but for arts organizations across the nation. Attendance at Festival of Carols is particularly strong and has expanded broadly, even in years during which December weather has been less than desirable —we have attracted more than 4,800 persons from across Indiana to the City of Carmel for a memorable evening during the holiday season. In fact, these four performances attract some of the largest audiences to the Arts & Design district during the year. We are pleased to serve Hoosiers with a family -friendly, high -quality memorable musical tradition each holiday season. Handel's Messiah — also in December at The Palladium — attracts a capacity audience. As a result, since December 2017 the Symphonic Choir has been featured in two performances of Messiah, which we anticipate continuing in December 2019. II. Arts Programming • A commitment to a world -class artistic product, leading the local community to greater artistry and excellence; City of Carmel Arts Grant Program I Indianapolis Symphonic Choir I Page 4 • Bold visioning leads to local success and national recognition, including through performances at Carnegie Hall, The Kennedy Center, international recording releases, and national television broadcasts. The Indianapolis Symphonic Choir creates choral (and choral -orchestral) performances that are recognized nationally by our peers as well as our regional audiences. The Choir's high -quality artistic product has garnered local and national broadcasts, recognition through the American Prize, and invitations to perform at American Choral Directors Association conventions. The quality of every performance consistently is at the highest of levels. The Choir is comprised of just over 200 unpaid (volunteer) singers who audition annually. These performers each dedicate over 210 hours to the organization annually (over 40,000 hours collectively) through rehearsal and performance during the 42-week performance season. The typical concert cycle requires 6 to 8 weeks of preparation. The Symphonic Choir's 83,d season includes a varied and attractive offering of choral music, reaching both seasoned arts consumers and individuals newer to the arts sector. The 2019-2020 season will feature Bach's B minor Mass, Festival of Carols, and performances with the Indianapolis Symphony Orchestra, including Messiah. December 2019 will include five performances of our annual holiday tradition Festival of Carols, the perfect opportunity for families to experience live musical performance while making new memories — in fact, this concert cycle sees our largest percentage of first-time attendees. The December 2018 performances will include the Symphonic Choir, Indianapolis Chamber Orchestra, Dance Kaleidoscope, High School Spotlight Choirs, as well as Indianapolis -area native, Butler graduate, and Broadway veteran Michele McConnell, who recently completed 8 years as Carlotta in Phantom of the Opera. In support of the vision of Mayor Brainard and the City of Carmel to maintain Carmel's status as the best place to live in the United States, Indianapolis Symphonic Choir produced and released a one -hour television special, Festival of Carols with Sylvia McNair. that was viewed in New York City, Los Angeles, Portland, San Francisco, Miami, and Chicago, as well as in smaller markets including Columbus, Ohio and Albuquerque, during the 2017 Christmas season. Building on the success of this production, we are seeking increased support from the City of Carmel through this arts granting program to produce a CD of Festival of Carols concerts featuring Sylvia McNair recorded live at the Palladium, to be released on an internationally renowned label. Festival of Carols has become a favorite holiday tradition for the Indiana Region. III. '•�k.. 1� �n� • Empower our base of singers, passionate patrons, and supporters to expand the Choir's mission throughout their networks. As a direct result of engaging an outside public relations firm in late 2011, the Choir has been attracting new audiences through increased media exposure and by expanding its performances to venues outside of Indianapolis, notably The Palladium. In addition, the Choir's focus on the patron experience turns first-time attendees into lifelong advocates, regular patrons, and dedicated donors. The Indianapolis Symphonic Choir targets communication for all of our concerts to segments of the population that may hold particular affinity for a given performance. Surveys at concerts and on line, as well as social media engagement, provide measurable data that accompany anecdotal evidence collected by participants and partner organizations to help determine what repertoire and other factors attract and retain audience members. These initiatives, plus the variety of musical styles included in a concert season, help the Choir reach a diverse audience in terms of age, race, geography, education, and income level. Ticket prices for Symphonic Choir concerts remain both competitive and accessible. Adult tickets range from $21 to $54 (depending on seating preference) with student/youth rates always $15. Special group rates are available as well, with group sales being especially attractive for holiday performances. IV. Arts Education and Lifelong Learning • Community and educational engagement programs for students; • Lifelong learning and cultural experiences for persons of all ages. The Choir's education and outreach programs are among the institution's most cherished offerings. With programs appropriate for persons of all ages, levels of musical experience, and income status, these offerings reach thousands of persons annually. According to a 2010 study by Chorus America, more than 35 million Americans sing in choirs; more persons sing in a choir than participate in any other art form. Adult opportunities (life-long learning) are numerous and continuous with the Choir's auditioned core of singers, who work with terminally degreed and international guest artists on a weekly basis. In addition, the Choir's educational programming includes workshops for high school choirs, an annual Christmas carol competition, community City of Carmel Arts Grant Program I Indianapolis Symphonic Choir I Page 7 education seminars highlighting works being performed, internship opportunities to learn office and arts management skills, and the nation's first Conducting Fellowship for students pursing a master's degree in choral conducting from Butler University. The Symphonic Choir provides subsidized tickets to lower -income senior communities to attend concerts, provides transportation assistance, and even brings concerts to senior communities through mobile performances for those unable to travel to the concert venues. Among the Symphonic Choir's most valuable partnerships is our relationship with area schools throughout metropolitan Indianapolis through Voices of Harmony. The Indianapolis Symphonic Choir is the official choral partner for all 68 schools in the Indianapolis Public School system, and also partners with school systems throughout Central Indiana. We provide in-service education for choir and general music teachers. Center Grove High School choir performing with the Symphonic Choir at December 2017 Festival of Carols The annual Spotlight Choir program serves as our ongoing side by side series, pairing the Symphonic Choir with area high school or middle school choirs as a component of the Festival of Carols concerts. Symphonic Choir Artistic Director Dr. Eric Stark leads in - class preparation with these partner schools, whose students perform their own repertoire and also sing with the Symphonic Choir members and orchestra. These opportunities encourage multi -generational learning and mentoring as adult and student participants perform together through the Festival of Carols performances — four of which in 2018 are scheduled to be performed at The Palladium with the financial support of the City of Carmel's arts grant program. The 2018 Spotlight Choirs will be from North Central High School and, at the Palladium performances, Covenant City of Carmel Arts Grant Program I Indianapolis Symphonic Choir I Page 8 Christian High School, whose director is a member of the Symphonic Choir. The 2019 Spotlight Choirs will be selected in the spring of 2019. This grant application to the City of Carmel is in the amount of $18,000 for partial support of four performances of the popular, family -friendly Festival of Carols, and of two performances of the evergreen Baroque favorite/ Handel's Messiah, at The Palladium in December 2019. These grant monies will be used to offset the cost of hall rental, stagehands, box office staff, venue security, and other expenses directly related to bringing these performances to the world -class venue. We are exceedingly grateful for the past support from the City of Carmel, and we look forward to continuing our service to Central Indiana through the arts and culture with your generous support. Among the largest symphonic choruses in the nation, this organization reaches more than 25,000 persons annually via concerts and outreach events, plus hundreds of thousands beyond through recordings and radio and television broadcasts. Recognized as a leader amongst peer choruses, we are honored to be among the top 1% of choruses in terms of budget size and overall institutional capacity in the United States. Your ongoing support of the Symphonic Choir's December performances at The Palladium allows us to keep up with anticipated audience demand —in 2017 we added the fourth performance of Festival of Carols as well as a second performance of Messiah and averaged 75% of capacity. At the time of submitting this report, we are preparing for our 2018 performances: Festival of Carols on December 21, 22 (two performances), and 23, and December 13 and 14 for Handel's Messiah. At present, ticket sales for the performances have reached 47% of seating capacity with 4 weeks before the final concerts. We expect at least two of the four Carmel performances of Festival of Carols will be sold out, and likely a third; anticipated overall attendance is expected to average more than 85% of capacity. The December 2018 Festival of Carols performances feature 225 performers, including 150 voices from the Indianapolis Symphonic Choir, together with the Indianapolis Chamber Orchestra and Dance Kaleidoscope —a rare opportunity to feature so many of the area's artistic treasures —and Spotlight Choirs from North Central High School and Covenant Christian High School. Special guest artist this year is Michele McConnell, an Indianapolis -area native and Butler graduate recently completing an 8-year, record -breaking run in the featured role of Carlotta in the Broadway cast of Phantom of the Opera. To support the opening night of Festival of Carols at the Palladium K-Love Radio station will be broadcasting live onsite. We are collaborating with the Carmel Christkindlmarkt to secure a place within the heart of the festivities to support both community events. The Symphonic Choir is also presenting two performances of Handel's oratorio Messiah, with a select choir of 70 voices, in collaboration with the Indianapolis Symphony Orchestra and our own Eric Stark conducting both performances. Beyond the timeless beauty of this Baroque masterwork, we continually see new audiences experiencing our classical music for the first time with each year's Messiah presentation. Messiah provides an attractive entree to a lifetime of arts participation. We expect these presentations of Handel's most famous work to continue to sell out. Education is a key component of our programming for the performances we provide at The Palladium. Of particular note is our Spotlight Choir initiative that pairs the Symphonic Choir with one or more different high schools each academic year. For the 2017/2018 season, we partnered with Avon High School and Center Grove High School. These students received unique opportunities not available elsewhere including master classes, multi -generational music -making, performing with professional musicians and orchestra, and the ability to experience the magnificence of world -class concert venues. Certainly, an inspiration! As mentioned previously, Covenant Christian High School joins the Symphonic Choir for the four Festival of Carols performances at The Palladium this December (North Central performs at another Festival of Carols performance at the Warren Performing Arts Center). Past Spotlight Choirs include Carmel, Fishers, Avon, Center Grove, Brownsburg, Plainfield, Herron, Manual, Lawrence North, Lawrence Central, and Franklin Central. This annual partnership is among our most impactful, and truly changes lives for the better through the arts. In December 2017, for the very first time in the history of the Indianapolis Symphonic Choir, we produced a broadcast of the highlights of Festival of Carols. This one -hour special was carried on PBS stations across the country during the Christmas season, introducing new audiences to the Symphonic Choir, The Palladium, the region, and the art form, while placing Indiana in a positive, inspiring light on the national stage. Through this broadcast Festival of Carols was viewed in New York City, Los Angeles, Chicago, Washington D.C., San Francisco, Cleveland, St. Louis, Portland, Baltimore, Salt Lake City, Sant Antonio, Columbus, Greenville, Grand Rapids, and more. Aside from strong programming, the Symphonic Choir is in a good financial position. We continue the trend of ending our fiscal years with a balanced budget. Individual donations, corporate sponsorships, and granting (foundation) revenue paired with earned income (e.g. ticket sales, performance fees) of approximately $1 million. Helping to ensure our continued financial stability, through a $3.75 million endowment campaign, we have secured over $3.4 million in cash and pledges--90% of our goal. Further, our Board of Directors represents a diverse cross-section of the Central Indiana community, all of whom support the Symphonic Choir at a leadership level; and the 200+ volunteer active singers on our roster, all of whom support the Choir financially, together contribute more than 40,000 volunteer hours through rehearsal, performance and community service annually. Our application for 2019 funding includes an increase in funding level to help underwrite a portion of the expenses related to producing a CD of Festival of Carols, recorded live at the Palladium, as well as to maintain the established level of artistic excellence while maintaining ticket prices that allow and encourage entire families to attend Festival of Carols performances.
