BPW 01-23-19-23 RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY ACKNOWLEDGING ARTS GRANT WHEREAS, pursuant to Indiana Code 36-1-4-7, the City of Carmel, Indiana ("City"), is authorized to enter into contracts; and WHEREAS, pursuant to Indiana Code 36-4-5-3, the City's mayor may enter into contracts on behalf of the City; and WHEREAS, pursuant to his authority under Indiana law, the City's mayor, the Honorable James C. In consideration of those mutual undertakings and covenants, the parties agree as follows: / 1. That on behalf of Grantee, a not -for -profit corporation, I, an authorized representative of Grantee, have applied for a City of Carmel ("Grantor") Arts Grant, said application attached hereto and made a part hereof as Exhibit "A." 2. Grant Agreement. The City, after review and recommendation by the Mayor, agrees to grant $ 230,000.00 to the Grantee for the eligible costs of the project (the "Project") or services as described in Exhibits "A" and "B" of this Agreement. The funds shall be used exclusively in accordance with the provisions contained in this Agreement. Generally, the Grant award may not exceed one third (1/3) of Grantee's combined contributed income, revenue of sales, and/or ticket revenue from the previous year. The City of Carmel may, however, make exceptions for start-up organizations that have been in existence for three (3) years or less. 3. Design and Implementation of Project. The Grantee agrees to use any and all grant funds in accordance with the proposal contained within this agreement and any documents attached to this Agreement, which are incorporated by reference. 4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a not -for -profit entity with a determination letter from the Internal Revenue Service declaring that it is exempt from Federal income tax. 5. Payment of Grant Funds by the City. The payment of this Grant by the City to the Grantee shall be made in accordance with the following conditions: A. "this Agreement must be fully executed and signed by both Grantee and Grantor. B. Grantee has attached all the following information, which it represents and warrants to be true and accurate, all which have been incorporated fully by reference: An application and description of the proposed use of the grant funds (EXHIBIT A); 2. A budget for the calendar or fiscal year for which the grant is requested (EXHIBIT B); 3. Certified copies of incorporation as a not -for -profit corporation under state law (EXHIBIT C); 4. A not -for -profit application or determination letter from the U.S. Internal Revenue Service identifying that it is a not -for -profit corporation that is exempt from Federal income tax (EXHIBIT D); 5. Any audits, reviews or compilations available describing the financial condition of the Grantee, most recent available IRS Form 990, and the attached Affidavit (EXHIBIT E); 6. A list of the Grantee's board of directors and officers listed (EXHIBIT F); 7. A Year End Report from the previous year if Grantee received an Arts Grant from the City of Carmel in the previous calendar year, pursuant to paragraph 8 herein (EXHIBIT G). C. Any other grant conditions that City requires to be met by Grantee, specifically: 6. Grantor's right to request audit or review. Grantee shall submit to an audit or review by an independent Certified Public Accountant of funds at the City's request, and shall make all books, accounting records and other documents available at all reasonable times during the term of this Grant Agreement, and for a period of three (3) years after final payment of funds under this Agreement, for the purpose of an audit by the City of Carmel, the State of Indiana, or their designees. Said review or audit, if requested, shall be performed by a Certified Public Accountant ("CPA") who 2 is neither an employee of Grantee nor a member of the Grantee's Board of Directors, to be provided to the City of Carmel by March 31 of the following year. 7. Quarterly financial statements. Grantee agrees to provide the City of Carmel quarterly financial statements within 45 days after each quarter -end for Grant awards in excess of sixty thousand dollars ($60,000). 8. Year-end review. Grantee agrees to provide the City of Carmel a year-end report ("Year End Report") for each year, describing how the grant was used and the impact of the dollars received. 9. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials associated with a funded program or project. The City of Carmel will supply, upon request, Grantee with the graphics/logos necessary for compliance. 10. Statutory Authority of Grantee. The Grantee expressly represents and warrants to the City that it is statutorily eligible to receive these monies and it expressly agrees to repay all monies paid to it under this Grant, should a legal determination of its ineligibility be made by any Court of competent jurisdiction. 11. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this Agreement shall be used only to implement the Project or provide the services in conformance with the Budget and for no other purpose. If it is determined by the City that misappropriation of funds have occurred, the Grantee must return all funds received by Grantor and individuals who misuse Grant funds may also be subject to civil and/or criminal liability under Indiana and Federal law. 12. Employment Eligibility Verification. The Grantee affirms under the penalties of perjury that he/she/it does not knowingly employ an unauthorized alien. The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is participating in the E-Verify program as defined in IC 22-5-1.7. The Grantee agrees to provide documentation to the City that he/she/it has enrolled and is participating in the E-Verify program. The City may terminate for default if the Grantee fails to cure a breach of this provision no later than thirty (30) days after being notified by the State. 13. Governing Law; Lawsuits. This Agreement is to be construed in accordance with and governed by the laws of the State of Indiana, except for its conflict of laws provisions. The parties agree that, in the event a lawsuit is filed hereunder, they waive their right to a jury trial, agree to file any such lawsuit in an appropriate court in Hamilton County, Indiana only, and agree that such court is the appropriate venue for and has jurisdiction over same. 3 14. Relationship of Parties. The relationship of the parties hereto shall be as provided for in this Agreement, and neither Grantee nor any of its compensated officers, employees, contractors, subcontractors and/or agents are employees of City. The Grant amount set forth herein shall be the full and maximum compensation and monies required of City to be paid to Grantee under or pursuant to his Agreement. 15. Severability. If any term of this Agreement is invalid or unenforceable under any statute, regulation, ordinance, executive order or other rule of law, such term shall be deemed reformed or deleted, but only to the extent necessary to comply with same, and the remaining provision of this Agreement shall remain in full force and effect. 16. Entire Agreement. This Agreement, together with any exhibits attached hereto or referenced herein, constitutes the entire agreement between Grantee and City with respect to the subject matter hereof, and supersedes all prior oral or written representations and agreements regarding same. Notwithstanding any other term or condition set forth herein, but subject to paragraph 15 hereof, to the extent any term or condition contained in any exhibit attached to this Agreement or in any document referenced herein conflicts with any term or condition contained in this Agreement, the term or condition contained in this Agreement shall govern and prevail. This Agreement may only be modified by written amendment executed by both parties hereto, or their successors in interest. We are grateful to Mayor Brainard for your visionary understanding that the arts play a keystone role in a thriving community that attracts and retains the best and brightest, that inspires today's children who will be tomorrow's leaders. This application is submitted for general operating support of the Great American Songbook Foundation, which provides for both increased programming and enhancement of our preservation of the American Songbook. Specifically, this first-time application by the Songbook Foundation to the City of Carmel's Arts Grant Program provides for growth in these primary areas: Songbook Academy: Each summer, the Songbook Academy reaches more than 3,300 audience members, 400 youth and selects the next Songbook Youth Ambassador. This Ambassador travels the nation in the ensuing year, serving as a champion for this uniquely American artform while simultaneously developing their musical ability. The Songbook Academy is a national program, and it goes without saying, but undoubtedly bears repeating: This program is a gem in the crown of Carmel's arts programs and elevates the City's and the Songbook Foundation's notoriety still higher. We look forward to exploring future growth of this program, including through national television broadcasts, activating the base of Songbook Academy alumni, expansion to year-round programming, and partnerships with noted high school and college institutions across the United States. Further, we seek to expand the Songbook Academy to include not only singers, but also the next generation of songwriters, lyricists and instrumentalists. The sentiments of a Songbook Academy participant perfectly capture the import of the program: "...too much to put into words. A greater love for what 1 do. A greater confidence in myself. 1 just love it at the Songbook Academy so much. It's my favorite week of the year at my favorite place in the world." Cole Winston, '15-'17 Perfect Harmony: Music serves not only youth, but it serves those in their golden years. Perfect Harmony is a music therapy -based program that leverages music from the American Songbook to serve elderly persons with dementia, Alzheimer's disease, and other neuro-degenerative conditions. Initially launched as a program to be offered once each month, Perfect Harmony already has grown in its short 18-month lifespan to serve more than 660 seniors annually and is presented an average of three times per week, each week in the Songbook Foundation's exhibit gallery within The Palladium. Page 1 Exhibit A The Great American Songbook Foundation Michael Feinstein, Founder AT THE CENTER FOR THE PERFORMING ARTS The husband of a Perfect Harmony Attendee who is fighting early -stage Alzheimer's disease recently shared: "My wife has Alzheimer's disease. What this does is the music helps reconnect her with the world. While she can't remember many things, she remembers songs that she heard 50 years ago, completely. And this really makes her day very, very good. We have times that are not the best — but these [programs] help make the times extra special for her." Perfect Harmony is among but a few initiatives of its type in the entire nation, and the Songbook Foundation is in the midst of strategic conversations about launching this precious service on a national level as The Greatest Generation continues to age, and the Baby Boomer population moves toward three-quarters of a century old. Preserving Songbook Artifacts: Increased preservation, including specifically with paper artifacts from composers Richard Whiting and Meredith Willson; these would be added to our digital exhibit online which are available to anyone, anywhere. At the same time, the Songbook Foundation recently received artifacts from the estates of Liza Minnelli and Vic Damone for which we do not yet have funding. Further, more than 150,000 pieces from the Paramount Music Library will arrive in spring 2019. A portion of the funding from this application will be directed toward preserving these unique, vital pieces of American history. Many of the current items in our archive — including Hy Zaret's original lyrics to Unchained Melody and the Bone Recordings — hold not just national significance, but also international importance. Indeed the Songbook Foundation is a national and international organization. As Michael Feinstein said, "Only time will determine what is important in the long term. But something can be rediscovered only if someone has collected and preserved it." But why support the Great American Songbook Foundation today? This represents the first such time the Songbook Foundation has requested financial support through the City of Carmel Arts Grant Program. We submit this request as the Songbook Foundation has taken significant steps forward in recent years, and now finds itself in a position to request thoughtful support from the City of Carmel much in the way our peer arts organizations housed at the Center for the Performing Arts have over the years. Our mission is strong, our financial position is thriving and growing. The overall stock of the Songbook Foundation is riding high, and yet there is considerably more we can — and will — do for the community we call home, and the artform we serve. The Songbook Foundation is an institution with a national reach housed right here in Carmel at the Center for the Performing Arts — no doubt a unique opportunity to further elevate the presence of the Center and this community on the national stage. The Great American Songbook Foundation was established in 2007 and is among the arts and culture organizations that contribute to the Carmel and Central Indiana region being a vibrant, musically -active community. The Songbook Foundation is dedicated to the preservation and promotion of the music of the Great American Songbook — a unique balance of historic and archival preservation (including through our archive collection of more than half a million scores, artifacts, writings and recordings) combined with promoting this uniquely -American genre of music for future generations. The Great American Songbook is the canon of the most important and influential American popular songs and jazz standards from the early 20th century that have stood the test of time in their life and legacy. Often referred to as "American Standards," the songs published during the Golden Age of this genre include those popular and enduring tunes from the 1920s to the 1950s that were created for Broadway theatre, musical theatre, and Hollywood musical film. Composers often associated with the genre include George and Ira Gershwin, Henry Mancini, and fellow Hoosiers Hoagy Carmichael and Cole Porter, just to name a few. The Songbook Foundation Special Collections and Archives includes more than 40,000 pieces of sheet music, 1,000+ arrangements including that written for Bob Hope, Sandler & Young, Dinah Washington, Bing Crosby and many more. Plus 3,000 books, 7,000 LPs, 1,000 DVDs and more than 6,000 CDs. Further, our Archives features the most comprehensive collection of Andrews Sisters items, the Meredith Willson papers (composer of The Music Man), Hy Zaret papers, Rudy Vallee Radio Show recordings, plus the papers of noted lyricist and composer Gus Kahn and Ray Charles. Participants in a recent Perfect Harmony program The Songbook Foundation is a 501(c)3 non-profit organization physically located at The Center for the Performing Arts in Carmel, Indiana. With an operating budget of $1.3 million in the current fiscal year that runs from July 1, 2018 through June 30, 2019, the organization consistently ends fiscal years with a balanced budget. Additionally, we are one of only five Grammy Museum affiliates around the globe owing to our unique mission in the arts and culture sector. Not only does this reflect the significance of our mission, but the national and international spotlight that shines on Carmel for many reasons, including the fact of being home to the Great American Songbook Foundation. Worth noting is the figure included within the affidavit as contained in this grant application. Gross revenue for the Songbook Foundation FY18 was $16,392,655. This includes the gift of the Asherwood Estate which represents $15,415,000. For sake of year over year financial comparison of our basic operating budget, the FY19 figure referenced in the previous paragraph of $1.3 million more closely compares with the FY18 figure of $966,655 — the difference between FY18 gross revenues when revenue related to the one-time Asherwood gift is removed. Led by a 21-member Board of Directors (from which 100% of Board members donate financially) and a staff of four full-time professionals, the institution is applying for financial support from the City of Carmel Arts Grant program for general operating support in the amount of $250,000. Having recently received the horizon -altering gift of the Asherwood Estate from Mrs. Bren Simon, the Songbook Foundation's future has been transformed significantly. This momentous gift truly has every right to be called life -changing for this organization, and today's fellow residents — plus the generations still to come — could not be more grateful. No financial support of the Songbook Foundation through the City of Carmel Arts Grant program will be used for expenses related to the Asherwood Estate. The entirety of support from the Arts Grant program will be directed toward the core mission of the Songbook Foundation. While the gift of Asherwood is transformative, the leadership of the Songbook Foundation embraces the fact that we must will remain resolutely committed to the programs and mission of the Songbook Academy: Preservation, promotion and performance of the Great American Songbook. The Songbook Academy' is a national summer music intensive for young singers who have an interest in the American Songbook. Students who love the music of classic Broadway shows, jazz, and popular music have the life -changing opportunity to work with music industry pros, award winning singers and performers, and educators from the top University music and theatre programs in the country including Indiana University, Butler University, the University of Indianapolis and more. High school students who are U.S. residents and live in the fifty continental United States are invited to apply. After evaluation, approximately forty students will be invited to attend the seven-day Songbook Academy, which takes place at The Palladium each July. A Songbook Ambassador is selected and will perform across the nation in the year that follows — a life -changing opportunity for the next generation of Songbook performers! The strategy for growing our income streams at the Foundation has been — and continues to be — focused on our base of support from individual donors and corporate partners. This remains key to our long-term financial stability and growth, no doubt. Prior to applying for support through the Arts Grant program, our leadership sought to have "the house in good shape" so that our application to the City would be more compelling and appropriately timed. We find ourselves now poised to explore generous support from the City of Carmel Arts Grant Program as the organization is more than 10 years old, has an operating budget of $1.3 million; presents a breadth of programming that serves our community, and is poised to make considerable strides in building a stand - Page 4 Exhibit A The GreatAmerican Songbook Foundation Michael Feinstein, Founder AT THE CENTER FOR THE PERFORMING ARTS alone Songbook Hall of Fame Museum in the coming years. We believe now is the right time to explore a relationship between our Foundation and the City of Carmel Arts Grant Program. We are unique. We recognize that, and we fully embrace this belief. The Great American Songbook Foundation is the institution in the entire nation walking this walk, preserving and promoting this uniquely American genre of music. And yet, the vision of Mayor Brainard included hosting this one -of -a - kind arts organization here in Indiana, in Central Indiana, in Carmel's thriving core. As recordings, music and artifacts age, deteriorate and disappear entirely, we are positioned to preserve those for future generations to embrace, research and build upon. At the same time, our inclusion of programs that leverage this art form not as something "from the past," but rather of great value and importance for today, positions us as a living musical museum — we keep one foot planted in the past, and one foot marching toward the future. And speaking of the future, what all might that include? We have every reason to believe that anything is possible if we dream big, plan accordingly and then execute with unbridled fervor. Among the priorities in the Songbook Foundation's promise -laden future are Songbook Academy national television broadcasts, and expanding the Songbook Academy into a year -long program; developing our reach across the nation through programs and partnerships, construction of the Songbook Hall of Fame Museum in Carmel; plus establishing and building an endowment to provide for the well-being of this institution in perpetuity. The Songbook Foundation being designated a Grammy affiliate Mayor Brainard quoted President John F. Kennedy, saying "...the life of the arts, far from being an interruption, a distraction in the life of the nation, is very close to the center of a nation's purpose — and it is the test of the quality of a nation's civilization." Much in the same spirit does another quote of the 351h President rise to the surface when surveying the future of the Great American Songbook Foundation: "We choose to go to the Moon in this decade and do the other things, not because they are easy, but because they are hard." Let us aim high. Let us be bold. The Songbook Foundation is prepared to move into the next chapter of its service to this community, to the arts, and to the nation. We are grateful for your consideration of this request for support, and we look forward to the future together.
