BPW 01-23-19-24 RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY ACKNOWLEDGING ARTS GRANT WHEREAS, pursuant to Indiana Code 36-1-4-7, the City of Carmel, Indiana ("City"), is authorized to enter into contracts; and WHEREAS, pursuant to Indiana Code 364-5-3, the City's mayor may enter into contracts on behalf of the City; and WHEREAS, pursuant to his authority under Indiana law, the City's mayor, the Honorable James C. In consideration of those mutual undertakings and covenants, the parties agree as follows: "That on behalf of Grantee, a not -for -profit corporation, 1, D en 1.5 f- SQ (a m , C- an authorized representative of Grantee, have applied for a City of Carmel ("Grantor") Arts Grant, said application attached hereto and made a part hereof as Exhibit "A." 2. Grant Agreement. The City, after review and recommendation by the Mayor, agrees to grant $ 5 9 , 5 0 0.0 0 to the Grantee for the eligible costs of the project (the "Project") or services as described in Exhibits "A" and "B" of this Agreement. The funds shall be used exclusively in accordance with the provisions contained in this Agreement. Generally, the Grant award may not exceed one third (1/3) of Grantee's combined contributed income, revenue of sales, and/or ticket revenue from the previous year. The City of Carmel may, however, make exceptions for start-up organizations that have been in existence for three (3) years or less. 3. Design and Implementation of Project. The Grantee agrees to use any and all grant funds in accordance with the proposal contained within this agreement and any documents attached to this Agreement, which are incorporated by reference. 4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a not -for -profit entity with a determination letter from the Internal Revenue Service declaring that it is exempt from Federal income tax. 5. Payment of Grant Funds by the City. The payment of this Grant by the City to the Grantee shall be made in accordance with the following conditions: A. This Agreement must be fully executed and signed by both Grantee and Grantor. B. Grantee has attached all the following information, which it represents and warrants to be true and accurate, all which have been incorporated fully by reference: An application and description of the proposed use of the grant funds (EXHIBIT A); 2. A budget for the calendar or fiscal year for which the grant is requested (EXHIBIT B); 3. Certified copies of incorporation as a not -for -profit corporation under state law (EXHIBIT C); 4. A not -for -profit application or determination letter from the U.S. Internal Revenue Service identifying that it is a not -for -profit corporation that is exempt from Federal income tax (EXHIBIT D); 5. Any audits, reviews or compilations available describing the financial condition of the Grantee, most recent available IRS Form 990, and the attached Affidavit (EXHIBIT E); 6. A list of the Grantee's board of directors and officers listed (EXHIBIT F); 7. A Year End Report from the previous year if Grantee received an Arts Grant from the City of Carmel in the previous calendar year, pursuant to paragraph 8 herein (EXHIBIT G). C. Any other grant conditions that City requires to be met by Grantee, specifically: 6. Grantor's right to request audit or review. Grantee shall submit to an audit or review by an independent Certified Public Accountant of funds at the City's request, and shall make all books, accounting records and other documents available at all reasonable times during the term of this Grant Agreement, and for a period of three (3) years after final payment of funds under this Agreement, for the purpose of an audit by the City of Carmel, the State of Indiana, or their designees. Said review or audit, if requested, shall be performed by a Certified Public Accountant ("CPA") who 2 is neither an employee of Grantee nor a member of the Grantee's Board of Directors, to be provided to the City of Carmel by March 31 of the following year. 7. Quarterly financial statements. Grantee agrees to provide the City of Carmel quarterly financial statements within 45 days after each quarter -end for Grant awards in excess of sixty thousand dollars ($60,000). 8. Year-end review. Grantee agrees to provide the City of Carmel a year-end report ("Year End Report") for each year, describing how the grant was used and the impact of the dollars received. 9. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials associated with a funded program or project. The City of Carmel will supply, upon request, Grantee with the graphics/logos necessary for compliance. 10. Statutory Authority of Grantee. The Grantee expressly represents and warrants to the City that it is statutorily eligible to receive these monies and it expressly agrees to repay all monies paid to it under this Grant, should a legal determination of its ineligibility be made by any Court of competent jurisdiction. 11. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this Agreement shall be used only to implement the Project or provide the services in conformance with the Budget and for no other purpose. If it is determined by the City that misappropriation of funds have occurred, the Grantee must return all funds received by Grantor and individuals who misuse Grant funds may also be subject to civil and/or criminal liability under Indiana and Federal law. 12. Employment Eligibility Verification. The Grantee affirms under the penalties of perjury that he/she/it does not knowingly employ an unauthorized alien. The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is participating in the E-Verify program as defined in IC 22-5-1.7. The Grantee agrees to provide documentation to the City that he/she/it has enrolled and is participating in the E-Verify program. The City may terminate for default if the Grantee fails to cure a breach of this provision no later than thirty (30) days after being notified by the State. 13. Governing Law; Lawsuits. This Agreement is to be construed in accordance with and governed by the laws of the State of Indiana, except for its conflict of laws provisions. The parties agree that, in the event a lawsuit is filed hereunder, they waive their right to a jury trial, agree to file any such lawsuit in an appropriate court in Hamilton County, Indiana only, and agree that such court is the appropriate venue for and has jurisdiction over same. 3 14. Relationship of Parties. The relationship of the parties hereto shall be as provided for in this Agreement, and neither Grantee nor any of its compensated officers, employees, contractors, subcontractors and/or agents are employees of City. The Grant amount set forth herein shall be the full and maximum compensation and monies required of City to be paid to Grantee under or pursuant to his Agreement. 15. Severability. If any term of this Agreement is invalid or unenforceable under any statute, regulation, ordinance, executive order or other rule of law, such term shall be deemed reformed or deleted, but only to the extent necessary to comply with same, and the remaining provision of this Agreement shall remain in full force and effect. 16. Entire Agreement. This Agreement, together with any exhibits attached hereto or referenced herein, constitutes the entire agreement between Grantee and City with respect to the subject matter hereof, and supersedes all prior oral or written representations and agreements regarding same. Notwithstanding any other term or condition set forth herein, but subject to paragraph 15 hereof, to the extent any term or condition contained in any exhibit attached to this Agreement or in any document referenced herein conflicts with any term or condition contained in this Agreement, the term or condition contained in this Agreement shall govern and prevail. This Agreement may only be modified by written amendment executed by both parties hereto, or their successors in interest. While GHDT has had the opportunities to tour and perform overseas, around the country, and throughout Indiana, Carmel officially became the company's home in the fall of 2009. After discussion with local city officials, plans developed to become the professional resident dance company at The Tarkington. GHDT established itself in Carmel with a new rehearsal space and Academy adjacent to The Center for the Performing Arts. GHDT is excited to be a part of The Center and is proud to embrace an international, as well as local reputation for inspiring and moving theatrical productions in Carmel, Indiana. Gregory Hancock Dance Theatre (GHDT) is unique in the Indiana arts community in several distinct ways and is excited to continue to bring its work to Carmel audiences. Unlike many other performing groups, GHDT does not reproduce the work of other artists, but rather presents new, original art that is created by Executive Artistic Director, Gregory Hancock, a resident of Carmel. GHDT is known for the fusion of classical dance with traditional, national, and ethnic dance forms. GHDT uses the grace and technique of ballet as the foundation. The strength and energy of modern dance is blended with the heritage of varied cultural movement to give audiences a new way to experience dance. Through this unique commitment, opportunities to explore the literature, music, and legends of other cultures are brought to Carmel and Indiana. The cultural diversity of GHDT not only encompasses artistic work but can also be found in partnerships with a variety of individuals, businesses and organizations. GHDT participates with Christel House International Academy fundraising event and numerous local Indian community events. New partnerships were established as the result of the production of GHDT's LA CASA AZUL - THE MUSICAL with the Mexican Consulate, AMIGOS, La Plaza, and Beatriz Vasquez. In order to move LA CASA AZUL to Broadway, Mr. Hancock has developed new partnerships with directors and producers in New York City. He has revised and enhanced LA CASA AZUL and will present this new work in the summer of 2019. GHDT also continues to partner with numerous cultural communities in Central Indiana, including the Indian, Pakistani, Greek, Russian, Jewish and Hispanic communities. Mr. Hancock continues to travel to India to maintain his working relationships with several dance companies and schools. He continues to provide internships for Indian dancers to train with GHDT and participate in a company performance at the Tarkington. Through the diligence of the Executive Artistic Director and the Board of Directors to manage to a sound financial position, GHDT continues to bring beautiful performances to the stage supported by contributions of generous donors, businesses, government and foundations. GHDT is continuously looking for new sources of revenue and funding, while keeping artistic and creative needs within conservative budget numbers. GHDT continues working to build relationships with area businesses and Carmel/Indianapolis corporations where arts development, culture and education are part of their community mission. GHDT participates in Carmel Fest and the Carmel Farmer's Market with a booth to meet area residents and businesses and share our mission. Through invitations for complimentary tickets to attend performances at the Tarkington, GHDT continues to reach out to the Carmel community to build awareness and to educate the Carmel community about GHDT's commitment to artistic excellence and programming. Carmel City Council members are offered complimentary tickets to all GHDT performances. It has been an honor for GHDT to have Bruce Kimball, Laura Campbell, and Ron Carter in our audience at the Tarkington for GHDT concerts. GHDT utilizes local business for print and creative marketing materials, operation insurance, event food and beverage, guest accommodations, and other goods and services. Over half of the members of the Board of Director's are residents of Carmel. GHDT continues to develop ideas for collaboration with area arts organizations. PROPOSED USE OF FUNDS GHDT is requesting funds to help support the 2019 operating expenses; including GHDT's eighth season at the Tarkington at the Center for the Performing Arts. With the move to Carmel, funding opportunities from Indianapolis city and arts organizations and the Lilly Endowment are not available. Carmel support is critical for GHDT to survive and thrive. By performing at the Center for the Performing Arts, Gregory Hancock Dance Theatre strives to offer Carmel, Hamilton County and Central Indiana audiences, opportunities to experience professional dance through exciting and inspiring theatrical performances. The expense of producing professional dance concerts is substantial. Professional artistic and technical salaries are rightfully the number one expense of the company. Offering competitive, full time company dancer salaries is a priority and is necessary to hire and retain qualified personnel and produce a high quality production. GHDT's artists are compensated for 36 weeks of work per season and work Monday through Friday on a typical work week, with performances on weekends. This is their primary employment. GHDT is requesting to be considered for an increase in funding for 2019. Funding from the Carmel City Arts Grant will be used to help cover operational expenses which include: artists' salaries, tech/contract labor, studio rehearsal space rental, marketing, advertising, costumes, insurance, accounting fees, and daily operating expenses. The focus will be on artists' salaries. GHDT is requesting an increase in funding to pay competitive artistic salaries and to hire 2 additional male dancers (expense of $33,000) necessary for 2019 productions and an Assistant Artistic Director ($10,000). The need to enhance the salaries of artists and add paid staff members is necessary to strengthen and grow the organization. Currently GHDT operates on many generous volunteer hours but must add paid staff for consistent growth results. An increase in funding is also being requested to partially support the production of LA CASA AZUL, The Musical ($7,000). After winning a regional Emmy award for LA CASA AZUL, The Musical in 2017, Mr. Hancock consulted with directors and Broadway producers in New York. As a result, he has revised and enhanced this musical with the goal of moving it forward to the Broadway stage. Indiana residents will have the opportunity to be the first audience to see this new work in the summer of 2019 featuring talented professional lead cast members, the professional dancers of GHDT and community artists. Broadway producers, directors and musical theatre experts from throughout the nation will be attending this production for the purpose of considering it for future productions in theatres throughout the nation. GHDT appreciates being considered for an increase in funding in 2019 to support this unique and exceptional production. GHDT is honored and grateful to receive financial support from the City of Carmel. We greatly appreciate the opportunity to be considered for an increase in funding in 2019, to provide competitive artistic salaries, hire an Assistant Artistic Director and to help produce LA CASA AZUL, The Musical. Ongoing, strong support from the City of Carmel is vital for GHDT to continue to offer such ground -breaking performances and world premiere works to Central Indiana audiences. EXHIBIT G GREGORY HANCOCK DANCE THEATRE 2018 YEAR END REPORT In 2018, GHDT continued to operate with a lean conservative business approach. GHDT'S 2018 PERFORMANCE AND COMMUNITY EVENTS GHDT held a rigorous rehearsal and performance schedule in 2018 including performances at The Tarkington, the black box studio at The Academy of GHDT, community events and exclusive private events. These included performances in Carmel, Central Indiana and in Florida: • SIMCHA — February 3 —18 at The Academy of GHDT in Carmel, Indiana This was a series of cabaret -style concerts for three weekends that celebrated the beauty of Jewish heritage and culture through theatrical dance. • SUPERHERO, the story of a man called Jesus — March 30-31 at The Tarkington. GHDT has listened to a multitude of requests from past audience members asking for SUPERHERO to return once more to The Tarkington on Easter weekend. GHDT is pleased to have made this connection with the City of Carmel patrons and presented this final performance of SUPERHERO, before returning it to the vault. • G2 IN CONCERT & ACADEMY SHOWCASE - June 1— 3 at The Academy of GHDT. The talented young dancers of GHDT's pre -professional company and the students of The Academy of GHDT entertained the Carmel audiences. • THE HUNCHBACK OF NOTRE DAME - June 29 — 30 at The Tarkington. This is a beautiful and timeless tale of love and jealousy that is set on the streets of Paris and in the historic church, Notre Dame de Paris. This captivating performance tells the dramatic story of Esmeralda, the gypsy girl, and Quasimodo, the church bell-ringer, through beautiful sets, vibrant music and powerful dancing. • CARMEL FEST, July 3 and 4, City of Carmel • INTOXICATING INDIA -August 18 — 26, Indy Fringe Festival at the District Theatre in Indianapolis • MIA DAY ON THE CIRCLE -August 20 in downtown Indianapolis • ARTS MIDWEST CONFERENCE —September 6, 7, 8, Indianapolis GHDT had a booth at this conference and promoted not only the artistry of Carmel resident, Gregory Hancock, but also GHDT as the resident dance company at The Tarkington. GHDT also promoted The Center for the Performing Arts to artists, entertainers and presenters throughout the Midwest and nation. • THE CASKET GIRLS - September 21 — 22 at The Tarkington. This is a modem, original gothic vampire ballet created by master storyteller Gregory Hancock in collaboration with Composer Cory Gable. It is a fascinating and unique tale of the origins of vampires in New Orleans. • INDIAN PRIVATE EVENT — October 26-27 at The Breakers, Palm Beach, Florida • ALICE AND HER BIZARRE ADVENTURES IN WONDERLAND - November 9 — 11 at The Academy of GHDT. GHDT takes a gothic turn into artistic delirium with a wonderful re -telling of Lewis Carrol's "Alice in Wonderland". • DIWALI PRIVATE EVENT — November 17 in Plainfield, Indiana • THE NUTCRACKER The final performance of the year will be the all -student production of THE NUTCRACKER at The Pike Performing Arts Center on November 29, 30 and December 1. Two school matinees will be attended by 2,500 school age students and teachers. Three public weekend performances will also be provided. THE ACADEMY OF GREGORY HANCOCK DANCE THEATRE In addition to GHDT's professional theatrical concerts, GHDT's programming for youth and educational programs continue to impact students and student dancers throughout Central Indiana, starting with the annual all -student production of THE NUTCRACKER each December. Through summer intensive workshops and the year-round training, The Academy of GHDT offers excellent education and performance opportunities. Through its pre -professional student company (G2), young students who are aspiring to become professional dancers have opportunities to train and perform GHDT repertoire, and to work with the professional dancers of GHDT GHDT's VETERAN COMMUNITY ENGAGEMENT PROGRAM In 2018, GHDT continued to successfully implement the Veteran Community Engagement Program. GHDT started this program in 2015 to provide free tickets to all GHDT's performances at The Tarkington for currently serving military, veterans, and immediate families of troops killed in action. GHDT has partnered with VET-TIX, an organization that provides free tickets to Veterans and Military families to sporting events, concerts, performing arts events, educational programs, and family activities. VET-TIX secures these tickets and makes them available to Veterans and Military families through the website VETTIX.org. In 2018, GHDT gave VET-TIX 80 tickets for 6 performances at The Tarkington. A total of 240 tickets were available to Veterans and their families for the 2018 performance season at The Tarkington. This program has been a great success for GHDT and all the tickets posted on the website are quickly taken. Veterans travel from all counties in Indiana and from out of state to attend GHDT productions. This population includes seniors, adults, teens and children. Veterans from Hamilton and Marion County dominate the target population. VET-TIX advertises GHDT's performance to all Veterans across the nation. This draws Veterans and their families from all over the state of Indiana as well as out of state residents. In 2018, Veterans from the following counties in Indiana attended GHDT performances.: • Hamilton • Marion • Hendricks • Johnson • Porter • Boone • Miami • Delaware • Morgan • Randolph • Vigo • Monroe • Madison • Kosciucko • Wabash • Shelby • Montgomery. In 2018, 75% of the Veterans attending GHDT performances were from Indiana. The remaining 25% were out of state. These states included: • Kenosha, WI • Mount Washington, KY • Fairborn, OH • Gadsden, AL • Chula Vista, CA • Colorado Springs, CO • Dayton, OH • Richmond KY • Lexington, KY • Vine Grove, KY • Villa Park, IL • Elizabethtown, KY BENEFITS FOR THE CITY OF CARMEL GHDT board members have the opportunity to speak with the Veterans in the lobby of The Tarkington before and after the performances. We have learned that the Veterans from out of state and from distant counties in Indiana will travel to Carmel specifically to see GHDT performances. As a result, they will make a weekend out of their trip. Veterans are staying in hotels in Carmel and are eating in local restaurants, shopping and attending other events in the community during this weekend. The City of Carmel and Hamilton County reaps economic benefits from the out of town Veterans who choose to patronize local businesses throughout their stay. The demand for tickets has grown over the past year and GHDT will increase the number of tickets available to Veterans for performances at The Tarkington in 2019. GHDT is grateful to receive financial support from the City of Carmel. Our ability to offer world premiere works and attract new audience members is dependent on this type of funding. It is our ambition to grow artistically and operationally in 2019 and to provide unique dance and musical productions in this community. We appreciate the funding that the City of Carmel provides, for it allows us to continue with our mission and to be one of Carmel's greatest artistic assets.
