LIMITED LIABILITY COMPANY POWER OF ATTORNEY AND
REAL ESTATE TRANSACTION RESOLUTION
Vine Property Group, LLC, ("Compan�') an Indiana limited liability company, at a special
meeting of the Members held May 1, 2019, grants the following powers to its Authorized Agent and
adopts the following Resolution:
WIIEREAS, Randall David Reichmann, real estate advisor and agent to the Company
(hereinafter referred to as "Autharized Agent"), provides general real estate services and assistance
to Jeffrey N. Simmons and Annette K. Simmons, Co-Managers of the Company; and
WH�REAS, Jeffrey N. Simmons and Annette K. Simmons are, at times, physically unable
to submit offers and attend real estate transactions of the Company due to business travel and other
demands of the Co-Managers.
THEREFORE, the Company grants and adopts that Randall David Reichmann ("Authorized
Agent") is authorized by the Co-Managers of Vine Property Group, LLC to execute and deliver
purchase agreements, sales contracts, closing statements and other agreements, documents and
instruments, and further carry out all reasonable and necessary acts as follows.
A. To acquire, own, manage, lease, mortgage, sell and otherwise deal with real
property and. to have general authority with respect to real property
transactions as provided in Indiana Code Section 30-5-5-2.
B. To acquire, own, manage, sell and otherwise deal with tangible personal
` � property and to have general authority with respect to personal property
transactions as provided in Indiana Code Section 30-5-5-3.
The undersigned certifies that the Authorized Agent is duly appointed by or far the
Company, as the case may be, and that the foregoing powers granted and the resolutions adopted
herein now stand of record on the books of the Company; and that the powers granted and
resolutions are in full farce and effect and have not been modified or revoked in any manner
whatsoever.
- The Company ratifies and coniirms all acts that its Authorized Agent shall da by virtue of
this Power of Attorney and Company Resolution. To that end, any person, firm or corparation
paying any money to, or delivering or conveying any property to, or having any dealings with the
Company's Authorized Agent shall rely upon any payment, delivery, conveyance or dealing to the
same extent as if such had been handled by the Company directly. Each and every receipt9 deed,
matter, act and thing which shall be by the Authorized Agent given, made, or done for any of the
above described purposes, shall be as good, valid and effectual to a11 intents and purposes as if the
same had been signed, sealed, delivered, or given by the Company directly. Any person making a

the United States of America, and foliowing Title 865 State Board of
Registration for Land Surveyors, Article 1, General Provisions, Rule 12,
