RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY
ACKNOWLEDGING ARTS GRANT PROGRAM AGREEMENT
WHEREAS, pursuant to Indiana Code 36-1-4-7, the City of Carmel, Indiana ("City"), is authorized to
enter into contracts;and
WHEREAS,pursuant to Indiana Code 36-4-5-3,the City's mayor may enter into contracts on behalf of the
City;and
WHEREAS, pursuant to his authority under Indiana law, the City's mayor, the Honorable James C.
Brainard,has caused to be signed the Arts Grant attached hereto as Exhibit A(the"Contract");and
WHEREAS, Mayor Brainard now wishes to present the contract to the City's Board of Public Works and
Safety for it to be publicly acknowledged,filed in the Clerk's Office,and made available to the public for review.
NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Board of Public Works and Safety as
follows:
1.The foregoing Recitals are incorporated herein by this reference.
2.The receipt of the Contract is hereby acknowledged.
3.The Contract shall be promptly filed in the office of the Clerk and thereafter made available to the public'
for review.

ARTS GRANT PROGRAM
AGREEMENT
This Grant Agreement (herein referred to as "Agreement") entered into by and between the City
of Carmel (the "City") and g i A A€`a- Pt c tv t-G i w• aft-0 v P (the
"Grantee"), is executed pursuant to the terms and conditions set forth herein. In consideration of
those mutual undertakings and covenants,the parties agree as follows:
1. That on behalf of Grantee, a not-for-profit corporation, I, CAR S Gvcv-PELtw ,
an authorized representative of Grantee, have applied for a City of Carmel
("Grantor") Arts Grant, said application attached hereto and made a part hereof as
Exhibit"A."
2. Grant Agreement. The City, after review and recommendation by the Mayor,
agrees to grant $ 5-1 OOO . 00 to the Grantee for the eligible costs
of the project (the "Project") or services as described in Exhibits "A" and "B" of this
Agreement. The funds shall be used exclusively in accordance with the provisions
contained in this Agreement. Generally, the Grant award may not exceed one third
(1/3) of Grantee's combined contributed income, revenue of sales, and/or ticket
revenue from the previous year. The City of Cannel may, however, make exceptions
for start-up organizations that have been in existence for three(3)years or less.
3. Design and Implementation of Project. The Grantee agrees to use any and all grant
funds in accordance with the proposal contained within this agreement and any
documents attached to this Agreement,which are incorporated by reference.
4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a
not-for-profit entity with a determination letter from the Internal Revenue Service
declaring that it is exempt from Federal income tax.
5. Payment of Grant Funds by the City. The payment of this Grant by the City to the
Grantee shall be made in accordance with the following conditions:
A. This Agreement must be fully executed and signed by both Grantee and Grantor.
B. Grantee has attached all the following information, which it represents and warrants
to be true and accurate, all which have been incorporated fully by reference:
1. An application and description of the proposed use of the grant funds (EXHIBIT
A);
2. A budget for the calendar or fiscal year for which the grant is requested
(EXHIBIT B);
3. Certified copies of incorporation as a not-for-profit corporation under state law
(EXHIBIT C);
4. A not-for-profit application or determination letter from the U.S. Internal Revenue
Service identifying that it is a not-for-profit corporation that is exempt from
Federal income tax (EXHIBIT D);
5. Any audits, reviews or compilations available describing the financial condition
of the Grantee, unaudited Balance Sheet and Income Statement, most recent
available IRS Form 990, and the attached Affidavit(EXHIBIT E);
6. A list of the Grantee's board of directors and officers listed(EXHIBIT F);
7. A Year End Report from the previous year if Grantee received an Arts Grant from
the City of Cannel in the previous calendar year, pursuant to paragraph 8 herein
(EXHIBIT G).
C. Any other grant conditions that City requires to be met by Grantee, specifically:
6. Grantor's right to request audit or review. Grantee shall submit to an audit or
review by an independent Certified Public Accountant of funds at the City's request,
and shall make all books, accounting records and other documents available at all
reasonable times during the term of this Grant Agreement, and for a period of three
(3) years after final payment of funds under this Agreement, for the purpose of an
audit by the City of Carmel, the State of Indiana, or their designees. Said review or
audit, if requested, shall be performed by a Certified Public Accountant("CPA")who

is neither an employee of Grantee nor a member of the Grantee's Board of Directors,
to be provided to the City of Cannel by March 31 of the following year.
7. Quarterly financial statements. Grantee agrees to provide the City of Carmel
quarterly fmancial statements within 45 days after each quarter-end for Grant awards
in excess of sixty thousand dollars($60,000).
8. Year-end review. Grantee agrees to provide the City of Cannel a year-end report
("Year End Report") for each year, describing how the grant was used and the impact
of the dollars received.
9. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials
associated with a funded program or project. The City of Carmel will supply, upon
request, Grantee with the graphics/logos necessary for compliance.
10. Statutory Authority of Grantee. The Grantee expressly represents and warrants to
the City that it is statutorily eligible to receive these monies and it expressly agrees to
repay all monies paid to it under this Grant, should a legal determination of its
ineligibility be made by any Court of competent jurisdiction.
11. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this
Agreement shall be used only to implement the Project or provide the services in
conformance with the Budget and for no other purpose. If it is determined by the
City that misappropriation of funds have occurred, the Grantee must return all funds
received by Grantor and individuals who misuse Grant funds may also be subject to
civil and/or criminal liability under Indiana and Federal law.
12. Employment Eligibility Verification. The Grantee affirms under the penalties of
perjury that he/she/it does not knowingly employ an unauthorized alien.
The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is
participating in the E-Verify program as defined in IC 22-5-1.7. The Grantee agrees
to provide documentation to the City that he/she/it has enrolled and is participating in
the E-Verify program.
The City may terminate for default if the Grantee fails to cure a breach of this
provision no later than thirty(30) days after being notified by the State.
13. Governing Law; Lawsuits. This Agreement is to be construed in accordance with
and governed by the laws of the State of Indiana, except for its conflict of laws
provisions. The parties agree that, in the event a lawsuit is filed hereunder, they
waive their right to a jury trial, agree to file any such lawsuit in an appropriate court
in Hamilton County, Indiana only, and agree that such court is the appropriate venue
for and has jurisdiction over same.

14. Relationship of Parties. The relationship of the parties hereto shall be as provided
for in this Agreement, and neither Grantee nor any of its compensated officers,
employees, contractors, subcontractors and/or agents are employees of City. The
Grant amount set forth herein shall be the full and maximum compensation and
monies required of City to be paid to Grantee under or pursuant to his Agreement.
15. Severability. If any term of this Agreement is invalid or unenforceable under any
statute, regulation, ordinance, executive order or other rule of law, such term shall be
deemed reformed or deleted, but only to the extent necessary to comply with same,
and the remaining provision of this Agreement shall remain in full force and effect.
16. Entire Agreement. This Agreement, together with any exhibits attached hereto or
referenced herein, constitutes the entire agreement between Grantee and City with
respect to the subject matter hereof, and supersedes all prior oral or written
representations and agreements regarding same. Notwithstanding any other term or
condition set forth herein, but subject to paragraph 15 hereof, to the extent any term
or condition contained in any exhibit attached to this Agreement or in any document
referenced herein conflicts with any term or condition contained in this Agreement,
the term or condition contained in this Agreement shall govern and prevail. This
Agreement may only be modified by written amendment executed by both parties
hereto,or their successors in interest.

Major Activities
This proposal is requesting a Carmel Arts Grant, which will be used to produce a
Film Forum that will embrace the aspirations of Carmel's younger filmmakers by
partnering again with the Clay County Public Library (CCPL) and the Digital Media
Lab (DML) to teach a stop motion animation workshop and screen films created by
Lisa Barcy, an award-winning professional animator and educator from Chicago IL.
The Carmel Film Forum will be held at the Carmel Clay Public Library on Saturday,
June 27, 2019. It will consist of an afternoon and an evening session. The first
session will be held at the DML and will use their computers and filmmaking
resources. Lisa Barcy will produce a printed curriculum and teach animation
techniques employing drawing, 3D printing, and sculpted clay objects. It will be an
intensive hands-on experience where animated films will be produced. The second
session held in the evening at the CCPL's Program Room, the animated films
created in the workshop will be screened, along with Lisa's work. A filmmaker Q&A
with Lisa will be conducted after the screenings. The workshop and film screening
will be free to those who register.
Project's History
We premiered the Carmel Film Forum in 2017 with Hollywood Comes to Carmel.
Thanks to our partnerships with the Carmel Clay Public Library, Indy Film Fest, Film
Indy, SoHo Cafe & Gallery, and Roberts Camera, we had a great turnout and a lively
weekend of discussion about the art and business of filmmaking in Indiana. Due to
the success of the 2017 event, we held a Filmmaking 101 workshop at the Carmel
Clay Library's Digital Media Lab. The workshop quickly filled to capacity, drawing
participants from the Carmel community and surrounding areas. In 2018 we followed
up with the Focus On Filmmaking that featured a music video production workshop,
a screenwriting class, table reads with local actors, filmmaker interviews, and
screenings. Last year In 2019, we produce Making the Big Picture, Preproduction,
and Crowdfunding that highlighted a table-read with local actors reading a feature
screenplay. After the table read, participants received a printed curriculum and helped

develop the film's log-line and tagline that will be used in the film's marketing. After
the table-read, Rachel Murphy, a professional line producer, showed participants how
to break down a film's budget, using the feature screenplay as an example. In the
evening, Rachel hosted a screening of Midwest female filmmakers and conducted
filmmaker Q&As.
Economic and Cultural Impact
Through partnerships with arts and civic organizations, we can encourage
enthusiasm for filmmaking in Carmel and the surrounding communities. Local
directors, producers, and screenwriters will be able to remain in Indiana, and those in
other states can be attracted to Indiana for the purpose of filmmaking. Artists, actors,
musicians, and crew members will have additional work. Restaurants, hotels, and
other local businesses will profit. The patrons of the Carmel Clay Public Library who
love seeing films can learn more about filmmaking. Some might be inspired to make
films of their own. Carmel will be recognized for its contribution to filmmaking, and
members of the community will have a broader appreciation of the art.
Project Management and Promotion
A team of volunteers and a small paid staff will manage the project during the
workshop. A website will be created for the forum that will list the project's goals and
objectives. A printed program containing the schedule, the project's partners, and the
presenters' biographies will be handed out at the workshop.
A media release will be designed and sent to public officials, newspapers, radio/
television stations, and websites that promote cultural events in Indiana. Our
partnering organizations will be asked to share the information with their email lists
and social media outlets. The workshop will be documented and posted on social
media, as well as Moriarty Media's Carmel Film Forum website.

The participants will receive a questionnaire with the following questions.

The Carmel Clay Public Library is excited to again collaborate with James Moriarty of
Moriarty Media on the Carmel Film Forum in 2020. Not only does the Forum support the
library's mission of inspiring lifelong discovery, facilitating collaboration, and connecting
people with resources, but it gives us the chance to showcase the library as a place to
create and discover. We are especially excited at the opportunity it will provide to
introduce our Digital Media Lab to new audiences.
The past three Carmel Film Forum events offered a unique opportunity for attendees to
learn about filmmaking, engage with professionals, and develop their own creative
ideas. Both library staff and attendees were impressed with Moriarty's professionalism
and attention to detail in the curriculum he crafts and the group of inspiring and
knowledgeable presenters he selects to facilitate workshops.The prior Forums received
overwhelmingly positive feedback and excellent attendance numbers, and we hope
to once again have the opportunity to be part of bringing creative people from the
Carmel community together for this project.

I am pleased to be collaborating with the Carmel Film Forum on the proposed animation
workshop at the Carmel Clay Public Library. Over several planning sessions with James
Moriarty, I have discussed desired outcomes as well as the best way to incorporate the
library's many resources into the curriculum. The workshop would be similar to one I've
previously conducted in Chicago and New Orleans and is geared toward people new to
animation.
Participants will experiment with an array of animation techniques such as clay,
pixilation, and collage. In keeping with the mission of the library, they'll also learn how

easily accessible apps. Most importantly, this is an opportunity to explore the expressive

Overview:Thanks to a Carmel City Arts grant of$5,000.00 to the Indy Film Fest, Moriarty
Media and associates were able to produce the 2019 Carmel Film Forum: Making the Big
Picture, Preproduction, and Crowdfunding, which highlighted a table-read with local actors
reading a feature screenplay.After the table read, participants received a printed curriculum
and helped develop the film's log-line and tagline that will be used in the film's marketing. In
addition, Rachel Murphy, a professional line producer showed participants how to break down
a film's budget, using the feature screenplay as an example. In the evening, Ms. Murphy
hosted a screening of Midwest female filmmakers and conducted Q&As with the filmmakers.
All of the granted funds were used in producing and marketing the project. Added value was
given to the event by our collaborators through their discounted services (audio/visual, location
fees, printing, etc.).
Outcomes:The Film Forum received enthusiastic feedback on the participant evaluation
forms. To the question of how the event could be improved, the participants replied that they
wanted "more forums more often." Plus,they requested longer bathroom breaks and more
time for socializing, which will be considered for future programming.
Benefits:The participants have learned filmmaking skills from experienced professionals. They
have been able to share their ideas and receive support from each other. They are better
prepared to achieve their filmmaking goals

PRESS RELEASE
The 2019 Carmel Film Forum, Making the Big Picture: Preproduction and Crowdfunding will be held on
Saturday,August 10, at the Carmel Clay Public Library.The Forum is FREE and will consist of an
afternoon and evening session. Events will include a table read of a screenplay currently in pre-
production in Indiana, technical and professional advice for writing, marketing and budgeting a feature
film, and a presentation of short movies made by Midwestern women, including a live Q&A session with
the filmmakers.
The afternoon session will begin at 12:30 pm with a table read of Indiana filmmaker James E. Moriarty's
new feature screenplay, Ghost from the River, by local and national professional actors. Following the
table read, Eric Wayne Key,founder of Digipitch, will demonstrate his free online screenwriting and film
pitching platform. Using the Ghost from the River feature screenplay as an example, Eric will discuss the
development of a film's log-line and tagline which are used to market films.
Rachel Murphy, a professional line producer based in Indiana,will show how to break down the film's
budget to reflect the real-life costs of producing a feature film,as well as the process of developing the
film's business plan and crowdfunding campaign.A short crowdfunding video for Ghost from the River will
be screened at the conclusion of the afternoon session, and the director will discuss how and why the
video was created.
The evening session will focus on screening of four short movies by Midwestern women filmmakers,
whether as Director, Writer, Director of Photography or Producer.The filmmakers are scheduled to attend
the event and offer a Q&A session after the screening. Rachel Murphy will curate and present the
screenings and will lead the attending filmmakers in a live Q&A with the audience.
The event is FREE and open to the public. Participants will receive a printed curriculum.
