In consideration of those mutual undertakings and covenants,the parties agree as follows: 1. That on behalf of Grantee, a not-for-profit corporation, I, Q r,,.S a, Sc,I a , , an authorized representative of Grantee, have applied for a City of Cannel ("Grantor") Arts Grant, said application attached hereto and made a part hereof as Exhibit"A." 2. Grant Agreement. The City, after review and recommendation by the Mayor, agrees to grant $ 8O,0Old • ez to the Grantee for the eligible costs of the project (the "Project") or services as described in Exhibits "A" and "B" of this Agreement. The funds shall be used exclusively in accordance with the provisions contained in this Agreement. Generally, the Grant award may not exceed one third (1/3) of Grantee's combined contributed income, revenue of sales, and/or ticket revenue from the previous year. The City of Cannel may, however, make exceptions for start-up organizations that have been in existence for three(3)years or less. 3. Design and Implementation of Project. The Grantee agrees to use any and all grant funds in accordance with the proposal contained within this agreement and any documents attached to this Agreement,which are incorporated by reference. 4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a not-for-profit entity with a determination letter from the Internal Revenue Service declaring that it is exempt from Federal income tax. 5. Payment of Grant Funds by the City. The payment of this Grant by the City to the Grantee shall be made in accordance with the following conditions: A. This Agreement must be fully executed and signed by both Grantee and Grantor. B. Grantee has attached all the following information, which it represents and warrants to be true and accurate, all which have been incorporated fully by reference: 1. An application and description of the proposed use of the grant funds (EXHIBIT A); 2. A budget for the calendar or fiscal year for which the grant is requested (EXHIBIT B); 3. Certified copies of incorporation as a not-for-profit corporation under state law (EXHIBIT C); 4. A not-for-profit application or determination letter from the U.S. Internal Revenue Service identifying that it is a not-for-profit corporation that is exempt from Federal income tax(EXHIBIT D); 5. Any audits, reviews or compilations available describing the financial condition of the Grantee, unaudited Balance Sheet and Income Statement, most recent available IRS Form 990, and the attached Affidavit(EXHIBIT E); 6. A list of the Grantee's board of directors and officers listed(EXHIBIT F); 7. A Year End Report from the previous year if Grantee received an Arts Grant from the City of Cannel in the previous calendar year, pursuant to paragraph 8 herein (EXHIBIT G). C. Any other grant conditions that City requires to be met by Grantee, specifically: 6. Grantor's right to request audit or review. Grantee shall submit to an audit or review by an independent Certified Public Accountant of funds at the City's request, and shall make all books, accounting records and other documents available at all reasonable times during the term of this Grant Agreement, and for a period of three (3) years after fmal payment of funds under this Agreement, for the purpose of an audit by the City of Cannel, the State of Indiana, or their designees. Said review or audit, if requested, shall be performed by a Certified Public Accountant("CPA")who 2 is neither an employee of Grantee nor a member of the Grantee's Board of Directors, to be provided to the City of Carmel by March 31 of the following year. 7. Quarterly financial statements. Grantee agrees to provide the City of Carmel quarterly financial statements within 45 days after each quarter-end for Grant awards in excess of sixty thousand dollars($60,000). 8. Year-end review. Grantee agrees to provide the City of Carmel a year-end report ("Year End Report") for each year, describing how the grant was used and the impact of the dollars received. 9. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials associated with a funded program or project. The City of Cannel will supply, upon request, Grantee with the graphics/logos necessary for compliance. 10. Statutory Authority of Grantee. The Grantee expressly represents and warrants to the City that it is statutorily eligible to receive these monies and it expressly agrees to repay all monies paid to it under this Grant, should a legal determination of its ineligibility be made by any Court of competent jurisdiction. 11. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this Agreement shall be used only to implement the Project or provide the services in conformance with the Budget and for no other purpose. If it is determined by the City that misappropriation of funds have occurred, the Grantee must return all funds received by Grantor and individuals who misuse Grant funds may also be subject to civil and/or criminal liability under Indiana and Federal law. 12. Employment Eligibility Verification. The Grantee affirms under the penalties of perjury that he/she/it does not knowingly employ an unauthorized alien. The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is participating in the E-Verify program as defined in IC 22-5-1.7. The Grantee agrees to provide documentation to the City that he/she/it has enrolled and is participating in the E-Verify program. The City may terminate for default if the Grantee fails to cure a breach of this provision no later than thirty(30) days after being notified by the State. 13. Governing Law; Lawsuits. This Agreement is to be construed in accordance with and governed by the laws of the State of Indiana, except for its conflict of laws provisions. The parties agree that, in the event a lawsuit is filed hereunder, they waive their right to a jury trial, agree to file any such lawsuit in an appropriate court in Hamilton County, Indiana only, and agree that such court is the appropriate venue for and has jurisdiction over same. 3 14. Relationship of Parties. The relationship of the parties hereto shall be as provided for in this Agreement, and neither Grantee nor any of its compensated officers, employees, contractors, subcontractors and/or agents are employees of City. The Grant amount set forth herein shall be the full and maximum compensation and monies required of City to be paid to Grantee under or pursuant to his Agreement. 15. Severability. If any term of this Agreement is invalid or unenforceable under any statute, regulation, ordinance, executive order or other rule of law, such term shall be deemed reformed or deleted, but only to the extent necessary to comply with same, and the remaining provision of this Agreement shall remain in full force and effect. 16. Entire Agreement. This Agreement, together with any exhibits attached hereto or referenced herein, constitutes the entire agreement between Grantee and City with respect to the subject matter hereof, and supersedes all prior oral or written representations and agreements regarding same. Notwithstanding any other term or condition set forth herein, but subject to paragraph 15 hereof, to the extent any term or condition contained in any exhibit attached to this Agreement or in any document referenced herein conflicts with any term or condition contained in this Agreement, the term or condition contained in this Agreement shall govern and prevail. This Agreement may only be modified by written amendment executed by both parties hereto,or their successors in interest. While GHDT has had the opportunities to tour and perform overseas, around the country, and throughout Indiana, Cannel officially became the company's home in the fall of 2009. After discussion with local city officials,plans developed to become the professional resident dance company at The Tarkington. GHDT established itself in Cannel with a new rehearsal space and Academy adjacent to The Center for the Performing Arts. GHDT is excited to be a part of The Center and is proud to embrace an international, as well as a local reputation for inspiring,moving and award-winning theatrical productions. Through the diligence of the Executive Artistic Director and Board of Directors to manage to a sound financial position, GHDT continues to bring beautiful performances to the stage supported by contributions of generous donors, government entities and private foundations along with ticket revenue. GHDT continues to look for new and enhanced sources of funding to further GHDT's artistic and creative productions while working within conservative budget numbers. GHDT continues to build relationships with area businesses and Carmel/Indianapolis corporations where arts development,culture and education are part of their company mission. GHDT participates in Cannel Fest each July with a booth to meet area residents and businesses, and other Cannel Events throughout the year. Through invitations for complimentary tickets to attend performances at the Tarkington, GHDT continues to reach out to the Cannel community to build awareness and to educate the Cannel community about GHDT's commitment to artistic excellence and programming. Cannel City Council members are offered complimentary tickets to GHDT performances. It has been an honor for GHDT to have supporters Bruce Kimball, Laura Campbell, and Ron Carter in our audience at the Tarkington for GHDT concerts. PROPOSED USE OF FUNDS GHDT is requesting funds to help underwrite 2020 operational expenses; including GHDTs ninth season at the Tarkington at the Center for the Performing Arts. With the move to Cannel, funding sources from Marion County are less likely to be granted. By performing at the Center for the Performing Arts, Gregory Hancock Dance Theatre strives to offer Cannel,Hamilton County and Central Indiana audiences, opportunities to experience professional dance through the exciting and brilliant theatrical performances of GHDT. The expense of producing professional dance concerts is high with competitive artistic and technical salaries being the number one expense. Paid artists are a priority for the company. GHDT's artists are compensated for 40-45 weeks of work per season. Additional funding from the community, foundations, grants, and ticket sales are used to cover production costs for all concerts throughout the season. GHDT is requesting an increase in funding for 2020 to support a unique ongoing collaboration between GHDT and the CARMEL SYMPHONY ORCHESTRA,which would be in addition to the regular season performances. Executive Artistic Director, Gregory Hancock and GHDT Board President, Ivy Heazeltine have met with Cannel Symphony Executive Director, Jeanelle Adamak and Music Director,Janna Hymes to have preliminary discussions regarding this collaboration. The goal of this collaborative endeavor is to merge the artistic talent of Mr. Hancock and Ms. Hymes to produce a performance that enhances the experience of the audience through live theatre, live dance and live music. This concert will be in addition to GHDT regular season programming. The professional company of GHDT will be accompanied by 30 to 40 musicians from the CARMEL SYMPHONY ORCHESTRA. The benefits of dance and live music collaboration are well documented. According to Shamou, dance faculty at UNC-Charlotte, "The combination of live music and dance proves to be greater than the sum of the parts alone". Live music and dance not only heighten the experience for the audience,but it also benefits the dancers and musicians as well. Shamou affirms that"dancers cannot resist the conversation that occurs between the body and live music". He believes that this experience"permits the dancers' eyes to take a break and awakens leadership in the ears". The musicians benefit as well for they have exposure to new audiences and freedom to explore new styles. Musicians will seek a fuller understanding and appreciation of dance through their own involvement. The shared audiences of GHDT and CARMEL SYMPHONY ORCHESTRA will be exposed to new artforms and will have an enhanced experience resulting from this collaborative endeavor. GHDT is moving forward with this collaboration and will greatly appreciate the financial support of the City of Carmel to bring this artistic work to Cannel audiences in 2020. In addition to the collaboration with the CARMEL SYMPHONY ORCHESTRA, funding from the Cannel City Arts Grant will be used to cover a portion of the operational expenses. These expenses include artists' salaries,tech/contract labor, studio rental,theatre occupancy, marketing, costumes, insurance, accounting fees, and daily operating expenses. GHDT is requesting an increase in funding to pay competitive artistic salaries and to hire additional male dancers and an Assistant Artistic Director. The expense of producing professional dance concerts is high with competitive artistic salaries being the number one expense. Paid artists are a priority for the company. Achieving this goal would attract and retain company dancers and would strengthen and grow the organization. Currently the Executive Artistic Director devotes a great deal of time overseeing operational duties. These responsibilities detract from his opportunity to artistically create new works. Although company members,board members,and volunteers perform a variety of activities related to the operation of GHDT,their efforts should not be the sole resource. Enhancing the salaries of artists and adding an assistant artistic director is necessary to strengthen and grow the organization. GHDT is honored and grateful to receive financial support from the City of Cannel. We greatly appreciate the opportunity to be considered for an increase in funding in 2020 to provide competitive artistic salaries,hire an Assistant Artistic Director and collaborate with the CARMEL SYMPHONY ORCHESTRA. Ongoing, strong support from the City of Cannel is vital for GHDT to continue to offer such ground-breaking performances and world premiere works to Central Indiana audiences. GHDT supports Mayor Brainard's mission of cultural diversity by creating and performing artistic works from a variety of cultures,collaborating with local ethnic organizations, and maintaining professional networks with variety of individuals and groups throughout the world. GHDT was able to provide high caliber, artistic productions to its audience in the past year, while minimizing costs. GHDT demonstrated financial sustainability through conservative and creative planning to meet economic challenges. The Executive Artistic Director and Board of Directors have been able to effectively keep the organization in the black since its inception. However,the goal is to be able to do more with more. Production expenses were well managed with artistic personnel and production costs being held to budgeted numbers. Target marketing practices were implemented, and budget numbers were adhered to. Overall, Administrative expenses were held to a minimum to focus on competitive artist salaries and production quality. GHDT was frugal with expenditures in 2019 while focusing on increased income to enhance artistic personnel salaries and production diversity and quality. The Carmel Arts Grant was used to partially cover operational expenses for Gregory Hancock Dance Theatre's (GHDT) 2019 performance season. The expense of producing professional dance concerts is high with competitive artistic and technical salaries being the number one expense. Paid artists are a priority for the company. GHDT's artists are compensated for 30-35 weeks of work per season. GHDT's operational expenses include the following: artists' salaries, tech/contract labor, studio rehearsal space rental, marketing, costumes, insurance, accounting fees,production expenses,and daily operating expenses. The table below provides the breakdown for the utilization of the $59,500 received from the Carmel Arts Grant. 2019 expenses. GHDT's 2019 concerts were not only beautiful and entertaining, but educational, culturally diverse and thought-provoking fulfilling the organization's on-going mission. All performances were well attended. Listed below are GHDT performances for the funding period from January 2019 to December 2019. THE WILD WILD WEST—February 9—24, 2019 at the Academy of GHDT GHDT gives a nod to the Western movies of old Hollywood. Complete with cowboys and gunslingers, bandits, townsfolk, lawmen and saloon girls,this new interactive performance brought the American Old West to life in a fun and entertaining fashion. EXODUS—April 5, 6, 2019 at The Tarkington This full-length contemporary ballet is inspired by the second book of the Torah and the Hebrew Bible and presents the story of the Israelite's delivery from slavery, the exodus from Egypt, the prophet Moses and the Promised Land. FESTIVAL DE MUSICAL - April 13, 2019 at Paramount Theatre, Anderson, IN G2 performs Bolero with the Anderson Symphony DEBORAH J. SIMON SPOTLIGHT BENEFITTING INDIANA AIDS FUND—April 15, 2019 at Clowes Hall Indianapolis GHDT performs an excerpt from EXODUS. G2 IN CONCERT—May 17, 18, 19, 2019 at The Academy of GHDT The talented young dancers of GHDT's pre-professional company and the students of The Academy of GHDT entertained the Carmel audiences. THE VIOLIN UNDER THE BED—June 7 -8,2019 at The Tarkington This performance is inspired by stories of Mr. Hancock's mother and the experiences that brought her joy- art,nature,travel, and sports. LA CASA AZUL, THE MUSICAL—July 11 to 28, 2019 at the Phoenix Theatre, Indianapolis. This is an original, completely sung-through musical created by Gregory Hancock. It is based on the remarkable life of Mexican artist Frida Kahlo. Mr. Hancock brought a new reincarnated production of LA CASA AZUL to the Phoenix Theatre in Indianapolis, Indiana. Actors from New York, San Antonio and El Paso, Texas were cast in the lead roles. Producers and directors from throughout the United States were invited this production. After seeing this musical, several producers and directors expressed interest in it. George Green, Executive Artistic Director of The Public Theatre in San Antonio has scheduled LA CASA AZUL, The Musical to be performed on March 25 through April 18, during the Public Theatre's 2021 Season. Mr. Hancock is also in negotiations with theatres and producers in El Paso, Texas and Puerto Vallarta, Mexico. G2 CONCERT GLOBAL CULTURAL EVENT—September 21 at Park Tudor CHRISTEL HOUSE INTERNATION FUNDRAISING EVENT—October 18 at Christel House Academy South SEVEN DEADLY SINS—October 25 and 26 at The Tarkington Theatre GHDT crossed into the darkness with spirited theatrical storytelling interpreted through an eclectic array of music meshed with GHDT's unique and dramatic fusion of dance styles. Included was the world premiere of LA LLORONA. EMERGING VOICES—November 15 and 16 at The Academy of GHDT This concert showcased the choreographic work of GHDT Company Dancers. THE NUTCRACKER-November 29 - December 1 at the Pike Performing Arts Center. The final performance of the year will be the all-student production of THE NUTCRACKER. Two school matinees will be attended by 1,800 school age students and teachers. Three public weekend performances will also be provided. THE ACADEMY OF GREGORY HANCOCK DANCE THEATRE In addition to GHDT's professional theatrical concerts, GHDT's programming for youth and educational programs continue to impact students and student dancers throughout Central Indiana, starting with the annual all-student production of THE NUTCRACKER each December. Through summer intensive workshops and the year-round training, The Academy of GHDT offers excellent education and performance opportunities. Through its pre-professional student company (G2), young students who are aspiring to become professional dancers have opportunities to train and perform GHDT repertoire, and to work with the professional dancers of GHDT In 2019 GHDT continued to expand its community engagement efforts and has reached out to meet the needs of underserved populations. Funding for the arts has been drastically cut in the public schools and many families are unable to take their children to live theatrical productions. GHDT performed two NUTCRACKER school matinees at Pike Performing Arts Center in November to give school aged children the opportunity to experience life theatrical dance at no cost. Over 1,800 students and teachers will attend THE NUTCRACKER school performances on December 5 and 6. Tickets sales for the public performances have been good and are exceeding recent years. GHDT's Veteran Outreach Program has been very successful and has grown over the past year. GHDT has partnered with VET-TIX to provide Veterans and their families, currently serving military, and families of Veterans killed in action with free tickets to GHDT performances. GHDT tickets are quickly reserved through VET-TIX. The Veterans' response to this program was overwhelmingly positive and GHDT has been surprised at the distances that Veterans are traveling to attend GHDT performances. Many Veterans are from out of state and are staying overnight in hotels. They are making a "weekend" out of GHDT performances by attending other events in Hamilton and Marion County, eating in local restaurants and shopping in local businesses. In 2019, a total of 605 Veterans, currently serving military, and families of veterans killed in action received free tickets to GHDT productions through GHDT's Veteran Outreach Program. The demand for tickets for the VET-TIX website has increased and GHDT will plan to . expand our outreach to Veterans in 2020 by increasing the number of tickets available on VET- TIX.org In 2019, GHDT's concerts were attended by approximately 40%of new patrons.New patrons are attracted to GHDT because of the diverse programming. This is a testament to the beauty of Gregory Hancock's original art and its broad appeal to a diverse population. The diversity of GHDT's audience is vital measure of progress and serves as an indicator of GHDT's commitment to its artistic mission. Under the sound leadership of the Board of Directors and the Executive Artistic Director, GHDT will continue to carry out its mission, provide new,original art to its patrons and attract new audience members with each performance. GHDT's conducts a thorough evaluation process that is ongoing throughout the year. In 2019,the board reviewed a variety of evaluation results and used this feedback to enhance GHDT's strategic plan. In 2019 the board of directors reviewed the budget monthly to monitor income and expenses and to maintain a balanced budget. Production expenses were well managed with artistic personnel and production costs being held to budgeted numbers. Target marketing practices were implemented, and budget numbers were adhered to. GHDT continued to search and apply for new sources of funding, including foundation support, corporate sponsorship, and private donations. Overall, administrative expenses were held to a minimum to focus on competitive artist salaries and production quality. GHDT has been frugal with expenditures while focusing on year-over-year increased income to enhance artistic salaries and production diversity and quality. GHDT, now in its 22nd season, continues to be debt free. GHDT's evaluation process also includes audience feedback, survey results, social media posts, letters from teachers and students,ticket sales, feedback from GHDT company members and the Executive Artistic Director. During the past year, audience evaluations were overwhelmingly positive and indicated that GHDT is fulfilling their mission. GHDT's community engagement efforts were highly successful as demonstrated by the percentage of new members in the audience, posts from Veterans on the VET-TIX website, repeated requests from schools to bring students to the NUTCRACKER and invitations to perform in the community. Ongoing evaluation in 2019 contributed to board's ongoing efforts to elevate GHDT to an optimal level of artistic and financial operation. The Executive Artistic Director continues to create new, original art that is spiritual, culturally diverse, educational and thought provoking,and will appeal to the diverse needs of GHDT's eclectic audience. Production expenses were well managed with artistic personnel and production costs being held to budgeted numbers. Target marketing practices were implemented, and budget numbers were adhered to. Overall, Administrative expenses were held to a minimum to focus on competitive artist salaries and production quality. GHDT was frugal with expenditures in 2019 while focusing on increased income to enhance artistic personnel salaries and production diversity and quality. GHDT is grateful for the financial support from the City of Carmel. Our ability to offer world premiere works and attract new audience members is dependent on this type of funding. It is our ambition to grow artistically in 2020 and to provide unique dance and musical productions in this community. We appreciate the funding that the City of Carmel provides, for it allows us to continue with our mission and to become one of Carmel's greatest artistic assets.
