Bodman draft11-12-20 CzKpoPcfsmboefsbu2; 52bn-Kbo3:-3132 TandemMobilityMasterServicesAgreement ThisMasterServicesAgreement, includingallschedules, exhibitsandattachmentshereto (this “Agreement”), ismade effectiveasofFebruary __, 2021 (the “EffectiveDate”), byandbetweentheCityofCarmel, Indiana, actingbyandthrough itsBoardofPublicWorksandSafety (“City”), andTandemMobility, LLC, withaprincipalplaceofbusinesslocatedat10299 GrandRiverRd., Ste. #16, Brighton, Michigan48116 (“Tandem”). Definedtermsusedhereinshallhavethemeanings accordedtosuchtermsherein. Forgoodandvaluableconsideration, thereceiptandsufficiencyofwhichisherebyacknowledge, thepartiesheretohereby agreeasfollows: CityandmayplaceordersfortheTandemService (asdefinedinScheduleA) byenteringintoTandem’sstandardformoforder form (each, an “OrderForm”) whichOrderFormswillamongotherthingsspecifythenumberofTandemBicycles, theLocations andtheestimatedLaunchDatesandwillreferencethisAgreement. Further, theCityanditsAffiliatesmayenterintoexpansion orderforms (each, an “ExpansionOrderForm”) toaddadditionalLocationsandTandemBicyclesfromtimetotimeasmutually agreedtoinwritingbytheparties. ThisAgreementwillbedeemedincorporatedbyreferenceintoeachOrderFormandExpansion OrderForm. Additionally, Citymayreceiveandusesponsorship fundstopay (orcauseorrequestSponsorPay) forTandem Service solongassuchthird-partysponsor(s) individually (a “Sponsor” andcollectively, the “Sponsors”) enters intoa Sponsorship Agreement withTandemthatspecifically references thisAgreement andSponsor’sobligationtomakepayment onCity’sbehalffortheTandemServices (“ Sponsorship Agreement”) substantially intheformattachedheretoasAppendix B. PursuanttoeachOrderFormandExpansionOrderForm, Tandemwillprovidethe following (collectively, the “TandemService”): a.TherightforUsers (asdefinedbelow) toaccessandusebicyclesprovidedbyTandem (collectively, the TandemBicycles”). ThenumberofTandemBicyclesprovidedbyTandemunderthisAgreementshallbeas setforthintheOrderFormandanyExpansionOrderForm (assuchtermsaredefinedbelow). b.IftheTandemServiceispartiallyorfullyfundedbySponsor(s), thenumberofTandemBicycleswillbe increased ordecreased onaproratabasisaccording tothefundingactuallyreceivedbyoneormore Sponsors. Cityagreesthatsuchincreaseordecreasecanbeeffectuated without further noticeoraction byCitywithten (10) dayspriornoticetoCity. Tandem Bicycles willbeaddedorremovedatthesame priceatthethen-current perbikeprice. c.ASiteSurvey (asdefinedbelow) todeterminetheLocations (asdefinedbelow) andtheInitialLaunchDate asdefinedbelow). d.Alicensetouseproprietarybicyclerentalmanagementsoftwareandmobileapplication (collectively, the “LicensedSoftware”) andaccompanyingUserinformation (the “Documentation”) pursuantto Section5below. e.MaintenanceServicesasdescribedinmoredetailinSection6below. f.AutomatedlocksandbicyclestationstobeusedwiththeTandemBicycles, subjecttopaymentofthefeesset forthintheOrderForm. g.Tandemmarketingsupportandmaterials (the “TandemMarketingMaterials”). h.TandemcustomerservicesforUsers. Customerrepresentativesshallhavesufficientknowledgetoanswer questionsandprovideinformationconcerningTandemBicyclesandrelatedservices. i.ATandemCustomerSuccessManager. 2.TermofAgreement; Exclusivity. TheinitialtermofthisAgreementwillcommenceontheEffectiveDateand, unless terminatedearlierinaccordanceherewith, willcontinueuntilallOrderFormshaveterminatedorexpired (the “Initial Term”). ThisAgreementwillautomaticallyrenewforsuccessivetermsunlesseitherpartygivestheotherwrittennoticeof terminationatleastthirty (30) dayspriortotheendofthethen-currentterm (eacha “RenewalTerm” andtogether withthe Initial Term, the “Term”). During theTerm, CityagreesthatTandemshallbetheonlybicyclesharing, , and/orshared mobility service promoted andusedbyCityatCityLocations. NoSponsor (asdefinedbelow) isathird-party beneficiary oftheAgreement between CityandTandem. 3.LaunchDate; SiteSurvey; Locations. a. InitialLaunch. ThepartieswillmutuallyagreeinwritingtotheestimatedinitiallaunchdateintheOrder Form. Theactualinitiallaunchdatewillbethelaterofthedatethat: (i) TandemisabletomaketheTandemService availabletotheCityattheLocation(s) designatedintheOrderForm, or (ii) thirty (30) daysafterthefinalSponsorship AgreementthatispartoftheTandemService’sinitialfundingissignedbyTandem. TandemwillnotifytheCityofthe actualinitiallaunchdatebyemail (the “InitialLaunchDate”). b. InitialLocations. CityacknowledgesandagreesthatTandemmayperformasurveyofthesite(s) whereCity desiresthattheTandemBicyclesbeinstalled (the “SiteSurvey”). Thepartieswillmutuallyagreeontheinitiallocation(s) wheretheTandemBicycleswillbeinstalledpromptlyaftercompletionoftheSiteSurvey (the “InitialLocation(s)”). ThelaunchoftheTandemServiceontheInitialLaunchDateissubjecttobothTandemandtheCityfulfillingallof theirobligationsunderthisAgreementwhicharerequiredtobefulfilledtoenableTandemtolaunchtheTandemService attheInitialLocation(s), includingwithoutlimitationpaymentoftheProductandServiceFeessetforthintheOrder Form(s). c. AdditionalLocations. AdditionalLocations (eachan “AdditionalLocation” andtogetherwiththeInitial 3 Bodman_17042305_ 2 DocuSign Envelope ID: AEF88DE6-E12A-4394-AE83-A1C012CE171F Locations, the “Locations”) and/orTandemBicyclesmaybeaddedfromtimetotimepursuanttoanExpansionOrder Form. ThepartieswillmutuallyagreeinwritingtotheestimatedlaunchdateofanAdditionalLocationintheapplicable ExpansionOrderForm. TheactuallaunchdateofanAdditionalLocationwillbethedatethatTandemisabletomake theTandemServiceavailabletotheCityattheAdditionalLocation. TandemwillnotifytheCityoftheactuallaunchdate ofanAdditionalLocationbyemail. ThelaunchofanAdditionalLocationissubjecttobothTandemandtheCityfulfilling alloftheirobligationsunderthisAgreementwhicharerequiredtobefulfilledtoenableTandemtolaunchtheTandem ServiceattheAdditionalLocation(s), includingwithoutlimitationpaymentoftheProductandServiceFeessetforthin theapplicableExpansionOrderForm. 4. Fees; PaymentTerms. a.Fees. Payment toTandemforTandemServiceswillbeprovidedbyCityand/orSponsorasfollows: i) CityorSponsor(s) willpaytoTandemthenonrefundable product andonetimefeesintheamounts, ifany, described intheOrderFormandanyExpansionOrderForm (the “Product andOneTimeFees”). Cityor Sponsor(s) willpaytoTandemthenonrefundable recurring fees (the “Service LinesFees”) setforthonan Order FormandanyExpansionOrderForm. ThefeesaresubjecttoincreaseuponaRenewalTerm, andCity orSponsor(s) willbenotifiedthirty (30) dayspriortoapriceincreaseTandemwillinvoice, andtheCityor Sponsor(s) willpay, suchfeesinaccordancewiththepaymenttermssetforthintheOrderFormandany Expansion Order Form, asapplicable. Thefeesdonotincludeapplicable taxes, duties andsimilarcharges, allofwhichwillbeinvoicedseparatelytoCityorSponsor(s) ontheapplicable invoice. Tandem reserves the righttochargeinterestatarateof1.5% permonth, orthemaximum ratepermittedbyapplicable law, whichever isless, onlatepayments; and/or ii) IfanyportionofTandemServicesarefundedbySponsor, thespecificSponsorandtheamountsuchSponsor willpayorcontribute tothepaymentoftheProductandOneTimeFeesandServiceLinesFeestoTandem shall beinaccordance withthetermsofoneormoreSponsorship Agreements asfurtherdescribed in Appendix B. iii) Failure ofCityorSponsortopaytheProductandOneTimeFeesand/ortheServiceLinesFeesisabreach ofthisAgreement. iv) IfTandemServices aresolelyfundedbyaSponsor andaSponsorship Agreement isnotsignedwithinninety 90) daysaftertheEffectiveDate, Tandem shallhavetherighttoterminatethisAgreement. b.Suspension. IfCity’saccountismorethanthirty (30) dayspastdue, Tandemmay, uponthirty (30) dayspriorwritten notice (whichmaybebyemailtoCity’sbillingcontactincludedintheapplicableOrderForm) suspendtheprovisionofthe TandemServiceuntilsuchtimeasCity’saccountisbroughtcurrent. ThisrighttosuspendtheTandemServiceisinaddition toanyandallotherrightsandremediesunderthisAgreementandunderapplicablelaw, includingwithoutlimitationTandem’s righttoterminatetheAgreementforbreach. IfTandemelectstosuspendtheTandemService, CityshallreturnallTandem property, includingbutnotlimitedto, TandemBicycles, Tandembicyclestations, signageandanyotherTandemmaterials collectively, “TandemProperty”) withinseven (7) daysofthereceiptofthewrittennoticeofthesuspensionunlessCity’s accountisbroughtcurrent. IfCityfailstobringaccountcurrentviaitspaymentorpaymentfromaSponsororreturnthe Tandempropertywithinseven (7) daysofreceivingasuspensionnotice, Tandemshallbeentitledtoseekalllegalremedies providedunderthelawandCitywillbeliableforallfees, costs, andexpensesactuallyincurredbyTandeminconnectionwith TandemrecoveringTandemProperty. 5. LicenseGrant. a.LicenseGrant. SubjecttothetermsandconditionsofthisAgreementandpaymentofthefeesdescribedherein, Tandem herebygrantsCityanon-exclusive, non-transferable, royalty-free, fullypaidup, limitedlicenseduringtheTermtoaccessand usetheLicensedSoftware, ashostedbyTandemoritsthirdpartyplatformprovider(s), fromlocationsintheUnitedStatesand tousetheDocumentationprovidedbyTandemsolelyforCity’smanagementoftheTandemBicyclesattheLocations. b.Restrictions. Citywillnot, andwillnotpermitthirdpartiesto, i) (permitanythirdpartytoaccesstheLicensedSoftware exceptaspermittedhereinorusetheLicensedSoftwareasaservicebureau, applicationserviceprovider, orsimilarbusiness, 4 Bodman_17042305_ 2 DocuSign Envelope ID: AEF88DE6-E12A-4394-AE83-A1C012CE171F ii) createderivateworksbasedontheLicensedSoftware, (iii) copy, frame, mirror, delete, alter, orobscureanypartorcontent oftheLicensedSoftware, (iv) decompile, disassemble, translate, reverseengineerorotherwiseattempttoderivesourcecode fromtheLicensedSoftware, inwholeorinpart, norwillCityuseanymechanical, electronicorothermethodtotrace, decompile, disassemble, circumvent, oridentifythesourcecodeoftheLicensedSoftwareorencourageorpermitotherstodo so (exceptandonlytotheextentthatapplicablelawprohibitsorrestrictsreverseengineeringrestrictions), (v) accessthe LicensedSoftwareinorderto (a) buildacompetitiveproductorservice, or b) (copyanyfeatures, functionsorgraphicsofthe LicensedSoftware, (vi) sell, resell, rentorleasetheLicensedSoftware, (vii) usetheLicensedSoftwaretostoreortransmit infringing, libelous, orotherwiseunlawfulortortiousmaterial, ortostoreortransmitmaterialinviolationofthird-partyprivacy rights (orotherwiseusetheLicensedSoftwareinviolationoftheDocumentation), (viii) storeortransmitvirusorother maliciouscodethroughtheLicensedSoftware, (ix) interferewithordisrupttheintegrityorperformanceoftheLicensed Software, (x) attempttogainunauthorizedaccesstotheLicensedSoftwareortheirrelatedsystemsornetworks, or xi) (usethe LicensedSoftwareandotherthirdpartysoftwareorproductsmadeavailabletoCityinconnectionwiththisAgreementother thanasintended. CityshallprovidetoTandemalistofauthorizedusersoftheLicensedSoftware. c.Ownership. ExceptfortherightsgrantedtoCityinthisSection, allright, titleandinterestinandtotheLicensed SoftwareandtheDocumentation, includingwithoutlimitationallintellectualpropertyembodiedtherein, shallremain exclusivelywithTandemortherespectivethirdpartyandTandemreservesallrightsthereinandthereto. Thelicensegranted hereunderincludesnorightsinortothesourcecodeversionsoftheLicensedSoftwareortotheobjectcodeversionofthe LicensedSoftware, otherthantotheobjectcodeversionashostedbyTandemoritsthirdpartyhostingprovider. 6.MaintenanceServices. TandemwillprovidethefollowingmaintenanceserviceswithrespecttotheTandem Bicycles (the "MaintenanceServices"): i) TandemmaintenancepersonnelwillvisiteachoftheLocationstoperformgeneralmaintenanceandcleaning oftheTandemBicycles. ii) Tandemwill, atTandems'soleoptionandexpense, willreviewandmakereplacementstotheTandemBicycles asneeded. iii) Tandemmaintenancepersonnelwillrespondtomaintenanceandservicerequestsasreasonablyrequestedby theCity. 7. TandemMembership. a.Generally. EachpersonthathasbeenauthenticatedbyTandemandisaTandemmemberingoodstanding (a “User”) shallbeeligibletousetheTandemBicyclessubjecttoTandem’sthencurrentpoliciesandprocedures, includingwithout limitationthetermsandconditionsofTandems'memberagreement. TobecomeaTandemmember, apersonshallcomplete Tandems'membershipapplicationand, ifapprovedformembershipbyTandem, shallenterintoTandem'smemberagreement andwaiverintheformsetforthonAppendixAhereto. Tandemmayrevisethemembershipapplicationandmemberagreement fromtimetotimeinitssolediscretion. Inaddition, thepartiesmay, asmaybemutuallyagreed, requireUserstosignan additional, secondarywaiverintheformprovidedbyCity. Tandemownsallright, titleandinterestinandtoanyandall informationanddatasubmittedtoTandembyUsersandprospectiveUsersandTandemagreesthatitwillnotsellUserdata. b.PaymentofMembershipandUsageFees. Usersshallberesponsibleforpaying, viacreditcard, theannual membershipfee, usagefees, andsuchadditionalfeesandchargesassetforthatadmin.movatic.coasadjustedfromtimeto timeafterwrittennoticetoCityandeachUserthroughtheLicensedSoftwareorviaemail. AllfeespaidbyUserswillbe processedbyathirdpartycreditcardorpaymentprocessorandCityshallreceive96.9% oftheannualmembershipfees, usage fees, andsuchadditionalfeesandchargesactuallyreceivedbyTandemfromUsersasaresultoftheiruseofTandemBicycles. CityagreestomakereasonableeffortstocooperatewithTandeminthesetupofanythirdpartyprocessor’saccount(s) that willcollecttheLicensedSoftware-relatedfees. CityrepresentsandwarrantstoTandemthatCityhasallrights, licenses, consents, authorizationsandpermits necessarytopermitTandemtoinstalltheBicyclesattheLocationsandtoprovidetheTandemServiceattheLocations. Further, Citywill: a)PermitTandempersonneltoaccesseachLocation, atmutuallyagreeddatesandtimes, toperformaSiteSurvey, take picturesoftheLocation, andotherwisereviewandinspecttheLocationwithCitypersonneltodetermineamutuallyagreed toareaateachLocationtoinstallTandemBicyclesandTandemstations. b)ProvidetherequiredsquarefootageinamutuallyagreedtoareaateachLocationtoenableTandemtoinstallthe TandemstationsandTandemBicyclesandprovidethenecessaryadditionalspaceforanymutuallyagreedtoincreaseinthe numberofTandemBicycles. Inaddition, ifmutuallyagreedbytheparties, (i) CitywillacceptshipmentsoftheTandem BicyclesandrelatedmaterialsandwillstoretheTandemBicyclesandrelatedmaterialsinasecurelocationuntilTandem personnelarrivetoinstalland (ii) CityshallpermitTandemtodisposeofshippingmaterialsattheLocationsandprovide accesstoCity’strashandrecyclingfacilitiesinconnectionwithsame. c)PermitTandempersonneltoaccesseachLocation, atamutuallyagreedtodateandtime, toset-upandinstallthe TandemBicyclesandTandemSignageattheLocations, includinginstallationofappropriatebicyclestationstobeprovided byTandem, andtotakepicturesoftheTandemBicyclesasinstalledateachLocation. Tandemshallhavetherighttousethe picturesforadvertisingandmarketingpurposes, withCity’spriorwrittenconsent, whichwillnotbeunreasonablywithheld. d)PermitTandempersonneltoaccesstheLocationsduringnormalbusinesshoursMondaythroughFriday, orasmay beotherwisemutuallyagreed, toprovideMaintenanceServices. CitywillprovideTandemwithanappropriatenumberof parkingpassesorparkingvalidationstobeprovidedtoTandempersonneltoenableTandempersonneltoaccesstheLocations withoutcharge. e)KeepallLocationswhereTandemBicyclesarestoredcleananddebris-free, insubstantiallysimilarconditiontothe conditionoftheLocationsasoftheLaunchDateforsuchLocations. 2.TandemBicycles. a)CitywillusereasonableeffortstoreportanymaintenanceorotherissuesrelatingtotheTandemBicyclesortheTandem stationsorfacilityonCitypremises. CityshallreportanyissuestoTandematbike-support@tandem. comand Tandem shall initiatearesolutionwithin48hours. SuchreasonableeffortsbytheCitywillbeconstruedtomeanonlyageneralvisual inspectiontolookforflattires, obviousandmaterialcosmeticdefectstothebicyclesand/orstations, andgraffiti. Tandemwill respondtoallmaintenanceissuesreportedbyCityassoonascommerciallypracticable. TandemwillprovideCitywithan unlockcodesothattheCityemployeescanremovevisiblydamaged/unsafebicyclesfromaLocationimmediately. Citywill storedamagedbicyclesinasecurelocationuntiltheycanbepickedupbyTandemmaintenancepersonnel. b)CityacknowledgesthattheMaintenanceServicesdonotcoverabuse, theft, vandalism, accidentand/orsimilarissues whilethebicyclesarenotinusebyUsersunlessCityhaselectedtoincludesuchcoverage (“DamageandTheftCoverage”) andhaspaidtheapplicablefeessetforthinanOrderFormorExpansionOrderFormforsuchDamageandTheftCoverage. AtCity’sexpense, unlessCustomerhaselectedDamageCoverage, theCitywill, onanannualbasis, replaceand/orrepairup to10% oftheCityBicycles (butonlyifitisapparentthatsuchCityBicyclesarevandalized, stolenordamagedwhilenotin usebyaUserbutnotfornormalorexpectedwearandtearduetoroutineusagenorfordamage, vandalism, orCityBicycles stolenwhileinusebyauser), Cityautomatedlocks, and/orCitystationsthathavebeenvandalized, stolen, and/ordamaged byaccidentormisuseorabuse. NoTandemBicycleswillbereplacedmorethanonetimeperyear. SubjecttothetermsandconditionsofthisAgreement, Tandemwillprovide theTandemServicesetforthinScheduleAandCitywillperformtheobligationssetforthonScheduleB. The relationshipofthepartiestothisAgreementissolelythatofindependentcontractors. Neitherpartywillhaveany authoritytocontractwiththirdpartiesonbehalfoftheotherpartyortoexpresslyorimpliedlyrepresentthatithasany suchauthority, toanyperson. 2.Insurance. DuringtheTerm, Tandemwillmaintainthefollowinginsurance: a.GeneralLiabilityInsurancewithcoveragelimitsofatleast $1,000,000.00peroccurrenceand $2,000,000.00inthe aggregate; b.Worker’sCompensation Insuranceinaccordancewithstatutoryrequirements; and c.Umbrellacoverageintheamountofatleast $2,000,000. CoveragewillbeplacedwithinsurancecarrierswithanA.M. BestRatingofnotlessthanA- andfinancialratingofnotlessthan VII. 3.LIMITEDWARRANTY; DISCLAIMEROFWARRANTIES. a.General. Eachpartyrepresentsandwarrantsthat: (i) thisAgreementhasbeendulyapprovedbyallnecessaryaction ofsuchparty; (ii) ithasfullpowerandauthoritytoenterintoandexecutethisAgreement; (iii) thisAgreementisvalid, bindingandenforceableinaccordancewithitsterms; and (iv) theexecution, deliveryandperformanceofthisAgreement doesnotresultinaviolationorbreachofanddoesnotcontravene, violateorconflictwithanyprovisionofapplicablelaw, regulationsorobligationstowhichitisaparty. b.TandemService. TandemrepresentsandwarrantsthattheTandemServicewillbeprovidedinaccordancewiththeterms ofthisAgreement. AsCity’ssoleandexclusiveremedy, andTandem’ssoleliability, foranybreachoftheforegoingwarranty, TandemwillreperformtheTandemServicesothatitconformstotherequirementsofthisAgreement. c.Disclaimer. EXCEPTFORTHEEXPRESSWARRANTIESSETFORTHINTHISSECTION4, TOTHE MAXIMUMEXTENTPERMITTEDBYLAW, TANDEMMAKESNOWARRANTIESWITHRESPECTTOTHE TANDEMSERVICEORTHESUBJECTMATTEROFTHISAGREEMENTANDHEREBYDISCLAIMSALL OTHERWARRANTIES, EXPRESS, IMPLIED, ORSTATUTORY, INCLUDINGWARRANTIESOF MERCHANTABILITY, FITNESSFORAPARTICULARPURPOSE, TITLEANDNON-INFRINGEMENT. NO WARRANTYISMADETHATTHETANDEMSERVICEWILLMEETCITY’SREQUIREMENTS. 4.Indemnification. EachpartyacknowledgesthatduringthetermofthisAgreementtheotherpartymaydiscloseinformation, whetherorally, visually, orintangibleform, thatisproprietaryandconfidentialtothedisclosingpartyandisdisclosedor markedasproprietaryorconfidential (“ConfidentialInformation”) and that the unauthorizeddisclosureofConfidential Informationmaycauseirreparableharmtothedisclosingparty. EachpartyshallonlyusetheConfidentialInformationto performitsobligationshereunderandwilltakeallreasonablemeasurestosafeguardandpreventtheunauthorizeddisclosure ofConfidentialInformation, butnolessthanthemeasuresittakestosafeguarditsownconfidentialinformation, including withoutlimitationdisclosingConfidentialInformationonlytothoseofitsemployeeswithaneedtoknowsuchinformationto performtheirobligationshereunderandwhichhavebeenadvisedoftheconfidentialnatureoftheinformationandhaveagreed toprotecttheConfidentialInformationtothesameextentasCityhereunder. Thepartiesacknowledge thatitwillbe impossible tomeasure thedamagesthatwouldbesufferedbyonepartyiftheotherpartyfailstocomplywiththe provisions ofthisSection7andthatintheeventofanysuchfailure, suchpartywillnothaveanadequateremedyatlaw andshall, therefore, beentitled, inadditiontoanyotherrightsandremedies, toseekspecificperformance ofthereceiving party’sobligations andtoseekimmediate injunctive reliefwithrespectthereto. ApartymaydiscloseConfidential Information pursuant toanystatutoryorregulatory authority orcourtorder, provided thattheReceivingPartyshall provide theDisclosingPartywithreasonablewrittennoticepriortoanysuchdisclosure, assist inobtaining anorder protecting theinformation fromdisclosure, andcomplywithanyapplicable protective order orequivalent. Suggestions. Citymay, fromtimetotime, providesuggestions, techniques, know-how, comments, feedbackorotherinputto TandemwithrespecttotheTandemService (collectively, “Suggestions”). BothpartiesagreethateachSuggestionisand shallbegivenentirelyvoluntarily. EachSuggestion, evenifdesignatedasconfidentialbyCityshallnot, absentasigned, writtenagreementwithTandem, createanobligationofconfidentialityforTandem. Cityagreesthatitshallnotgiveany SuggestionthatissubjecttolicensetermsorrestrictionsthatseektorequireanyTandemtechnology, service, product or documentation incorporating orderivedfromsuchSuggestion, oranyTandemintellectual property, tobelicensedor otherwise shared withCityoranythirdparty. Furthermore, Cityherebyassignsallright, titleandinterestinandto Suggestions toTandemincludingwithout limitation allintellectual property rights therein, andwilltakeanyandall actions reasonably requested byTandemtoeffectsuchassignment. 7.Termination. a. ThisAgreementmaybeterminated (1) byTandemifCityfailstotimelymakeanypaymentduehereunder (otherthan withrespecttochargesthensubjecttoagoodfaithdispute) andfailstocuresuchdefaultwithinten (10) daysofreceiving noticeinwritingfromTandemofsuchfailure (whetherornotTandemavailsitselfofitsrighttosuspendtheTandem 9 Bodman_17042305_ 2 DocuSign Envelope ID: AEF88DE6-E12A-4394-AE83-A1C012CE171F Service); or (2) byeitherpartyintheevent (i) theotherpartymateriallybreachesanyofitsduties, obligationsor responsibilitiesunderthisAgreementandfailstocuresuchbreachorprovidetheotherpartywithanacceptableplanfor curingsuchbreachwithinthirty (30) daysafterreceiptbythebreachingpartyofwrittennoticespecifyingthebreach; (ii) areceiver, trustee, administrator, oradministrative receiver isappointed fortheotherpartyoritsproperty; (iii) the otherpartymakesanassignment forthebenefitofcreditors; (iv) anyproceedings should becommenced against theotherpartyunderanybankruptcy, insolvency, ordebtor’srelieflaw, andsuchproceedings shallnotbevacated orsetasidewithinsixty (60) daysfromthedateofcommencement thereof; or (v) theotherpartyisliquidatedor dissolved. Termination shallnotrelieveCityoftheobligationtopayanyfeesaccruedorpayabletoTandemprior totheeffectivedateoftermination. b. UpontheterminationofthisAgreement, eachpartywillpromptlydestroyor, ontheotherparty’srequest, returnallofthe otherparty’sConfidentialInformation, includingallcopiesthereof, subjecttoapplicablelaw. Thepaymentandfee provisionsofScheduleAandeachOrderFormandanyExpansionOrderFormsshallsurviveanyterminationorexpiration ofthisAgreementwithrespecttoanyfeesdueandowinghereunder. Sections3(c), 45, 6, 7, 8, 9ofthisScheduleCshall surviveanyterminationorexpirationofthisAgreement. 8. Notices. ExceptasotherwiseprovidedinthisAgreement, allnotices, requestsanddemands, andothercommunications requiredorpermittedunderthisAgreementshallbeinwritingandsenttotheaddressesnotedintheOrderFormorto suchchangesofaddressofwhichonepartynotifiestheotherinaccordancewiththisprovision. Anoticeshallbedeemed effective: (i) upondelivery, ifdeliveredpersonallybyhandtoaparty; (ii) one (1) businessdayafterdeposit, ifdelivered toanationallyrecognizedcourierserviceofferingguaranteedovernightdelivery; or (iii) five (5) businessdaysafterhaving beendepositedintheUnitedStatesmail, certifiedmail, postageprepaid, returnreceiptrequested. 9.Non-Discrimination. Tandemrepresentsandwarrantsthatitandallofitsofficers, employees, agents, contractorsand subcontractorsshallcomplywithalllawsoftheUnitedStates, theStateofIndianaandCityprohibitingdiscrimination againstanyemployee, applicantforemploymentorotherpersonintheprovisionofanyGoodsandServicesprovidedby thisAgreementwithrespecttotheirhire, tenure, terms, conditionsandprivilegesofemploymentandanyothermatter relatedtotheiremploymentorsubcontracting, becauseofrace, religion, color, sex, handicap, nationalorigin, ancestry, age, disabledveteranstatusand/orVietnameraveteranstatus. 10.E-Verify. PursuanttoI.C. § 22-5-1.7etseq., asthesamemaybeamendedfromtimetotime, andasisincorporatedherein bythisreference (the “IndianaE-VerifyLaw”), Tandemisrequiredtoenrollinandverifytheworkeligibilitystatusofits newly-hiredemployeesusingtheE-Verifyprogram, andtoexecutetheAffidavitattachedhereinasScheduleD, affirming thatitisenrolledandparticipatingintheE-verifyprogramanddoesnotknowinglyemployorengageunauthorizedaliens. InsupportoftheAffidavit, TandemshallprovidetheCitywithdocumentationindicatingthatithasenrolledandis participatingintheE-Verifyprogram. ShouldTandemviolatetheIndianaE-Verifylawbyknowinglyemploying unauthorizedaliens, theCitymayrequireacureofsuchviolationandthereafter, ifnotimelycureisperformed, terminate thisAgreementinaccordancewitheithertheprovisionshereof. TandemcertifiesbyenteringintothisAgreementthatneitheritnoritsprincipalsnorany ofitssubcontractorsarepresentlydebarred, suspended, proposedfordebarment, declaredineligibleorvoluntarily excludedfromenteringintothisAgreementbyanyfederalagencyorbyanydepartment, agencyorpoliticalsubdivision oftheStateofIndiana. PursuanttoI.C. § 5-22-16.5, Tandemcertifiesthat, insigningthisAgreement, itdoesnotengagein investmentactivitieswithintheCountryofIran. 14.Miscellaneous. EachpartyrepresentsandwarrantstotheotherthatithastheauthoritytoenterintothisAgreementandis notunderanyobligationtoanythirdpartythatwouldconflictwiththisAgreement. ThisAgreement, includingallofthe Scheduleshereto, istheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesall otherpriorandcontemporaneousagreementsandunderstandings, oralandwritten, betweenthepartieswithrespecttothe subjectmatterhereof. Additionalordifferenttermsinanypurchaseorderorsimilardocumentwillnotmodifyoraddto thetermsofthisAgreementunlessmutuallyagreedinwritingbytheparties. ThisAgreementmaybeamendedonlybya writtenagreementbetweentheparties. IfonepartyfailstoenforceanyprovisionofthisAgreement, suchpartywillnotbe precludedfromenforcingthesameprovisionatanothertime. Forexample, youmaybe required bylawtowearahelmetincertaincitiesorjurisdictions (or, ifapplicable, byprovinceorstate) inwhich youareutilizingtheTandemMobilitybikeandcertaindifferentoradditional feesandpoliciesmayapply. The Contracts applicable toalljurisdictions inwhichTandemMobilitybikesmaybereservedareavailablethrough theTandemMobilitywebsites. 1. BasicTermsofUseoftheTandemMobilityServices 2.1ThisContractisabike-sharing/rental service subscription contract offered byTandemMobilitybutdoesnotin itself confer anyrighttouseanyTandemMobilitybikeorservice. ARidermayonlyuseTandemMobility'sbikes and/orServices, totheextentavailable, inaccordance withthetermsofthisContractandsubjecttopayingall applicable feesandcharges. 2.2TandemMobility istheoperatoroftheServices, andthroughselectionoftheServicesontheplatform, the Rider acknowledges thattheServices, including butnotlimitedtothebicycleandbikeracks, maybebrandedor marketed bythirdparties. Rider acknowledges andagreesthatthroughthisAgreement thatnoownershipis transferred toRiderofanyitemsprovidedoratRider’sdisposalunderthisAgreement, including specifically and without limitation, allTandemMobilitybikes, bikeracksandlockingmechanisms orthebikes, bikeracksand locking mechanisms made available toRiderinconnection withTandemMobility’sServices. 3. Eligibility 3.1TobeeligibleforTandemMobility’sServices, theRidermust: Beatleast18yearsold; Beavalidmember/resident/customer/student/guestofthepartnercommunity inwhichTandemMobilityhas contracted with; and Fullycompletetheloginandregistration process withTandemMobility’sthispartyapplication provider Movatic, Inc.). 3.2Satisfying theforegoingcriteriadoesnotautomatically givearegisteredMovatic, Inc. user therightto become aTandemMobilityRider. Acceptance oftheapplicant'sRidership issubjecttoreviewandapprovalby Tandem Mobility and/oritspartnersintheirsolediscretion, and, without limiting theforegoing, Ridership maybe denied based uponadditionalcriteriaestablishedfromtimetotimebyTandemMobility, itsthirdpartyapplication providers (including, butnotlimitedto, Movatic, Inc.) and/oritsinsuranceproviders. 3.3TheRiderrepresents andwarrantstoTandemMobilitythatithasreceivedallreasonable explanations concerning thecontentofthisContract, including allSchedules currently inforce, andthatithascarefully reviewed itscommitments andobligationshereunder. 4. FeesandResponsibilities oftheRider 4.1TheRiderpromisestopayTandemMobilityallapplicableRidership feesassociatedwiththeRider'splanas displayed intheapplication thatRiderusestoaccesstheServices, which shallbecollectedviaprocessingRider’s credit cardbyathirdpartypaymentprocessor. NofeespaidforuseoftheServicesarerefundable, regardless of whether ornotaRider'sRidership terminates. ARider'sinitial (firstyear's) Ridership feeisonlyrefundableifa Rider terminates Ridership within thefirstseven (7) daysofRidership. Riders arebilledforusagefees, costs incurred andforanyfees incurred viacreditcardorothermeansasestablishedbyTandemMobility. AnyRideraccountwhichis delinquent willbesuspended. AnycreditordebitcardprovidedbytheRidertoTandemMobilityforbilling which isrejectedmayresultinsuspension oftheRider'sRidership. Riders areresponsibleforprovidingand maintaining current credit cardordebitcardinformationonfilewithTandemMobilityoritsthirdpartypayment processor. Ongoing issueswithcreditcardbillingsmayresultinterminationofRidership. Under no circumstances willTandemMobilityberesponsible foranyoverdraftorotherfeeschargedbyaRider'screditcard company orbank. Fordelinquentaccounts, Tandem Mobility mayalsochangehowcreditisofferedtotheRider and/orterminate theRider'saccount. Inaddition, Tandem Mobility mayutilizethirdpartiestocollectamounts owedtoTandemMobilitybyaRider. 4.3Ridersareresponsible forprovidingandmaintaining current email, mobile phone, mailing address andother account information. Telephone calls, email correspondence andsocialmediacommunications withTandem Mobility mayberecordedormonitored. Byusingthesecommunication methods youareconsenting tothe recording ormonitoringofyourcalls, emails andsocialmediacommunications 5. Damages 5.1DamagesGenerally: ARiderisresponsible forthefullvalueofanydamagescausedtoTandemMobility's property orthepropertyofallthirdpartiesduringtheentiretimewhiletheRiderisresponsible foraTandem Mobility bike. Without limiting theforegoing, aRiderisresponsible foranyandalldamagethatoccurstoa Tandem Mobility bikewhileintheRider'spossession orcontrol (theentiretimethebikeisreservedunderthe Rider'saccount) evenifdamageisweather-related orarisesfromsimilarcauses. 6. Insurance Tandem Mobility doesnotprovideanyinsurancetoRiders. TheServicesandtheproductsmadeavailablethrough Rider’suseoftheServicesareprovided "asis" andtheRiderassumesallrisksassociatedwithusingtheServices andsuchproducts. 7. TermandTermination 7.1ThisContractshallcommence upon theacceptance byTandemMobilityoftheRider'sregistrationwith Tandem Mobility’sthirdpartyapplication provider andthepaymentofanyapplicable fees. Thiscontractterm shall continue untilsuchtimeasRidershipiscanceledinaccordancewiththisSection7. ARidermayterminate Ridership upononedaypriornoticebycontactingTandemMobilitysupportthroughtheiraccountwithinthe application thatRiderusestoaccesstheServices. Tandem Mobility mayterminatethisContractatanytimeupon nolessthanthirty (30) days’ notice totheRider. WithrespecttoanyterminationorcancellationofthisContract, theRidershallremainresponsible foranyfees, costsorexpensesincurredpriortoterminationofthisContract. 7.2Inaddition, Tandem Mobility mayuponnoticetotheRider, immediately terminate thisContractiftheRider a) failstopayanysumdueunderthisContract, (b) failstocomplywithanytermorconditionspecifiedinthe Contract oranyRules, (c) engages inanyactivitiesorconductthatTandemMobility, initsreasonable discretion, determines tobeinappropriate, abusiveorotherwise unacceptable; or (d) isnotpayingitsdebtsassuchdebts generally become due, becomes insolvent, filesorhasfiledagainstitapetition (orotherdocument) underany 14 Bodman_17042305_ 2 DocuSign Envelope ID: AEF88DE6-E12A-4394-AE83-A1C012CE171F bankruptcy laworsimilarlawthatisunresolvedwithinsixty (60) daysofthefilingofsuchpetition (or document), proposes anydissolution, liquidation, composition, financial reorganization orrecapitalization with creditors, makes ageneral assignment ortrustmortgageforthebenefitofcreditors, orifareceiver, trustee, custodian orsimilaragentisappointedortakespossessionofanyofitspropertyorbusiness. NoRidershipor other feeswillberefundedintheeventoftermination pursuant tothisSection7.2. 7.3Upontermination, alloftheRider'srightstouseTandemMobility'sServicesandbikesshallimmediately terminate. TheRideragreestoreturnimmediately toTandemMobilityanybikeoranyotherpropertyofTandem Mobility that theRiderhasintheRider'spossession. Additionally, theRidershallberesponsible forandagreesto payanylegalfees, court costsorexpensesassociatedwithenforcingthetermsofthisContract, whether upon termination orotherwise (including, without limitation, anycostsrelatingtorecoveringanyoftheforegoing property oranyamountsdueandowingtoTandemMobility). 8. Limitations ofLiability 8.1UNDERNOCIRCUMSTANCES WILLTANDEMMOBILITYBELIABLETOANYRIDERORANY THIRD PARTY FORANYINDIRECT, INCIDENTAL, SPECIAL ORCONSEQUENTIAL DAMAGES ARISING FROMORRELATEDTOTHISCONTRACTORUSEOFTHETANDEMMOBILITYSERVICES. Without limiting theforegoing, Tandem Mobility shall havenoliabilityforanylossof, ordamageto, anygoods onthebike, anyloss, damage orinjuryresultingtothirdpartiesfromtheuseofaTandemMobilitybike, orfrom theuseofanybikeaccessories (bicycle racks, babyseats, etc.), whether supplied byTandemMobilityorbya Rider (theRiderisresponsible forthesafeinstallationofsuchaccessories andmustchecktheconditionofsuch accessories before eachuse). 8.2THERIDERACKNOWLEDGES ANDAGREESTHATTANDEMMOBILITY'SSERVICESINVOLVE SOMEHAZARDSANDDANGERSANDTHATTHERIDER'SUSEOFSUCHSERVICESISENTIRELY VOLUNTARY. BYUSINGTANDEMMOBILITY'SSERVICES, THERIDER (A) ASSUMES ALLRISKSOF INJURY, LOSSOFLIFEANDDAMAGETOPERSONANDPROPERTYTHATMAYOCCURIN CONNECTION WITH THESERVICES, (B) WAIVES, RELEASES ANDHOLDSHARMLESSTANDEM MOBILITY ANDITSAFFILIATED COMPANIES ANDTHEIROFFICERS, MANAGERS, MEMBERS, RIDERS, EMPLOYEES, AGENTS, REPRESENTATIVES, ANDTANDEMMOBILITY’SAFFILIATES INCLUDING PARENT COMPANY, MOVATIC, INC.), ANYOFPARENTCOMPANY’S STOCKHOLDERS, OFFICERS ORDIRECTORS, FROMANYCLAIMS, DAMAGES, LIABILITIES, RIGHTS ANDCAUSESOFACTIONARISINGINCONNECTION WITHORRESULTINGFROMTHE RIDER'SUSEOFTHESERVICESAND (C) AGREES THAT THERIDER, THERIDER'SFAMILYRIDERS ANDTHERIDER'SSUCCESSORS, ASSIGNS, HEIRS ANDLEGALREPRESENTATIVES WILL NOT MAKEANYCLAIMAGAINSTTANDEMMOBILITYANDITSAFFILIATEDCOMPANIESANDTHEIR OFFICERS, DIRECTORS, STOCKHOLDERS, RIDERS, EMPLOYEES AGENTS ANDREPRESENTATIVES WITHRESPECTTOTHECLAIMS, DAMAGES, LIABILITIES, RIGHTS ANDCAUSESOFACTIONTHE RIDER ISRELEASING ANDWAIVINGHEREIN. THERIDERHEREBYREPRESENTS ANDWARRANTS THATTHERIDERHASREADTHISCONTRACTANDFULLYUNDERSTANDS THATBYACCEPTING THISCONTRACT, ORUSINGTANDEMMOBILITY'SSERVICES, THERIDERISGIVINGUPLEGAL RIGHTS AND/ORREMEDIES THATMAYBEAVAILABLETOTHERIDER. 9. Miscellaneous Provisions 9.1Bycompleting theregistration forms andbecomingaTandemMobilityRider, theRiderrepresentsand warrants toTandemMobilitythattheRiderhasreceivedallexplanations astheRidermayhavereasonably requested concerning thecontentofthisContract, including allSchedules, andthattheRiderhascarefully 15 Bodman_17042305_ 2 DocuSign Envelope ID: AEF88DE6-E12A-4394-AE83-A1C012CE171F reviewed andunderstands theRider'scommitments andobligationshereunder. TheRideralsorepresents thatthe Rider hasreviewedandunderstands theTandemMobilityPrivacyPolicy (andtheprivacypolicyofTandem Mobility’sthirdpartyapplication provider(s)) andacknowledges thatanyinformation shared by, orcollectedfrom orabout, theRidermaybeusedbyTandemMobilityinaccordancewiththetermsofthePrivacyPolicyasitmay beamendedfromtimetotime. 9.2TherightsgrantedtotheRiderunderthisContractarenotassignableortransferable, inwholeorinpart. Any attempt totransfer thisContractwithoutthewrittenconsentofTandemMobilityshallbevoidandofnoforceand effect. Tandem Mobility mayassignthisContracttoanaffiliateortoanotherentityinconnectionwithacorporate transaction orotherwise. 9.3NodelayoromissionbyTandemMobilitytoexerciseanyrightorpoweroccurringuponanynoncompliance ordefaultbytheRiderwithrespecttoanyofthetermsofthisContractshallimpairanysuchrightorpowerorbe construed tobeawaiverthereof. AnywaiverbyTandemMobilityofanycovenant, condition, oragreement tobe performed bytheRidershallnotbedeemedtobeawaiverofanypriororsubsequent breachofthesame, orof anyothercovenant, condition, oragreement hereunder. Unless stated otherwise, allremediesprovidedforinthis Contract shall becumulative andinadditiontoandnotinlieuofanyotherremediesavailabletoeitherpartyat law, inequity, orotherwise. 9.4Ifanyterm, provision, covenant orconditionofthisContractisheldinvalidorunenforceable foranyreason, theremainderoftheprovisionswillcontinueinfullforceandeffectasifthisContracthadbeenexecutedwiththe invalid portion eliminated. Thepartiesfurtheragreetosubstitutefortheinvalidprovisionavalidprovisionthat most closely approximates theintentandeconomiceffectoftheinvalidprovision. 9.5ThisContract isgovernedbythelawsinforceintheStateofMichiganandshallbeinterpreted according to theinternal lawsofsuchState, without reference toitsconflictsoflawsorchoiceoflawrules. Alldisputes hereunder shallberesolvedsolelyintheapplicable federal courtsoftheWesternDistrictofMichiganorthestate courts inGrandRapids, Michigan. Thepartiesherebyconsenttotheexclusivejurisdictionofsuchcourts, agree to accept service ofprocessbymail, andwaiveanyjurisdictional orvenuedefenses otherwise available. 9.6Anynoticesorcommunication required orpermittedtobegiventotheRidershallbeinwritingandshallbe sufficiently givenifdeliveredbyemailormailedtotheRiderattheemailorpostageaddressprovidedtoTandem Mobility intheRider'scompleted registration orasupdatedbytheRiderandonfilewithTandemMobility. Anynoticesentbylettershallbe deemed tohavebeenreceivedonthefourthbusinessdayafteritwasposted. 10. RulesofBikeUse Ausermaynotlend, rentorassignhisorherbikeorlockkey, whichisthepropertyofTandemMobility, oruse thesameforpurposeswhicharecontrarytotheprovisionshereof. Auserisexpressly forbidden fromallowing 16 Bodman_17042305_ 2 DocuSign Envelope ID: AEF88DE6-E12A-4394-AE83-A1C012CE171F anythirdpartytousethebicycle, which isthepropertyoftheTandemMobility, inanywaywhatsoever, whether freeofchargeornot. 10.2TheuseofaTandemMobilitybikeunderthefollowingconditions isprohibited a. anyspeedraceorcompetition b. fortheprimarybusinesspurposeoftransporting people oroperatingataxiservice; c. byanypersonwhoisundertheinfluenceof (i) alcohol or (ii) anydrugormedicationundertheeffectsofwhich theoperationofabicycleisprohibitedornotrecommended d. inthecarryingoutofanycrimeorforanyotherillegalactivityorpurpose; e. inanimprudent, negligent, orabusivemanneroranyotherabnormal useofabike; f. byanypersonwhohasprovidedTandemMobilitywithfalseinformationorwhoserepresentations are determined tobefalse (including, without limitation, regarding his/hername, age, oraddress); g. outside ofthedesignatedhoursofoperations Theforegoingexamplesarenotintendedtobeexhaustive. Anyunreasonable orinappropriate useofaTandem Mobility bike, asdetermined byTandemMobilityinitssolediscretion, maybedeemedaviolationoftheseRules. Without limiting theforegoing, Riders must always useTandemMobilitybikeinaccordancewithallapplicable lawsandregulations. Tandem Mobility mayreporttotheauthorities anyuseofaTandemMobilitybikeorother activities thatareinviolationoflaw. Tandem Mobility mayimmediately suspend orterminate theuseofitsServicesorproductsbyanyRiderfora violation ofanyoftheseRules. Upon suspension ortermination, anyexistingreservations fortheRidermaybe canceled byTandemMobilityatitssolediscretion. Inaddition, Riderswillberesponsibleforanyandallcosts, charges, feesandexpensesincurredbyTandemMobilityasaresultofabreachofanyoftheseRules. 11. Reserving aTandemMobilityBike 11.1TheminimumperiodforwhichaTandemMobilitybikemayberentedisdefinedbytheminimumsetwith thesystemofrental. IftheTandemMobilitybikeisavailable, arentalmaybeextendedinonehourincrements thereafter asprovidedinSection11.2below. Useofabikeforaperiodoflongerthandesignated rental period maybeauthorizedatTandemMobility’sdiscretionandmustbearrangedwithaTandemMobilityrepresentative. 11.2Extending andEndingRentals Ifyouwishtoextendarental, youmaydosoonlyif i) (thebikeisavailableforusefortheextensionperiod (for example, some location haverestrictedhoursofuseandrequirethatthebikesarereturnedpriortothebuilding being locked), (ii) therequesttoextendiscompleted priortothescheduledexpirationtimeofyourexisting reservation and (iii) youhavesufficientcredit/funds available onthecredit/debitcardusedtomakethereservation topayfortheextension. Attheendofyourrentalperiodyouarerequiredtotexttheword “end” andthebikenumberto Tandem Mobility. UserswhofailtonotifyTandemMobilityoftheendoftheirrentalcouldbesubjectto additional feespursuanttothetermsofTandemMobility’sthirdpartyapplicationprovider’spoliciesand/orthe applicable Tandem Mobility customer’spricingrequirements. 12. RESPONSIBILITIES ANDRECOMMENDATIONS TheRiderisresponsible, priortousingthebicycle, toperformasimplecheckoftheprincipal visible functional components thereof, including (without limitation) toensurethat: i) theseat, pedals andbasketareproperlyattached; ii) thebell, brakes andanylighting, ifany, arefunctioning properly; and iii) theframeandtiresaregenerallyingoodworkingcondition. Oranyotherconditionthatmayrenderthebicycleunsafetooperate. TheRiderisfurthermore advised: i) toadjustbrakingdistanceinbadweather; ii) toadjusttheheightoftheseattotheRider'smorphology; iii) towearasuitablehelmetandclothing; and iv) torespecttheHighwaySafetyCodeinforceatthetimetheRiderismakinguseoftheService (e.g.: observing traffic lightsandsigns, usinghandsignalsandrefrainingfromridingonthesidewalk, etc.). IfTandemMobilityisnotnotifiedofaproblematthestartofarental, youwillbedeemedtoberesponsible for anyproblemwiththebikediscoveredorreportedafteryourrental. Failure toreportdamagemayalsoresultinthe suspension ortermination ofyourTandemMobilityRidership. Thekey, keyfoborotherlockingdevicetothebikemustbeattachedtotheTandemMobilitybikeand/orbe returned toitsdesignated position within thelockboxattheconclusionoftherental. Thebikemustbelocked using yourdesignatedpincodeandthelockprovided) atalltimeswhenitisnotinuseduringyourrental. You must advise Tandem Mobility immediately ifyoufailtoleavethekey/fob/locking device attached tothebikeand secured inthelockedlockbox. Youwillbechargedthehourlyrateforthebikeuntilthekey/fob/starting device is returned andyouwillremainresponsible forthebikeduringsuchperiod. Youmayalsobechargedafeeto replace anyoftheitemsmissingfromthebike. Stolen bikesmustbeimmediately reported. 13. Incidents. 31.1Incaseofanincidentinvolvingpropertydamageoranythirdparty, theRidermustfilloutanofficialpolice report form, and, ifpossible, provide ajointlyagreed-uponstatement, complete TandemMobility’sincidentreport form, andobtainthefollowinginformation: 18 Bodman_17042305_ 2 DocuSign Envelope ID: AEF88DE6-E12A-4394-AE83-A1C012CE171F a.Date, time, andplaceofincident; b.Thelicenseplatenumbersofanyothervehiclesinvolved, theirmakeandyear, their identification number serial number), andtheinsurancecertificate'snumber (withname, address andphonenumberoftheinsurance agent); c.Thenames, addresses, anddriver'slicensenumbersofthepersonsinvolvedintheincident; d.Thename, address, anddriver'slicensenumberoftheownerofthecar (ifheorsheisnotthedriver); e.Thename, addresses, andphonenumberofwitnesses, passengers, andanyotherinvolvedpersons; f.Circumstances oftheincident; and g.Apolicereportisrequiredregardlessofliabilityorfault. 13.2Investigation andprocedure. Riders must provide toTandemMobilityandanyotherclaimsadjustment service thefindingsofanyreportoranynoticerelatingtoaclaimoralawsuitagainstTandemMobilityregarding anyincidentinvolvingaTandemMobilitybike. Riders agree tocooperate fullywithTandemMobilityinthe investigation anddefenseofanysuchclaimorlawsuit. ARider'saccountwillbesuspended until theinvestigation hasbeenconcluded.
