(the “Professional”) andKriegDeVaultLLP (the “LawFirm”), anIndianalimitedliability Partnership (collectively, the “Indemnified Parties”). RECITALS A.TheCityisenteringintoanagreementwiththeProfessional asanindependentcontractorand notinhiscapacityasSeniorCounselatthelawfirmofKriegDeVaultLLP (“LawFirm”) to providetheservicesdescribedinParagraphBbelow. B.TheProfessionalhasagreedtobecompensateddirectlybytheCityforprovidingthefollowing services: (a) preparing forandattendingtheregularmonthlymeetingsofthePlanCommission, several committees ofthePlanCommission, andtheBoardofZoningAppeals, plusnotmore thantwo (2) otherpublicmeetingsorhearingspermonthinvolvingtheCommission, theBoard, theCommonCouncil, and/orotherCityofficialsinrespecttoplanningandzoningbusiness, whichshallincluderelatedinteractionwithkeyofficialsforuptoone (1) hourbeforeorafter eachmeeting; (b) attending one (1) staffmeetingorworkshopeachmonthinvolvingthestaff oftheDepartmentofCommunityServices (DOCS) upontherequestoftheDOCSDirector; and (c) othermatters, includingbutnotlimitedto, researchonlegalissuesasrequestedbythe DOCSDirectorortheCorporationCounsel, conducting trainingseminarsformembersofthe PlanCommissionorBoardofZoningAppeals, draftingofordinances, regulations orprocedural rules, reviewofdevelopmentcommitmentsbylandownersandlitigationinvolvingthe Commission, theBoardorDOCS (the “Work”). C.TheCityacknowledgesthattheWorkprovidedbytheProfessionalasanindependent contractor willnotbedirected, controlledorsupervisedbytheLawFirm. D.TheLawFirmconsentstotheCityengagingtheprofessionaldirectlyandnotasSeniorCounsel fortheLawFirminconsiderationforwhichtheCityagreestoindemnifyandholdharmlessthe LawFirmforanyclaimsthatarisefromorrelatetotheWorkperformedbytheProfessional. E.TheCityacknowledgesthattheWorkbytheProfessionalissolelyforthebenefitoftheCity andisnotintendedtoberelieduponbyanythirdparty, andtherefore, theCityagreesto indemnify andholdharmlesstheProfessionalforanyclaimsthatarisefromorrelatetothe WorkperformedbytheProfessional. Forandinconsiderationofthecovenantsandagreementsprovidedbytherespectiveparties heretotobekeptandperformed, andothergoodandvaluableconsideration, thepartiesagreeas follows: 1 DocuSign Envelope ID: AEF88DE6-E12A-4394-AE83-A1C012CE171F AGREEMENT 1. TheCitywillindemnifyandholdharmlesstheProfessionalandtheLawFirmandits partners, officers, directors, employees, agents, andrepresentatives, fromandagainstanyandall liability, liens, claims, demands, damages, expenses, attorney fees, costs, fines, penalties, suits, proceedings, actionsandcausesofactionofanyandeverykindandnaturearisingorgrowingoutofor inanywayconnectedwiththeProfessional’sperformanceoftheWorkorProfessional’suse, occupancy, orattendanceataCityBuildingtoperformtheWork. 2. TheCityshallbear, payanddischargewhen, andasthesamebecomedueandpayable, anyandallsuchjudgmentsorclaimsfordamages, penaltiesorotherwiseagainsttheProfessionaland/or theLawFirmarisingorgrowingoutoforinanywayconnectedwiththeProfessional’sperformance oftheWorkorProfessional’suse, occupancy, orattendanceataCityBuildingtoperformtheWork. TheCityshallholdtheProfessionaland/ortheLawFirmharmlessforthosejudgmentsorclaims, and shallassumetheburdenandexpenseofdefendingallsuits, administrative proceedings andnegotiations ofanydescriptionwithanyandallpersons, political subdivisions orgovernmentagenciesarisingor growingoutoforinanywayconnectedwiththeProfessional’sperformanceoftheWorkor Professional’suse, occupancy, orattendanceataCityBuildingtoperformtheWork. 3. TheProfessionaland/ortheLawFirmwillpromptlynotifytheCityofanyclaimsubject toindemnification underthisAgreement; provided, however, thatfailuretoprovidesuchnoticewill notrelievetheCityofitsobligationshereunderexcept where, andsolelytotheextentthat, suchfailure actuallyandmateriallyprejudicestherightsoftheCitytodefendaclaimsubjecttoindemnification. If thedefenseofanyclaimistenderedtotheCity, theProfessionaland/ortheLawFirmwillhavethe rightandoptiontoparticipateinthedefenseofsuchclaimwithcounselselectedbytheCityand reasonably satisfactory totheIndemnifiedParties. TheCitywillhavetherighttosettleanyclaim; provided, however, thatexceptwithpriorwrittenconsentoftheProfessionalandtheLawFirm, the Citywillnotenterintoanysettlementorconsenttoentryofanyjudgmentthat (i) doesnotincludea fullandunconditional releaseofallIndemnifiedParties, (ii) includesanadmissionoffault, culpability orfailuretoactbyoronbehalfofanyIndemnifiedParties, or (iii) includes injunctiveorother nonmonetary reliefaffectinganyIndemnifiedParties. 4. Notwithstanding anything hereintothecontrary, theobligations, representations, warranties, andindemnificationsoftheCitymadehereinwillsurvivetheterminationofthe Professional ServicesAgreement. 5. ThisAgreementmaynotbemodifiedorchangedexceptbyaninstrumentinwriting dulyexecutedbythepartieshereto. 6. ThisAgreementmaybeexecutedinanynumberofcounterparts, eachofwhichwhen executed anddeliveredwillconstituteanoriginal, butallsuchcounterpartswillconstituteoneandthe sameinstrument. 7.
