HomeMy WebLinkAboutBenjamen Goebel/$1,200/Performance Agreement for the Festival of IcePERFORMANCEAGREEMENT ThisPerformance Agreement (the “Agreement”), whichshallbeeffectiveasofthedateitislastsignedbyapartyhereto (the EffectiveDate”), isnowenteredintobyandbetweentheCityofCarmel, Indiana, byandthroughitsBoardofPublicWorksandSafety the C“ity”), andBenjamenGoebel, anindividualorentityauthorizedtodobusinessintheStateofIndiana (the “Performer”). 1. Performance. The Performer shallprovidetheliveentertainment thatisdescribedinExhibitA, whichisattachedheretoand incorporatedhereinbythisreference. 2. Payment. PursuanttothepaymenttermsetforthinExhibitA, theCityshallpaytothePerformerthesumof $1,200.00 (the Payment”), whichshallconstituteallmoniesdueandowingtothePerformerfromtheCityfororrelatedtothePerformance. 3. Non-Performance. IfthePerformanceiscancelledbytheCity, thentheCityshallpaytothePerformerthefullamountofthe PaymentsumasspecifiedinParagraph2hereinabove. IfthePerformanceisnotprovidedbythePerformerasspecifiedinParagraph 1hereinabove, thePerformershallpaytotheCityone-halfofthePaymentsumasspecifiedinParagraph2hereinabove. 4. Sales. NeithertheCitynorthePerformershallsellticketsorchargeadmissiontothePerformance. OnthePerformanceDate, the Performermay, inconformancewiththelaws, rules, andregulationsoftheVenue, sellthePerformers’merchandiseatthe Performancelocation, andthePerformershallretainallproceedstherefromwithoutcontributiontotheCity. 5. Relationship. ThePerformerisnot, andshallnotbeconsideredforanypurposetobe, theemployeeoftheCity. ThePerformer herebyagreestoindemnifyandholdharmlesstheCity, andtheCitys’ officers, officials, employees, agents, andattorneys, fromand againstallclaims, suits, judgments, liabilities, losses, costs, andexpenses (including, withoutlimitation, reasonableattorneys’ feesand courtcosts) thatresultfromanyclaimforwages, benefits, orotherwisebyanyagent, employee, orcontractorofthePerformerorfrom anyactionsofthePerformerand/orthePerformer’sagents, employees, orcontractorsatorregardingthePerformance. 6. License. ThePerformerherebygrantstotheCityalicense (the “License”) tophotograph, videorecord, orotherwisedepict, in, on, orthroughanymedium (whetherprint, digital, orothermediaformat), thePerformerandthePerformance, forusebytheCityin advertisingormarketingtheCity, theVenue, theCarmelArtsandDesignDistrict, and/orandCity-sponsoredorCity-relatedevents. TheLicenseshallsurvivetheterminationofthisAgreement. 7. Indemnity. ThePerformerherebyagreestoindemnifyandholdharmlesstheCityandtheCitys’officers, officials, employees, agents, andattorneysfromandagainstallclaims, suits, judgments, liabilities, losses, costs, andexpenses (including, withoutlimitation, reasonableattorneys’ feesandcourtcosts) thatresultfromthePerformanceorthebreachofthisAgreementbyPerformer. 8. Assignment. ThePerformershallnotassignthisAgreementoranyofitsobligationshereunder. 9. CopyrightPermission. ThePerformerherebyagreestoobtainallnecessarypermissions fromBMI, ASCAP, SESAC, ordirectly fromthe copyrightholder(s) ofallsongsorotherworksthatisnotinthepublicdomainandthatwillbepartofthePerformance, and herebyagreestoindemnifyandholdharmlesstheCity, andtheCitys’officers, officials, employees, agents, andattorneys, fromand againstallclaims, suits, judgments, liabilities, losses, costs, andexpenses (including, withoutlimitation, reasonableattorneys’ feesand courtcosts) thatresultfromthePerformers’failuretoobtainsuchpermissions. 10. CompliancewithLaw; LawfulOrders. ThePerformeragreestocomplywithallfederal, stateandlocallaws, executiveorders, rules, regulationsandcodesapplicabletothePerformers’performanceofitsobligationsunderthisAgreement, andallrelevant provisionsthereofareincorporatedhereinbythisreference. ThePerformeragreestoindemnifyandholdharmlesstheCityfromany loss, damageand/orliabilityresultingfromanysuchviolationofsuchlaws, orders, rules, regulationsandcodes. ThePerformerfurther agreestocomplywithalllawfulordersoftheCitywithregardstoorrelatedtothePerformance. 11. Nondiscrimination. ThePerformerrepresentsandwarrantsthatitandallofitsofficers, employees, agentsandcontractorsshall complywithalllawsoftheUnitedStates, theStateofIndianaandtheCityprohibitingdiscriminationagainstanyemployee, applicant foremployment, orotherpersonintheperformanceofthePerformer’sobligationsunder thisAgreementwithrespecttotheirhire, tenure, terms, conditionsandprivilegesofemploymentandanyothermatterrelatedtotheiremploymentorsubcontracting, becauseof race, religion, color, sex, handicap, nationalorigin, ancestry, age, disabledveteranstatusand/orVietnameraveteranstatus. 12. IranCertification. PursuanttoI.C. § 5-22-16.5, thePerformerherebycertifiesthatitdoesnotengageininvestmentactivitieswithin theCountryofIran.
