RECITALS WHEREAS Cityownsandisresponsible fortheoperationandmaintenance ofitsproperty, personnel, public works and infrastructure; and WHEREAS, fromtimetotime, Cityneedsprofessional assistance infulfilling itsforegoing responsibilities; and WHEREAS, Professional isexperienced inproviding anddesirestoprovidetoCitytheprofessional services Services”) referenced herein; and WHEREAS, CitydesirestoengageProfessional asanindependent contractor forthepurposeofproviding to City theServices referenced herein; NOW, THEREFORE, inconsideration oftheforegoing recitals and thecovenants andconditions set forth herein, CityandProfessional mutually agree asfollows: SECTION 1 INCORPORATION OFRECITALS The foregoing Recitals areherebyincorporated into thisAgreement andmadeaparthereof. SECTION 2 SCOPE OFSERVICES 2.1 Citydesirestoengage Professional asanindependent contractor fortheServices set forth inattached Exhibit A, incorporated herein bythisreference. 2.2 Professional understands andagreesthatCitymay, from time totime, request Professional toprovide additional ormodifiedServices toCity. When Citydesiresadditional Services fromProfessional, the City shall notify Professional ofsuchadditional Services desired, aswellasthetimeframeinwhichsameareto beprovided. OnlyafterCityhasapproved Professional’stimeandcostestimate fortheprovisionofsuch additional Services, hasencumbered sufficient monies topayforsame, andhasauthorized Professional, in writing, toprovidesuchadditional Services, shall such Services beprovided byProfessional toCity. Acopy oftheCity’sauthorization documents forthepurchase ofadditional Services shall benumbered andattached hereto intheorderinwhichtheyareapproved byCity. SECTION 3 CITY'SRESPONSIBILITIES 3.1 City shall provide such information asisreasonably necessary forProfessional tounderstand theServices requested. 3.2 Cityshallprovidealldatarequired forprovision ofServices. Professional may assume that alldataso provided iscorrect andcomplete. 3.3. City shall arrange forProfessional toenteruponpublicandprivatepropertyasreasonably required for Professional toperform theServices. 3.4 City shall designate payment oftheServices fromCitybudgetappropriation number 1192 43-509.00funds. 3.5 City shall designate theMayororhisdulyauthorized representative toactonCity’sbehalfonallmatters regarding theServices. SECTION 4 PROFESSIONAL' SRESPONSIBILITIES 4.1 Professional shall perform theServicespursuant tothetermsofthisAgreement andwithinanyapplicable time andcostestimate. 4.2 Professional shall coordinate withCityitsperformance oftheServices. 4.3 Professional shall provide theServicesbyfollowingandapplyingatalltimesreasonable andlawful standards asaccepted intheindustry. SECTION 5 COMPENSATION 5.1 Professional estimates that thetotalpricefortheServices tobeprovided toCityhereunder shall benomore than Eleven Thousand Eight Hundred Twenty FiveDollars ($11,825.00) (the “Estimate”). Professional shall submit aninvoicetoCitynomorethanonceeverythirty (30) days forServices provided City during thetime period encompassed bysuchinvoice. Invoices shall besubmitted onaformcontaining thesameinformation asthatcontained ontheProfessional Services Invoice attached hereto asExhibitB, incorporated herein by this reference. CityshallpayProfessional forallundisputed Services rendered andstatedonsuchinvoice within thirty five (35) days from thedateofCity’sreceiptofsame. 5.2 Professional agrees not toprovideanyServicestoCitythatwouldcausethetotalcostofsametoexceedthe Estimate, without City’spriorwrittenconsent. SECTION 7 MISCELLANEOUS 7.1 Termination 7.1.1 TheobligationtoprovidealloranyportionoftheServices under this Agreement may beterminated byCityorProfessional, without cause, upon thirty (30) days’ notice. 7.1.2 Theobligation toprovidealloranyportionoftheServices under thisAgreement may beterminated byCity, forcause, immediately upon Professional’sreceiptofCity’s N“otice ToCeaseServices.” 7.1.3 IntheeventoffullorpartialAgreement termination, andasfullandcomplete compensation hereunder, Professional shall bepaidforallsuchServices rendered andexpenses incurred asof thedateoftermination that arenotindispute, except that such payment amount shall notexceed theEstimate. Disputed compensation amounts shall beresolvedasallowedbylaw. 7.2 Binding Effect CityandProfessional, andtheirrespective officers, officials, agents, partners andsuccessors ininterest are bound totheotherastoallAgreement terms, conditions andobligations. 7.3 NoThirdPartyBeneficiaries Nothing contained herein shall beconstrued togiverightsorbenefits to anyone other than theparties hereto. 7.4 Relationship The relationship ofthepartiesheretoshallbeasprovided forinthisAgreement, andneitherProfessional nor anyofitsagents, employees orcontractors areCityemployees. Professional shall have thesole responsibility topaytoorforitsagents, employees andcontractors allstatutory, contractual andother benefits and/orobligations astheybecomedue. Professional hereby warrants and indemnifies City forand fromanyandallcosts, fees, expenses and/ordamages incurred byCityasaresultofanyclaimforwages, benefits orotherwise byanyagent, employee orcontractor ofProfessional regarding orrelatedtothesubject matter ofthisAgreement. Thisindemnification obligation shall survive thetermination ofthisAgreement. Thecoverage amounts shall benolessthanthoseamounts set forth onattachedExhibitC. Such insurance policies shall notbecanceled without thirty (30) days’ prior written notice toCity. 7.6 Liens Professional shall notcauseorpermitthefilingofanylienonanyofCity’sproperty. Intheeventsuchalien isfiledandProfessional fails toremove itwithinten (10) days after thedateoffiling, City shall have theright topayorbondoversuchlienatProfessional’ssolecostandexpense. 7.7 Default IntheeventProfessional: (a) repudiates, breaches ordefaults under anyofthetermsorconditions ofthis Agreement, including Professional’swarranties; (b) fails toperform theServices asspecified; (c) fails to make progress soastoendanger timely andpropercompletion oftheServices anddoesnotcorrectsuch failure orbreachwithin five (5) business days after receipt ofnoticefromCityspecifying same; or (d) becomes insolvent, files, orhasfiledagainstit, apetition forreceivership, makes ageneral assignment for thebenefitofcreditorsordissolves, eachsuchevent constituting aneventofdefaulthereunder, Cityshall have therighttoterminate alloranypartofthisAgreement, without liability toProfessional andtoexercise anyotherrightsorremedies available toitatlaworinequity. 7.8 Government Compliance Professional agrees tocomplywithalllaws, executive orders, rules andregulations applicable to Professional’sperformance ofitsobligations under thisAgreement, allrelevant provisions ofwhichbeing hereby incorporated herein bythisreference, tokeepallofProfessionals’ required professional licenses and certifications valid andcurrent, and toindemnify andholdharmlessCityfromanyandalllosses, damages, costs, liabilities, damages, costsandattorney fees resulting from any failure byProfessional todoso. This indemnification obligation shall survive thetermination ofthisAgreement. 7.9 Indemnification Professional shall indemnify andholdharmlessCityanditsofficers, officials, employees andagentsfromall losses, liabilities, claims, judgments and liens, including, butnotlimitedto, alldamages, costs, expenses and attorney fees arising outofanyintentional ornegligent actoromission ofProfessional and/oranyofits employees, agents orcontractors intheperformance ofthisAgreement. Thisindemnification obligation shall survive thetermination ofthisAgreement. C:\Users\\\clivingston\\AppData\\Local\\Microsoft\\Windows\\INetCache\\Content.Outlook\\562V7G6G\\Bloomington Energy Envrionmental Intelligence LLC Professional Services. doc:3/10/2021 1:01 PM\] 4 DocuSign Envelope ID: FC5D7196-8786-4D11-9FAA-BE2110A95754 Bloomington Energy & Environmental Intelligence, LLC, dbaGnarlyTreeSustainability Institute Department ofCommunity Service - 2021 Appropriation #119243-509.00; P.O.#104800 Contract NotToExceed $11,825.00 7.10 Discrimination Prohibition Professional represents andwarrants thatitandeachofitsemployees, agents andcontractors shall comply withallexistingandfuturelawsprohibiting discrimination against anyemployee, applicant foremployment and/orotherpersoninthesubcontracting ofworkand/orintheperformance ofanyServices contemplated by thisAgreement with respect tohire, tenure, terms, conditions orprivileges ofemployment oranymatter directly orindirectly related toemployment, subcontracting orworkperformance hereunder because ofrace, religion, color, sex, handicap, national origin, ancestry, age, disabled veteran status orVietnam eraveteran status. This indemnification obligation shall survive thetermination ofthisAgreement. 7.11 E-Verify Pursuant toI.C. § 22-5-1.7etseq., Professional shall enroll inandverifytheworkeligibilitystatusofallofits newly-hired employees using theE-Verify program, ifithasnotalready done soasofthedateofthis Agreement. Professional isfurther required toexecute theattachedAffidavit, herein referred toasExhibitD, which isanAffidavit affirming that: (i) Professional isenrolled and isparticipating intheE-verify program, and ii) Professional does not knowingly employ anyunauthorized aliens. This Addendum incorporates by reference, andinitsentirety, attached Exhibit D. InsupportoftheAffidavit, Professional shall provide theCity with documentation that ithasenrolledandisparticipating intheE-Verify program. ThisAgreement shall not take effect until saidAffidavitissignedbyProfessional anddeliveredtotheCity’sauthorized representative. Should Professional subcontract fortheperformance ofanyworkunderthisAddendum, the Professional shall require anysubcontractor(s) tocertifybyaffidavit that: (i) thesubcontractor does not knowingly employ orcontract withanyunauthorized aliens, and (ii) thesubcontractor hasenrolledandis participating intheE-verify program. Professional shall maintain acopyofsuchcertification fortheduration ofthetermofanysubcontract. Professional shall also deliver acopyofthecertification totheCitywithin seven (7) daysoftheeffectivedateofthesubcontract. IfProfessional, oranysubcontractor ofProfessional, knowingly employs orcontracts withany unauthorized aliens, orretainsanemployee orcontractwithaperson that theProfessional orsubcontractor subsequently learns isanunauthorized alien, Professional shall terminate theemployment oforcontract with theunauthorized alien within thirty (30) days (“Cure Period”). Should theProfessional oranysubcontractor of Professional failtocurewithintheCurePeriod, theCityhastherighttoterminate thisAgreement without consequence. TheE-Verify requirements ofthisAgreement willnotapply, should theE-Verify program cease toexist. 7.12 Severability Ifanyprovision ofthisAgreement isheldtobeinvalid, illegal orunenforceable byacourtofcompetent jurisdiction, thatprovision shall bestricken, andallotherprovisions ofthisAgreement that canoperate independently ofsameshallcontinue infullforceandeffect. Thepartiesagreethat, intheeventalawsuitisfiledhereunder, theywaiveanyright toajurytrial theymayhave, agree tofilesuchlawsuit inanappropriate court inHamilton County, Indiana only, andagree that such court istheappropriate venue forandhasjurisdiction over same. 7.16 Waiver Anydelayorinactiononthepartofeitherpartyinexercising orpursuing itsrightsand/orremedies hereunder orunder lawshallnotoperatetowaiveanysuchrightsand/orremedies nor inanywayaffecttherightsof such party torequiresuchperformance atanytimethereafter. NoprovisionofthisAgreement may beamended, added to orsubtracted fromexceptbyanagreement inwritingsignedbybothpartiesheretoand/ortheirrespective successors ininterest. Totheextentanyprovision contained inthisAgreement conflicts withanyprovision contained inanyexhibitattached hereto, theprovision contained inthisAgreement shall prevail. 7.19 Representation andWarranties Each party hereto represents andwarrantsthatitisauthorized toenterintothisAgreement and that any person orentityexecuting thisAgreement onbehalfofsuchpartyhastheauthority tobindsuchpartyorthe party which they represent, asthecasemaybe. 7.20 Headings All headings andsections ofthisAgreement are inserted forconvenience only and donotformapartofthis Agreement norlimit, expand orotherwise alter themeaningofanyprovisionhereof. 7.21 Advice ofCounsel ThepartieswarrantthattheyhavereadthisAgreement and fully understand it, have hadanopportunity to obtain theadviceandassistance ofcounsel throughout thenegotiation ofsame, andenterintosamefreely, voluntarily, andwithoutanyduress, undue influence orcoercion. 7.22 Copyright City acknowledges that various materials which may beused and/orgenerated byProfessional in performance ofServices, including forms, jobdescription formats, comprehensive position questionnaire, compensation andclassification plan and reports arecopyrighted. Cityagreesthatallownership rights and copyrights thereto liewithProfessional, andCitywillusethemsolelyforandonbehalfofitsownoperations. City agrees that itwilltakeappropriate action with itsemployees tosatisfy itsobligations with respect touse, copying, protection andsecurityofProfessional’sproperty. 7.23 Personnel Professional represents that ithas, orwillsecureatitsownexpense, allpersonnel required inperforming the services under thisagreement. Suchpersonnel shall notbeemployees oforhaveanycontractual relationship withCity. Alloftheservices required hereunder willbeperformed byProfessional orunderhis supervision andallpersonnel engaged intheworkshallbefullyqualified toperformsuchservices. Cityshallhavefree access atallproper times tosuchrecordsandtherighttoexamineandauditthesameandtomake transcripts there from, and toinspectallprogramdata, documents, proceedings andactivities. 7.25 Accomplishment ofProject Professional shall commence, carryon, andcomplete theprojectwithallpracticable dispatch, inasound economical andefficientmanner, inaccordance with the provisions thereof andallapplicable laws. In accomplishing theproject, Professional shall take such steps asareappropriate toensure that the work involved isproperly coordinated with related work being carried onwithinCity’sorganization. 7.26 Debarment AndSuspension 7.26.1 TheProfessional certifies byentering into thisAgreement that neither itnoritsprincipals noranyof itssubcontractors arepresently debarred, suspended, proposed fordebarment, declared ineligible or voluntarily excluded fromenteringintothisAgreement byanyfederal agency orbyanydepartment, agency orpoliticalsubdivision oftheStateofIndiana. The term “principal” forpurposes ofthisAgreement means an officer, director, owner, partner, keyemployee orotherpersonwithprimarymanagement orsupervisory responsibilities, orapersonwhohasacriticalinfluence onorsubstantive control over theoperations ofthe Professional. 7.26.2 TheProfessional certifies that ithasverifiedthestateandfederalsuspension and debarment status forallsubcontractors receiving funds under thisAgreement andshallbesolelyresponsible forany recoupment, penalties orcoststhatmightarisefromuseofasuspended ordebarred subcontractor. The Professional shall immediately notify theCity ifanysubcontractor becomes debarred orsuspended, and shall, attheCity’srequest, take allstepsrequiredbytheCitytoterminate itscontractual relationship with the subcontractor forworktobeperformed under thisAgreement. 7.27 Access toPublicRecords Act Professional understands andagreesthatany “public record”, asthattermisdefinedinIndianaCode5-14-3- 2(m), asamended, thatisrelated tothesubjectmatterofthisAgreement, whether thesameisinthe possession orcontroloftheProfessional ortheCity, shall besubjecttoreleaseunderandpursuant tothe provisions ofIndiana’sAccess toPublicRecords Act, ascodified inIndiana Code5-14-3-1, et seq., as amended. 7.28 IRAN CERTIFICATION. Pursuant toI.C. § 5-22-16.5, theProfessional shall certify that, insigning thisAgreement, itdoesnotengage ininvestment activities within theCountryofIran. Introduction TheCityofCarmelparticipated inthe2020Environmental Resilience Cohort anddevelopeda 2018GHGinventory, designed andadministeredacommunitysurveytosolicitpublicinputinto theclimateactionplanningprocess, andbegandevelopingclimateplanningscenarios.
