for the construction of the City of Carmel Phosphorous Removal, Contract 101.

The Guaranteed Maximum price for this project, incorporating clarifications listed below is:

The Proiect Price Is Composed Of The Following Breakdown:
Septage Receiving Upgrades: $ 377,037
Provider/Contractor Fixed Fee: $ 32,556
Construction Contingency: $ 29,980
GUARANTEED MAXIMUM PRICE: $439,574
These prices are valid for thirty(30) days.
Proposal Scope:
I. Construction of a concrete septage receiving tank per drawings.
2. Installation of 1 raw sewage pump, accessories, and associated piping to septage receiving station
3. Installation of 1 mixer
4. Installation of owner provided odor control system
5. Electrical for above
6. New upgraded rock trap and bagger option on septage receiving station
7. Installation of new supernatant line and tie in to existing system outside headworks. Pipe materials
and fusion of pipe shall be by others.

-ProposalClarifications:
1 A $15,000 allowance has been included for any underground obstructions in the area of the new
septage tank.
2. Restoration of paving is not included in this scope.
3. Controls work is not included in this scope.
4. All state and regulatory permits are to be provided by others. Bowen will acquire all local permits
as required.
5. The proposal is based on the project being sales tax exempt.
6. Work will be performed during normal working hours. Holiday, weekend, and overtime costs are
not included.
The City of Carmel, Jones &Henry, and Bowen Engineering will continue to explore value engineering
opportunities to achieve the best value for the construction of the required scope. Please contact us with

PERFORMANCE GUARANTEE
SAVINGS GUARANTEE
The Contractor guarantees that the program described in the Guaranteed Savings Contract (the
"Agreement") to which this Performance Guarantee is attached as Exhibit C will recover a total
of$1,208,200 + $1,001,160 in savings during the first ten (I 0) years of operation, beginning on
the first day of the month following substantial completion by the Owner regarding the
installation of the equipment provided under the Agreement.
If, at the end of any year during the guarantee period, the program has failed to achieve the
annual guarantee of savings, the Contractor will pay the Owner the difference between the
annual guarantee and the actual savings amount.
Savings that are achieved by the upgrades and the modifications in the Agreement prior to
completion of the entire retrofit project (construction period savings) will be added to the first
year actual annual savings amount.
The Contractor and the Owner also agree that if the actual annual savings amount exceeds the
annual guarantee amount, such excess savings amounts will be added to the savings for any
future year before calculating the savings amount.
This guarantee, whether or not exercised, is the Contractor's sole liability with respect to any
claim of savings.
METHODOLOGY
The savings are calculated using Microsoft Excel spreadsheets. All assumptions, variables, and
equations are shown on each page. The total annual savings, including, operational savings, are
stipulated between the Owner and the Contractor in the Agreement. Stipulated savings are
savings that are agreed to be satisfied throughout the term of this performance guarantee. Any
changes to the operation of the equipment or systems can be accounted for through calculation
and the annual savings adjusted accordingly. The Tables below summarize the guaranteed annual
savings from the calculations. This saving guarantee is dependent upon these conditions being
met.
Any shortfall payments between the Owner and the Contractor will be made within 90 days of
the end of each annual period.

*In addition to increased revenue,being able to feed septage into the plant at a more consistent rate will
improve the operations of the plant which will in turn provide additional operational savings. It would be
difficult to quantify those savings at this time which is why we are just noting them.
