BPW-02-20-02-01 A RESOLUTION OF THE BOARD OF PUBLIC WORKS AND SAFETY OF THE CITY OF CARMEL, INDIANA, REGARDING THE DISPOSAL OF PERSONAL PROPERTY WHEREAS, I.C. 5-22-22-10 provides a procedure for the exchange of personal property between governmental bodies in the State of Indiana upon such terms and conditions as are agreed upon by the bodies, as evidenced by the adoption of substantially identical resolutions by each governmental entity; and, WHEREAS, the Carmel/Clay Communications Center has identified six (6) General Electric lapel microphones (the "Microphones") as being appropriate for transfer to the City of Sheridan, Indiana, for use by its police department; and WHEREAS, the City of Carmel, by and through its Board of Public Works and Safety, desires to effect this property transfer pursuant to the provisions of I.C. 5-22-22-10. NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Board of Public Works and Safety, that the Microphones be, and the same hereby is, transferred to the City of Sheridan, Indiana, pursuant to the terms and conditions of the Property Transfer and Indemnification Agreement attached hereto as Exhibit A. BE IT FURTHER RESOLVED THAT such transfer shall be expressly contingent upon the proper execution by the City of Sheridan, Indiana, of the Property Transfer and Indemnification Agreement attached hereto as Exhibit A and the adoption of a resolution substantially identical to this Resolution by the proper officers of City of Sheridan, Indiana. CITY OF CARMEL, INDIANA By and through its Board of Public Works and Safety BY: Date: Billy ~alker, Member Date: PROPERTY TRANSFER AND INDEMNIFICATION AGREEMENT ("AGREEMENT") BETWEEN CITY OF CARMEL, INDIANA, AND CITY OF SHERIDAN, INDIANA WHEREAS, it is the desire of the City of Carmel, Indiana, an Indiana municipal corporation, by and through its Board of Public Works and Safety ("City") to dispose of six (6) General Electric lapel microphones ("Microphones") used by the Carmel-Clay Communications Center that have been replaced by newer equipment; and WHEREAS, it is the desire of the City to dispose of the Microphones in a manner that will benefit the community; and WHEREAS, the City of Sheridan, Indiana, an Indiana municipal corporation, has requested the donation of the Microphones for use by its police department. IT IS THEREFORE AGREED THAT: 1. The City will donate the Microphones to the City of Sheridan, Indiana, in the state and condition that they presently exist, without any express or implied warranty as to such equipment' s condition or fitness for any intended use or purpose whatsoever. 2. The City of Sheridan, Indiana, shall accept the Microphones in the state and condition that they presently exist and without any express or implied warranty as to such equipment's condition or fitness for any intended use whatsoever. 3. The City of Sheridan, Indiana, agrees to hold harmless the City of Carmel and its officers, officials, employees, attorneys, agents, successors and assigns, and shall indemnify same, for any and all liability that may arise from or as a result of the Microphones or any use thereof on and after the Effective Date of this Agreement. 4. The undersigned are the right and proper parties to enter into this Agreement, and are authorized and have the authority to bind the party for whom they execute same. 5. This Agreement shall become effective and binding on the parties on and after the last date on which a party hereto executes same ("Effective Date"). 1 ,ldd, A I SO AGREED.
