A RESOLUTION OF THE COMMON COUNCIL OF THE CITY OF CARMEL, INDIANA,
ACKNOWLEDGING AND SUPPORTING AN ADDITIONAL/SPECIAL
APPROPRIATION OF FUNDS
WHEREAS, that certain Park Joinder Agreement Under Interlocal Cooperation Act entered nto
by and between the City of Carmel, Indiana (the "City"), and the Trustee of Clay Township, Hamilton
County, Indiana (the "Township"), and dated July 24, 1991 (the 'Joinder Agreement' ), provides that the
Common Council of the City and the Township board shall determine and provide the revenues necessary
for the operation of the Carmel-Clay Board of Parks and Recreation (the "Board"), and the Carmel-Clay
Department of Parks and Recreation (the "Department"), as well as for capital expenditures not covered
by the issuance of bonds, by either a specific levy to be used exclusively for park and recreation purposes
or by a special appropriation; and
WHEREAS, the Board owns in fee the approximately one hundred thirty-four (134) acre-tract
located at 11410 Westfield Boulevard, Carmel, Indiana 46032, and which is commonly known as Central
Park ("Central Park"); and
WHEREAS, the City owns in fee three (3) tracts of real property which together total
approximately twenty-seven (27) acres and which are located within the City along and south of 116th
Street, are commonly known as 1411 East i 16th Street, 1427 East 116th Street and 1507 East 116th Street,
respectively, and border Central Park (the "City Property"); and
WHEREAS, the City Property will be reduced in size by the right-of-way necessary for the City's
proposed 116th Street widening project, such City Property, as so reduced in size, being hereinafter
referred to as the "Property"; and
WHEREAS, the City is interested in selling the Property; and
WHEREAS, the Board and Township have both expressed an interest in the Board's acquisition
of the Property from the City; and '
WHEREAS, the Common Council did, by its Resolution No. CC-12-02-02-04, dated December
2, 2002, approve the transfer of the Property to the Board for the purchase price of One Million Eight
Hundred Fifty Thousand Dollars ($1,850,000.00), as adjusted by customary closing costs and fees to be
shared equally between the Board and the City, each party to be responsible for its own attorney fees, and
did instruct the City and the Board to take all steps necessary to effect such transfer of the Property on or
before December 31, 2002; and

WHEREAS, the Township has, by its Resolution Number 12-12-2002-11, dated December 12,
2002, resolved that the sum of Three Hundred Sixty Thousand Dollars ($360,000.00) shall be
appropriated out of available funds contained in the Board's Recreation Fund into budget line item "1312
Recreation Fund, 4. Capital Outlays, A. Land," for the purpose of effecting the purchase and transfer of
the Property.
NOW, THEREFORE, BE IT RESOLVED by the Carmel Common Council of the City of
Carmel, Indiana, that the Township may, should it choose to do so, appropriate from the unappropriated
cash balance of the Board's Park Recreation Fund 1312, an amount not to exceed Three Hundred Sixty
Thousand Dollars ($360,000.00), for the purposes of effecting the purchase and transfer of the Property, in
accordance with Indiana law and the Joinder Agreement.
