HomeMy WebLinkAboutBPW-07-17-85 Outside Council Comes now the Board of Public Works and Safety for the City of Carmel, Indiana, and hereby resolve to retain Stephen K. Andrews, Attorney at Law, individually, to represent said City of Carmel, pursuant to an Agreement for Additional Attorney's Fees which is attached hereto and made a part hereof as Exhibit "A". NOW, THE~FO~, BE IT ~SOLVED that said Attorney, Stephen K. Andrews, shall be paid pursuant to the terms of said Contract. That the acknowledgement and acceptance of the terms of this Resolution by Stephen K. Andrews shall create a contractual rela- tionship for him to perform the duties referred to herein. That the effectiveness of the terms and conditions hereof are contingent upon approval and ratification of the passage of an Ordinance by the Common Council of the City of Carmel, Indiana. ACCEPTED: ยท ~ILL~WAL~ ATTORNEY'S SERVICES CONTRACT This Agreement, entered into by and between the City of Carmel, Indiana (hereinafter referred to as the "City") and Stephen K. Andrews, Attorney at Law, 2506 Willowbrook Parkway, Suite 9312, Indianapolis, as the "Attorney"), Indiana 46205 (hereinafter referred to WITNESSETH: WHEREAS, the Attorney is employed by the City to advise and represent the City in ordinary and usual matters arising out of the governmental operations of the City; and WHEREAS, the City proposes to construct a city complex requiring the issuance of general obligation bonds, revenue bonds, and/or the organization and operation of a building corporation, for said city complex; and W/qEREAS, the Attorney has performed extra and unusual ser- vices for the City in regard to the aforementioned project; and WHEREAS, the Attorney is expected by the City to continue such pursuits and endeavors, together with other necessary non- governmental services to be performed until the bonds have been issued and/or building corporation organized and funded; and WHEREAS, it is determined that all of these services are other than governmental; NOW, THEREFORE, IT IS MUTUALLY AGREED BY the City and the Attorney, acting by and through its Common Counci~ a~%~PMayor, ~ Public Works and Safety, being the administrative bodies in control of said projectS, that the Attorney shall be additionally compensated for services rendered and to be rendered provided herein, and that the compensation to be paid from the proceeds of said bonds, grants, building corporation, and all related financial vehicles, shall be an amount equal to Two Percent (2%) of the general obligation bonds, and/or revenue bonds, and/or building corporation funding, required to be issued for said project by the City. said fees shall be due and payable upon receipt by the City of the proceeds from the sale of said bonds, grants, or funding of the building corporation.
