BPW- 03-17-04-04 A RESOLUTION OF THE BOARD OF PUBLIC WORKS AND SAFETY OF THE CITY OF CARMEL, INDIANA, REGARDING THE DISPOSAL OF PERSONAL PROPERTY WHEREAS, Indiana Code 5-22-22-10 permits governmental bodies in the State of Indiana to exchange property upon such terms and conditions as they agree upon, and to evidence the same by the adoption of substantially identical resolutions; and, WHEREAS, the City of Carmel, Indiana ("City") and Steuben County, Indiana, as governmental bodies, wish to exchange property pursuant to the terms and conditions set forth in the Property Exchange Agreement ("Agreement") attached hereto as Exhibit A and incorporated herein by reference; and WHEREAS, it is in the public interest for the City to enter into the Agreement for the exchange of such excess City property. NOW, THEREFORE, BE IT RESOLVED by the Board of Public Works and Safety of the City of Carmel, Indiana, as follows: 1. The foregoing Recitals are fully incorporated herein by this reference. 2. The execution of the Agreement and its adoption by the City are hereby approved as being in the best interests of the City and the public, the same to be effective on and after the date on which both a resolution substantially similar to this Resolution and the Agreement have been adopted and executed by Steuben County, Indiana. CARMEL BOARD OF PUBLIC WORKS AND SAFETY By: James Brainard, Presiding Officer Date: (~/ ATTEST: /,...3 ]~ \ /Date: PROPERTY EXCHANGE AGREEMENT BETWEEN THE CITY OF CARMEL, INDIANA~ AND STEUBEN COUNTY~ INDIANA~ CONCERNING CERTAIN COMMUNICATIONS EQUIPMENT WITNESSETH THAT: WHEREAS, the City of Carmel, Indiana, an Indiana municipal corporation, by and through its Board of Public Works and Safety ("City"), presently has the following excess Communications Equipment (the "Equipment"): One (1) Celwave Combiner/Duplexer, Model TJDa00-5S, Serial Number 274997-A, Inventory Number C003995; and Five (5) GE MASTR 2 Repeater EDACS Units, Serial Numbers 8163478-49, 8202991-46, 8202984-46, 8202986-46, 8202987-46, Inventory Numbers C003996, C003997, C003998, C003999, C004000, respectively; and One (1) Site Controller EDACS Unit, Model ES-2, Serial Number 5379, Inventory Number C004002; and WHEREAS, Steuben County, Indiana, an Indiana governmental entity ("County"), presently has a need for the Equipment; and WHEREAS, it is the desire of the City to dispose of the Equipment in a fair and even manner that will benefit the community; and WHEREAS, pursuant to Indiana Code 5-22-22-10, the City has agreed to sell the Equipment, and the County has agreed to purchase the Equipment, for a total price of Three Thousand Five Hundred Dollars ($3,500.00). IT IS THEREFORE AGREED THAT: 1. The City will sell the Equipment for a total price of Three Thousand Five Hundred Dollars ($3,500.00), the receipt and sufficiency of which is hereby acknowledged, such Equipment being sold "AS IS" in the state and condition in which it presently exists and without any express or implied warranty as to its condition or fitness for any intended use or purpose whatsoever. 2. The County shall purchase the Equipment for a total price of price of Three Thousand Five Hundred Dollars ($3,500.00) and accepts same in the state and condition in which it presently exists and without any express or implied warranty as to its condition or fitness for any intended use or purpose whatsoever. 3. The undersigned are the right and proper parties to enter into this Agreement and have authority to bind the party for whom they execute same. 4. This Agreement shall become effective and binding on the latter of: (1) the last date on which a party hereto executes same, and (2) the last date on which a party hereto executes a resolution adopting and approving this Agreement ("Effective Date").
