BETWEEN THE CARMEL FIRE DEPARTMENT AND
THE HAMILTON COUNTY SHERIFF'S DEPARTMENT
WHEREAS, it is the desire of the Carmel Fire Department to dispose of that certain used
vehicle, described on attached Exhibit A, incorporated herein by this reference (the "Vehicle"); and
WHEREAS, it is the desire of the Carmel Fire Department to dispose of the Vehicle in a
manner that may benefit Hamilton County and the community, as permitted by IC 5-22-22-10; and
WHEREAS, the Hamilton County Sheriffs Department, by and through the County of
Hamilton, State of Indiana, is a governmental body under IC 5-22-22-10, and has requested the
purchase and use of the Vehicle pursuant to the terms and condition set forth in this agreement (the
"Agreement"); and
WHEREAS, the Carmel Fire Department, by and through the City of Carmel Board of Public
Works and Safety, is the "purchasing agency" of the vehicle under IC 5-22-22-10.
IT IS THEREFORE AGREED THAT:
1. The above recitals are fully incorporated herein by this reference.
2. The Carmel Fire Department will sell and transfer title to the Vehicle to the
Hamilton County Sheriffs Department for the sum of Two Thousand Seven Hundred Sixty-Six
Dollars and Sixty-Six Cents(S2,766.66), the receipt and sufficiency of which is hereby acknowledged
by the parties hereto, such Vehicle to be sold in the state and condition that it presently exists ("AS
IS"), without any express or implied warranty as to the vehicle's condition or fitness for any intended
use or purpose whatsoever.
3. The Hamilton County Sheriff's Department shall accept said Vehicle in the state and
condition that it presently exists ("AS IS"), without any express or implied warranty as to the vehicle's
condition or fitness for any intended use whatsoever.
4. The Hamilton County Sheriffs Department agrees to hold harmless the City of
Carmel, the Carreel Fire Department, Clay Township, and their respective officers, officials,
employees, attorneys, agents and other persons, successors and assigns and shall indemnify same for
any and all liability that may arise from the use of the Vehicle.
5. The Hamilton County SherifFs Department agrees to be fully responsible for
insurance, maintenance, taxes, fees, claims and all other responsibilities and duties of ownership
pertaining to the Vehicle that arise or are incurred on and after the effective date of this Agreement and
to indemnify and hold harmless the City of Cannel, the Carreel Fire Department, Clay Township, and
their respective officers, officials, employees, attorneys, agents and other persons, successors and
assigns that may arise regarding the Vehicle on or after this Agreement's effective date.
6. The undersigned are the right and proper parties to enter into this Agreement and
have the authority to bind the parties to this Agreement.
7. This Agreement shall become effective and binding on the parties as of the last date
on which a party hereto executes same.
