VoiceStream Wireless ("Assignor") hereby assigns all of its right, title and interest in and
to that certain Fee Agreement for Tower Analysis Services for 285-foot Self-Supporting Tower
located in Carmel, IN dated March 23, 2000 and accepted by Assignor on March 29,2000,
subject to conditions in a letter executed by Assignor dated March 29, 2000 (collectively, the
"Fee Agreement") to the City of Carmel, Indiana. A true and accurate copy of the Fee
Agreement is attached hereto as Exhibit "A" .

i have signed and attached the Agreement between the City of Carmel and URS Greiner (LIRSG) to signif), that
VoiceStream will pay the $2500 analysis fee. and only that fee, for the tower analysis under the following conditions:
1) VoiceStream Indiana is to receive from URSG a copy ofthe analysis.
2) VoiceStream Indiana is to receive a copy ofyour original wrinen request to URSG if one exists.
3 ) The analysis to be done is to include only the current existing tower loading. plus VoiceStream's additional loading. 1
have artached a cop), of:
a) the Nextel analysis:
b) First Group's tower review calculations and tower review letter.
c) VoiceStream Indiana antenna specifications;
d) VoiceStream Indiana coax specifications (size and number. VoiceStream will bundle its coax):
e) VoiceStream Indiana antenna mount specifications.
· -t)The tower wind loading is to be computed in accordance with the TIA/EIA-222-F Standard for Hamilton Count3,,
Indiana. no~ for an)' other specified wind loading.
5) The analysis is to be done within 16 work days or sooner of your receipt of this information.
6) \; oiceStream Indiana is to be included as an addressee on all wrirten requests from the City of Carreel to URSG.
7) All good faith efforts are to be made by the City of Carmel to have the analysis completed in time for VoiceStream
Indiana to be on the BPW agenda of 4/19/00.
8) An)' additional expenses associated with the tower analysis are the responsibility of the City of Carmel.
9) If the URSG analysis agrees with the First Group analysis as expected, VoiceStream will be allowed to go on the tower
and in the compound with no further delays.
Jim. for your convenience, 1 have enclosed a duplicate cop>, of all of the correspondence mentioned above and an overnight
express env/:!ope addressed to URS Greiner. The express envelope may be used to provide URSG with a hard copy of any
information you might fax to them. URSG may need a cop>' of your tower drawings if you have not yet provided them.

Dear Mr Kjnder:
URS Gremer Wooaward Clyde, Inc. ('URSG") is pleased to submit this Agreement for professional tower
analysis engineering seNices for me subject tower to the City of Carreel ("Owner") in response to your
request.
SCOPE OF PROJECT
It is the undePs~nding that it is Owner's intent to have URSG provide tower analysis services for a 285-foot
tall self-supporting tower located in Carreel, Indiana. hereinafter referred to as the 'Projet,"
BASIC SERVICES
URSG's Basic Servmces for the project shall consist of the following tasks:
URSG shall perform a detailed structural analysis of the existing tower structure including all existing
plus any proposed future antenna and appurtenance loading. The tower analysis will create a
detailed mathematical model of the exact tower geometry and structural components. The tower wdl
be analyzed in accordance with the requirements of the TINEIA-222-F Standard. Tower wind loading
will be computed in accordance with the TINEIA-222-F Standard for the county in which the tower
is located or, alternately, for any specific wind loading requested by Owner.
URSG shall prepare and furnish the Owner with three (3) coprues of the tower analysis report detaihng
the geometry of tl~e tower, the tower loading condihons and the results of the analysis. The .report
will include recommenaations to reinforce the tower and/or implement loading modifications to
opt~m~ze the uUlity of the tower and meet the design wind loading criteria. URSG slyall prepare a cost
estmmate to implement the required structural modifications, if requested by the Owner. Tins report
snarl not include detailed engineering drawings to implement recommendations for required structural
reinforcements. The preparatmon of detailed tower reinforcement or tower modificabon drawings is
covered under Additional Services.
The Owner will be responsible for furnishing URSG with both the existing and proposed tower antenna and
appurtenance loading.

ADDITIONAL SERVICES
URSG shall provide Additional Services for the Project. If authorized by the Owner in writing, and such shall
be negotiated as an addendure to this Agreement. Additional Services shall consist of providing any services
not otherwise included in this Agreement or not custornadly furnished in accordance with tower analys,s
structural engineering services of the scope described heroin, The following are examples of Acldit~onal
Services:
1. Engineenng services to provide additional tower analyses for additional or new loading conditions
or combinations of loading conditions from multiple tower tenants.
2. Engineering services for the preparation of detailed tower structure reinforcing or tower
modification drawings.
3. Attendance at meetings requested by the Owner.
SPECIALIZED SERVICES
URSG shall provide Specialized Services for the Project. if authorized by the Owner in writing. and such shall
be negotiated as an addendure to this Agreement. Specialized Services shall be defined as those services
requiring highly specialLzed personnel and equipment, and as such shall not be included unaer Basic Services
or Additional Services. The following are examples of Specialized Services:
1. Tower climbing inspection for the purpose of documenting the geometn/, member sizes.
appurtenance loading (antenna and coax cable locations), and the structural maintenance
condition of the tower.
2. Geotechnicai investigation to determine the insitu soil characteristics and capacities for the
purpose of evaluating the existing tower foundation.
3. Subsurface foundation investigation for t~e purpose of determining the "as-built' condition of the
tower foundation(s).
TIME SCHEDULE
URSG shall start this project upon receipt of an executed AgreemenL URSG shall perform Basic Services
for the subject project and furnish the report within fifteen (15) working days provided that the Owner has
furnished all required information described under Basic Services.
TERMS
Compensation for Basic Services shall be a lump sum fee or Two Thousand Five Hundred Dollars ($2,500.00)
and shall include expenses incun'ed for local travel. report production, photographs. delivery via messenger
and/or overnight and mailing.
Compensation for Additional and Specialized Services shall be provided for in an addendum to this
Agreement.
Payment for Services shall be made within thirty (30) days of the dated invoice for the portion of services
performed each month. Late payments shall bear interest at two percent (2%) per month.

INDEMNIFICATION
The Owner shall require mat all Contractors and Subcontractors performing Work in connection with Drawings
and Specifications produced under this Agreement indemnify and hold harmless the Owner and URSG from
and against claims, damages, losses and expenses arising out of the Contractor's or Subcontractor's
negligence m the performance of the Work. This indemniflcabon shall not apply to liabihty due to the sole
negligence of the Owner or URSG.
URSG acknowledges that it ,s responsible t~ independently verify that computers, computer chips. and/or
software programs developed by others and used in the performance or, or incorporated into the Work, are
year 2000 compliant. The independent verification shall be performed by URSG as a part of Basic Services.
ACCEPTANCE
Thin Agreement shall represent our total agreement and supersedes all prior representations. Any
amendment or addendure shall be in writing and signed by both parties. Our understanding shall be
construed under the laws of the District of Columbia. This offer is valid for thirty (30) days.
If th,s Agreement is acceptable. please sign the two copies of this Agreement and retum one signed
Agreement to URSG. If you should issue a Purchase Order. such shall be for your accounting purposes only.
as the terms and conditions are not apphcable to professional services.
