Hazen and Sawyer, P.C. is empk~yec owt~ed, staffed at approximately 475 profcssio;:al and support personnel, providing engineering and consul6ng services in the specialized fields wastewater collection, treatment, and disposal; water supply, ~.reatment, and distribution; aud solid waste management. This project will be mmaaged out of our Midwest office located in Detroit, Michigan. The Project Manager x~ i!i b~: Mr Robert Green, Background Ou March 15, 20¢2, thc City of Ca~'n~el ("Carmel'') and the Consolidated City o£ lndiauapolis and its Department of Water~¥orks IcollectiYe!y, "Indianapolis") entered into an Agreement setting forth the terms and conditions upon which Indianapolis will sell to Cannel certain water utility assets as described in the Agreement. That Agreement and the First Amendment to Agreement (attached hereto as Exhibit A) are made a part of this proposal for services and incorporated by reference, including the preambles on page 1 of the Agreement; paragraphs 1 and 2 thereof describing the Assets to be purchased by Carmel from Indianapolis and ~he liabilities to be assumed by Carmel; paragraph 3 thereof'describing certain cost New York, NY · Armonk, NY · Ramsey NJ · Philodelphla, PA · Detroit, MI · Raleigh, NC · Charlotte, NC · Fairfax, VA · ABanta, GA · Hollywood, FL · Miami. FL · Boca Raton FL HAZEN AND SAWYER Carmel/Indianapolis October 23, 2002 Page 2 of 5 components to be considered; paragraph 6 thereof describing the Joint Report to be issued by Hazen & Sawyer, P.C.; and Exhibit l attached to the Agreement. Scope of Work Hazen and Sawyer, P.C. will issue a Joint Report, as described in paragraph 6 of the Agreement. Hazen and Sawyer, P.C. will obtain and review those documents, interview those persons, collect such data and perform such work and analysis as it deems appropriate to perform the tasks required for issuance of a Joint Report, as described in the Agreement. At the present time, Hazen and Sawyer, P.C. intends to collect the following information and data: 1. Obtain maps (GIS Shape .shp files and/or AutoCAD .dwg and/or .dxf files) and hydraulic models from Indianapolis and/or Carmel of the existing waterworks for those geographic areas under evaluation or adjacent to and influencing the areas under evaluation. 2. Obtain information from Indianapolis on plans to construct additional components, or expand existing components, to the waterworks influencing the areas under evaluation. 3. Obtain information and records from Indianapolis regarding operational constraints, flows, pressures, and changing water elevations for components of the waterworks influencing the areas under evaluation, including water treatment plants, booster/bleeder stations, and storage tanks. 4. Obtain information from Indianapolis and/or Carmel concerning projections for populations and flows, including water master planning and zoning documents indicating population densities, local census data, service connection records, water treatment plant monthly reports and water usage billing records. 5. Obtain information on all permits, licenses, approvals and contracts, including executory contracts with developers, relating to or necessary for the operation of the waterworks in the areas under evaluation. Schedule Hazen and Sawyer can begin work within two weeks of being authorized. We anticipate four months, depending upon availability and timely receipt of information requested by Hazen and Sawyer, to complete the analysis and issue a preliminary report for review and comment. Upon completion of the preliminary report, Hazen and Sawyer will overnight the preliminary report to both Carmel and Indianapolis. Carmel and Indianapolis will have three weeks from the date the preliminary report is overnighted to provide comments on the preliminary report to Hazen and Sawyer and to each other. From the date on which comments are due from Carmel and Indianapolis, Hazen and Sawyer will have three weeks to prepare and render the final Joint Report. HAZEN AND SAWYER Carmel/Indianapolis October 23, 2002 Page 3 of 5 Compensation Compensation for our personnel directly engaged in the tasks outlined in this proposal will be based on our cost plus expenses. Our compensation for performing all of the services in connection with the preparation of the Joint Report shall not exceed a total fee of $75,347 without prior approval by all contracting parties. These fees are comprised of $70,000 in employee salaries and $5,000 in expenses. We shall provide the parties with invoices detailing our services and charges. The above total fee is contingent upon timely receipt by Hazen and Sawyer of information necessary to perform this project and the availability and usability of the existing data for Hazen and Sawyer to combine with hydraulic models that we plan to use for the project. Fees will be billed at payroll costs increased by the multiplier 2.25. Expenses are billed at actual cost plus a five percent handling charge. Attached is a copy of our Statement of Standard Charges. Carmel and Indianapolis shall each be responsible for one-half of the fees. If you concur with our proposal, please sign in the space provided below and return one original signed copy of this proposal to indicate your authorization to proceed with the work.
