An Ordinance concerning the acquisition by the City of Carmel of certain wager- works property from Indianapolis Water Company and authorizing the execution of agreements in connection therewith and the making of payments therefor. WHEREAS, the City of Carmel, Indiana, is owner of and operates an unencumbered waterworks system furnishing the public water supply to said City and its inhabitants; and, WHEREAS, the Board'of Public Works and Safety ("Board") and Common Council ("Council") of the City of Carmel have determined that said waterworks is in need of certain exten- sions, additions and improvements in order to provide an adequate volume and quality of water at proper pressure to the. inhabitants of ~he City and that said extensions, addi- tions and improvements are required in order to protect properly the health, well being and property of the City and its inhabitants; and, WHEREAS, the City has employed Howard Needles Ta~men & Bergendoff, consulting engineers of Indianapolis, Indiana, to determine the extensions, additions and improvements required, and upon their advice and recommendations the Board and Council have found that the needs of the City can be met most economically and expeditiously by the purchase by the City of certain water utility .facilities and property owned by Indianapolis Water Company ("IWC") and located on Gray Road north of East 106th Street ("Gray Station"); WHEREAS, IWC is agreeable to the sale of the Gray Station to the the Agreements "Agreements"); and City on the terms and conditions set forth in attached hereto as Exhibits A and B (the and WHEREAS, the terms and conditions of said Agreements have been approved by the City's consultants, including special counsel to the City, and the City has, or will have at the time of closing,~sufficient waterworks revenues set aside in order to pay to IWC, in cash, the purchase price of the Gray Station and the other expenses of IWC which the City is required to pay as a cos~ of adding the Gray Station to its waterworks system; now therefore, BE IT ORDAINED BY THE COMMON COUNCIL OF THE CITY OF CARMEL, INDIANA, Section 1. That the City of Carmel being the owner of and engaged in the operation of a waterworks system supplying the City and its inhabitants with a public water supply now provide for certain needed extensions, additions and im- provements of such waterworks by the purchase from IWC of the Gray Station pursuant to the Indiana Code of 1971, and particularly Ind. Code 8-1-2-94 and 97 and Ind. Code 18-1- 21-1 in accordance with the terms and conditions set forth -2- in the Agreements, which are hereby aporoved. Section 2. The City shall proceed to enter into the Agreements, and the Board is hermby authorized and empowered to execute the same for and on behalf of the City. The Board is further authorized and empowered to take such additional actions as may be necessary or desirable to carry out the terms and conditions of the Agreements and to con- summate the purchase of the Gray Station. Section 3. This ordinance shall be in full force and effect from and after its passage. Passed and adopted by the Common Council Carmel, Indiana. on the /~ day of March, of the City of 1981.
