A RESOLUTION OF THE COMMON COUNCIL OF THE CITY OF CARMEL, INDIANA
AUTHORIZING JOINDER OF THE CITY IN THE CENTRAL INDIANA REGIONAL
TRANSIT ALLIANCE AND EXECUTION OF AN INTERLOCAL FUNDING AGREEMENT
WHEREAS, the City of Cannel, Indiana (the "City") desires to join into an Interlocal Agreement
with Hamilton County, Hendricks County, Shelby County, Noblesville, Fishers, Greenwood, Lawrence,
Speedway, Beech Grove, Southport, Cicero, Brownsburg, Plainfield, McCordsville, Fortville,
Shelbyville, Mooresville and Indianapolis to finance a regional transit service plan ("Transit Plan"); and
WHEREAS, Indiana Code 36-1-7, et seq,, allows the creation of an Interlocal Agreement for
such purposes upon the adoption of substantially similar resolutions by all participating parties; and

WHEREAS, the City's total monetary contribution to the cost of the Transit Plan will be Four
Thousand Dollars ($4,000.00); and
WHEREAS, the Transit Plan will be of public utility and benefit.
NOW, THEREFORE, BE IT RESOLVED BY THE COMMON COUNCIL OF CITY OF
CARMEL, INDIANA, as follows:
1. The City hereby joins the Central Indiana Regional Transit Alliance; and
2. The City hereby enters into and agrees to be bound by the terms of the
Interlocal Agreement attached hereto and made a part hereof by this reference.

INTERLOCAL AGREEMENT
An interlocal agreement by and among Hamilton County, Hendricks County, Shelby
County, the City of Noblesville CNoblesville"), the City of Carmel CCarmel"), the Town of
Fishers ("Fishers"), the City of Greenwood ("Greenwood"), the City of Lawrence
("Lawrence"), the Town of Speedway ("Speedway"), the City of Beech Grove ("Beech
Grove"), the City of Southport ("Southport"), the Town of Cicero ("Cicero"), the Town of
Brownsburg ("Brownsburg"), the Town of Plainfield ("Plainfield"), the Town of McCordsville
CMcCordsville"), the Town of Fortville CFortville"), the City of Shelbyville CShelbyville"),
the Town of Mooresville CMooresville") and the City of Indianapolis, Department of
Metropolitan Development ("Indianapolis") related to regional transit service planning.

Greenwood, Lawrence, Speedway, Beech Grove, Southport, Cicero, Brownsburg,
Plainfield, McCordsville, Fortville, Shelbyville, Mooresville and Indianapolis
CP.artnering Communities"), individually and collectively, have determined the
financing of-a regional transit service plan ("Plan") will be of public utility and
benefit.
Because the Plan will benefit the Partnerin. g Communities, the parties agree that the
parties should share in the costs of the Plan and exchange the services necessary to
complete the Plan.
Financing of the Plan is established as follows: Eighty Percent (80%) from the United
States Department of Transportation and Twenty Percent (20%) from the Partnering
Communities.
The Partnering Communities agree that the Metropolitan Planning Organization
CMPO") for this Agreement shall be the City of Indianapolis, Department of
Metropolitan Development.
Indiana Code 36-1-7 permits interlocal agreements by and among governmental
entities.
Each of the Partnering Communities is a governmental agency.
AGREEMENT
NOW. THEREFORE, Hamilton County, Hendricks County, Shelby County,
Noblesville, Carmel, Fishers, Greenwood, Lawrence, Speedway, Beech Grove, Southport,
Cicero, Brownsburg, Plainfield, McCordsville, Fortville, Shelbyville, Mooresville and
Indianapolis in consideration of the foregoing premises and of the following promises
contained herein, agree as follows:
I. EACH PARTY REPRESENTS TO THE OTHER PARTIES THAT:

Partnering Community Contribution to Cost of Regional Transit Service Plan
The following is the partnering community contribution to the cost of the Regional Transit Service
Plan. Values assessed to each community will be directly allocated to the total cost of the Plan.
Each partnering community shall submit final payment by July 1, 1999z.

Each partnering community may submit its payment as one lump sum or in incremental
payments. However, all partnering communities shall tender full and final payment no
later than July 1, 1999. Payment should be made payable to: City of Indianapolis,
Department of Metropolitan Development, 200 East Washington Street, Suite 1860,
Indianapolis, IN 46204. Please include a notation that payment is for the Regional
Transit Service Plan.
This Agreement has been duly entered into and delivered and constitutes a legal,
valid and binding obligation of the party.
II. PURPOSE OF AGREEMENT
The purpose of this Agreement is to conduct a regional transit service plan for the
Partnering Communities within the area boundaries as set forth in Exhibit "A" which is
attached hereto and incorporated herein.
III.
SCOPE OF WORK
The initial scope of Work for the Plan is described in Exhibit "B" which is attached hereto
and incorporated herein. Durin. g the term of this Agreement, the scope of work will be more
fully developed by the MPO with consultation from representatives of the Partnering
Communities. The fully developed scope of work shall be distributed to all parties.
IV.
OBLIGATION OF THE MPO & THE CITY OF INDIANAPOLIS
The MPO shall-facilitate the Plan in conjunction with the Partnering Communities.
Indianapolis shall be responsible for providing sufficient personnel, either staff or consultants,
and supplies necessary to conduct the Plan.
V. OBLIGATIONS OF THE PARTNERING PARTIES
The Partnering Parties shall each provide the following services:
a. Contribute to the costs of the plan in accord with the amounts shown in Exhibit
"C", which is attached hereto and incorporated herein.
All Partnering Parties shall provide payment per Exhibit "C" no later than July 1,
1999. Payment should be made to:

Attn: Financial Services Division
Please include a notation that the payment is for the Regional Transit Service Plan.
Make the appropriate payment to Indianapolis within the term this Agreement.
Appoint appropriate personnel to act as liaison with the MPO.
VI. BUDGET
The budget for the Plan is as described in Exhibit C which is attached hereto and
incorporated herein.
VII. JOINT BOARD
The liaison representatives shall constitute a joint board to administer this Agreement in
accordance with the terms of the Agreement.
VIII. PROPERTY
There will be no jointly held property. However, to the extent there is jointly held
property, it shall be distributed to Indianapolis. Although all documents and work product,
such as studies, drawings or reports, associated with the Plan shall be the property of
Indianapolis, Indianapolis will use its best efforts to share these documents and work product
with the Partnering Communities.
IX.
DISPUTE RESOLUTION
Disputes will be resolved by the respective chief executive officers or their designees of
the Partnering Communities.
X. EFFECTIVE DATE OF AGREEMENT
The effective date of the Agreement shall be the date of compliance with the applicable
provisions of I.C. 36-1-7 by all parties which properly have executed the Agreement by
April 1, 1999.
Parties which have not executed the Agreement by the above date may join and be bound
by the Agreement by properly executing the Agreement, complying with the applicable
provisions of I.C. 36-1-7, and notifying all other parties of said execution and compliance.
XI.
ESTIMATED SCHEDULE
The estimated schedule for completion of the Plan is described in Exhibit "D" which is
attached hereto and incorporated herein.
XII.
TERM OF AGREEMENT
This Agreement shall be in effect until such time as the Plan is completed. However, this
Agreement shall terminate two (2) years after the effective date of this Agreement if the
Agreement has not otherwise terminated or been extended. This Agreement may be extended
only by written amendment signed by all parties who are part of this Agreement as of the
time of the amendment.
In the event that the MPO shall fail to begin work on the Plan by July 1, 1999, this
Agreement shall terminate and Indianapolis shall refund all payments within sixty (60) days.
In the event that the MPO shall suspend work on the Plan after commencement of work
on the Plan, Indianapolis shall issue pro rata refunds based upon the actual percentage of
work performed prior to the date of suspension.
XIII. RECORDING AND FILING
The Agreement shall be recorded and filed in accordance with I.C. 36-1-7.
XIV. NOTICE
For the purpose of any notice or submittal by this Agreement. said notice or submittal
shall be to the following:

XV. NON-DISCRIMINATION
Parties to this Agreement shall not discriminate against any employee or applicant for
employment, to be employed in the performance of the Agreeinent, with respect to hire,
tenure, terms, conditions or privileges of employment or any matter directly or indirectly
related to employment, because of his race, religion, color, sex, handicap, national origin or
ancestry, disabled veteran status or Vietnam-era veteran status. Breach of this covenant may
be regarded as a material breach of this Agreement.
XVI. COUNTERPARTS
The parties may execute the Agreement in-counterparts.
XVII. INTEGRATION
This Agreement represents the entire understanding between and among the parties hereto.
The signing of this Agreement by the parties constitutes their mutual recognition that no other
contracts or agreements, oral or written, exist between and among them and that if such oral
or written contracts do exist, they shall be considered void. Each party hereby represents to
the other that it will not rely upon any agreement. contract, or understanding not otherwise
iterated in this Agreement and executed or reduced to writing and incorporated by written
amendments to this Agreement with the full knowledge and approval of all parties.
XVIII. INTERPRETATION
The parties agree that the Agreement constitutes the understanding of all parties and that
no party shall be deemed to be the drafter of the Agreement. The language of all parts of this
Agreement shall in all cases be construed as a whole, according to its fair meaning, and not
strictly for or against any party.

DETAILS ABOUT THE REGIONAL TRANSIT SERVICE PLAN
There are a number of specific issues that the project will need to address:
GENERAL
· What are the expectations of the Regional Transit Alliance members?
· What are the practical geographic limits to an RTA/regional public transit system7
· What will it take to get people on the bus7
· What type of service is proposed and who will actually use the service?
TRAVEL MARKETS
· Is there a need for public transportation outside the current service area7
· Is there a need for express bus services outside Marion County?
· Where do people want to go--where are the primary transit ridership generators?
· What is the level of need for travel between outlying communities vs. travel to the
downtown/central business district?
· Identify major employment centers
· Identify locations of concentrations of workers
· Examine the reverse commute issue
· Keep in-min~ work shifts, 24 hour service,. 7 days a week, etc.
ALTERNATIVE SOLUTIONS
What rail fights-of-way need to be preserved for future transportation needs?
Is there a market for commuter rail?
Can fideshare and park-fide programs be effective?
What are the opportunities for the application of Intelligent Transportation System
technologies to improve mobility?
How can buses be effective in improving mobility and providing a reasonable choice to
the automobile?
BENEFITS AND COSTS
· Will the costs of improvements vs. community benefits be explored--both in a current
sense and from the perspective of the impact of delay?
· What funding sources are available to fund the expansion of the public transit system?
· Identify innovative funding solutions
· Prepare a detailed funding strategy
PUBLIC POLICY
· What changes need to be made to public policies to promote the use of public
transportation?
· How do we resolve potential conflicts where individual community policies concerning
land use, traffic control, etc. differ from regional goals?
