Roundabout and Corridor Enhancement Design
Dear Chris,
Kimley-Horn and Associates, Inc. (“Kimley-Horn” or “the Consultant”) ispleased tosubmit this
Agreement (the “Agreement”) to the City of Carmel, Indiana (“the Owner”) for professional
consulting services to enhance the proposed roundabout and medians forthe Smoky Row
Road project (“theProject”) with the City of Carmel.
Project Understanding
Kimley-Horn understands that theOwner desires to prepare schematic design and
construction documents for implementation of landscape architectural elements and
features forthe proposed renovation of Smoky Row Road between Pro Med Drive and the
Monon Trail. The project will feature aroundabout with splitter islands, medians anda
connection to the Monon Trail.
The scope ofwork within this agreement isfor the proposed roundabout, landscaped
medians and Monon Trail connection locations.
The Smoky Row Road project is currently in the advanced stages ofdesign and
documentation with aconstruction start anticipated inearly April 2022. The landscape
architectural portion of the project will be under design as the roadway and infrastructure
design documents are being completed, publicly bid and awarded to the selected contractor.
We understand the Owner’spreferred method toimplement our design work is to obtain
pricing from theselected contractor and upon receipt of their quote assess the viability of
that option. Should the contractor pricing and negotiation be unacceptable to the Owner, we
have included within this agreement an optional task for Kimley-Horn toadvance the
construction documents to the level of public bidding therefore providing the Owner another
option for project implementation.
Our design process isdivided into two phases: Schematic Design and Preparation of
Construction Documents. During the first phase we will prepare an overall design plan for
the corridor forOwner’sreview. After an approved design plan isin place foreach location,
Kimley-Horn will prepare construction documents to include hardscape plans and details,
landscape planting plans, irrigation plans and lighting plans to meet the scope of work
described below. We understand apublic art installation isnot planned for this location.

Once final construction documents are approved by the Owner and acontractor isselected
to implement the work, wecan provide the Owner with shop drawing review and onsite field
observations as described below.
See included ‘Exhibit A’ for project limits and included roadway features our agreement is
based upon.
Scope of Services
Task 1: Schematic Design
This task includes the preparation ofbase plans, a site visit and creation of design options
for Owner’sreview and input.
Base Plan Preparation and Site Visit
Kimley-Horn will obtain final roadway plans and layouts from the Owner (inAutoCAD) to
prepare asite base plan forthe project. We will then visit thesite to photo document
existing conditions and views aswell asobtain avisual assessment ofthe corridor.
Schematic Design
Kimley-Horn will prepare up to two (2) appropriate design alternatives forthe proposed
enhancements within the corridor. Agraphically prepared schematic design plan will be
created with pertinent character images that visually describe the proposed elements and
features for each design alternative. We will prepare a preliminary Order of Magnitude
opinion of probable cost of construction based upon plan quantities for the Owner’suse in
comparing the designs.
The proposed plan and costs will be submitted to the Owner forreview. One (1) design
review meeting has been provided within this agreement. Itispresumed pertinent
stakeholders and decision makers will be present at design review meetings to guide
design.
We will revise the preferred schematic plan atotal of one (1) time. Upon approval by the
Owner, Kimley-Horn will advance the design to Construction Documents asoutlined in Task
2.Efforts inaddition to the estimated meetings will becompleted as an additional service
on an hourly basis atour then current billing rates.
Task 2: Construction Documents Preparation
This task includes the development of construction plans and specifications forthe project
per the Owner approved Schematic Plan. Plans and specifications will be utilized for
contractor pricing and presumed inclusion into the Smoky Row Road roadway and
infrastructure project.
Construction Plans and Specifications:
Kimley-Horn will utilize final roadway plan geometry to further design and add plan
documentation to prepare thefollowing plans and details:
Landscape plans including proposed schedule, species, size at installation and
quantities

Hardscape plans including layout and notes forhorizontal geometry oflow site walls
and urns
Fine Grading & Drainage plans that address the required vertical contouring and
potential underdrains needed to accommodate the design. This work isfocused
within the roundabout.
Details / Sections for hardscape walls
Kimley-Horn will work closely with the Owner’s Street Department to provide:
o Irrigation plans that specify point ofconnection, line and head locations
including appropriate sizing and specifications.
o Lighting plans that specify point of connection, preferred locations of the
luminaire(s), general orientation of the luminaire(s), cutsheets ofOwner
specified product types and light color.
This work will be performed inaccordance with City guidelines, ordinances and standards.
Technical specifications will be prepared forthe items under design for contractor
implementation.
To obtain Owner feedback as the project develops, this scope of work provides forone (1)
construction plan submittal tobe made atthe intermediate interval of75% complete prior to
final plan submission. Apreliminary line-item opinion of probable construction cost will also
be updated and submitted at this stage. Any opinions of probable costs of construction
provided by Kimley-Horn will beprepared utilizing current public bid unit prices and bid
tabulations.
Kimley-Horn shall not be responsible forpotential construction change orders, cost over
runs, schedule delays or incomplete documents should the base plan information provided
toKimley-Horn bewithout needed project information or inaccuracy. Dependent on
coordination with roadway project implementation schedule afield survey with private utility
locates and/or ‘potholing’ of facilities may be required at some locations and isnot included
within the cost ofthis agreement. These services can be performed separately and isnot
included in this scope. This work will be ingeneral accordance with current INDOT policy
and procedures. Ifutility coordination services are requested during the design and/or
construction phase, they can also be provided asan additional service.
Task 3: Construction Administration
Kimley-Horn will provide construction phase services as specifically stated below as
requested by the Owner:
1.Pre-Construction Conference. Consultant will attend one (1) Pre-Construction
Conference prior to commencement of Work atthe Site.
2.Visits to Site and Observation of Construction. Consultant will attend up tothree (3)
progress meetings during the construction phase. Consultant will make site visits atthe
same time inorder to observe the progress of the Work. Such visits and observations
by Consultant arenot intended to be exhaustive or to extend to every aspect of
Contractor'swork inprogress. Observations are to be limited to spot checking, selective

measurement, and similar methods of general observation of the Work based on
Consultant’sexercise of professional judgment. Based on information obtained during
such visits and such observations, Consultant will evaluate whether Contractor'swork is
generally proceeding in accordance with the Contract Documents, and Consultant will
keep Owner informed of the general progress ofthe Work.
Consultant shall not, during such visits or as aresult of such observations of Contractor's
work inprogress, supervise, direct, or have control over Contractor'swork, nor shall
Kimley-Horn have authority over or responsibility for the means, methods, techniques,
equipment choice and usage, sequences, schedules, or procedures of construction
selected by Contractor, forsafety precautions and programs incident to Contractor's
work, nor forany failure of Contractor to comply with laws and regulations applicable to
Contractor'sfurnishing and performing the Work. Accordingly, Consultant neither
guarantees the performance of any Contractor nor assumes responsibility for any
Contractor's failure to furnish and perform its work inaccordance with the Contract
Documents.
3.Clarifications and Interpretations. Consultant will respond to reasonable and appropriate
Contractor requests for information (RFIs) and issue necessary clarifications and
interpretations of the Contract Documents to Owner as appropriate to the orderly
completion of Contractor'swork. Any orders authorizing variations from the Contract
Documents will be made byOwner.
4.Change Orders. Consultant will review and make recommendations related to Change
Orders submitted or proposed by the Contractor.
5.Shop Drawings and Samples. Consultant will review and approve or take other
appropriate action in respect to Shop Drawings and Samples and other data which
Contractor isrequired to submit, but only for conformance with the information given in
the Contract Documents. Such review and approvals or other action will not extend to
means, methods, techniques, equipment choice and usage, sequences, schedules, or
procedures of construction or to related safety precautions and programs.
Limitation ofResponsibilities. Consultant shall not beresponsible for the acts or omissions
of any Contractor, or ofany oftheir subcontractors, suppliers, or of any other individual or
entity performing or furnishing the Work. Consultant shall not have the authority or
responsibility to stop the work of any Contractor.
Task 4: Public Bid Option
This optional task includes preparing the contract documents for public bidding purposes
using plans and technical specifications prepared inTask 2 and standard Owner boilerplate
front end documents provided inWord format by the Owner. Attendance atapre-bid
meeting, answering bid RFI’s, preparation of addenda, review of bids, preparation of a bid
tab and certification ofbid results and recommendations are also included.

Additional Services
Any services not specifically provided for herein, as well as changes inthe scope of pro-
posed services and revisions requested by the Owner after substantial completion of the
proposed services, will be considered Additional Services and will be performed ata
negotiated fee.
Information Provided by Owner
Kimley-Horn shall be entitled to rely on the completeness and accuracy of all information
provided by the Owner. The Owner shall provide all information requested by Kimley-Horn
during theproject, including but not limited tothe following:
1.Relevant plans, as-builts, survey files, utility and conduit locations, studies, reports,
or data inthe Owner’spossession
2.Executed copy of thisAgreement
Schedule
Kimley-Horn isprepared to commence the design process immediately upon receipt of a
formal agreement. Provided an agreement isreceived byKimley-Horn on or before January
stth2022, we propose to complete the design work outlined within Task 1 & 2 byMay6, 21
2022. The optional Task 4will require two (2) weeks. A detailed schedule can be prepared
based upon a firm notice to proceed date. Our services outlined within Task 3will continue
through the completion ofroadway construction currently anticipated to be complete in
2024.
However, the schedule may be increased based upon meeting time availability, addition of
optional services, Owner and/or regulatory agency review times and other items and events
outside of Owner and Kimley-Horn control.
Fees and Invoicing
Tasks identified inthe table below as “Lump Sum” shall be completed for the sum of the
lump sum fees listed below. In addition, other direct expenses and reimbursable expenses
will be billed at1.15 times actual cost. Kimley-Horn will keep theOwner apprised of the
budget status of expenses with monthly invoices.

Kimley-Horn will keep theOwnerupdated, via monthly invoices, on the expenses incurred
and the possible need for additional expense budget. Fees will be invoicedmonthly based
on the percentage completed for each of lump sum element plus reimbursable expenses.
Invoicingwill be due and payable within 30 days.
Closure
In addition to the matters set forth herein, our agreement shall include, andshall be subject
tothe Standard Provisions attached hereto and hereby incorporated herein. As used in the
Standard Provisions, the term “the Consultant” refers toKimley-Horn and Associates, Inc.
The term “the Owner” shall refer the City of Carmel, Indiana.
If you concur inthe foregoing and wish to direct us to proceed with theaforementioned
services, please executeof this letter Agreement in thespace provided andreturn acopyto
us. Execution of this Agreement formalizes our working arrangement.
