RESOLUTION OF THE CITY OF CARMEL BOARD OF PUBLIC WORKS AND SAFETY
ACKNOWLEDGING ARTS GRANT PROGRAM AGREEMENT
WHEREAS, pursuant to Indiana Code 36-1-4-7, the City of Carmel, Indiana (“City”), is authorized to enter
into contracts; and
WHEREAS, pursuant to Indiana Code 36-4-5-3, the City’smayor may enter into contracts on behalf ofthe
City; and
WHEREAS, pursuant to his authority under Indiana law, the City’smayor, the Honorable James C. Brainard,
has caused to be signed the Arts Grant attached hereto as Exhibit A (the “Contract”); and
WHEREAS, Mayor Brainard now wishes to present the contract to the City’sBoard of Public Works and
Safety for it to be publicly acknowledged, filed in the Clerk’sOffice, and made available to the public for review.
NOW, THEREFORE, BE IT RESOLVED by the City of Carmel Board of Public Works and Safety as
follows:
1. The foregoing Recitals are incorporated herein by this reference.
2. The receipt ofthe Contract is hereby acknowledged.
3. The Contract shall be promptly filed in the office of the Clerk and thereafter made available to the public
for review.

ARTS GRANT PROGRAM
AGREEMENT
This Grant Agreement (herein referred to as "Agreement") entered into by and between the City
of Carmel (the "City") and Booth Tarkington Civic Theatre (the
Grantee"), is executed pursuant to the terms and conditions set forth herein. In consideration of
those mutual undertakings and covenants, the parties agree as follows:
That on behalf of Grantee, a not -for -profit corporation, I, Michael J. Lasley ,
an authorized representative of Grantee, have applied for a City of Carmel
Grantor") Arts Grant, said application attached hereto and made a part hereof as
Exhibit "A."
2. Grant Agreement. The City, after review and recommendation by the Mayor,
agrees to grant $ 186, 900.00 to the Grantee for the eligible costs
of the project (the "Project") or services as described in Exhibits "A" and "B" of this
Agreement. The funds shall be used exclusively in accordance with the provisions
contained in this Agreement. Generally, the Grant award may not exceed one third
1/3) of Grantee's combined contributed income, revenue of sales, and/or ticket
revenue from the previous year. The City of Carmel may, however, make exceptions
for start-up organizations that have been in existence for three (3) years or less.
3. Design and Implementation of Project. The Grantee agrees to use any and all grant
funds in accordance with the proposal contained within this agreement and any
documents attached to this Agreement, which are incorporated by reference.
4. Warranty of non-profit status. Grantee hereby represents and warrants that it is a
not -for -profit entity with a determination letter from the Internal Revenue Service
declaring that it is exempt from Federal income tax.

5. Payment of Grant Funds by the City. The payment of this Grant by the City to the
Grantee shall be made in accordance with the following conditions:
A. This Agreement must be fully executed and signed by both Grantee and Grantor.
B. Grantee has attached all the following information, which it represents and warrants
to be true and accurate, all which have been incorporated fully by reference:
1. An application and description of the proposed use of the grant funds (EXHIBIT
A);
2. A budget for the calendar or fiscal year for which the grant is requested
EXHIBIT B);
3. Certified copies of incorporation as a not -for -profit corporation under state law
EXHIBIT C);
4. A not -for -profit application or determination letter from the U.S. Internal Revenue
Service identifying that it is a not -for -profit corporation that is exempt from
Federal income tax (EXHIBIT D);
5. Any audits, reviews or compilations available describing the financial condition
of the Grantee, unaudited Balance Sheet and Income Statement, most recent
available IRS Form 990, and the attached Affidavit (EXHIBIT E);
6. A list of the Grantee's board of directors and officers listed (EXHIBIT F);
7. A Year End Report from the previous year if Grantee received an Arts Grant from
the City of Carmel in the previous calendar year, pursuant to paragraph 8 herein
EXHIBIT G).
C. Any other grant conditions that City requires to be met by Grantee, specifically:
6. Grantor's right to request audit or review. Grantee shall submit to an audit or
review by an independent Certified Public Accountant of funds at the City's request,
and shall make all books, accounting records and other documents available at all
reasonable times during the term of this Grant Agreement, and for a period of three
3) years after final payment of funds under this Agreement, for the purpose of an
audit by the City of Carmel, the State of Indiana, or their designees. Said review or
audit, if requested, shall be performed by a Certified Public Accountant ("CPA") who

is neither an employee of Grantee nor a member of the Grantee's Board of Directors,
to be provided to the City of Carmel by March 31 of the following year.
7. Quarterly financial statements. Grantee agrees to provide the City of Carmel
quarterly financial statements within 45 days after each quarter -end for Grant awards
in excess of sixty thousand dollars ($60,000).
8. Year-end review. Grantee agrees to provide the City of Carmel a year-end report
Year End Report") for each year, describing how the grant was used and the impact
of the dollars received.
9. Funding Credit. Grantee agrees to credit the City of Carmel in the printed materials
associated with a funded program or project. The City of Carmel will supply, upon
request, Grantee with the graphics/logos necessary for compliance.
10. Statutory Authority of Grantee. The Grantee expressly represents and warrants to
the City that it is statutorily eligible to receive these monies and it expressly agrees to
repay all monies paid to it under this Grant, should a legal determination of its
ineligibility be made by any Court of competent jurisdiction.
11. Use of Grant Funds by Grantee. The funds received by the Grantee pursuant to this
Agreement shall be used only to implement the Project or provide the services in
conformance with the Budget and for no other purpose. If it is determined by the
City that misappropriation of funds have occurred, the Grantee must return all funds
received by Grantor and individuals who misuse Grant funds may also be subject to
civil and/or criminal liability under Indiana and Federal law.
12. Employment Eligibility Verification. The Grantee affirms under the penalties of
perjury that he/she/it does not knowingly employ an unauthorized alien.
The Grantee affirms under the penalties of perjury that he/she/it has enrolled and is
participating in the E-Verify program as defined in IC 22-5-1.7. The Grantee agrees
to provide documentation to the City that he/she/it has enrolled and is participating in
the E-Verify program.
The City may terminate for default if the Grantee fails to cure a breach of this
provision no later than thirty (30) days after being notified by the State.
13. Governing Law; Lawsuits. This Agreement is to be construed in accordance with
and governed by the laws of the State of Indiana, except for its conflict of laws
provisions. The parties agree that, in the event a lawsuit is filed hereunder, they
waive their right to a jury trial, agree to file any such lawsuit in an appropriate court
in Hamilton County, Indiana only, and agree that such court is the appropriate venue
for and has jurisdiction over same.

14. Relationship of Parties. The relationship of the parties hereto shall be as provided
for in this Agreement, and neither Grantee nor any of its compensated officers,
employees, contractors, subcontractors and/or agents are employees of City. The
Grant amount set forth herein shall be the full and maximum compensation and
monies required of City to be paid to Grantee under or pursuant to his Agreement.
15. Severability. If any term of this Agreement is invalid or unenforceable under any
statute, regulation, ordinance, executive order or other rule of law, such term shall be
deemed reformed or deleted, but only to the extent necessary to comply with same,
and the remaining provision of this Agreement shall remain in full force and effect.
16. Entire Agreement. This Agreement, together with any exhibits attached hereto or
referenced herein, constitutes the entire agreement between Grantee and City with
respect to the subject matter hereof, and supersedes all prior oral or written
representations and agreements regarding same. Notwithstanding any other term or
condition set forth herein, but subject to paragraph 15 hereof, to the extent any term
or condition contained in any exhibit attached to this Agreement or in any document
referenced herein conflicts with any term or condition contained in this Agreement,
the term or condition contained in this Agreement shall govern and prevail. This
Agreement may only be modified by written amendment executed by both parties
hereto, or their successors in interest.

ORGANIZATION DESCRIPTION
Booth Tarkington Civic Theatre has been a vital part of the Central Indiana community for over 100 years by
providing live entertainment, creative opportunities, and theatre education to residents of all ages and backgrounds.
Civic's programs offer community members opportunities to directly engage on stage, behind the scenes, and in the
audience with the support of experienced theatre professionals.
By bringing together the best of local and regional theatre professionals with highly talented volunteer talent, Civic is
able to direct its resources into framing each avocational performer with the most up-to-date theatre techniques,
technology, and facilities, effectively minimizing overhead costs while maximizing the participant's experience. These
strategies result in productions of artistic excellence that rival the work presented by fully professional companies.
Each season, Civic serves over 30,000 audience members through live theatrical performances.
Education has been integral to operations since Civic's inception. Civic provides a broad range of performing arts
workshops and classes for students with formal written evaluations, advanced levels of study, ties to Common Core
State Standards as well as Indiana State Academic Standards, and established professionals as instructors. To
provide equal access for all students, Jr. Civic embraces the needs of at -risk students and implements numerous
outreach programs to provide curriculum for these deserving yet underserved students. Education and outreach
programs reach over 20,000 annually.
PRODUCTION
The current plan for the 2022-23 season includes eight productions in the Tarkington and two productions in the
Studio Theater, which will provide opportunities for over 50,000 audience members to attend live theatre. Titles for
the season are still being considered, and final decisions will be finalized in February 2022. The production schedule
will follow Civic's typical season, outlined in the table below.

EDUCATION & OUTREACH
In addition to its mainstage programming, Civic provides exceptional theatre education to over 20,000 community
members through classes, workshops, outreach initiatives, and educational productions. Civic's educational

workshops are unique to Central Indiana in that they are based on skill development rather than product
development. In other words, Jr. Civic students develop essential life skills of communication, teamwork, and
creativity, as they improve and perfect their performance skills. Civic's philosophy is to create a superior performer
through proper technique and intensive study. This approach promotes meaningful and lasting change in the life of
each student, whether they pursue a career in the performing arts or not.
Civic serves Carmel's young residents by producing student matinees of mainstage and children's productions to
appeal to audience members of all ages. Titles for children's productions are selected based on their appeal to
students in grades K-12 and their relationship to current curriculum choices and academic standards. Civic's
education department creates educator resources with ideas for classroom activities and discussion topics relating to
the show's content, all tied to academic standards.
DIVERSITY, EQUITY, AND INCLUSION
Civic staff is dedicated to solidifying its commitment to diversity, inclusion, and equity in all facets of operations — on
stage, in the classroom, in the audience, and behind the scenes. Civic's intent is to do more than address quotas or
individual circumstances of racism. Civic acknowledges that racism and inequities exist and that the solution is
systemic change through honest acknowledgement and discussion. By addressing these principles directly and
openly, Civic hopes to foster a safe, inclusive environment in the arts community of Hamilton County, starting at
home.
As a part of this initiative, Civic has enlisted the assistance of a recurring volunteer performer to serve as the
Diversity Consultant for the theatre. This individual has been integral in expanding Civic's talent base and audience
to include more people of color, especially people in the black community. As the Diversity Consultant, this individual
will continue to foster these efforts by serving on the season planning committee as well as advising staff in matters
of inclusion.
This position has already impacted Civic's operations by updating the season selection process with built-in diversity,
equity, and inclusion considerations. The Season Planning Committee has developed an inclusion scoring process,
by which a score is assigned to potential titles based on opportunities for marginalized groups of people. Each score
is defined as follows:
1 - Little to no opportunity for inclusion (ex.
2 - Potential for colorblind casting for roles typically assigned to white actors (ex. CINDERELLA or ELF)
3 - The script calls specifically for marginalized people to play certain roles (ex. HAIRSPRAY or RENT)
4 - The characters are predominantly from marginalized groups of people (ex. MISS SIAGON or A SOLDIER'S
PLAY)
5 - All characters are from marginalized groups of people (ex. FENCES or IN THE HEIGHTS)
While the demographics of Civic's current audience does not warrant the production of a level five show every
season, it is committed to cultivating seasons that average out to a two or three each year. Through this initiative,
Civic will be able to tell important stories that connect audiences and actors of all backgrounds through the common
ground of the human experience.

2022 PROPOSED USE OF GRANT FUNDS
In 2022, Booth Tarkington Civic Theatre will use support from the City of Carmel to generate significant economic
activity in the City of Cannel and improve the quality of life for community members through theatre access,
education programs, and outreach initiatives. Grant funds will go directly toward production costs (contracted
personnel, scenery, costumes, lighting, props, sound, etc,) during the 2022 calendar year to generate over
1,800,000 in economic impact for the City of Carmel, as outlined in the tables below.

The Arts Council of Indianapolis' 2017 Economic Impact study states that each arts patron spends approximately
30.67 beyond the cost of a ticket. The Total Economic Impact is calculated by adding this to the average ticket price
per show and multiplying by the number of patrons who attended.

REOPENING THE TARKINGTON
After ten months of learning how to produce virtual content, Civic Theatre presented its first completely virtual, full
play, PRIDE & PREJUDICE in February 2021. Using three cameras and live switching, this live event rivaled that of
professional television specials. Civic presented eight live -streamed performances and an on -demand version of
PRIDE & PREJUDICE, reaching 1,000 at-home audience members. Although this production was a fantastic
technical success, the resources required for production were not equal to the return and was therefore not
sustainable.
For the next two productions, LIGHT ON THE HORIZON and A FEW GOOD MEN, Civic Theatre was able to return
to in -person audiences at 29% capacity to accommodate social distancing requirements. Both of these productions
offered two live -streamed events and on -demand options.
Over the summer, educational productions gradually increased capacity. Jr. Civic's production of FROZEN, JR. was
able to host in -person audiences at 50% capacity. Even with less available seats, this production broke all previous
revenue records for Jr. Civic shows. The Young Artists Program's REVUE! and SATURDAY NIGHT FEVER were the
first productions in 18 months that allowed for full capacity audiences. SATURDAY NIGHT FEVER broke all previous
YAP production revenue records.
The greatest success of 2021 thus far was the October production of THE COLOR PURPLE. This production marked
Civic's first cast of all black performers in thirty years, fulfilling the vision of expanding programming to be more
inclusive. Over 50% of all audience members who attended this production were new patrons to Civic. 49% of new
audiences arrived from Marion County,18% from Hamilton County, 10% from other Central Indiana counties, 17%
from other Indiana counties, and 6% from out of state. This production was very well -received by audiences, with
many returning patrons claiming the production to be their favorite so far at Civic, It is evident with this feedback, as
well as the show's financial success, that audiences are receptive to great storytelling, regardless of race.
Over the next month, Civic will produce thirty performances over thirty days with ELF THE MUSICAL and A
CHARLIE BROWN CHRISTMAS. After the outstanding success of ELF in 2019, Civic is excited to return to the
holidays with this popular title. As of November 22, Civic is already 70% to its revenue goal for ELF with over 3,000
tickets sold. Civic is proud to present a second holiday option this season with A CHARLIE BROWN CHRISTMAS.
This thirty -five-minute adaptation of the television special features Charlie Brown, Snoopy, and the rest of the
Peanuts Gang as they discover the true meaning of Christmas.
CURRENT FINANCIAL STANDING
Civic Theatre has been very fortunate throughout the duration of the pandemic to receive an outpouring of support
from patrons, families, foundations, and government institutions. Over the last eighteen months, Civic has received
the following sources of COVID relief funding:
Two rounds of funding from the Payroll Protection Plan through the Small Business Administration
A grant from the Arts, Cultural & Destination Marketing Organization Grant Program through the Indiana
Arts Commission & Indiana Destination Development

An Emergency Disaster Relief Loan, currently functioning as an untouched cash reserve
Additional support as part of the Emergency Disaster Relief Loan
A grant from the Allen Whitehill Clowes Charitable Foundation
A grant from the Indiana Arts Emergency Relief Fund from the Indiana Arts Commission, National
Endowment for the Arts, and Arts Midwest with funding provided by the CARES Act
The Shuttered Venue Operators Grant through the Small Business Administration
Because of this funding, as well as diligent monitoring of cash and expenses, Civic Theatre is in an advantageous
position to begin producing theatre regularly once again.

During the 2021 calendar year, Civic Theatre is proud to have produced nine opportunities for audience members to
experience the joy of live theatre. With an estimated audience of 20,958 patrons, Civic is proud of the strides it has
made during this challenging time to adapt its business model to serve the community and accomplish its mission.

LOOKING FORWARD
Civic Theatre is infinitely grateful to the City of Carmel for being a champion of the arts, making it possible for Civic to
provide theatrical opportunities for its community. In the last 106 years, Civic has witnessed and endured countless
triumphs and trials. It is our greatest hope and our institutional ambition that Civic Theatre survive these current
challenges in order to be a leader in the healing process on the other side. The arts are an indispensable tool for
reflection and can begin the process of acknowledging and addressing heartbreak while celebrating what it means to
be alive. Civic has important work to do in this regard and looks forward to telling the stories that advance such work
on the Tarkington stage again soon.
